AN RESOLUTION AUTHORIZING DISSOLUTION OF THE GOVITC
WHEREAS, the Village of Buffalo Grove is a home rule unit pursuant to the Illinois Constitution of
1970; and
WHEREAS, the Village of Buffalo Grove, Illinois, is a Member of the Government Information
Technology Consortium (GovtTC), an organization dedicated to information technology collaboration
amongst governmental entities; and
WHEREAS, the GovITC's bylaws provide for the dissolution of the consortium under certain
conditions, including but not limited to an affirmative two-thirds (2/3)vote of the entire Board; and
WHEREAS, the Village Board finds that circumstances warrant the dissolution of the Consortium
in accordance with the provisions set forth in the Consortium's bylaws.
NOW THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE
VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES, ILLINOIS, as follows:
SECTION 1. The foregoing recitals are hereby adopted and incorporated and made a part of this
Resolution as if fully set forth herein.
SECTION 2. The President and Board of Trustees of the Village of Buffalo Grove formally approve the
dissolution of the GovITC and authorize staff to take actions necessary to dissolve the GovITC including
execution of Appendix A attached hereto.
SECTION 3. In the event of dissolution, the Village of Buffalo Grove expects the GovITC Board to establish
and execute procedures necessary to effect the dissolufion promptly, in accordance with the bylaws'
Section XIII and as described in Appendix A, attached hereto.
SECTION 4.The Village acknowledges that, upon dissolution, the remaining shared assets of the
Consortium should be distributed among the then-existing Members in accordance with the Member
Attrition Formula, as described in the bylaws.
SECTION 5. The Village recognizes its responsibility, in the event of dissolution, to transition software and
other shared assets in the name of the Consortium to its own organization and make its information
technology support backbone ready to accept the data volume and transfer of shared assets, per the
Consortium's bylaws.

Appendix A.
GOVITC INTERGOVERNMENTAL AGREEMENT
THiS AGREEMENT, executed on this day of , 2023, by and amongst the Village
of Buffalo Grove, the Village of Glenview, the Village of Lake Bluff, the City of Yorkville, the Village of
Lincolnshire, and the Village of Kenilworth, the current or former members of the Government
Information Technology Consortium (GovITC) hereto referred to as the GovITC IGA members.
WHEREAS, the GovITC was established to pursue shared information technology initiatives for
the mutual benefit of the aforementioned municipalities;
WHEREAS, a unanimous decision has been reached by the members of the GovITC to dissolve
the Consortium;
WHEREAS, it is necessary to detail the obligations and responsibilities arising from the
dissolution of the GovITC, ensuring equitable distribution amongst the members;
WHEREAS,the former GovITC members have the statutory authority to execute this
Intergovernmental Agreement in accordance with relevant laws and regulations;
NOW, THEREFORE, acknowledging the aforementioned recitals and in consideration of the mutual
promises contained herein, the GovITC IGA members agree as follows:
1. All members of the GovITC IGA affirm their commitment to honor the existing contract with
Imperva, providing web application firewall software, due to expire in March 2025.
2. All GovITC IGA members agree to jointly bear the costs for tax preparation and filing for the year
2023 to be performed by Lauterbach &Amen.
3. Any remaining invoices and surplus funds will be distributed equally among the GovITC IGA
members. This distribution will be monitored and properly documented to ensure transparency
and fairness.
4. The members of the GovITC IGA agree to provide mutual assistance, when dealing with common
vendors, maintaining good faith and cognizant of each community's resources and capabilities.
IN WITNESS WHEREOF, the Consortium members have duly executed this Agreement as of the date first
above written.
