A RESOLUTION APPROVING AN EXTENSION TO THE MASTER POWER SUPPLY AGREEMENT WITH MC
SQUARED ENERGY SERVICES,LLC
WHEREAS,the Village of Buffalo Grove is a Home Rule Unit pursuant to the Illinois Constitution
of 1970;
WHEREAS, this Contract was approved by the Village Board and signed in January of 2020.
NOW,THEREFORE,BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE
VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES, ILLINOIS, as follows:
Section_1. The Village President and Board of Trustees do hereby authorize the Village President to sign
an extension to the Master Power Supply Agreement with MC Squared Energy Services, LLC.
Section 2. This Resolution shall be in full force and in effect from and after its passage and approval.

This Extendedferm Agreement Amendment No. I (hereinafter the"ETA No" 1"),is entered as of this
8th day of December 2.020 between the Village of Buffalo Grove,Cook and Lake Counties,Illinois,an
Illinois municipal corporation(hereinafter the"Village")and MC Squared Energy Services,LLC
(hereinafter the"Supplier" (each a"Party"and colleotively,the"Parfi&').
WITS REAS,Supplier and Village are the Parties to as Master Power,SupplyAgreement dated January 6,
2020 and amended December 8,2020(hereinafter the"MPSA?-'which is hereby incorporated by
reference)
WHEREAS,pursuant to the terms of the MP SA,including Section 5.1,the Parties mutually wish to
extend the terni of the MPSA.

1. The Parties agree to replace Exhibit C with Amended EAiibit C to ref ed the inutually agreed
extended term of 24 months.
2. Tho Parties agree that by executing this ETA No.1,Extended Tenn will last until March 2023,
subject to future mutual exten4011s.
3. All other terms of than MPSA remain in full force and effec.l.

AMENDED EXHIBIT C
PRICE AND TERM
Eligible Customers as defined in Section 2.11 includes all residential and small commercial
Aggregation customers within the Municipality excluding customers served by other
alternative retail electric suppliers (ARES) including pending"with RES" status, and
customers served under ComEd's Hourly Tariffed supply service (Rate RRTP).
Eligible Customers in the initial and subsequent opt-out cycles will be placed on Supplier
service or Tariffed Service as defined in Section 2.38 of the Agreement (i.e. ComEd default
tariff supply service) based on Supplier's criteria including the customer's usage patterns
and wholesale market conditions. Eligible Customers will be assessed the same Customer
Class Price and will continue to receive monthly invoice statements from ComEd without
regard to whether they are served by Supplier or on Tariffed Service.
Eligible Customer Class Price: Variable rate equal to the ComEd published tariff supply
service costs including the Purchased Electricity Charges (PEC), Transmission Service
Charges (TSC) and the Purchased Electricity Adjustment (PEA) for each applicable month
for the Term of the Agreement.

EPA GPC Program
Mar2021—Mar2023 Percent of RECs: Approved roved RECs
Civic Contribution: $40,000 annuall
Supplier will provide an annual $40,000 Civic Contribution to the Village per Term. The
Civic Contribution will be payable in equal monthly installment payments of$3,333.33 to
the Village within 30 days after the last meter read cycle of each delivery month(i.e. March
2021 payment will be paid in May 2021).
Supplier may terminate or mutually agree to adjust the monthly Civic Contribution payment
to the Village if the number of accounts that supplier serves under this agreement falls below
the higher of 2,775 accounts or 20% of the total number of accounts reported by ComEd
pursuant to Rate GAP, because it would not be financially viable to continue funding below
such number.
Special Services:
Supplier will acquire and retire on behalf of the Village of Buffalo Grove, the minimum 5%
required minimum of Renewable Energy Certificates (RECs)that meet the EPA's Green Power
Community (GPC) Program minimum requirements (currently at 5.0%), from a Wind
Generation resource location to be determined by Supplier within the Midwest Renewable
Energy'rracking System (MRETS)or the PJM Generation AftribuleTracking System(0 ATS).
However,in S1.1pplier's sole discretion, Supptier may sec-ure.RE-Cs from rather locations withill
the United States to me the EPA Green Power Community Program minimum requirements if
necessary.The remaining,50%of RE Cs above the EPA GPC Pro grzanminimuff) required level
to be acquired andrctired on behalf of the Municipality will be sourced at Supplier's disrretion
from as combination of ire'Wind,Photovoltai ,)olar)and Low Impact Hydropower generation
facilities ftom within the MRET S and GAT S systems to support renewable energy generation
and meet the clean energy goals of the Municipality.
The RECs to be refired will be equal to an amount bmed on the historical twelve months of
electricity usage for die Eligible Customers excluding accounts on Corn Ed hourly tariff supply
seivice and accounts with another alternative electric supplier,represented on the provid.ed

documentation required to become an EPA Green Power Partner Ccrrnnlu ty.
