Award of Bid: Award of Bid - Sanitary Sewer Television Inspection Contract Award to Remote Access Television Services in the amount of$15,000. (Trustee Marientha) RECOMMENDATION: Approve by motion. SUMMARY: It is recommended that the contract be awarded to the low bidder, Remote Access Television Services, for their low bid price of$.60 per linear foOt, which will result in 25,000 linear feet of sanitary sewer televising and related cleaning for the budgeted contract amount of$15,000.00. C. Acceptance: Acceptance of Quit Claim Deed for Outlot A, Relics of Olde Subdivision(Lucinda Dr/IL Route 83): Developer donation by JPW Development of stormwater management parcel (Trustee Berman) RECOMMENDATION: Approve by motion. APRIL 3,2001 ELECTION President Hartstein noted that there are several local elections taking place on April 3,2001,and he urged everyone to be sure that they are registered by the March 6,2001 deadline LEADERSHIP FORUM President Hartstein reported that he and Trustee Johnson attended the recent Leadership Forum,which consists of representatives from other governmental entities. ROUTE 53 PRESS CONFERENCE President Hartstein reported that he and Mr.Balling attended a press conference that was called by the Village of Long Grove and several other communities opposed to the Route 53 extension. PROCLAMATION—NATIONAL CHILD PASSENGER SAFETY SEAT President Hartstein read from a Proclamation declaring the week of February 11-17,2001 as National Child Passenger Safety Week in the Village of Buffalo Grove,and urged all those caring for children to be sure that they follow proper safety measures when transporting children in vehicles. 11061 2/5/2001 i PROCLAMATION—BOY SCOUTS President Hartstein read a Proclamation declaring February 8,2001 as the 91'Anniversary Day of the Boy Scouts of America in the Village of Buffalo Grove. i POST OFFICE MEETING Trustee Johnson reported that he and Ms.Sahyouni met with the Buffalo Grove Postmaster to determine measures that can be taken to enhance services the Post Office has to offer,and also to acquaint residents with the local i contract sites. TRAFFIC CALMING MEASURES Mr.Balling reported on the cost proposal by Fehr&Peers Associates,Inc.in the amount of$1,500.00,to review the Village's new Guidelines for evaluating Traffic Calming measures;he then answered questions from the Board. At { the conclusion of his comments,the Board accepted the proposal and authorized work to proceed. AT&T CABLE ,, Ms.Sahyouni reported on what has transpired to date regarding this issue;she gave a Powerpoint presentation on . . concerns that have been discovered by meeting with the Regional Cable Group,the AT&T representative,and residents in the community. j Deb Piscola,AT&T Community Relations Manager,addressed some of the concerns that were brought up by Ms. Sahyouni,and also provided a status update. TRAFFIC ISSUES Mr.Balling presented a status report on the three intersection improvements which the Board is waiting to see F: completed,i.e.Buffalo Grove Road/Route 83 timing modifications,Buffalo Grove/Thompson traffic signal construction,and Pauline/Weiland traffic signal construction;details of his report may be found in the Village Board Meeting Agenda Item Overview prepared by Mr.Boysen. QUESTIONS FROM THE AUDIENCE David Mattis,further commented on the AT&T Cable service,specifically those customers with digital service, who have been inconvenienced just as much as the analog customers. Rob Sherman urged residents to get the Build 53 bumper stickers. Rob Sherman thanked the Village for rejecting the original wording of the Boy Scout proclamation,and asked that- the new Boy Scout proclamation be circulated. Arlene Holloman,director of Illinois Aetheists does not think private organizations should deserve recognition from a public body. CONSENT AGENDA President Hartstein explained the Consent Agenda,stating that any member of the audience or the Board could request that an item be removed for full discussion;there were no such requests. Filippo and Salvatrice Giametta are requesting annexation of their property on the east side of Prairie Road north of IL Route 22. The property consists of three parcels with a total area of approximately 2.42 acres. The property is zoned R-1 by Lake County. The Village Board discussed annexation of this property on November 20, 2000. The Giamettas request that several non-residential uses be permitted on the property on a temporary basis, but a specific time period is not identified. It is my understanding that the Giamettas intend to move their landscaping business to a new location. The property being considered for annexation would be sold. Current non-residential uses on the property are described in the attached letter dated January 26, 2001 (Exhibit C)from Michael Sieman, the petitioners' attorney. These uses include: storage of truck and trailers, storage of landscape materials and parking of employees' vehicles. The attached annexation agreement stipulates that uses not allowed in the Residential Estate District must be terminated by December 31, 2002. The agreement also stipulates that the property must connect to the Village water system by December 31, 2002. Sanitary sewer is not adjacent to the property. The agreement stipulates that the property is not required to connect to the Village's sanitary sewer until the public sewer is within 400 feet of the property. This provision is similar to the agreement for the Olson/Jesperson properties at the northeast corner of Prairie Rd and Route 22 that were annexed in 1994. NOW, THEREFORE, in consideration of the premises, mutual covenants and agreements herein set forth, the parties hereto agree as follows: 1. Applicable Law. This Agreement is made pursuant to and in accordance with the provisions of Section 5111-15.1-1 et. seq., of the Illinois Municipal Code (Chapter 65, Illinois Compiled Statutes 1998) and as the same may have been modified by the Village's Home Rule powers. The preceding whereas clauses are hereby made a part of this Agreement. DRAFT 3 2. Agreement: Compliance and Validity. The Owner has filed with the Village Clerk of the Village a proper petition pursuant to and in accordance with the provisions of Section 5/7-1-8 of the Illinois Municipal Code (Chapter 65, Illinois Compiled Statutes 1998) and as the same may have been modified by the Village's Home Rule powers, conditioned on the execution of this Agreement and the compliance with the terms and provisions contained herein,to annex the Property to the Village. It is understood and agreed that this Agreement in its entirety, together with the aforesaid petition for annexation, shall be null, void and of no force and effect unless the Property is validly annexed to the Village and is validly zoned and classified in the Residential Estate District, all as contemplated in this Agreement. 3. Enactment of Annexation Ordinance. The Corporate Authorities within twenty-one (21) days of the execution of this Agreement by the Village will enact a valid and binding ordinance (hereinafter referred to as the "Annexation Ordinance") annexing the Property to the Village. Said Annexation Ordinance shall be recorded at the Lake County Recorder's Office along with the Plat of Annexation (attached hereto as EXHIBIT B). 4. Enactment of Zoning Ordinance. Within twenty-one (21) days after the passage of the Annexation Ordinance, the Corporate Authorities shall adopt a proper, valid and binding ordinance, zoning the Property in the Residential Estate District subject to the restrictions further contained herein and all applicable ordinances of the Village of Buffalo Grove as amended from time to time. 5. Approval of Plans. It is understood and agreed that the Owner has not submitted a Preliminary Plan for review and approval by the Village. Any development of the property proposed DRAFT 4 by the Owner or subsequent owners and developers is subject to the requirements of applicable Village Ordinances, including but not limited to the Zoning Ordinance and Development Ordinance. 6. Compliance with Applicable Ordinances. The Owner agrees to comply with all ordinances of the Village of Buffalo Grove as amended from time to time in the use and development of the Property,provided that all new ordinances, amendments, rules and regulations relating to zoning, building and subdivision of land adopted after the date of this Agreement shall not be arbitrarily or discriminatorily applied to the Property but shall be equally applicable to all property similarly zoned and situated to the extent possible. Owner, in the use and development of the Property, shall comply with the standards set forth in the Village of Buffalo Grove Development Ordinance as amended from time to time. 7. Building Permit Fees. The building permit fees may be increased from time to time so long as said permit fees are applied consistently to all other developments in the Village to the extent possible. In the event a conflict arises between the Owner and the Village on any engineering and technical matters subject to this Agreement, the Village reserves the right to pass along any and all additional expenses incurred by the use of consultants in the review and inspection of the development from time to time. Owner shall pay any non-discriminatory new or additional fees hereinafter charged by the Village to owners and developers of properties within the Village. 8. Water Provision. The Owner shall be permitted and agrees to tap on to the Village water system at points recommended by the Village Engineer. Owner agrees to make said connection for the existing residence on the Property, but only after right-of-way along Prairie Road has been dedicated as set forth in Paragraph 13, and after Owner has made any necessary repairs to the septic DRAFT 5 system as set forth in Paragraph 29.C. Connection to the Village water system to serve the existing residential use on the Property shall be completed by December 31, 2002. It is understood and agreed that Owner will complete the obligations set forth in Paragraph 29.13. to seal the well and in Paragraph 29.C. to repair the septic system, if necessary, in accordance with applicable State and County regulations, and failure to complete said obligations may result in termination of Village water service to the Property. Said termination of service shall be at the Village's sole discretion, and shall not require notice or hearing by the Village. The Owner further agrees to pay the Village fees in accordance with the applicable Village ordinances at the time of issuance of the water and sanitary sewer permits. The owner agrees to accept any increases in water rates and tap-on fees provided that such rates and fees apply consistently to all other similar users in the Village to the extent possible. Following such tap-on, the Village agrees to provide, to the best of its ability and in a non-discriminatory manner, water service to the Property. 9. Storm and Sanitary Sewer Provisions. A. It is understood and agreed that the existing residence on the property shall not be required to connect to the Village's sanitary sewer system until said sewer is within 400 feet of the property line of the Property. When said condition occurs, the Village shall determine if connection to the sanitary sewer system is feasible, and Owner shall connect to the sanitary sewer at the direction of the Village. No new principal building or new development shall occur on the Property until connection is made to the Village's sanitary sewer system. B. When connection to the Village sanitary sewer system is feasible for the existing residence or new development on the Property,the Corporate Authorities agree to cooperate DRAFT 6 with the Owner and to use best efforts to assist the Owner in obtaining permits from agencies having jurisdiction, including the Lake County Department of Public Works,the Lake County Department of Transportation and the Illinois Department of Transportation, as may be necessary to authorize connection to the Lake County sanitary sewer system. The Owner shall construct on-site and off-site sanitary sewers as may be necessary to serve the Property,pursuant to a Preliminary Engineering Plan approved by the Village. Upon installation and acceptance by the Village through formal action by the Corporate Authorities,the Village agrees to operate and maintain said sewer lines, except for sanitary sewer service connections. The Owner agrees to accept any increases in sewer rates and fees,provided that such rates and fees are applied consistently to all similar users in the Village to the extent possible. C. It is understood and agreed that the Property shall not be required to connect to the Village's storm sewer system to serve the existing uses on the Property until said connection is feasible as determined by the Village. Any new development on the Property shall require connection to the Village storm sewer system, and Owner shall construct any storm sewers necessary to serve the Property, pursuant to a Preliminary Engineering Plan approved by the Village. Upon installation and acceptance by the Village through formal action by the Corporate Authorities, the Village agrees to operate and maintain that portion of the storm sewer system that serves public streets or multiple properties. Owner agrees to operate and maintain that portion of the storm sewer system located on the Property and not dedicated, and shall record a covenant to that effect if required by the Village. 10. Drainage Provisions. The Owner shall fully comply with any request of the Village Engineer to preserve drainage standards. The Owner shall install any storm sewers and/or inlets that DRAFT 7 are required to eliminate standing water or conditions of excess sogginess,which may, in the opinion of the Village Engineer,be detrimental to the growth and maintenance of lawn grasses. 11. Payment of Recapture Fees Owed. Any amount of recapture required to be paid by this Property shall be due and payable to the Village prior to issuance of permits for water or sewer service. 12. Security for Public and Private Site Improvements. Security for public and private site improvements shall be provided in accordance with the Development Ordinance, and any Development Improvement Agreement required by the Village. Any letter of credit issued for such improvements shall be drawn on a financial institution of net worth reasonably satisfactory to the Village Attorney. The issuer may have an equitable or lending interest in the Property provided that the letter of credit, either by its own terms or by separate written assurances of the issuer, shall be honored irrespective of that interest. The Village shall have the right to draw up to the full amount of the letter of credit in order to complete, and have formal acceptance of, all improvements secured by the letter of credit. 13. Right of Way Dedication. The Owner acknowledges that it is the intention of the Village and other involved agencies that at some time in the future Prairie Road will be widened. Owner agrees to dedicate approximately ten(10)feet of right-of-way along Prairie Road as required to achieve a right-of-way of forth(40)feet from the centerline of Prairie Road adjoining the Property. Said dedication shall be made at the direction of the Village, and no permit for connection to the Village water system shall be issued until such dedication is made. 14. Exhibits. The following EXHIBITS, some of which were presented in testimony given by the Owner or the witnesses during the hearing held by the Corporate Authorities prior to DRAFT 8 the execution of this Agreement, are hereby incorporated by reference herein,made a part hereof and designated as shown below. This Agreement, upon execution by the parties, together with copies of all EXHIBITS, shall be kept on file with the Village Clerk and be available for inspection to the parties hereto. For any future residential development on the Property approved by the Village, a fee of$700.00 per unit shall be paid at the time of issuance of building permit(s). The fees as set forth in this Paragraph shall,however,be paid in full prior to the expiration of this Agreement. 16. Building, Landscaping and Aesthetics Plans. For any new development or redevelopment of the Property, Owner shall submit building and landscaping plans for review and approval by the Village. Said plans shall be submitted prior to application for building permits, and shall be in accordance with Village standards and requirements. Any lighting on the Property, existing or proposed, is subject to review and approval by the Village. Any grading or other site work shall be conducted with methods and procedures to ensure that trees on the Property will be preserved. Any removal of trees on the Property is subject to review and approval by the Village. DRAFT 9 The Property shall be maintained in a neat and orderly fashion as determined by the Village Manager. 17. Park District Donations. For any new residential development on the Property approved by the Village, Owner agrees to comply with the provisions of Title 19 of the Buffalo Grove Municipal Code as amended from time to time regarding park donations. Owner agrees to make cash contributions to the Village for conveyance to the Buffalo Grove Park District to fulfill the obligation of the Property concerning park donations for new residential development. 18. School District Donations. For any new residential development on the Property approved by the Village, Owner agrees to comply with the provisions of Title 19 of the Buffalo Grove Municipal Code as amended from time to time regarding school donations. Owner agrees to make cash contributions to the Village for conveyance to the appropriate elementary school district and to School District 125 according to the criteria of said Title for any new residential development. 19. Conditions Concerning Parks and School Donations. It is understood and agreed that rooms in the residential units labeled as dens, lofts, studies or libraries on the floor plans will be counted as bedrooms for the purposes of calculating park and school donations, if, in the judgement of the Village, said rooms can be used as bedrooms. It is understood and agreed that the per acre land value used to compute said cash contributions may be increased from time to time, and cash contributions made at the time of building permit issuance shall be based on the land value in effect at the time of permit issuance. 20. Annexation to the Buffalo Grove Park District. The Owner agrees, at the request of the Buffalo Grove Park District and at the direction of the Village, to annex any part or all of the subject Property to said Park District. Said annexation shall be completed within sixty (60) days of DRAFT 10 the request of the Park District. 21. Facilitation of Development. Time is of the essence of this Agreement, and all parties will make every reasonable effort to expedite the subject matters hereof. It is further understood and agreed that the successful consummation of this Agreement and the development of the Property is in the best interests of all the parties and requires their continued cooperation. The Owner does hereby evidence his intention to fully comply with all Village requirements, their willingness to discuss any matters of mutual interest that may arise, and their willingness to assist the Village to the fullest extent possible. The Village does hereby evidence its intent to cooperate in the resolution of mutual problems and its willingness to facilitate the development of the Property, as contemplated by the provisions of this Agreement. 22. Enforceability of the Agreement. This Agreement shall be enforceable in any court of competent jurisdiction by any of the parties or by an appropriate action at law or in equity to secure the performance of the covenants herein described. If any provision of this Agreement is held invalid, such provision shall be deemed to be excised herefrom and the invalidity thereof shall not affect any of the other provisions contained herein. 23. Term of Agreement. This Agreement is binding on all parties and the Property for a term of twenty (20)years from the date of this Agreement. This Agreement shall not be assigned without prior written consent of the Village. 24. Binding Effect of Agreement. This Agreement is binding upon the Property, the parties hereto and their respective grantees, successors and assigns. 25. Corporate Capacities. The parties acknowledge and agree that the individuals that are members of the group constituting the Corporate Authorities are entering into this Agreement DRAFT 11 in their official capacities as members of such group and shall have no personal liability in their individual capacities. 26. Notices. The Owner, at his cost, shall be responsible for any litigation which may arise relating to the annexation, zoning and development of the Property. Owner shall cooperate with the Village in said litigation but Owner's counsel will have principal responsibility for such litigation. B. The Owner shall reimburse the Village for reasonable attorneys' fees, expenses and costs incurred by the Village resulting from litigation relating to the annexation,zoning and development of the Property or in the enforcement of any of the terms of this Annexation Agreement upon a default by the Owner. C. Owner hereby indemnifies and holds the Village harmless from any actions or causes of action that may arise as a result of development activities for which the Owner is responsible. 29. Special Conditions. A. It is understood and agreed that the Property does not meet the 50-foot front yard setback required in the Residential Estate District. The Village hereby grants a variation of Section 17.40.020.B. of the Buffalo Grove Zoning Ordinance to allow the front yard setback of approximately 21 feet for the existing single-family residence as depicted on EXHIBIT D attached hereto. Any additions or modifications to the existing buildings and structures, and any new buildings and structures on the Property are subject to review and approval by the Village. B. All water wells on the Property shall be properly sealed as required by the Illinois Department of Public Health, and as approved by the Village Health Officer. In the event that the Property is connected to the Village sanitary sewer system, septic sewer facilities shall be properly pumped and filled as required by the Illinois Department of Public Health and as approved by the Village Health Officer. Said actions to eliminate the septic facilities shall be completed in a timely manner as determined by the Village. D. Any underground tanks shall be removed as permitted and approved by the Illinois State Fire Marshal. E. It is understood and agreed that the Property is zoned in the Village's Residential Estate District. All uses on the Property not permitted or allowed in the Residential District shall be terminated by December 31, 2002. F. It is understood and agreed that the Village's planning for the Property and adjacent properties to the south and southeast contemplates assembly of the respective parcels for the purpose of implementing a planned development. Said planned development is intended to achieve safe and efficient vehicular access, combined stormwater management,preservation of trees and an attractive and unified architectural design. Owner will make best efforts to cooperate with the Village's planning goals for the area, including sale of the Property for inclusion in an appropriate development plan for the area. G. It is understood and agreed that the Village of Buffalo Grove levies a real estate transfer tax on all conveyances of real property in the Village. The Property shall be considered to be in the Village upon passage of the annexation ordinance by the Corporate DRAFT 14 Authorities. H. It is understood and agreed that upon annexation the Village will issue new street addresses for buildings on the Property to ensure proper identification for provision of services, and Owner shall use said Village addresses in place of current addresses assigned by Lake County. Owner is also required to contact the Buffalo Grove Post Office and submit a change of address requesting use of the addresses as assigned by the Village. L It is understood and agreed that new non-residential development on the Property is not contemplated by this Agreement. In the event that new non-residential development is allowed by the Village, a fire protection impact fee of$0.75 per gross square foot of building floor area shall be paid at the time of issuance of the applicable building permit. In addition, by its execution of this Agreement, the Developer agrees to protect, indemnify, save and hold harmless, and defend the Village of Buffalo Grove and its employees, officials, and agents, against any and all claims, costs, causes, actions, and expenses, including but not limited to attorney's fees incurred by reason of a lawsuit or claim for damages or compensation arising in favor of any person, corporation or other entity, including the employees or officers or independent contractors or sub-contractors of the Developer or the Village, on account of personal injuries or death, or damages to property occurring, growing out of, incident to, or resulting directly or indirectly, from the performance of work by the Developer, independent contractors or sub- contractors or their officers, agents, or employees. The Developer shall have no liability or damages for the costs incident thereto caused by the sole negligence of the Village. This hold harmless shall be applicable to any actions of the Developer, independent contractor, or sub-contractor prior to the date of this Agreement if such prior actions were approved by the Village. 6. The Developer shall cause said improvements herein described to be completed within twenty-four (24) months following the approval of the Plat as shown in Exhibit "A" by the President and Board of Trustees, except Public Parks and Detention Areas which shall be completed within twelve (12) months, and except any improvements for which specified time limits are noted on the approved plans, Exhibit "C" which shall be completed within the specified time limits shown on the plans. If work is not completed within the time prescribed herein, the Village shall have the right to call upon the Letter of Credit, or other security, in accordance with its terms, for the purpose of completing the site improvements. Upon completion of the improvements herein provided for, as 3 evidenced by the certificate or certificates of the village President and Board of Trustees, the Village shall be deemed to have accepted said improvements, and thereupon, the Letter of Credit, or other security, shall automatically be reduced to serve as security for the obligations of the Developer as set forth in Paragraph 7 hereof. The Developer shall cause its consulting engineers to correct drawings to show work as actually constructed and said engineers shall turn over high gualitymylar reproducible copies thereof to the Village to become the Village's property prior to acceptance of the improvements by the President and Board of Trustees. 7. The Developer for a period of one year beyond formal acceptance by the village of any improvement described in Exhibit "W hereof, shall be responsible for maintenance repairs and corrections to such improvements which may be required due to failures or on account of faulty construction or due to the developers and/or contractors negligence. The Letter of Credit or other form of security shall be made subject to this Agreement. B. In addition to the terms, conditions, and covenants of the Letter of Credit, or other security, the Village hereby agrees to draw funds or to call said performance guarantee under such security solely for the purpose of payment for labor and materials supplied or to be supplied, by engineers, contractors, or subcontractors, to, or for the benefit of Millbrook, Lot 1 - Second Resubdivision, or the Village, as the case may be, under the provisions of this Agreement and the said improvements for which payment is being made shall have been completed, or will be completed, in substantial accordance with the plans and specifications described herein. If roads are not maintained with a smooth and firm suirface reasonably adequate for access of emergency vehicles such as fire t3kucks and ambulances, or if any condition develops which is deemed a danger to public health or safety by the Village of Buffalo Grove due to the acikions of the Developer or his failure to act; and after written notice of this condition, the Developer fails to immediately remedy the condition; then the Village may take action to remedy the situation and charge', any expenses which results from the action to remedy the situation to the cash deposit. Upon notification that the cash deposit has been drawn upon, the Developer shall immediately deposit sufficient funds to maintain' the deposit in the amount of Eight Thousand Dollard ($ 8,000.00-------) . If the Developer has not made the additj�onal deposit required to maintain the total cash deposit in the amount cif _ Eight Thousand Dollars ($ 8,000.00--------) within tEhree (3) days from the date he received notice that such additional deposit was required, it is agreed that the Village may issue a Stop Work OrdEkr or also may revoke all permits which the Developer had been granted. This cash deposit shall continue to be maintained until the maintenance 6 guarantee period has lapsed. The deposit may be drawn upon by the Village if the conditions of this Agreement, except in cases of danger to public health and safety as determined by the Village in which case the deposit may be drawn upon immediately following notice to the Developer and his failure to immediately remedy the situation. After termination of the one year maintenance period and upon receipt by the Village Clerk of a written request for release of the deposit, the Village will either notify the Developer that the improvements are not in a proper condition for ',final release of the deposit, or shall release the deposit within fifteen' (15) days. F. In addition to the terms, covenants, and conditions of the Letter of Credit, or other security, the Developer hereby agrees that no reduction shall occur in the outstanding liability of the issuer thereunder, except on the written approval of the Village; however, in all events, the Village shall permit such Letter of Credit, or other security, to expire, either by its terms, or by return of such Letter of Credit, or other security to the Developer, upon the expiration of one (1) year from the acceptance of the improvements referred-to herein by the Village!. To the extent that the provisions of Paragraph 9 herein, and of the Letter of Credit, or other security, permit the Village to draw funds under such Letter of Credit, or other security, the Village hereby agrees to reduce the outstanding liability of the issuer of the Letter of Credit, or bother security to the extent that funds are disbursed. 10. Any Letter of Credit, or other security shall provide that the issuer thereof shall not cancel or otherwise terminate said security without a written notice being given to the Village between thirty (30) days and forty-five (45) days in advance of termination or cancellation. 11. Developer shall install any additional storm sewers and/or inlets which are required in order to eliminate standing water or conditions of excessive sogginess which may, in the opinion of the Village 7 Engineer, be detrimental to the growth and maintenance of lawn grasses. 12. No occupancy permit shall be issued until all exterior lighting specified on Exhibit "C" is installed and operational. 13. The Developer acknowledges that until final acceptance, he is responsible for providing snow and ice control along any streets within the Development, which are adjacent to occupied properties or necessary to provide access to occupied properties. The Developer agrees to pay the Village an annual fee for providing snow and ice control along these streets. The fee rate shall not exceed the Village's average budgeted snow and ice control cost per mile of Village streets for which this service is provided with a minimum charge being based upon one-half (1h) mile. It is the Developers responsibility to provide a map of the applicable areas and the fee payment within thirty (30) days of notification of the annual fee rate. If not paid, the fee may be withdrawn by the Village from the cash deposit, described in Paragraph 9-E. 14 . The Developer acknowledges that he is responsible for the proper control of weeds, grass, refuse, and junk on all property which he owns within the Village in accordance with Chapter 8.32 of the Buffalo Grove Municipal Code. It is further agreed that the Developer shall continue to be responsible for the proper maintenance of any parcels of property for which the Developer transfers ownership to the Village until such time as the Development's improvements are accepted by the Village in writing in accordance with the provisions of this agreement. If the Developer fails to perform his maintenance responsibilities established in either this paragraph or Chapter 8.32,, the Village may provide a written notice to the Developer of the improper maintenance condition. (9) Revise the PROJECT plans to show those changes made during construction which the ENGINEERS consider significant, and provide the VILLAGE with one set of the final construction record plans. 1.2 Provide field engineers on a full time basis during construction to perform the following services: (1) Mark all pavement and curb and gutter for removal and replacement as construction proceeds. (2) Set lines and grades where required as construction proceeds. (3) Observe in general if the Contractor's work is in conformity with the plans and specifications, and endeavor to protect the VILLAGE against defects and deficiencies in the Contractor's work; however,the ENGINEERS are not responsible for the Contractor's construction means, methods, techniques, sequences or procedures, time of performance, or for safety precautions or programs, incident to the PROJECT, or for the Contractor's failure to perform work in accordance with the construction contract documents. (4) Keep a daily record of the Contractor's work including notations on the nature and cost of any extra work, and provide weekly reports to the VILLAGE of the construction progress and working days charged against the Contractor's time for completion. The VILLAGE shall compensate the ENGINEERS for the professional services enumerated in Section 1 hereof as follows: 2.1 The ENGINEERS' fee for the services in Sections 1.1 and 1.2 shall be computed on the basis of the following standard hourly rates of compensation for actual work time performed: Principal $100 to $110 per hour Senior Engineer $92 to $98 per hour CADD Operators $66 per hour Field Engineers $78 to $84 per hour Jr. Field Engineer $60 per hour Surveyors/Technicians $40 to $64 per hour 2.2 The ENGINEERS shall be reimbursed for automobile travel expense at$0.38 per mile plus any out-of-pocket expenses at actual cost. 2.3 The ENGINEERS shall be reimbursed for the subconsultant services described in Subsection 1.1(6) at the actual cost with no additional mark-up. 2.4 The ENGINEERS' total fee shall not exceed$129,000 subject to the following terms: (1) The PROJECT is completed within 65 contract working days not including Saturdays, Sundays and legal holidays. (2) The Contractor's working; schedule does not require the ENGINEERS to work on Saturdays, Sundays, or legal holidays. (3) The subconsultant cost for materials testing does not exceed$17,800.00. 2.5 The ENGINEERS' total fee for engineering services stated in Subsection 2.4 hereof shall not exceed the stated amount unless the ENGINEERS justify and the VILLAGE concurs in writing that the increased time of effort and/or incurred expenses are necessary and essential to complete the PROJECT. During progress of work under this Agreement, the ENGINEERS shall continuously monitor their costs and anticipate future costs, and if such monitoring indicates possible costs in excess of the amounts stated, the ENGINEERS shall immediately notify the VILLAGE in writing of such anticipated increases so that a proper adjustment to the agreed compensation for engineering services can be made; however, if the ENGINEERS fail to so notify the VILLAGE of anticipated increases of engineering costs, .- 3 - A ,. These statements shall be supplemented by time records and other supporting documents as may be requested by the VILLAGE. 2.7 Payments to the ENGINEERS shall be due and payable within thirty (30) consecutive calendar days from the ENGINEERS' invoice to the VILLAGE. SECTION 3. The parties hereto further mutually agree: 3.1 This Agreement may be terminated,in whole or in part,by either party if either of the other parties substantially fails to fulfill its obligations under this Agreement through no fault of the terminating party; or the VILLAGE may terminate this Agreement, in whole or in part, for its convenience. However, no such termination may be effected unless the terminating party gives the other party (1)not less than ten (10) calendar days written notice by certified mail of intent to terminate, and (2) an opportunity for a meeting with the terminating party before termination. If this Agreement is terminated, the ENGINEERS shall be paid for services performed to the effective date of termination, including reimbursable expenses. 3.2 The ENGINEERS agree to hold harmless,indemnify and defend the VILLAGE and each of its officers, agents and employees from any and all liability claims, losses, or damage arising out of or alleged to arise from negligence in the performance of the services under this Agreement, but not including liability that may be due to the sole negligence of the VILLAGE, or other consultants,contractors or subcontractors working for the VILLAGE, or their officers, agents and employees, the ENGINEERS'liability shall be for any negligence for which the VILLAGE may be found liable to third parties by reason of having hired the ENGINEERS for this PROJECT; however, the VILLAGE agrees not to require the ENGINEERS to maintain professional liability insurance coverage of more than five hundred thousand dollars ($500,000) for such warranties due to the ENGINEERS' professional negligent acts, errors, or omissions. If such changes cause an increase or decrease in the ENGINEERS'costs of, or time required for, performance of any services under this Agreement, whether or not changed by any order, an equitable adjustment shall be made and this Agreement shall be modified in writing accordingly. The ENGINEERS must assert any claim for adjustment under this provision in writing within 30 days from the date of receipt by the ENGINEERS of the notification of change, unless the VILLAGE grants a further period of time before the date of final payment under this Agreement. No service for which an additional compensation will be charged by the ENGINEERS shall be furnished without the written authorization of the VILLAGE. 3.5 All claims, counter-claims, disputes and other matters in question between the parties hereto arising out of or relating to this Agreement or breach thereof will be decided by arbitration in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association if the parties mutually agree, or in a court of competent jurisdiction within the State of Illinois. 3.6 The ENGINEERS warrant that they have not employed or retained any company or person, other than a bona fide employee working solely for the ENGINEERS, to solicit or secure this contract, and that they have not paid or agreed to pay any company or person, other than a bona fide employee working solely for the ENGINEERS, any fee, commission, percentage,brokerage fee, gifts, or any other consideration, contingent upon or resulting from the award of making of this contract. Staff reviewed the specifications and prepared a bid tabulation from proposals offered by the State of Illinois, Department of Central Management Services and the Suburban Purchasing Cooperative Joint Purchasing programs. A review of the bid tabulation suggests that Miles Chevrolet, Inc. the dealership awarded the State of Illinois contract is the low bidder. A review of the standard equipment and optional equipment specification indicates that Miles Chevrolet, Inc. complies or exceeds the State of Illinois specification but does not comply with the Village of Buffalo Grove list of equipment for patrol vehicles. The difference in these specifications is the engine size, volume of the interior passenger area and the volume of the trunk. The engine in the Chevrolet Impala is a 3.8L V-6 engine. All Ford Crown Victoria's in the present fleet are 4.6L V-8 engines. The interior and trunk volume will not allow staff to install existing equipment in these spaces. New equipment consisting of console, cage, rear fiberglass seat, trunk tray and light bar would have to be purchased for each vehicle at approximately $2,677 per vehicle. This is illustrated on the bid tabulation for new equipment. The existing equipment in the 1999 Crown Victoria fleet can be installed in a 2001 Crown Victoria vehicle. No new purchases will be required.
