Ordinance No. Amending Title 10 of the Village of Buffalo Grove Municipal Code (Designation of No Parking on Thompson Boulevard) (Trustee Johnson) RECOMMENDATION: Approve by motion. SUMMARY: Prohibits parking on the Thompson Boulevard approaches to Buffalo Grove Road. This restriction is needed to provide for proper traffic flow and approval is recommended. B. Resolution No. Authorizing the Opening of a New Corporate Checking Account at the First Midwest Bank, N.A. Buffalo Grove, for the Section 125 Flexible Spending Account(Trustee Braiman) RECOMMENDATION: Approve by motion. Moved by Marienthal,seconded by Glover,to pass Resolution#2001-26,commending Herman Hefler. Upon voice vote,the motion was unanimously declared carried. BUFFALO GROVE DAYS Trustee Glover presented highlights of the Buffalo Grove Days entertainment schedule;she urged residents to watch the special Buffalo Grove Days edition of the Village newsletter for further details. RELAY FOR LIFE Trustee Berman stated that the Relay for Life sponsored by the American Cancer Society and held this past week- >= end at Buffalo Grove High School raised approximately$51,000 to fight cancer;he commended the students from both Buffalo Grove and Stevenson High Schools for the terrific job they did in organizing this event,and he thanked the members of the Village and Chamber teams for their participation. oTRANSPORTATION Trustee Berman noted that the Lake County Transportation improvement project is moving forward and they will be releasing their environmental impact statement shortly,depending on when they receive their comments from the Federal government. In conjunction with the release and public comment period,he has had discussions with other transportation people in the county about the possibility of moving forward with an independent review of the environmental impact statement on behalf of the municipalities. Our community has a tremendous stake in the outcome of this study and he believes that it would be greatly beneficial to ensure that the environmental impact 91 statement was done correctly and that it has taken into account all of the issues that are important to our community. Moved by Berman,seconded by Braiman,to endorse this project and direct staff to move forward with the finalization of the choice of the experts who would actually undertake this study for a cost not to exceed$16,000.00, and to allow Trustee Berman to pursue cooperative agreements with other municipalities to help underwrite that cost. BALCONY COLLAPSE Trustee Berman commended the Police Department for their quick and efficient response to the accident caused by a porch collapsing at a multi-family location over the weekend. Mr.Balling reviewed measures being taken to ensure safety at this site. Mr.Schar did participate in a visual walk- through with representatives of the building;all balcony/porch structures will be inspected by a structural engineer and a supplemental report will be issued to the Village Board;residents have been notified not to use the balconies until further notice. PORTABLE DEFIBRILLATORS In answer to a question from Trustee Glover,Mr.Brimm reported on the portable defibrillators currently in use by the Police Department;45 people have been trained to use these portable defibrillators;the units cost approximately $4,000 each;the more advanced defibrillators are always on hand with the Fire Department. Mr.Balling stated that staff views our current coverage as fairly ambitious and good;staff will bring back a recommendation with regard to having them in each vehicle. 1114 6/18/01 ,DULY 4"H FIREWORKS AND CONCERT President Hartstein reminded everyone of the July 4`h Fireworks Display,which will be preceded by a performance by the Glenview Concert Band at the Rotary Village Green. MANAGEMENT REPORT Mr.Balling noted the submittal of the Management Report for May,2001;there were no questions on same. METRA SERVICE IMPROVEMENTS Mr.Balling noted that Metra has approached the Village with a modification to parking and facilities at both the Buffalo Grove and Prairie View stations. Mr.Brimm will be meeting with Metra officials and the Township Supervisor to review the proposed improvements;he reviewed these improvements and referred to a drawing of the Buffalo Grove station and a copy >= of the Prairie View improvements;these drawings will be distributed to the Board. ARBORETUM GROUNDBREAKING Mr.Balling noted that the groundbreaking for the Arboretum Club project will take place on Tuesday,July 3,2001 at 9:00 A.M.at the golf course. BUFFALO GROVE GOLF COURSE Mr.Balling noted that,in the August edition of Golf for Women,the Buffalo Grove Golf Course has been named one of the top 100 golfing locations for female golfers. QUESTIONS FROM THE AUDIENCE A resident of Harris Drive asked about the screening of the newly constructed pedestrian bridge over Route 83,and stated that he wants this completed as quickly as possible. Mr.Balling reviewed the options being reviewed. CONSENT AGENDA President Hartstein explained the Consent Agenda,stating that any member of the audience or the Board could request that an item be removed for full discussion;there were no such requests. President Hartstein then read a brief synopsis of each of the items on the Consent Agenda. ARBORETUM GOLF CLUB HOUSE Mr.Brimm reviewed Exhibit B—Operational Standards,which would insure the operation of the premises as a high quality restaurant and banquet facility. Trustee Johnson stated that this is a good menu from which to work; he believes some standards seem to be subjective. Trustee Berman stated that banquet and restaurant food services should be separated because they are different in nature and require different standards; he believes a manager from the caterer should always be available for troubleshooting at banquets. ARBORETUM GOLF COURSE IMPROVEMENTS Mr.Brimm reviewed the proposed Arboretum Golf Course Improvements,details of which can be found in his memo to Mr.Balling of June 13,2001;he then answered questions from the Board. Moved by Braiman,seconded by Berman,to authorize bid for Arboretum Golf Course improvements(course softening elements)pursuant to Mr.Brimm's June 13,2001 memo. JACOBS HOMES Mr.Green made a presentation regarding the Jacobs Homes townhome proposal,details of which are contained in the Village Board Meeting Agenda Item prepared by Mr.Pfeil and dated June 18,2001;he also referred to the Conceptual Plan during his presentation. Trustee Glover asked that the developer consider reversing the plan so that the yards face the pond,rather than the driveways. Mr.Green explained that the driveways are purposely facing the pond so as to create a neighborhood concept at the pond. 1116 6/18/01 Trustee Marienthal agrees with Trustee Glover;he also suggested that some of the units be removed. Trustee Braiman would also like to see the density lowered,but he suggests leaving that to the Plan Commission. Mr.Green answered questions on variations from Trustee Braiman. Trustee Berman does not want to see private streets;he would like to see the density reduced;he wants to see input from the traffic engineer. Trustee Johnson believes this is a much better plan;he appreciates the efforts made by the developer;he suggested that they look at some of the traffic calming measures that the Village has put together to reduce cut-through traffic; he suggested that they look at buffering landscapes between Prairie and the backs of the units as well as along Route 22. Moved by Braiman,seconded by Johnson,to refer Jacobs Homes,proposed townhomes on the Nelson and Giametta properties at IL Route 22 and Prairie Road,rezoning to the R-8 District and approval of a residential Planned Unit Development,to the Plan Commission for review. Commendations will be awarded to Dr. Robert Molnar,Dr. Fred Duboe,Mrs. Kathy Hughes and Deerfield Police Officer Geoffrey Ruther,who, on June 13,came together to play fateful roles in saving the life of a young Buffalo Grove resident on a baseball diamond in Deerfield. In an unusual accident, 13 year old Sean Morley of the Buffalo Grove traveling baseball team,was hit in the chest by a pitch, sending him immediately into cardiac arrest. In the precious moments that followed,the two doctors administered CPR while Mrs. Hughes flagged down a nearby Deerfield Police patrol car. Officer Geoff Ruther,equipped with - and trained in the operation of- a defibrillator device,was able to help restore normal heart function. In awarding these four individuals,we also celebrate the heroic spirit of involvement of all persons who assisted during and after that incident. Subject: Route #83 Overpass -Fence Issue The idea of enclosing the southwest side of the overpass walkway with a solid fence needs to be seriously evaluated. The concept of"visibility deters criminal opportunity and enclosure breeds trouble" has a direct bearing in this case. An enclosed structure would entice juvenile mischief and limit the police department's ability to visually observe inappropriate behavior. A solid fence would serve as a breeding place for juveniles to establish a personal "graffiti wall" that often contains gang slogans. An enclosure of this type might encourage some mischievous children to hurdle a few rocks toward the public roadway (Route #83). The police department would not be opposed to a chain link fence. This structure would address any safety concerns for our young children and still provides visibility for our officers to monitor the entire overpass. The best solution to this problem is the cooperative effort of the police department and surrounding community to address any unwanted behavior . Our agency has taken an aggressive approach by assigning our bicycle patrol unit to monitor this location. Our ROY . officers check the overpass on a daily basis. This approach seems to be working based upon the limited number of complaints received. Also,we conducted a brief preliminary inspection of the remaining balconies on the two, three-story buildings (approximately 58 balconies). Refer to the enclosed building plans. Based on our preliminary inspection,we offer the following comments: • Collapsed Balconies(Units 208 and 308) The wood balconies are supported by two-2 x 10s at each end,and these in turn are supported at the building face(pocketed into the building)and by 4 x 6 wood posts at the outer corners. Our inspection of the remaining wood in the pockets at the building indicated deterioration of the original 2 x 10s and some loss of cross section. Based on our inspection and review of the wood framing of typical balconies, it appears that the failure was initiated at the east end of the third floor balcony,at the 4 x 6 post supporting the comer of the balcony. Village of Buffalo Grove RRJ 010'73 June 19,2001 Remaining Balconies(approximately 59) Our brief inspection of the remaining balconies on June 18, 2001, from the ground level, raise concerns with the wood framing and the hidden conditions at the support pockets at the building face. A detailed inspection is required to allow a physical assessment of all balcony conditions. As we discussed at the site on June 18,2001,we recommend that the occupants of the two three- story buildings not be allowed to use the second and third floor balconies until they are inspected and all needed repairs are completed. Also,a cursory inspection of the second floor balconies on the adjacent four two-story buildings (cantilevered 2 x I Os at 16 inches on center)did not reveal any significant problems other then individual joist repairs were completed at several locations. This would give a nice sight line with the apron,driveway and the garage. The existing standard works well with two-car garages with one 16 foot door,or two single doors that are 8 feet wide. Today, most two car garages with two single doors are built with two 9 foot wide doors with approximately two feet between them. This would make the doors at the ends a minimum of 20 feet wide. Driveways usually line up with the ends of the garage or are one foot wider at each side. Therefore, the apron would not be wide enough to handle the width of the driveway with the present standard. A perfect example of this request is at the address of IV Newtown Dr. in Buffalo Grove. This Scarsdale house has a two-car garage with two single doors. The driveway is about 22 feet wide which lines up with the apron at the side walk that is also 22 feet wide(4 feet wider than the standard). This is an example of an existing Buffalo Grove house where the garage is bigger than a two-car but smaller than a three-car garage. Please go out and look at this example of how nice the apron lines up with the driveway. Please consider the text amendment for a wider apron than the current standard. The concept of"visibility deters criminal opportunity and enclosure breeds trouble"has a direct bearing in this case. An enclosed structure would entice juvenile mischief and limit the police department's ability to visually observe inappropriate behavior. A solid fence would serve as a breeding place for juveniles to establish a personal"graffiti wall"that often contains gang slogans. An enclosure of this type might encourage some mischievous children to hurdle a few rocks toward the public roadway(Route#83). The police department would not be opposed to a chain link fence. This structure would address any safety concerns for our young children and still provides visibility for our officers to monitor the entire overpass. The best solution to this problem is the cooperative effort of the police department and surrounding community to address any unwanted behavior. Our agency has taken an aggressive approach by assigning our bicycle patrol unit to monitor this location. Our P.O.P. officers check the overpass on a daily basis. This approach seems to working based upon the limited number of complaints received. I offer the following suggestions and estimated costs.The total length of railing is around 1100 lineal feet and about 275 lineal feet of the total abuts the Hams Drive properties. A sketch of the railing is attached. A.Add one or more 2"X 4"hardwood railings to reduce the opening from the existing 119"to that which is desired. For one additional railing I would estimate the cost at$5500. B. Design appropriate hardware to attach chain link fencing to the existing railing system. For appearance and durability I would recommend that it be black vinyl coated to complement the fencing on the structure.At a minimum it will need a top rail. Estimate$20,000. C.To create an opaque railing along the southwest approach there are two options to consider. 1) If the chain link fencing alternative is selected, perhaps something a simple as inserts in the chain link would be acceptable. WITNESSETH: WHEREAS, in compliance with the Village's Development Ordinance and pursuant to the Planned Unit Development Ordinances 2000-71 (Annexation Agreement or PUD Ordinance or Agreement) dated 12/4/00 , Developer has submitted to the Village a Plat of Subdivision designated as Exhibit "A", attached hereto, which Subdivision Plat has been approved by the Plan Commission of the Village, and, Developer desires to improve the real property described in said Subdivision Plat; and, WHEREAS, the Village is willing to approve said Subdivision Plat, provided that this Agreement is executed to insure the completion of certain site improvements, as a condition precedent to the issuance of building permits for any buildings to be constructed on the property. NOW, THEREFORE, it is mutually agreed as follows: 1. Developer shall furnish, or cause to be furnished, at their own cost and expense, all the necessary material, labor, and equipment to complete the improvements listed on Exhibit "B" attached hereto, and all other site improvements not specifically set forth, which are required by applicable ordinances or agreements, all in a good and workmanlike manner and in accordance with all pertinent ordinances and regulations of the Village and in accordance with the plans and specifications, dated 2/23/01 , shown on Exhibit "C" attached hereto, including any subsequent revisions requested by the Developer and approved in writing by the Village pursuant to the Village's Development Ordinance, which Exhibit has been prepared by Pearson, Brown & Associates, Inc. who are registered professional engineers and Exhibit "D", attached hereto consisting of the Landscaping Plan and as approved by the Village. All utility lines and services to be installed in the street shall be installed prior to paving. 2. Attached hereto as Exhibit "E" is a complete cost estimate for the construction of the improvements described in Exhibit "B" hereto. Upon the execution of this Agreement and prior to the recordation of the Plat of Subdivision, the Developer shall deposit a Netter of Credit, or other security, acceptable to and in a form and substance approved by the Village as further described in Paragraph 9 herein. The Letter of Credit, or other security shall originally be in the amount of $ 240,517.30 3. All work shall be subject to inspection by and the approval of the Village Engineer. It is agreed that the contractors who are engaged to construct the improvements described in Paragraph 1 hereof are to be approved by the Village Engineer and that such approval will not be unreasonably withheld. 4. The Developer has paid the Village a Review and Inspection Fee, as required by Ordinance. It is understood that said fee is based on the amount of the contracts or cost estimate for those items listed in Exhibit "B". 5. Prior to the time the Developer or any of its contractors begin any of the work provided for herein, the Developer, and/or its contractors shall furnish the Village with evidence of insurance covering 2 their employees in such amounts and coverage as is acceptable to the Village. In addition, by its execution of this Agreement, the Developer agrees to protect, indemnify, save and hold harmless, and defend the Village of Buffalo Grove and its employees, officials, and agents, against any and all claims, costs, causes, actions, and expenses, including but not limited to attorney's fees incurred by reason of a lawsuit or claim for damages or compensation arising in favor of any person, corporation or other entity, including the employees or officers or independent contractors or sub-contractors of the Developer or the Village, on account of personal injuries or death, or damages to property occurring, growing out of, incident to, or resulting directly or indirectly, from the performance of work by the Developer, independent contractors or sub- contractors or their officers, agents, or employees. The Developer shall have no liability or damages for the costs incident thereto caused by the sole negligence of the Village. This hold harmless shall be applicable to any actions of the Developer, independent contractor, or sub-contractor prior to the date of this Agreement if such prior actions were approved by the Village. 6. The Developer shall cause said improvements herein described to be completed within twenty-four (24) months following the approval of the Plat as shown in Exhibit "A" by the President and Board of Trustees, except Public Parks and Detention Areas which shall be completed within twelve (12) months, and except any improvements for which specified time limits are noted on the approved plans, Exhibit "C" which shall be completed within the specified time limits shown on the plans. If work is not completed within the time prescribed herein, the Village shall have the right to call upon the Letter of Credit, or other security, in accordance with its terms, for the purpose of completing the site improvements. Upon completion of the improvements herein provided for, as 3 evidenced by the certificate or certificates of the Village President and Board of Trustees, the Village shall be deemed to have accepted said improvements, and thereupon, the Letter of Credit, or other security, shall automatically be reduced to serve as security for the obligations of the Developer as set forth in Paragraph 7 hereof. The Developer shall cause its consulting engineers to correct drawings to show work as actually constructed and said engineers shall turn over high quality mylar reproducible copies thereof to the Village to become the Village's property prior to acceptance of the improvements by the President and Board of Trustees. 7. The Developer for a period of one year beyond formal acceptance by the Village of any improvement described in Exhibit "B" hereof, shall be responsible for maintenance repairs and corrections to such improvements which may be required due to failures or on account of faulty construction or due to the developers and/or contractors negligence. The obligation of the Developer hereunder shall be secured by the Letter of Credit, or other security as further described in Paragraph 9 hereof. 8. It is agreed that no building permit shall be granted by any official for the construction of any structure until required utility facilities (to include, but not by way of limitation, sanitary sewer, water and storm sewer systems) have been installed and made ready to service the individual lots concerned; and that roadways (to include curbs) providing access to the subject lot or lots have, been completely constructed except for the designed surface course. It is understood and agreed that building permits may be granted for buildings on specific lots to which utility facilities have been installed and made ready for service and to which roadways have been constructed as described above, notwithstanding the fact that all improvements within the Development may not be completed. 4 9.A. The obligations of the Developer hereunder as to the deposit of security for the completion of improvements (Exhibit "B" hereof) and the one year maintenance of said improvements after acceptance by the Village (Paragraph 7) shall be satisfied upon delivery to the Village of a Letter of Credit, or other security, issued by in favor of the Village in a form acceptable to the Village. The Letter of Credit or other form of security shall be made subject to this Agreement. B. In addition to the terms, conditions, and covenants of the Letter of Credit, or other security, the Village hereby agrees to draw funds or to call said performance guarantee under such security solely for the purpose of payment for labor and materials supplied or to be supplied, by engineers, contractors, or subcontractors, to, or for the benefit of Culver's , or the Village, as the case may be, under the provisions of this Agreement and the said improvements for which payment is being made shall have been completed, or will be completed, in substantial accordance with the plans and specifications described herein. C. The Village further hereby agrees that to the extent that the Developer causes the commitments of this Agreement to be completed, the outstanding liability of the issuer of the Letter of Credit, or other security, under said security, shall during the course of construction of the improvements, approximate the cost of completing all improvements and paying unpaid contract balances for the completion of the improvements referred to in this Agreement. Until all required tests have been submitted and approved by the Village for each of the construction elements including, but not limited to, earthwork, street pavements, parking area pavements, sanitary sewers and watermains, a minimum of that portion of the surety for each element shall be subject to complete retention. All improvements are 5 subject to a minimum fifteen (15%1 percent retention until final acceptance by the Village. D. In order to guarantee and warranty the obligations of paragraph 7 herein, an amount equal to fifteen (15%) percent of the total amount of the Letter of Credit, or other security, or an amount equal to fifteen (15%) percent of the cost estimate of the individual improvement (s) shall be retained in the Letter of Credit, or other security for a period of one year beyond formal acceptance by the Village of the improvement (s) . E. As a portion of the security amount specified in Paragraph 2, the Developer shall maintain a cash deposit with the Village Clerk in the amount of Five Thousand :�ollars ($ 5,000.00--------) . If roads are not maintained with a smooth and firm surface reasonably adequate for access of emergency vehicles such as fire trucks and ambulances, or if any condition develops which is deemed a danger to public health or safety by the Village of Buffalo Grove due to the actions of the Developer or his failure to act; and after written notice of this condition, the Developer fails to imme: iately remedy t:.e condition; then the Village may take action to remedy the situation and charge any expenses which results from the action to remedy the situation to the cash deposit. Upon notification that the cash deposit has been drawn upon, the Developer shall immediately deposit sufficient funds to maintain the deposit in the amount of Five Thousand Dollars ($ 5, 000.00-------) . If the Developer has not made the additional deposit required to maintain the total cash deposit in the amount of _ Five Thousand Dollars ($ 5, 000.00---------) within three (3) days from the date he received notice that such additional deposit was required, it is agreed that the Village may issue a Stop Work Order or also may revoke all permits which the Developer had been granted. This cash deposit shall continue to be maintained until the maintenance 6 guarantee period has lapsed. The deposit may be drawn upon by the Village if the conditions of this Agreement, except in cases of danger to public health and safety as determined by the Village in which case the deposit may be drawn upon immediately following notice to the Developer and his failure to immediately remedy the situation. After termination of the one year maintenance period and upon receipt by the Village Clerk of a written request for release of the deposit, the Village will either notify the Developer that the improvements are not in a proper condition for final release of the deposit, or shall release the deposit within fifteen (15) days. F. In addition to the terms, covenants, and conditions of the Letter of Credit, or other security, the Developer hereby agrees that no reduction shall occur in the outstanding liability of the issuer thereunder, except on the written approval of the Village; however, in all events, the Village shall permit such Letter of Credit, or other security, to expire, either by its terms, or by return of such Letter of Credit, or other security to the Developer, upon the expiration of one (1) year from the acceptance of the improvements referred to herein by the Village. To the extent that the provisions of Paragraph 9 herein, and of the Letter of Credit, or other security, permit the Village to draw funds under such Letter of Credit, or other security, the Village hereby agrees to reduce the outstanding liability of the issuer of the Letter of Credit, or other security to the extent that funds are disbursed. 10. Any Letter of Credit, or other security shall provide that the issuer thereof shall not cancel or otherwise terminate said security without a written notice being given to the Village between thirty (30) days and forty-five (45) days in advance of termination or cancellation. 11. Developer shall install any additional storm sewers and/or inlets which are required in order to eliminate standing water or conditions of excessive sogginess which may, in the opinion of the Village 7 Engineer, be detrimental to the growth and maintenance of lawn grasses. 12. No occupancy permit shall be issued until all exterior lighting specified on Exhibit "C" is installed and operational. 13. The Developer acknowledges that until final acceptance, he is responsible for providing snow and ice control along any streets within the Development, which are adjacent to occupied properties or necessary to provide access to occupied properties. The Developer agrees to pay the Village an annual fee for providing snow and ice control along these streets. The fee rate shall not exceed the Village's average budgeted snow and ice control cost per mile of Village streets for which this service is provided with a minimum charge being based upon one-half ('/2) mile. It is the Developers responsibility to provide a map of the applicable areas and the fee payment within thirty (30) days of notification of the annual fee rate. If not paid, the fee may be withdrawn by the Village from the cash deposit described in Paragraph 9-E. 14 . The Developer acknowledges that he is responsible for the proper control of weeds, grass, refuse, and junk on all property which he owns within the Village in accordance with Chapter 8.32 of the Buffalo Grove Municipal Code. It is further agreed that the Developer shall continue to be responsible for the proper maintenance of any parcels of property for which the Developer transfers ownership to the Village until such time as the Development's improvements are accepted by the Village in writing in accordance with the provisions of this agreement. If the Developer fails to perform his maintenance responsibilities established in either this paragraph or Chapter 8.32, the Village may provide a written notice to the Developer of the improper maintenance condition. If proper maintenance is not completed within ten (10) days after the Developer is provided this notice, the Village may perform the maintenance and deduct the costs of the maintenance from the 8 cash deposit described in Paragraph 9. 15. The Developer agrees that no improvements constructed in conjunction with this project are sized or located in such a way as to warrant any recapture payment to the Developer pursuant to any applicable previous agreements. 16. Recommendation to Proceed with Proiect In order to proceed with the Police Headquarters Building Improvements, I would request that the bids be waived for the needed professional architectural services and the attached resolution entitled "A Resolution Approving an Architectural Service Agreement for the Police Headquarters Building Lower Level Remodeling Project" be approved by the Village Board's next regular meeting scheduled for Monday, July 2, 2001. This approval would be subject to the Village Attorney's final review for conformance to established Village agreement form. Budget Modification Recommendation The current project cost estimate tabulation, which is attached for reference, along with a copy of the preliminary floor plan modification diagram identifies a total project cost of$413,040.00. This current project cost estimate exceeds the sum of the CIP based FY01-02 project budget of $214,150.00 and unexpended FY00-01 budget carryover of$21,000.00 by $177,890.00. In follow-up to our discussions, Bill Brimm has confirmed that the project funding shortfall can be more than offset by CIP interest earnings. It is recommended to proceed with the project with the supplemental funding as identified by Bill Brimm, since the project is severely needed. The area, which is the primary police officer space in the building, is used frequently on a daily basis and does not lend itself to phasing. The officers will be forced to live out of the trunks of their cars while the locker rooms are down, and training will cease while construction is going on, in addition to many other functions being disturbed and disrupted. The cost factor would also increase if the project were phased. The project would be programmed so that the cash flows would overlap two fiscal years with work probably beginning in February or March 2002. Background on Proiect Purpose and Scope The overall purpose of the Police Department lower level renovations are to provide adequate space for the police personnel in the locker rooms (police staff are running out of lockers and space in the women's locker room, and getting tight in the men's locker room), to enhance security of weapons and personal property during training sessions, and to provide restrooms for the training facility, eliminating the need for guests to use the locker rooms. The project is to expand the locker rooms, utilizing the space of the current workout room. This will allow for an expansion to 80 lockers in the men's room and 40 lockers in the women's room. Move the workout room to the current roll call room. Utilize the current kitchen and first aid room to build restrooms for the training facility. Move the kitchen and vending machines into the lunchroom area. Partition off the north end of the lunchroom area as a breakout room for the training facility and a multi-use room, such as group meetings, conferences, interviews, etc. Address the lack of ventilation in the evidence room. The storage of drugs, alcohol and other evidence items has created a poor environment for the evidence custodians to work in. Adding ventilation to the room should take care of that deficiency. The Owner-Architect Agreement for the Buffalo Grove Police Department Lower Level Remodeling Work is hereby approved. Section 2. The Village Manager is authorized and directed to execute the agreement. A copy of said agreement is attached hereto and made a part hereof. AYES: NAYES: ABSENT: PASSED: , 2001 APPROVED: , 2001 APPROVED: Village President ATTEST: Village Clerk G:\PWDIRGRP\LHC\police\res0l.doc OWNER - ARCHITECT AGREEMENT PREAMBLE This Agreement made as of July 2, 2001 between the Village of Buffalo Grove(hereinafter referred to as the Owner) and Sente & Rubel, Ltd. (hereinafter referred to as the Architect) with offices located at 1955 Raymond Drive, Suite 105, Northbrook, Illinois for the Project generally described as follows: Buffalo Grove Police Department Lower Level Remodeling Work. The project scope includes remodeling of the locker room facilities, lunchroom, quiet room, and workout room. The project will also include providing toilet facilities for the training room and an exhaust fan for the Evidence Room. The Owner and Architect agree as set forth below. ARTICLE 1 ARCHITECT'S RESPONSIBILITIES 1.1 ARCHITECT'S SERVICES 1.1.1 The Architect's services consist of those services described in this Agreement and include normal architectural, structural, mechanical, plumbing, electrical, and engineering services performed by the Architect, Architect's employees and Architect's consultants. 1.1.2 The Architect's services shall be performed as expeditiously as is consistent with professional skill and care and the orderly progress of the Work. The Architect shall submit for the Owner's approval a schedule for the performance of the Architect's services which may be adjusted as the Project proceeds, and shall include allowances for periods of time required for the Owner's review and for approval of submissions by public authorities having jurisdiction over the Project. The services covered by this Agreement are to be scheduled and provided in order to generally follow the timetable established in Exhibit A entitled "Preliminary Project Schedule." ARTICLE 2 SCOPE OF ARCHITECT'S SERVICES 2.1 SCHEMATIC DESIGN PHASE 2.1.1 The Architect shall review the program, schedule, and Project Budget furnished by the Owner to ascertain the requirements of the Project and shall arrive at a mutual understanding of such requirements with the Owner. 2.1.2 The Architect shall provide a preliminary evaluation of the Owner's program, schedule and Project Budget requirements, each in terms of the other, subject to the limitations set forth in Subparagraph 4.2.1. 2.1.3 The Architect shall review with the Owner, the proposed Project improvements; selection of materials, building systems and equipment; and methods of Project delivery. Owner-Architect Agreement - 1 2.1.4 The Architect shall review with the Owner alternative approaches to design and construction of the Project. 2.1.5 At intervals appropriate to the progress of the Schematic Design Phase and mutually agreeable to the Owner, and Architect, the Architect shall provide schematic design studies for the Owner's review. 2.1.6 Upon completion of the Schematic Design Phase and based on the mutually agreed-upon program, schedule and Project Budget requirements,the Architect shall prepare, for approval by the Owner, Schematic Design Documents consisting of drawings and other documents illustrating the scale and relationship of Project components. 2.1.7 The Architect shall submit to the Owner a preliminary estimate of Construction Cost based on current estimated square foot area to be constructed. 2.2 DESIGN DEVELOPMENT PHASE 2.2.1 At intervals mutually agreeable to the Owner and Architect, the Architect shall provide drawings and other documents, which depict the current status of design development for the Owner's review. 2.2.2 Upon completion of the Design Development Phase and based on the approved Schematic Design Documents and any adjustments authorized by the Owner in the program, schedule, or Project Budget, the Architect shall prepare, for the Owner's review and approval, Design Development Documents consisting of drawings and other documents to establish and describe the size and character of the entire Project as to architectural, structural, mechanical, plumbing, and electrical systems, materials and such other elements as may be appropriate. 2.2.3 The Architect shall advise the Owner of any adjustments to the preliminary estimate of Construction Cost. 2.3 CONSTRUCTION DOCUMENTS PHASE 2.3.1 At intervals mutually agreeable to the Owner and Architect, the Architect shall provide revised Drawings and Specifications for the Owner's review. 2.3.2 Upon completion of the Construction Documents Phase and based on the approved Design Development Documents and any further adjustments authorized by the Owner in the scope or quality of the Project or in the Project Budget, the Architect shall prepare, for review and approval by the Owner, Contract Documents consisting of the Owner-Contractor Agreement, Invitation to Bid, Instructions to Bidders, Bid Form, General Conditions, Supplementary Conditions, Drawings, and Specifications setting forth in detail the requirements for the construction of the Project. 2.3.3 The Architect shall advise the Owner of any adjustments to previous preliminary estimates of Construction Cost indicated by changes in requirements or general market conditions. 2.3.4 The Architect shall assist the Owner in connection with the Owner's responsibilityfor filing documents required for the approval of governmental authorities having jurisdiction over the Project. Owner-Architect Agreement - 2 2.4 BIDDING PHASE 2.4.1 The Architect, following the Owner's approval of the Contract Documents and of the latest estimate of Construction Cost, shall assist the Owner in obtaining bids. The Architect shall issue Contract Documents to bidders and conduct pre-bid conferences with prospective bidders. The Architect shall respond to questions from bidders and shall issue addenda. The Architect shall provide a bid analysis, recommendation for awarding the Owner Contractor Agreement and assist in preparing the Owner-Contractor Agreement. 2.5 CONSTRUCTION PHASE ADMINISTRATION OF THE OWNER -CONTRACTOR AGREEMENT 2.5.1 The Architect's responsibility to provide services for the Construction Phase under this Agreement commences with the award of the Owner-Contractor Agreement and terminates at the issuance by the Owner of the Contractor's final payment. If the Final Completion Date is exceeded by 120 days or more, through no fault of the Architect, the Owner shall pay the Architect for any additional services necessitated as a result of such delay as provided in Paragraph 10.2. 2.5.2 The Architect shall provide administration of the Owner-Contractor Agreement asset forth below and in the General Conditions unless otherwise provided in this Agreement. 2.5.3 Duties, responsibilities and limitations of authority of the Architect shall not be restricted, modified or extended without written agreement of the Owner and Architect. 2.5.4 The Architect shall have authority to act on behalf of the Owner only to the extent provided in this Agreement. 2.5.5 The Architect shall visit the Project Site two(2)times per month to become generally familiar with the progress and quality of the Work completed and to determine in general if the Work is being performed in a manner indicating that the Work, when completed, will be in accordance with the Contract Documents. However, the Architect shall not be required to make exhaustive or continuous on-site inspections to check the quality or quantity of the Work. On the basis of on-site observations as an architect, the Architect shall keep the Owner informed of the progress and quality of the Work, and shall endeavor to guard the Owner against defects and deficiencies in the Work. 2.5.6 The Architect shall not have control over or charge of and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for safety precaulons and programs in connection with the Work, since these are solely the Contractor's responsibility under the Owner- Contractor Agreement. The Architect shall not be responsible for the Contractor's schedules or failure to carry out the Work in accordance with the Contract Documents. The Architect shall not have control over or charge of acts or omissions of the Contractor, Subcontractors, or their agents or employees. 2.5.7 The Architect shall at all times have access to the Work wherever it is in preparation or progress. 2.5.8 Communications by and with the Architect's consultants shall be through the Architect. 2.5.9 Based on the Architect's observations and evaluations of the Contractor's Applications for Payment, the Architect shall review and certify the amounts due the Contractor. Owner-Architect Agreement- 3 2.5.10 The Architect's certification for payment shall constitute a representation to the Owner, based on the Architect's observations at the Project Site as provided in Subparagraph 2.5.5 and on the data comprising the Contractor's Application for Payment, that the Work has progressed to the point indicated and that, to the best of the Architect's knowledge, information and belief, quality of the Work is in accordance with the Contract Documents. The foregoing representations are subject to an evaluation of the Work for conformance with the Contract Documents upon Substantial Completion, to results of subsequent tests and inspections, to minor deviations from the Contract Documents correctable prior to completion and to specific qualifications expressed by the Architect. The issuance of a Certificate for Payment shall further constitute a representation that the Contractor is entitled to payment in the amount certified. 2.5.11 The issuance of a Certificate for Payment shall not be a representation that the Architect has (1) made exhaustive or continuous on-site inspections to check the quality or quantity of the Work, (2) reviewed construction means, methods, techniques, sequences, or procedures, (3) reviewed copies of requisitions received from Subcontractors and material suppliers and other data requested by the Owner to substantiate the Contractor's right to payment, or(4) ascertained how or for what purpose the Contractor has used money previously paid on account of the Contract Sum. 2.5.12 The Architect shall have authority, after notification to and approval of the Owner, to reject Work which does not conform to the Contract Documents. Whenever the Architect considers it necessary or advisable for implementation of the intent of the Contract Documents,the Architect will have authority, upon written authorization from the Owner, to require additional inspection or testing of the Work in accordance with the provisions of the Contract Documents,whether or not sich Work is fabricated, installed or completed. However, neither this authority of the Architect nor a decision made in good faith either to exercise or not to exercise such authority shall give rise to a duty or responsibility of the Architect to the Contractor, Subcontractors, material and equipment suppliers, their agents or employees or other persons performing portions of the Work. 2.5.13 The Architect shall review and approve or take other appropriate action upon the Contractor's submittals such as Shop Drawings, Product Data and Samples, but only for the limited purpose of checking for conformance with information given and the design concept expressed in the Contract Documents. The Architect's action shall be taken with such reasonable promptnessas to cause no delay in the Contractor's Work or in construction by the Owner's own forces or of separate contractors,while allowing sufficient time in the Architect's professional judgment to permit adequate review. Review of such submittals is not conducted for the purpose of determining the accuracy and completeness of other details such as dimensions and quantities or for substantiating instructions for installation or performance of equipment or systems designed by the Contractor, all of which remain the responsibility of the Contractor to the extent required by the Contract Documents. The Architect's review shall not constitute approval of safety precautions or, unless otherwise specifically stated by the Architect, of construction means, methods, techniques, sequences or procedures. The Architect's approval of a specific item shall not indicate approval of an assembly of which the item is a component. When professional certification of performance characteristics of materials, systems or equipment is required by the Contract Documents, the Architect shall be entitled to rely upon such certification to establish that the materials, systems or equipment will meet the performance criteria required by the Contract Documents. 2.5.14 The Architect shall prepare Change Orders and Construction Change Directives, with supporting documentation and data if deemed necessary by the Owner for the Owner's approval and execution in accordance with the Contract Documents. 2.5.15 The Architect, with the Owner's approval, may authorize minor changes in the Work not involving an adjustment in a Contract Sum or an extension of a Contract Time which are consistent with the intent of the Contract Documents. Such changes shall be effected by written order. Owner-Architect Agreement - 4 2.5.16 The Architect shall conduct inspections to determine the date or dates of Substantial Completion and the date of Final Completion. The Architect and Owner shall review and supplement the Contractor's comprehensive punch list of items to be completed or correctal before the Final Completion date. 2.5.17 The Architect shall interpret and make recommendations on matters concerning performance, execution, and progress of the Contractor under the requirements of the Contract Documents on request of the Owner. TheArchitect's response to such requests shall be made with reasonable promptness and within any time limits agreed upon. 2.5.18 Interpretations and recommendations of the Architect shall be consistent with the intent of and reasonably inferable from the Contract Documents and shall be in writing or in the form of drawings. When making such interpretations and recommendations,the Architect shall endeavorto secure faithful performance by the Contractor and shall not be liable for results of interpretationwr recommendations so rendered in good faith. 2.5.19 The Architect's decisions on matters relating to aesthetic effect shall be final if consistent with the intent expressed in the Contract Documents and approved by the Owner. 2.5.20 The Architect shall render written recommendations within a reasonable time on all claims, disputes or other matters in question between the Owner and Contractor relating to the execution or progress of the Work as provided in the Contract Documents. 2.5.21 The Architect shall forward to the Owner warranties and similar submittals required by the Contract Documents which have been received from the Contractor. 2.5.22 The Architect shall issue a final Project Certificate for Payment upon compliance with the requirements of the Contract Documents. 2.5.23 The Architect shall prepare Record Drawings, based on the Architects records and information provided by the Contractors, that, to the best of the Architect's knowledge, include all information required by the Village of Buffalo Grove Engineering Division and show all changes made during construction of the Work. The Record Drawings shall be provided to the Owner as Chromaflex, double matte,4 mil, 24"x 36"mylars and in electronic format as AutoCAD R14 drawing (.dwg)files including associated plotter control (.pc2) and font files. A plot(.pit)file for each sheet of the Drawings formatted for a Hewlett Packard DesignJet 755CM plotter shall also be provided. ARTICLE 3 OWNER'S RESPONSIBILITIES 3.1 The Owner shall provide information regarding requirements for the Project. 3.2 The Owner shall establish and update an overall Project Budget, including the Construction Cost, the Owner's other costs and reasonable contingencies related to all of these costs. 3.3 The Owner shall designate a representative authorized to act on the Owner's behalf with respect to the Project. The Owner or such authorized representative shall render decisions in a timely manner pertaining to documents submitted by the Architect in order to avoid unreasonable delay in the orderly and sequential progress of the Architect's services. 3.4 Prompt written notice shall be given by the Owner to the Architect if the Owner becomes aware of any fault or defect in the Project or errors or omissions in the Contract Documents. Owner-Architect Agreement - 5 ARTICLE 4 CONSTRUCTION COST 4.1 DEFINITIONS 4.1.1 The Construction Cost shall be the final Contract Sum paid by the Owner to the Contractor under the Owner-Contractor Agreement. 4.1.2 Construction Cost does not include the compensation of the Architect and Architect's consultants, the costs of the land, rights-of-way, financing or other costs which are the responsibility of the Owner as provided in this Agreement. 4.2 RESPONSIBILITY FOR CONSTRUCTION COST 4.2.1 Evaluations of the Owner's Project Budget, preliminary estimates of Construction Cost and adjusted estimates of Construction Cost prepared by the Architect, represent the Architect's best judgment as a design professional familiar with the construction industry. ARTICLE 5 OWNERSHIP AND USE OF ARCHITECT'S DRAWINGS, SPECIFICATIONS, AND OTHER DOCUMENTS 5.1 The Drawings, Specifications,and other documents prepared by the Architect for this Project are instruments of the Architect's service through which the Work to be executedby the Contractors is described. Unless otherwise indicated, the Architect shall be deemed the author of the Drawings, Specifications, and other documents and will retain all common law, statutory, and other reserved rights, in addition to the copyright. All copies of the Drawings, Specifications, and other documents prepared by the Architect, except the Owner's record set, shall be returned or suitably accounted for to the Architect, on request, upon completion of the Project. The Drawings, Specifications, and other documents prepared by the Architect, and copies thereof furnished to the Owner, are for use solely with respect to this Project and are not to be used by the Owner on other projects or for additions to this Project outside the scope of the Work without the specific written consent of the Architect, except as provided in Paragraph 5.2. 5.2 The Architect grants a limited license to the Owner for use and reproduction of any and all portions of the Drawings, Specifications, and other documents prepared by the Architect for any purpose associated with the Project or for future modifications to the Project. The Architect assumes no liability for any changes made by the Owner or the Owner's agents to the Drawings, Specifications, and other documents prepared by the Architect. 5.3 Submission or distribution of the Drawings, Specifications, and other documents prepared by the Architect to meet official regulatory requirements or for other purposes in connection with this Project is not to be construed as publication in derogation of the Architect's copyright or other reserved rights. 5.4 The Owner acknowledges that the work represented in the AutoCAD R14 drawing files referred to in Subparagraph 2.5.23 is original work protected by copyright and may not be used by others for any purpose beyond those granted by the limited license described in Paragraph 5.2 without the expressed written consent of the Architect. 6.5 To the fullest extent permitted by law, in the event that the Owner permits the AutoCAD R14 drawing files to be changed or used in any way not expressly permitted by this Agreement (an Owner-Architect Agreement -6 "Unpermitted Use"), then, in the event that any claim is brought by any party whatsoever against the Architect arising out of such Unpermitted Use, the Owner shall pay for all costs of defense of the Architect, and shall pay any and all judgements entered against the Architect arising out of an Unpermitted Use. This provision shall be construed as an insurance provision, and not as an indemnity provision, and shall be primary insurance. ARTICLE 6 TERMINATION, SUSPENSION OR ABANDONMENT 6.1 This Agreement may be terminated by either party upon not less than seven days'written notice should the other party fail to perform in accordance with the terms of this Agreement through no fault of the party initiating the termination. 6.2 This Agreement may be terminated by the Owner upon not less than seven days' written notice to the Architect in the event that the Project is temporarily or permanently abandoned by the Owner or for the Owner's convenience. ARTICLE 7 INSURANCE 7.1 ARCHITECT'S INSURANCE REQUIREMENTS 7.1.1 The Architect, at its own expense, shall purchase and maintain the following insurance coverage: .1 Commercial Automobile Liability Insurance covering the use of the Architect's respective owned, none-owned, or hired automobiles and other vehicles with limits of not less than: $1,000,000 Combined Single Limit for Bodily Injury including death resulting therefrom and Property Damage. .2 Insurance covering claims under the Worker's Compensation Act and Worker's Occupational Disease Act with limits of not less than: The minimum statutory limit under the Worker's Compensation Act; and $500.000 covering Employer's Liability for Accident and Occupational Disease. .3 Commercial General Liability Insurance protecting the Architect and the Additional Insureds described in Subparagraph 7.1.8 from any claims for damage to property and for bodily injury including death, which may arise from operations under this Agreement, whether such operations be by the Architect or anyone directly or indirectly employed by it. This insurance shall cover all contractual obligations which the Architect has assumed under this Agreement and shall specifically include the indemnification obligations set forth in Subparagraph 7.1.7. .1 This Commercial General Liability Insurance(excluding Automobile Liability) shall include the following coverages and extensions: .1 Premise/Operations; .2 Independent Contractors; .3 Contractual Liability; Owner-Architect Agreement - 7 .4 Personal Injury coverage ABC, including deletion of employee exclusions; and .5 Broad Form Property Damage. .2 The following limit shall apply: $2,000,000 General Aggregate Limit. .4 Umbrella Liability Insurance coverage in the amount of$1.000,000 shall be provided to include excess Automobile Liability, General Liability, and Employer's Liability. .5 Professional Liability Insurance coverage in the amount of$1.000,000 for each claim and $1.000,000 aggregate. 7.1.2 All insurance coverage shall be provided by an insurance company or companies lawfully authorized to do business in the State of Illinois in which the Project is located, having policy holder ratings no lower than "A" and financial ratings no lower than "XII" in theBest's Insurance Guide, latest edition in effect as of the date of this Agreement, and to which the Owner has no reasonable objection. A Certificate of Authority from the Director of the Illinois Department of Insurance (Financial Corporate Regulatory Division, Illinois Department of Insurance, Springfield, IL, 217/782 1757) shall be submitted for each company providing insurance (sample form attached hereto as Exhibit B). 7.1.3 Before proceeding with any work, the Architect shall furnish to the Owner, Certificates of Insurance on standard Acord forms, executed by insurance companies approved by the Owner, to evidence coverage as set forth above and the waiver of subrogation required under Subparagraph 7.1.5. The Architect shall submit these certificates to the Owner. Certificates which deviate from this form or which are incomplete will be returned for resubmission; however, it is understood that failure to inform the Architect of deviations shall not relieve the Architect of its obligations under this Agreement. The Architect shall keep its insurance in full force until all work is completed and accepted by the Owner. All such insurance shall be modifiable or cancelable only on written notice to the Owner from such insurance companies, mailed by Certified Mail to the Owner and other certificate holders not less than sixty (60) days in advance of such modification of cancellation. 7.1.4 Any increase of amounts or type of insurance not described herein which the Owner, Architect, or the Architect's Consultants require for their own protection or on account of statute shall be their own responsibility and at their own expense. Any policy of insurance covering their own machinery, tools, and equipment against loss by physical damage shall include an endorsement providing that the Underwriters waive rights of subrogation against the Additional Insureds. 7.1.5 The Owner waives all rights against the Architect and its Consultants, agents and employees, and the Architect waives all rights against the Owner and its agents and employees,for damages caused by fire or other perils to the extent covered by insurance applicable to the Project, except such rights as they may have to the proceeds of such insurance held by the Owner as Trustee. The Architect agrees that any agreements between it and any Consultant shall provide that the Consultant similarly waive all their rights in favor of everyone enumerated in this Article 7. 7.1.6 Each Certificate of Insurance shall be issued to cover the Owner, its employees, agerls, and officers. 7.1.7 The Architect, at its own expense, shall furnish and maintain insurance coverage which shall defend, indemnify, protect, and save harmless, all and each of the Additional Insureds described in Subparagraph 7.1.8 from and against any and all losses, damages, claims, penalties, expenses Owner-Architect Agreement - 8 (including attorneys'fees), injuries, and liabilities arising out of or in any way related to, or claimed or alleged to arise out of or be in any way related to: .1 The failure or alleged failure of the Architect to perform its work in a safe and proper manner, or so as to comply with all laws, ordinances, and regulations related to health and/or safety referring to or governing such work(such as, though not limited to, the Federal Occupational Safety and Health Act and rules and regulations promulgated under any of the foregoing, and local ordinances relating to the maintenance of danger or warning signals, barriers, lights, and similar safeguards respecting falling materials and in and about all excavations, protruding nails, hoists and/or elevators and/or similar devices, openings, scaffolding, stairways, and other parts of the premises and adjacent areas where the same are required or necessary); or .2 Damage, destruction, or injury of any kind or nature to property, including damage to the Project or other property of the Owner or Additional Insureds, and to property adjoining the Project Site and including all damage from the obstruction of private driveways, streets, and alleys, claimed to be in any way related to this Agreement or the Architect's performance of this Agreement; or .3 Liability imposed or sought to be imposed, by statute or otherwise, because of damage to or destruction of tangible property, caused or occasioned directly or indirectly by the Architect or its agents or employees, in the performance of work under this Agreement, or claimed to have been caused by or through performance by the Architect of its work or to have arisen out of the Architect's work, or to have occurred in connection therewith, or resulting from use by the Architect of any materials, tools, hoists, ladders, implements, appliances, scaffolding ways, works, machinery, or other property of the Owner or any Additional Insureds; or .4 Liability imposed or sought to be imposed, by statute or otherwise, because of bodily injuries, including death at any time resulting therefrom, sustained by any person whatsoever (including any employee of the Architect) while at or on the premises where work under this Agreement is conducted, or elsewhere while engaged in the performance of such work, including but not limited to such injuries as are caused by the sole and/or concurrent negligence of other contractors, subcontractors, or any Consultants, whether attributable to a breach of statutory duty or administrative regulations or otherwise, and such injuries for which liability is imputed to the Owner or any Additional Insureds; or .5 Any lien, claim, demand, or other liability which is asserted by any independent contractor on the Project and which arises, or is claimed to arise, out of any act or omission of the Architect. 7.1.8 The Architect's Certificate of Insurance shall list as Additional Insureds by name: Village of Buffalo Grove and include the following language: . . . and all their officers, partners, employees, and agents. 7.1.9 Each failure, damage, destruction, injury, liability, lien, claim, and demand, and allegations thereof, set forth in any one or more of the five clauses above (7.1.7.1 through 7.1.7.5) is and Owner-Architect Agreement - 9 constitutes a separate and distinct matter as to which the Owner and Additional Insureds are entitled to be defended, indemnified, protected, and saved harmless by the Architect. 7.1.10 The provisions of this Article 7 are in addition to and not in derogation of any rights of indemnification and/or reimbursement and/or contribution which the Owner or any Additional Insured may otherwise have by virtue of any agreement, arrangement, or understanding, or by virtue of statute, rule, or regulation, or at law or in equity. 7.1.11 If the Owner or Additional Insureds have other insurance which is applicable to a loss, it shall be on an excess or contingent basis. The amount of the Architect's liability under this policy shall not be reduced by the existence of such other insurance. ARTICLE 8 MISCELLANEOUS PROVISIONS 8.1 Unless otherwise provided, this Agreement shall be governed by the laws,ordinances, rules, regulations, and orders of the State of Illinois,the County of Cook, and the Village of Buffalo Grove. 8.2 Terms in this Agreement shall have the meaning given in Exhibit C entitled "Glossary of Terms". 8.3 The General Conditions referenced in this Agreement are the Owner's standard General Conditions as modified for this Project. 8.4 Causes of action between the parties to this Agreement pertaining to acts or failures to act shall be deemed to have accrued and the applicable statutes of limitations shall commence to run not later than either the date of Substantial Completion for acts or failures to act occurring prior to Substantial Completion, or the date of issuance of the final payment for acts or failures to act occurring after Substantial Completion. 8.5 The Owner and Architect, respectively, bind themselves,their partners, successors assigns and legal representatives to the other party to this Agreement and to the partners, successors, assigns and legal representatives of such other party with respect to all covenants of this Agreement. Neither the Owner nor Architect shall assign the Agreement without the written consent of the other. 8.6 This Agreement represents the entire and integrated agreement between the Owner and Architect and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed by both Owner and Architect. 8.7 Nothing contained in this Agreement shall create a contractual relationship with or a cause of action in favor of a third party against either the Owner or Architect. 8.8 The Architect may include representations of the design of the Project, including photographs of the exterior and interior, among the Architect's promotional and professional materials. Owner-Architect Agreement- 10 ARTICLE 9 PAYMENTS TO THE ARCHITECT 9.1 PAYMENTS ON ACCOUNT OF SERVICES 9.1.1 Payments for services shall be made monthly and,where applicable, shall be in proportion to services performed within each phase of service, on the basis set forth in Subparagraph 10.1.1, 9.2 REIMBURSABLE EXPENSES 9.2.1 Reimbursable Expenses are in addition to compensation for services and include expenses incurred by the Architect and Architect's employees and consultants in the interest of the Project, as identified in the following Clauses. 9.2.1.1 Expense of printing Contract Documents and other documents. 9.2.1.2 Expense of delivering Contract Documents and other documents by U.S. Postal Service or other Owner approved delivery service. 9.2.1.3 Expense of long distance phone calls. 9.2.2 The expenses identified in the following Clauses are considered part of services and shall not be paid for as reimbursable expenses. 9.2.2.1 Expense of office automation systems including fax machines and computer aided design and drafting systems. 9.2.2.2 Expense of insurance. 9.2.2.3 Expense of travel within 50 miles of the Project Site. 9.2.2.4 Expense of legal counsel. 9.2.3 Payments on account of the Architect's Reimbursable Expenses shall be made monthly upon the Owner's approval of the Architect's statement of Reimbursable Expenses incurred. The Architect's statement shall include detailed supporting documentation for each Reimbursable Expense. 9.3 PAYMENTS WITHHELD 9.3.1 No deductions shall be made from the Architect's compensation on account of penalty, liquidated damages or other sums withheld from payments to contractors, or on account of the cost of changes in the Work other than those for which the Architect may be liable. 9.4 ARCHITECT'S ACCOUNTING RECORDS 9.4.1 Records of Reimbursable Expenses shall be available to the Owner or the Owner's authorized representative at mutually convenient times. Upon final payment to the Contractor,the lump sum fixed fee shall be adjusted to fourteen percent ( 14% ) of the Contract Sum. In an effort to address these concerns, in a timely fashion I am proposing that the Village of Buffalo Grove amend its current ordinance ( 9.48.020) on trespassing to included the following : "It is unlawful for any person to commit a trespass within the Village upon either public or private property including but not limited to : A. An entry upon the premiss, other than a residence or any part thereof, of another, including any public property after receiving,prior to such entry, notice from the owner occupant, owner or occupant's agent,person in charge of such premises or peace officer that such entry is forbidden; or B. Knowingly and without authority enter or remains within any residence; or C. A failure or refusal to depart from the premises of another in case of being requested, either orally or in writing, to leave by any owner, occupant, owner or occupant's agent,person in charge of such premises or peace officer; D. Knowingly and without authority enter into or obtain control over any motor vehicle, bicycle, aircraft or watercraft or any part thereof, of another person without consent. " The Village of Mundelein currently utilizes such an ordinance which has been very successful in curtailing loitering in their community. The ordinance would allow the village and the private property owner/agent to enter into a written agreement that would allow police enforcement for loitering or trespassing on private property. The conceptual idea of such an ordinance was brought before the property management agencies for The Grove and Town Center at a meeting which was held last fall. The meeting was held to address problems and concerns that they were experiencing at their centers and was met with their approval. For the last several months, representatives from MTI Construction Services, Sente & Rubel, Progressive Management Services, LLC and staff have been meeting to reach concensus on the interior space layout for the proposed club house at the Arboretum along with exterior elevations. As a result of the work efforts put forth during this process, all parties have "signed-off" on the interior space allocation for both the lower and main levels as well as elevation concepts. The next steps would be to refine the concepts into actual design where the issues of materials, style, colors, etc. come into play. At this point, allocation is critical in that Sente & Rubel and MTI desire owner concurrence in order to proceed ahead into refined design and bidding specification development. Those processes will involve further staff and Board involvement as well as with our food/banquet provider. To that end, staff would request the Village Board's comments and thoughts on the proposed design, proceeding ahead and authorizing the necessary work elements for the club house. On Monday, July 2, representatives from both MTI and Sente & Rubel will present what are considered "final" floor plans and elevations as agreed to by the development team. It should be noted that on January 22, 2001 authorization was granted to proceed ahead with the maintenance building (final design, bidding and document development) . A similar request is made at this time in order to move the project forward into final design, approval of that process, bidding, bid evaluation and recommendation, and if all is in order, authorization to proceed ahead toward construction, again to provide for the rededication of the Arboretum Club in the fall of 2002. This is the first year of a 10 year maintenance plan for the replacement of carpeting in village owned buildings. Replacement is necessary because industrial vacuums have caused unraveling of seams in the carpet after 9 or 10 years creating tripping hazards.Additionally the carpeting begins to show wear and tear and is very unsightly. This maintenance program plans scheduled replacement of carpeting before the carpeting becomes unsightly or hazardous. This year carpeting will be replaced in Fire Stations 25 and 26,the Public Service Center,the Village Hall Lower Level, Police Headquarters Administration and the Youth Center/Chamber Office approximately 17,129 sq.ft. Sealed envelopes or packages containing proposals shall be marked "Sealed bids Carpet Replacement". Detailed specifications are available for bid purposes from the Department of Public Works, 51,Raupp Blvd. Buffalo Grove, IL 60089. The Village reserves the right to reject any proposal for failure to comply with all the requirements of this notice or any of the bid specification and bid summary documents; however it may waive any minor defects or informalities at its discretion. The Village further reserves the right to reject any and all proposals or to award a contract which,in its judgement,is in the best interest of the Village. INSTRUCTIONS TO CONTRACTORS A. General: Proposals to be entitled for consideration must be made in accordance with the following instructions. B. Proposal Form: Proposals shall be submitted in duplicate on forms identical to those provided. The wording of the proposal form shall not be changed or altered. Enclose in a sealed envelope bearing the Contractor's name and clearly mark it"Carpet and Baseboard Replacement at Village Hall Lower Level,Youth Center/Chamber of Commerce, Public Service Center,Fire Station 25,Fire Station 26, and Police Headquarters Administration". Address envelope to the Village Clerk. Changes and erasures on the proposal form must be initialed by the officer signing same. C. Method of Bid: I. Proposal shall be made on a stipulated lump sum basis for work on which a Contractor desires to submit a quote. 2. Prices quoted shall be guarantied for a period of sixty (60) days after proposal due date. D. Contractors Responsibility for Conditions of Work and Site: I. Before submitting a proposal, Contractors shall carefully examine all data made available in the Contract Documents, fully inform themselves as to all existing conditions and limitations, the obstacles which may be encountered, and all other relevant matters concerning the work to be performed, and shall include in the proposal a sum to cover the cost of all such items to be included in the Contract. 2. No Contractor to whom a Contract is awarded shall be allowed any extra compensation on account of any matter or thing concerning which such Contractor might have informed himself prior to the bidding. E. Interpretation of Contract Documents: If any person contemplating submitting a proposal for the proposed Contact is in doubt as to the true meaning of any part of the Contract Documents or other data, submit to the Village a written request for an interpretation. The person submitting a written request will be responsible for this prompt delivery. Any interpretation of the Documents will be made only by an addendum duly issued. Purpose- The purpose of the project is to provide carpeting,padding and baseboard,remove, dispose and install carpet and baseboards. The project will require moving and replacing furniture at Village Hall Lower Level,Youth Center/Chamber of Commerce,Public Service Center,Fire Station 25,Fire Station 26, and Police Headquarters Administration. B. Scope- The contractor shall carefully examine all specifications,become fully informed of all existing conditions and limitations, and all other relevant matters concerning carpeting and work to be performed and provide all equipment and manpower required to complete the work as specified. The Contractor is responsible for all measurements. 1.02 Supervision- This contract will be under the guidance of the"Superintendent"of Public Works Operations or his authorized representative. Any alterations or modifications of the work performed under this contract shall be made only by written agreement between the Contractor and the Superintendent and shall be made prior to commencement of the altered or modified work. No claims for any extra work or materials shall be allowed unless covered by written agreement. 1.03 Work Sequence and Timing A. Contract Time—Installation shall be completed within 60 calendar days from Written authorization to proceed from the owner. B. Working Hours- The Contractor will be allowed to schedule his normal work hours between the hours of 7:00 A.M. and 4:00 P.M. Monday through Friday. Work during other hours will be allowed only as authorized by the Superintendent of Public Works Operations. C. Concurrent Operations-This contract is a non-exclusive contract with the Village. The Village reserves the right to use other Contractors or its own employees to perform work similar to that being performed under the terms of this contract. Performance of work by others shall be construed as being consistent with the terms of this contract and shall not be cause for the Contractor to cease performance of work as directed. D. Use of Premises - The Contractor will not store or unreasonably encumber the work sites with materials or equipment that may interfere with department daily operations. 1 1.04 Insurance- The Contractor shall procure and maintain for the duration of the contract,insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder by the contractor,his agents,representatives, employees, or subcontractors. The cost of such insurance shall be included in the Contractor's bid. A. Minimum Scope of Insurance Coverage shall be at least as broad as: 1. Insurance Services Office Commercial General Liability Coverage ("occurrence"form CG0001, Ed.11/85)/and/or Village and Contractors Protective Liability policy with the municipality stated as named insured. 2. Insurance Services Office form number CA 0001 (Ed.1/87) covering Automobile Liability, code I "any auto"' and endorsement CA 0019 (Ed. 12/88) changes in Business Auto and Truckers coverage forms—insured contract: and 3. Workers' Compensation as required by the Labor Code of the State of Illinois and Employers Liability insurance. B. Minimum Limits of Insurance Contractor shall maintain limits no less than: 1. Comprehensive General Liability: $1,000,000 combined single limit per occurrence for bodily injury,personal injury and property damage. The general aggregate shall be twice the required occurrence limit. Minimum General Aggregate shall be no less than$2,000,000. 2. Automobile Liability: $1,000,000 combined single limit per accident for bodily injury and property damage. 3. Workers' Compensation and Employers' Liability: Workers' Compensation limits as required by the Labor Code of the State of Illinois and Employers' Liability limits of$1,000,000 per accident. 4. Builder's Risk: Shall insure against"All Risk" of physical damage, including water damage(flood and hydrostatic pressure not excluded), on a completed value basis. C. Deductibles and Self-Insured Retention Any deductibles or self-insured retention must be declared to and approved by the Village. At the option of the Village, the insurer shall reduce or eliminate such deductibles or self-insured retention as respects the Village,its officials and employees; or the Contractor shall procure a bond guaranteeing payment of losses and related investigation, claim administration, and defense expenses. 2 D. Other Insurance Provisions The policies are to contain, or be endorsed to contain, the following provisions: I. General Liability and Automobile Liability Coverage's a. The Village,its officials, employees and volunteers are to be covered as insured as respects: liability arising out of activities performed by or on behalf of the Contractor;products and completed operations of the Contractor;premises owned, leased or used by the Contractor; or automobiles owned, leased,hired or borrowed by the Contractor. The coverage shall contain no special limitations on the scope of protection afforded to the Village,its officials, employees, or volunteers. b. The Contractor's insurance coverage shall be primary insurance as respects the Village,its officials, employees, and volunteers. Any insurance or self-insurance maintained by the Village,its officials, employees, or volunteers shall be excess of Contractor's insurance and shall not contribute with it. C. Any failure to comply with reporting provisions of the policies shall not affect coverage provided to the Village,its officials, employees, or volunteers. d. Coverage shall state that Contractor's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. 2. Workers' Compensation and Employers' Liability Coverage's The insurer shall agree to waive all rights of subrogation against the Village,its officials, employees, and volunteers for losses arising from work performed by Contractor for the Village. 3. All Coverage's Each insurance policy required by this clause shall be endorsed to state that coverage shall not be suspended,voided, canceled,reduced in coverage or in limits except after thirty (30) days prior written notice has been given to the Village but shall remain in effect throughout the life of the project. E. Acceptability of Insurance Insurance is to be placed with insurers with a Best's rating of no less than B+. 3 F. Verification of Coverage Contractor shall furnish the Village with certificates of insurance naming the municipality as an additional insured, and with original endorsement affecting coverage required by this clause. The certificates and endorsements for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behalf. The certificates and endorsements may be on forms approved by the Village and are received before the work commences. The Village reserves the right to request full certified copies of the insurance policies. G. Subcontractors Contractor shall include all subcontractors as insured's under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverage's for subcontractors shall be subject to all of the requirements stated herein. H. Additional Insured The Village of Buffalo Grove,its officers, employees, and agents shall be named as additional insured on all insurance policies. I. Indemnity Hold Harmless Provision To the fullest extent permitted by law,the Contractor hereby agrees to provide insurance to defend,indemnify and hold harmless the Village,its officials, agents, and employees against all injuries, deaths, loss, damages, claims,patent claims, suits, liabilities,judgements, cost and expenses, which may in any way accrue against the Village,its officials, agents, and employees, arising in whole or in part or in consequence of the performance of this work by the contractor,its employees, or subcontractors, or which may in any way result therefore, except that arising out of the sole legal cause of the Village,its agents or employees. The Contractor shall, at its own expense, appear, defend and pay all charges of attorneys and all costs and other expenses arising therefore or incurred in connections therewith, and,if any judgement shall be rendered against the municipality,its officials, agents and employees, in any such action, the Contractor shall, at its own expense, satisfy and discharge the same. Contractor expressly understands and agrees that any performance bond or insurance policies required by this contract, or otherwise provided by the Contractor, shall in no way limit the responsibility to indemnify,keep and save harmless and defend the Village,its officials, agents and employees as herein provided. J. Policy Cancellation In the event the insurance should be changed or canceled, such change or cancellation shall not be effective until thirty (30) days after the Village has received written notice from the insurance company(s). Such notice shall be mailed to the Village in care of the Village Manager, 50 Raupp Blvd., Buffalo Grove,IL. 60089. 4 K. Accident Notification In the event of accidents of any kind which involve the general public and/or private or public property, the Contractor shall immediately notify the Superintendent of Public Works Operations and shall provide a full accounting of all details of the accident. The Contractor shall furnish the Village with copies of all reports of such accidents at the same time that the reports are forwarded to any other interested parties. 1.05 Bid Bond- A bid bond, cashiers check or certified check in the amount of 10% of the total base bid shall accompany the proposal. Checks must be payable to the Village of Buffalo Grove. 1.06 Performance Bond—A Performance Bond shall be furnished in the amount of 100% of the bid. Performance bond of successful bidder shall be conditioned on the faithful performance of the requirements of the contract, and shall have as surety a corporate surety authorized to act as such in Illinois and that the Contractor will be responsible for all claims for injuries to persons or damages to property or premises arising out of or in connection with his operations prior to the acceptance of the finished work or supplies, and shall guarantee to indemnify and save the Village and its officers and employees harmless from all costs, damages and expenses arising out of or by reason of the contractor's failure to comply and perform the work and complete the contract in accordance with the specifications. 1.07 Basis of Award-The Village reserves the right at its sole discretion to award a contract which is in the best interest of the Village and which provides the needed services within the time frame identified. 1.08 Notice to Proceed- The Contractor and subcontractors shall not commence work under this contract until the insurance has been approved and the Village has issued a purchase order. 1.09 Notice-All notices required by the contract shall be given in writing. 1.10 Nonassignability- The Contractor shall not assign the contract or any part thereof,to any other person, firm or corporation without the previous written consent of the Village. Such assignment shall not relieve the Contractor from his obligations, or change the terms of the contract. 1.11 Default-In the event of the Contractor's nonperformance or breach of the contract terns,the contract may be canceled,in whole or in part,upon the Village's written notice of default and the Contractors failure to resolve such default within ten(10) days of the notice. The Contractor shall be liable to the Village for all costs incurred in completion of the contract. 1.12 Delay- The Contractor shall not be liable in damages for delay in performance when such delay or failure is the result of fire,flood, strike, the transporting carrier, act of God, or by any other circumstances which are beyond the control of the Contractor.Under such circumstances,however,the Village may, at its option, cancel the contract. 5 1.13 Non-Waiver Of Rights-No delay or failure by either party to enforce any of the provisions of the contract or to exercise any right therein granted shall be deemed a waiver thereof or limitation in any respect on the right of either party then and thereafter to enforce all provisions of this contract and to exercise any such right. 1.14 Contractor Certifications -A bidder shall execute the Contractor Certifications and submit along with bid. 6 1.15 Contractors Responsibility A. The Contractor shall provide equipment, materials, labor and tools to complete repairs,removal and installation as required. B. The Contractor is solely responsible for construction means, methods, techniques, sequences and procedures and for safety precautions and programs. C. All equipment and installation materials shall be delivered to the installation contractor with freight and all handling charges included in the proposed price. No materials may be shipped directly to the job site without the prior approval of the Village. D. The Contractor shall minimize disruptions to the Village's normal operations and shall render all reasonable assistance when required. The Contractor shall remove all materials, debris and rubbish from the site on a daily basis. E. The Contractor is responsible for acts and omissions of his employees and his sub-contractors and their agents. F. The Contractor shall protect the Village's property and all persons and shall be liable for any and all damages resulting from his operations. G. The Contractor shall be responsible for the repair or replacement of any facility or utility damaged during a repair,replacement or installation. 1.16 Employment Preference- The Illinois Human Rights Act applies fully to this contract and this contract shall be performed in all respects in compliance with the Illinois Human Rights Act 775 ILCS 511-101, et seq., and the Illinois Public Works Employment Discrimination Act 775 ILCS 10/0.01, et seq. 1.17 Prevailing Wage- The State of Illinois requires under Public Works contracts that the general prevailing rate of wages in this locality be paid for each craft or type of worker or mechanic needed to execute the work hereunder. It shall be mandatory upon the Contractor to whom the contract is awarded and upon any subcontractor under the Contractor. This requirement is in accordance with Illinois Compiled Statues 130/0.0l,et. seq. 1.18 Method of Payment-Payment will be made on a lump sum,based on work completed and approved. The Village will pay according to the Illinois Prompt Payment Act. 1.19 Warranty-All material and workmanship shall be guaranteed according to manufacturer recommendation after inspection and approved by the Superintendent or his designated representative. Any defects found shall be corrected in a timely manner at the Contractors expense. 7 2.00 SPECIFICATIONS 2.01 General A. Existing Conditions - The installer must inspect the space and conditions under which the work is to be performed, and report,in writing,to the Village a condition detrimental to the timely and successful installation of the work. B. Storage and Protection - Store products in accord with manufacturer's instructions,with seals and labels intact and legible. I. Protect all spaces from damage or soiling by the work under this contract. 2. Provide temporary protection of.)ambs, doors, soffits,walls, ceilings and floor as required. 3. Arrange for and pay for the repair,refinishing or replacement of any damage to Village facilities during installation to meet the satisfaction of the Village. 4. Provide substantia I coverings as necessary to protect installed products from damage from traffic and subsequent construction operations. Remove when no longer needed. 2.02 Manufacturer's Instructions A. When contract documents require that installation of work shall comply with manufacturer's printed instructions, obtain and distribute copies of such instructions to parties involved in the installation and until completion. B. Handle,install, connect, clean, condition and adjust products in strict accord with the instructions and in conformity with specified requirements. C. Perform work in accord with manufacturer's instructions and recommendations. Do not omit any preparatory step or installation procedure. 2.03 Delivery and Handling A. Arrange deliveries of products in accordance with installation schedules, coordinate to avoid conflict with work and conditions at the site. I. Deliver products in undamaged condition,in manufacturer's original containers or packaging,with identifying labels intact and legible. 2. Immediately on delivery,inspect shipment to assure compliance with requirements of contract documents and approved submittals and to assure that the products are properly protected and undamaged. 8 2.04 Materials A. Time and Place of Opening Bids. Sealed proposals for the construction of the Buffalo Creek Erosion Control Improvement Project for the Village of Buffalo Grove, Lake County, Illinois, Will be received at the Office of the Village Clerk, Fifty Raupp Boulevard, Buffalo Grove, Illinois, until 2:00 P.M., July 25, 2001, and at that time will be publicly opened and unit price total read aloud. 2. Description of Work. The proposed construction consists of approximately 1,060 lineal feet of streambank stabilization on Buffalo Creek. Streambank stabilization techniques include articulated concrete blocks, A-Jacks, biologs, rock toe, riprap and grouted riprap. Streambank stabilization will include planting of native vegetation, erosion control fabrics, a temporary sediment control structure,and other miscellaneous items of work. 3. Information for Bidders. The Village of Buffalo Grove is exempt from the Illinois State, municipal or county Retailers Occupation Tax, Service Occupation Tax, Use Tax, and Service Use Tax as described in Illinois Compiled Statute Chapter 35. Bid prices shall not include the cost of such taxes.
