A RESOLUTION RATIFYING EXECUTION OF THE FIRST AMENDMENT TO
ADVANCED METERING INFRASTRUCTURE
AGREEMENTS BETWEEN VILLAGE OF BUFFALO GROVE, SIEMENS
INDUSTRY, INC., HD SUPPLY WATERWORKS, LTD., AND SENSUS USA, INC.
WHEREAS, the Village of Buffalo Grove is a Home Rule Unit pursuant to the Illinois
Constitution of 1970; and,
WHEREAS, on December 18, 2014, the Village of Buffalo Grove entered into an
agreement ("Agreement") for performance contracting services with Siemens Industry, Inc.,
Building Technologies Division ("Siemens") which was approved by Village Resolution No.
2014-33; and,
WHEREAS, on or about March 4th, 2015, the Village of Buffalo Grove and HD
Supply entered into a Master Project Agreement (the "HD Agreement"), whereby HD Supply
agreed to provide water meters and related equipment, Software as a Service ("SaaS"), as
well as other services for the Water System (collectively, the "HD Services") which was
approved by Village Resolution No. 2014-33; and,
WHEREAS, on or about April 9th, 2015, Client and Sensus entered into an Advanced
Metering Infrastructure Agreement (the "Sensus Agreement"), whereby Sensus agreed to
provide Client with certain infrastructure and services relating to water meter monitoring and
management for the Water System (collectively, the "Sensus Services") which was approved
by Village Resolution No. 2014-33; and,
WHEREAS, the Village Board has determined that it is in the best interests of the
Village to authorize the Village Manager to modify certain terms of the Agreements with
Siemens, HD Supply, and Sensus to ensure completion of the project.

NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF BUFFALO GROVE, COUNTIES OF COOK AND LAKE,
STATE OF ILLINOIS, as follows:
SECTION 1. The foregoing recitals are hereby incorporated and made a part of this
Resolution.
SECTION 2. The Village Manager is hereby authorized and directed to execute the
attached Amendment to Village of Buffalo Grove and Siemens Industry, Inc., Building
Technologies Division Performance Contracting Agreement, HD Agreement, and Sensus
Agreement and to take all actions necessary for completion of the water meter project.
SECTION 3. This Resolution shall be in full force and effect from and after its
passage and approval.
