1999-08RESOLUTION NO. 99 -a RESOLUTION APPROVING LEASE OF OFFICE SPACE IN YOUTH CENTER TO BUFFALO GROVE CHAMBER OF COMMERCE WHEREAS, the Village of Buffalo Grove is a Home Rule Unit pursuant to the Illinois Constitution of 1970. WHEREAS, the Village has previously leased space in the Village Hall at 50 Raupp Blvd. to the Buffalo Grove Chamber of Commerce; and WHEREAS, the Village and the Chamber would like for the Chamber to lease space in the Village Youth Center located at 501/2 Raupp Blvd. NOW THEREFORE BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES, ILLINOIS, as follows: Section 1. The Village President and Village Clerk are hereby authorized and directed to execute the lease attached hereto as Exhibit A by and between the Village and the Buffalo Grove Chamber of Commerce for the lease of a portion of the Village Youth Center located at 501/2 Raupp Boulevard I of 2 Section 2 This Resolution shall be in effect from and after its passage and approval. ATTEST: . &A&dA4..> Village Clerk N:\LEGAL\2CENTER.WPD APPROVED: 2 of 2 his lease is entered into by and between the VILLAGE OF BUFFALO GROVE, an Illinois Municipal Corporation ( "Village ") and BUFFALO GROVE CHAMBER OF COMMERCE, an Illinois Not - for - Profit Corporation ( "Chamber "). WITNESSETH THAT: WHEREAS, Village is owner of the real property commonly known as 501 /a Raupp Boulevard, Buffalo Grove, Illinois 60089 upon which is located the Village Youth Center ( "Village Youth Center "); and WHEREAS, the Chamber desires to lease part of the Village Youth Center as depicted on Exhibit A hereto which is approximately 275 square feet ( "Premises "); and WHEREAS, the Village hereby finds that the Chamber provides services to the public and that this lease would serve a public purpose. NOW THEREFORE, in consideration of the mutual covenants and promises herein set forth, it is agreed by the parties hereto as follows: ' 1. PREAMBLE: Village for and in consideration of the rents herein reserved, the foregoing recitations, and the following covenants, does hereby lease to the Chamber the Premises herein defined. 2. PREMISES: Space in the Village Youth Center as depicted on Exhibit A hereto which is approximately 275 square feet. Included within the Premises rented shall be the use of 100 square feet of storage space in the Village Hall basement. 3. TERM: A. This lease shall commence on the first day of the first month 60 days after the Village notifies the Chamber in writing that the Chamber may occupy the Premises and shall terminate on the last day of the 60th month thereafter, unless sooner terminated as herein set forth. One five (5) year extension to this Lease may be granted upon terms mutually acceptable to both parties to this Lease. B. This Lease may be terminated by either party upon 120 days prior written notice. Pagel U4 • 4. RENT: • A. Chamber shall pay the Village as rent for the Premises for the first five (5) years of the Term, a total yearly rental of $3,850.00 payable monthly in advance before the first day of each calendar month when due in installments of $320.83. B. For year 6 of the Lease Term the rent shall be increased by the average increase in the Chicago Consumer Price Index ( "CPI ") for the first five years of the Lease Term. For years 7, 8, 9 and 10 of the Lease Term the rent shall be increased annually the average increase in the CPI for the preceding year. 5. CONSTRUCTION: The Village will build -out the Premises suitable for the Chamber office. The Chamber shall reimburse the Village for the cost of the build -out. 6. SIGN: A. The Village will cost share on a 50 -50 basis with the Chamber for a refacing of the existing Village Youth Center sign to add the Chamber. Said sign shall be subject to Village approval. B. Any additional signage shall be at the Chamber's expense and must be preapproved by the Village. 7. DOOR SIGN: The Chamber may post a sign with the Chamber logo on the door of the Premises, but said sign must be non - marring to the door surface. 8. UTILITIES: Village shall provide janitorial service and utilities to the Premises. Chamber shall provide telephone service, fax, cable, Internet and copier service. Village shall install an internal Centrex extension in the Premises for purposes of communication with Village. 9. USE: The Chamber's use of the Premises is limited to Chamber related business. The occasional use of Village Hall conference room space and the remaining portion of the Village Youth Center may be allowed on a pre - arranged basis, so long as it does not conflict with scheduled Village business. The Village encourages the Chamber's continued use of the Buffalo Grove Golf Course Restaurant for its Executive Board meetings and its monthly membership meetings. 10. KEYS: Village shall provide Chamber three (3) keys or three (3) sets of keys to the Premises, the Village Youth Center main door, the Village Youth Center washrooms, the Village Hall main entrance, the Village Hall north entrance, and current Chamber storage cage in Village Hall basement. Chamber shall not change the locks or put any additional locks on the Page 2 of 4 Premises. These keys shall not be duplicated by the Chamber and shall be strictly controlled by the Chamber. 11. CHAMBERS REPAIR: Chamber shall, at its cost and expense, repair or replace any damage to the Premises or Village personal or real property damaged by Chamber or its invitees. 12. CHAMBERS CONTRACTS: Chamber shall not enter into any contract for repairs, maintenance, rehabilitation, restoration, construction or fixtures or equipment for the Premises without Village's prior written consent. 13. INSURANCE AND INDEMNITY: A. Chamber shall at all times during the term hereof, carry and maintain for the mutual benefit of Chamber and Village the following insurance: General comprehensive liability: $1,000,000 combined single limit (CSL) per occurrence for bodily injury, personal injury and property damage. Chamber shall cause Village and its agents to be named as additional insureds in such general comprehensive liability insurance policy. Such insurance shall be issued by companies approved by Village. B. The chamber does hereby indemnify and hold harmless and agrees to defend the Village, its officers, agents and employees from any and all claims arising out of this Lease. 14. ASSIGNMENT: Chamber shall not assign this Lease or any interest hereunder and will not sublet the Premises or any part thereof and will not permit the use of said Premises by any other parties than the Chamber, except with the written consent of Village. 15. DEFAULT: If Chamber breaches this Lease, Village may terminate this Lease and again repossess the Premises. 16.
