A RESOLUTION APPOINTING AMERICAN NATIONAL BANK AND TRUST COMPANY OF CHICAGO
AS BOND REGISTRAR /PAYING AGENT FOR CERTAIN VILLAGE OF BUFFALO GROVE
CORPORATE PURPOSE GENERAL OBLIGATION BONDS
WHEREAS, the Village of Buffalo Grove has previously appointed Municipal
Services Corporation of Wheaton, Illinois to serve as Bond Registrar and Transfer
Agent for it's Corporate Purpose General Obligation Bonds Series 1992, 1993 -A,.
1993 -B and 1994; and
WHEREAS, due to the merger of NBD Bank with the First National Bank of
Chicago, the paying agent services for these issues will no longer be performed
by NBD Arlington Heights and will be assigned to the American National Bank and
Trust Company of Chicago as successor agent for NBD Bank; and
WHEREAS, in order to obtain the greatest efficiencies in the management of
the fiduciary and legal obligations the Village has in servicing its debt, the
consolidation of registrar, transfer agent and paying agent services would be in
best interests of the Village.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF
THE VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES, ILLINOIS that:
Section 1. The Village of Buffalo Grove hereby confirms the appointment of
American National Bank and Trust Company of Chicago as successor agent of
the First National Bank of Chicago to provide Paying Agent services
previously undertaken by NBD Arlington Heights for it's Corporate Purpose
General Obligation Bonds Series 1992, 1993 -A, 1993 -B and 1994.
Section 2, The Village of Buffalo Grove hereby further appoints the
American National Bank and Trust Company of Chicago to provide both Bond
Registrar and Transfer Agent services on the above bond issues now
performed by Municipal Services Corporation of Wheaton, Illinois.
Section 3. The Village President and Village Clerk are hereby authorized
to execute this Resolution which authorizes this appointment.
