RESOLUTION NO. 95- 53
A RESOLUTION AUTHORIZING THE EXECUTION OF THE REVISED
SERVICE CONTRACT BETWEEN THE VILLAGE OF BUFFALO GROVE
AND THE WHEELING RURAL FIRE PROTECTION DISTRICT
WHEREAS, pursuant to Village Resolution No.80 -26, the Village entered into an
agreement with the Wheeling Rural Fire Protection District and the then Buffalo Grove
Fire Department, Inc. Which agreement provided among other things, for fire
protection and ambulance service by the Village within certain lands in the District;
and,
WHEREAS, the Village, pursuant to its Home Rule Powers, the Illinois
Intergovernmental Cooperation Act, and Illinois Compiled Statutes, desires to provide
fire and ambulance protection service to certain areas of the District by contract; and,
WHEREAS, on April 18, 1994, the Village President and Board of Trustees
adopted Resolution No. 94 -22 which authorized and directed the President and Village
Clerk to execute a contract between the Village and District to provide fire and
ambulance protection to areas of the District for the period May 1, 1994 through April
30, 1995; and,
WHEREAS, it is now necessary to adopt a service agreement between the
Village and District for the period from May 1, 1995 through April 30, 1996.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES,
ILLINOIS, AS FOLLOWS:
Section 1. The Village President and Village Clerk are hereby authorized and
directed to execute the contract attached hereto as Exhibit "1 " with the Wheeling
Township Rural Fire Protection District to provide fire and ambulance protection for the
period from May 1, 1995 through April 30, 1996.

Bill, attached is a new contract with the Wheeling Township Rural Fire Protection District
( WTRFPD) which reflects the Village's actual cost of providing fire protection to our residents.
This new contract was executed by the WTRFPD on July 11, 1995. I recommend the Village
accept this latest contract.
Also, since the board executed the original contract by passing Resolution No. 95 -16, this
Resolution must be repealed.

AND LAKE COUNTIES, ILLINOIS, AS FOLLOWS:
Section 1. The President and Secretary are hereby authorized and directed to execute
the contract attached hereto as Exhibit "1" with the Village of Buffalo Grove to provide fire and
ambulance protection for the period from May 1, 1995 through April 30, 1996.
Section 2. This Resolution shall supercede any resolution or motions, or parts of
resolutions or motions in conflict with any part herein, and any such resolutions or motions are
all hereby repealed to the extent of any conflict with this Resolution.

FIRE PROTECTION AND EMERGENCY
AMBULANCE SERVICE CONTRACT
THIS AGREEMENT made and entered into as of the 1st day of May A.D. 1995, by and
between the WHEELING TOWNSHIP RURAL FIRE PROTECTION DISTRICT, a municipal
corporation, Cook and Lake Counties, Illinois (hereinafter referred to as the "District "), and the
VILLAGE OF BUFFALO GROVE, a municipal corporation, Cook and Lake Counties, Illinois
(hereinafter referred to as the "Village ").
WHEREAS, the District is a municipal corporation organized and existing under Chapter
70 of the Illinois Compiled Statutes as amended; and
WHEREAS, the District is authorized pursuant to Section 11 a of the Fire Protection District
Act, 70 ILCS 705/0.01 et seg. to contract with any corporation, adjacent fire protection district or
village to furnish fire protection services and emergency ambulance services within all or a portion
of the territory of the District; and
WHEREAS, the District is desirous of entering into a contract with the Village to provide
such fire protection services and ambulance services to a portion of the territory of the District;
and
WHEREAS, the Village is a municipal corporation organized and existing under the
Statutes of the State of Illinois; and
WHEREAS, the Village has an operating fire department and emergency ambulance
service; and
. WHEREAS, the Village is desirous of entering into a contract with the District to provide
fire protection and emergency ambulance service.
WHEREAS, the Village and the District have the power, pursuant to the Intergovernmental
Cooperation Act, 5 ILCS 220/1 and Section 10 of Article 7 of the 1970 Constitution of the State
of Illinois, to enter into this Agreement for the purposes stated herein.
NOW, THEREFORE, IT IS AGREED AND UNDERSTOOD by and between the District
and the Village as follows:
ARTICLE I
That for the period beginning on May 1, 1995 and expiring on April 30, 1996, the Village
shall furnish on a continuous basis, 24 hours a day, seven days a week all fire fighting, fire
protection, fire prevention and emergency ambulance services; all fire fighting, fire protection, fire
prevention and ambulance equipment; all personnel whether volunteer or paid; and all facilities
to house and administer the equipment and personnel to be provided as deemed necessary in
the judgment of the Village to provide fire protection and emergency ambulance service for the
territory so designated on EXHIBIT "A" attached hereto.
EXHIBIT A
ARTICLE II
That during the existence of this contract the Village shall cooperate with the District and
with other entities having contracts with the District so as to promote the health, safety, welfare
and convenience of the public residing within the territory of the District.
ARTICLE III
That the Fire Chief of the Village shall have the sole and exclusive right and responsibility
to prescribe the manner of giving the alarm for fire or other emergency in the territory designated
and shall further have the sole and exclusive authority and responsibility to direct and control any
and all fire fighting, fire protection and prevention and emergency operations carried on within the
territory designated either by gray shading (Lake County) or by diagonal slashed (Cook County)
on EXHIBIT "A" attached hereto. In the event that the scene or emergency is covered by the
Village and any other entity having a contract with the District, the above described
responsibilities shall be shared jointly and mutually between the respective Fire Chiefs.
ARTICLE IV
That all expenses of maintaining equipment and apparatus, salaries, insurance premiums
and any and all other items of expense connected with the services, equipment, personnel and
facilities to be supplied by the Village shall be the total responsibility of the Village and the Village
agrees to hold the District harmless and to indemnify the District with respect to any and all
causes of action which occur from the activities performed under this Contract.
ARTICLE V
That the sole responsibility of the District under the contract is to pay to the Village the
sums called for under Article VII herein.
ARTICLE VI
That from time to time during the term of this contract the Buffalo Grove Fire Chief shall
meet with the trustees of the District and the Fire Chiefs of other entities having contracts with
the District so as to benefit the public and to carry further the intentions and purposes of this
Agreement. The Village shall provide quarterly reports of activities in performance of its
obligations under this Agreement, and shall provide dispatch fire and /or EMS reports to the
District upon the reasonable request of the District.
ARTICLE VII
That for the period of time covered by this Agreement the District agrees to pay and the
Village agrees to accept in full and complete payment for its fire fighting and emergency
ambulance services provided hereunder the sums of $11,575.00 and $11,575.00 respectively.
The Village shall have no liability for any expenses of the District.

In the event that tax revenues are not received as anticipated by the District, the payments
hereinabove referred to shall be made as soon after the installment or due date as the finances
of the District allow, but in no event later than January 1, 1996. It is to be understood that the
total of $23,150.00 of payments referred to above is based on the following itemized
expenditures:

divided by the sum of the final calendar, 1993 assessed and equalized valuation of the Village
of Buffalo Grove, which totaled $751,640,940, plus the assessed and equalized valuation of the
property within the area designated by either gray shading (Lake County) or diagonal slashing
(Cook County) on EXHIBIT "A" and defined in EXHIBIT "B" attached hereto totaling $3,819,986
multiplied by 100 which will equal a service rate of $.6060 per $100 assessed and equalized
value. Such service rate is then multiplied by the assessed and equalized valuation of the
designated service area defined in Exhibit "B" and divided by 100 which is equal to the contract
charge above.
ARTICLE VIII
That all fire fighting, fire prevention, fire protection, emergency procedures and emergency
ambulance procedures conducted by the Village hereunder shall be under and in accordance with
the regulations and ordinances of the Department, the Village of Buffalo Grove, the District, and
also under and in accordance with the State Statutes and other State Regulations. It is agreed
that the services provided by the Village to the District shall be performed in the same manner
at a level which is equal to that level of services provided by the Village to its residents. The term
"same" is intended to mean that resources will be allocated and incidents prioritized based on the
nature of the incident and availability of resources.
ARTICLE IX
The Village and the District acknowledge that the Village currently is, and may from time
to time in the future be, a party to agreements with other providers of various fire protection and

emergency medical services for mutual and /or automatic aid (the "Mutual Aid Agreements "). The
Village agrees that, to the extent permitted by the Mutual Aid Agreements, the Mutual Aid
Agreements shall apply within the corporate limits of the District to the same extent as within the
corporate limits of the Village.
ARTICLE X
Each party hereby waives any and all claims or causes of action that it may, at any time, have
against the other party that arise out of or relate in any way to the Fire Protection Services
provided for by this Agreement or to any disruption in or failure to provide such Fire Protection
Services.
ARTICLE XI
The Village shall secure and maintain at all times during the term of this Agreement General
Liability and Auto Liability insurance in amounts that the Village determines is appropriate. Such
insurance shall include the Fire Protection District as an Additional Insured. The Village shall be
responsible for providing to the District a Certificate of Insurance evidencing such Additional
Insured status. It is agreed that 100% of the expense associated with including the District as
an Additional Insured shall be borne by the Village and shall be included in determining the Actual
Cost of Fire Protection Services.
It is agreed that the Village and the District shall each be responsible for maintaining separate
insurance policies for Public Officials Liability in amounts that each party deems appropriate. The
District shall be responsible for paying in full the cost of its Public Officials Liability Insurance
policy.
ARTICLE XII
The District shall notify the Village in writing and as soon as practicable of any change in the
District's corporate limits.
ARTICLE XIII
This Agreement, and the rights created by it, may not be amended, modified, or waived in any
respect except by written agreement expressly referring to this Agreement and duly and validly
authorized executed, and delivered by the parties hereto.
ARTICLE XIV
All notices and other communications in connection with this Agreement shall be in writing and
shall be deemed delivered to the addressee thereof when delivered in person at the address set
forth below or three business days after deposit thereof in any main or branch United States post
office, certified or registered mail, return receipt requested, postage prepaid, properly addressed
to the president of the respective Board of Trustees as follows:
