A RESOLUTION APPROVING AN AGREEMENT CONCERNING THE BUFFALO GROVE - WHEELING
BIKE PATH PROJECT
WHEREAS, the Village of Buffalo Grove desires to promote the
creation and maintenance of a high quality communitywide and inter - community
bike path; and,
WHEREAS, an Illinois Transportation Enhancement Program Grant offer
has been extended to local government agencies for the implementation of the
"Buffalo Grove - Wheeling Bike Path Improvement "; and,
WHEREAS, an agreement with other local government agencies and
civic organizations is required in order to efficiently coordinate the
implementation of the Buffalo Grove - Wheeling Bike Path Improvement and to
take advantage of the currently available grant funding;
NOW, THEREFORE, BE IT RESOLVED by the Village President and Board
of Trustees of the Village of Buffalo Grove, Lake and Cook Counties, Illinois
as follows:
1. The agreement entitled, "An Agreement Concerning The Buffalo Grove -
Wheeling Bike Path Between The Village of Buffalo Grove, The Buffalo Grove
Park District, The Village of Wheeling, The Wheeling Park District, The
Buffalo Grove Rotary Club and the Wheeling Rotary Club" is hereby approved.
2. The Village President and Village Clerk are authorized and directed to
execute the agreement approved herein. A copy of said agreement is attached
hereto and made a part hereof.

AN AGREEMENT
CONCERNING THE BUFFALO GROVE - WHEELING BIKE PATH
BETWEEN
THE VILLAGE OF BUFFALO GROVE, THE BUFFALO GROVE PARK DISTRICT,
THE VILLAGE OF WHEELING, THE WHEELING PARK DISTRICT, THE BUFFALO GROVE
ROTARY CLUB AND THE WHEELING ROTARY CLUB
This agreement is made and entered into, this 4th day of April ,
1994 by and between the Village of Buffalo Grove, Illinois, a municipal
corporation, the Buffalo Grove Park District, a municipal corporation, the
Village of Wheeling, Illinois,a municipal corporation, the Wheeling Park
District, a municipal corporation, the Buffalo Grove Rotary Club and the
Wheeling Rotary Club.
WITNESSETH, THAT
WHEREAS, the Village of Buffalo Grove, the Buffalo Grove Park District,
the Village of Wheeling, the Wheeling Park District, the Buffalo Grove Rotary
Club and the Wheeling Rotary Club desire to cooperate and coordinate efforts
to implement a bike path extending through portions of both the Village of
Buffalo Grove and the Village of Wheeling in order to better accommodate the
use of bicycles as an alternative means of transportation and as a form of
exercise and recreation;
NOW, THEREFORE, it is agreed as follows:
1. The Buffalo Grove - Wheeling Bike Path Project will complete the missing
segments of bike paths along the route denoted on Exhibit A entitled,
"Buffalo Grove - Wheeling Bike Path Location Diagram ".
2. The Village of Wheeling will enter into an agreement for professional
services which is generally in accordance with Exhibit B entitled,
"Agreement For Consultant Services Between The Village of Wheeling And
Systems Design Group, Ltd."
3. The Village of Wheeling shall also contract with a construction
contractor in accordance with any requirements established pursuant
to the Illinois Transportation Enhancement Grant Funding program.

4. The estimated cost of the project is denoted on Exhibit C entitled,
"Engineer's Preliminary Cost Estimate" prepared by SDG Architects
Planners Engineers and dated February 22, 1994.
5. Cost participation in the project shall be in accordance with Exhibit D
entitled, "Cost Participation Table ".
6. All project expenses resulting from the engineering service and
construction contract described in paragraphs 2 and 3 above shall
initially be paid to the involved engineer and contractor by the
Village of Wheeling.
7. The Buffalo Grove Rotary CLub and the Wheeling Rotary Club and the
Wheeling Park District will pay the full estimated cost which is
allocated to them in Exhibit D within 60 days following their receipt
of notification from the Village of Wheeling that the Agreement For
Engineering Services has been established as described in paragraph 2.
The Village of Wheeling shall make financial records available to the
Buffalo Grove Park District as payments for the project are made by
the Village of Wheeling. The Buffalo Grove Park District will then
pay the full amount of grant funds which it receives from the IDOC
promptly following the Buffalo Grove Park District's receipt of any
project related IDOC grant funds. Any final billing or repayment
of funds received which exceed the actual final cost allocation
established pursuant to Exhibit D related to each agency or club
shall be promptly issued by the Village of Wheeling following the
project's completion.
8. Upon final completion of the project, those portions and elements of the
completed project which are constructed on property owned by the Buffalo
Grove Park District shall be owned and maintained by the Buffalo Grove
Park District. Any other portions or elements of the completed project
which lie on public street right -of -ways or municipal easements located

north of the common limits of the Village of Buffalo Grove and the
Village of Wheeling, which common limits are within or adjacent to Lake
Cook Road, shall be owned and maintained by the Village of Buffalo
Grove. Any portions and elements of the completed improvement lying
south of the above described common Village limit lines of the Village
of Buffalo Grove and the Village of Wheeling shall be owned and
maintained by the Village of Wheeling. This paragraph is subject to any
agreements concerning bikeway maintenance which may now exist or
which may be created in the future such as the agreement entitled, "An
Agreement Concerning The Joint Maintenance of Certain Bike Paths"
between the Village of Buffalo Grove and the Buffalo Grove Park
District dated April 24, 1989.
9. Progress meetings shall be held each month to allow participants
of the agreement to meet with the engineer to review the progress
of the project.
10. Contemporaneous with the execution hereof, each party hereto shall
furnish the other parties hereto a certified copy of the resolution of
the duly constituted corporate authority of that party authorizing and
directing the execution of the agreement.

This is an AGREEMENT between the VILLAGE OF WHEELING, COOK and LAKE
COUNTIES, hereinafter referred to as the °VILLAGE', and Systems Design Group,
Ltd., 1051 Perimeter Drive, Suite 1110, Schaumburg, Illinois 60173, a firm of
consulting architects and engineers, hereinafter referred to as the
"CONSULTANT". The general description of the project is as follows:
A. New Bikeway Improvement from existing bike path south of Busch
Road extending southerly in and adjacent to the Commonwealth
Edison R.O.W. to the Southline of the Buffalo Grove Park District
Parcel then westerly to the existing bike path in Hastings Lane a
total distance of approximately 0.64 miles:
B. New Bikeway Improvement from the existing bike path in Hastings
Lane at Lake Cook Road extending easterly along the North right of
way of Lake Cook Road to the SOO Line Right -Of -Way and underpass
beneath Lake Cook Road. From Lake Cook Road continuing southerly
in the Commonwealth Edison R.O.W. to the north line of Village of
Wheeling, Well 'Site. No.. 5 then extending westerly through the
Wheeling Well Site property to Old McHenry-Road then southeasterly
to Dundee Road then easterly along Dundee Road to the Wheeling
Municipal Complex a total distance of approximately 2.16 miles.
The CONSULTANT, in signing this AGREEMENT, certifies that he (she) has
no financial or other interests in the outcome of this Project.
Under penalties of'-perjury, the CONSULTANT certifies that 36-3397188 is
their correct Federal Taxpayer Identification Number and they are doing
business as a Corporation. -

brokerage, contingent fee or other consideration, any
firm or person (other than a bona fide employee
working solely for me or the above Consultant) to

2.0 Scope of Work - Engineering Phases I & II
Description of project:

Phase I Engineering: Preparation of a Project Development Report
in the form of a Categorical Exclusion for improvements linking
the Villages and Park Districts of Wheeling and Buffalo Grove.
The Scope of Work shall be as set forth below and as described in
Exhibit E. The Project Development Report will be prepared in
accordance with the format outlined in the Federal Aid Procedures
Manual published by IDOT, Bureau of Local Roads and Streets. The
report will contain a description of location and existing
conditions, the preferred improvement plan and design
alternatives, and appropriate information on land use, public
involvement, archaeological and historic effects, programmatic
Section 4(f) Evaluation as prepared by others, and other pertinent
informational items required by the Illinois Department of
Transportation or the Federal Highway Administration to secure
Design Approval.
Phase II Engineering: Preparation of Prefinal and Final Contract
Plans and Documents in accordance with the approved Project
Development Report. The Scope of Work shall be as set forth below
and as described in Exhibit E. All work shall be in accordance
with IDOT standard specifications and FHWA requirements for

bikeway design.
The Scope of Work outlined above does not include any of the following:
1) Environmental Impact Report
2) Wetlands Studies

CONDITIONS OF CONTRACT
1.0 Incorporation by Reference
The 'Standard Agreement Provisions for Consultant Services 1990'
of the Department of.Transportation of the State of Illinois,
hereinafter referred to as the "STANDARD PROVISIONS", are
Incorporated and made part of this AGREEMENT except as deleted or
amended hereafter. (STANDARD PROVISIONS section of references
shown in parenthesis)
1.01 (SP 1) Definitions, as they pertain to the PROJECT, shall be as
set forth in Section 1 of the STANDARD PROVISIONS, amended to add
the following:
IDOT - Department of Transportation State of Illinois.
Categorical Exclusion - A written document in support of a
determination that, should the proposed highway (bikeway) section
improvement be constructed, the action will not induce
significant, foreseeable alterations in land use, planned growth,
development patterns, traffic volumes, travel patterns, or natural
or cultural resources.
Section 4 (f) Land - Any land from a public park, recreation area,
wildlife and water fowl refuge or historic site which a
transportation plan or project proposes to use (from the
Department of Transportation Act, 1966).
Environmental Assessment - Any action that is not classified as a
Categorical Exclusion and for which the Environmental Studies and
early coordination indicate that the proposed action will not have
a significant impact on the quality of human environment.
1.02 (SP 1.17) - Wherever the word DEPARTMENT is used, it shall be
construed to mean VILLAGE OF WHEELING except the word DEPARTMENT
shall also include IDOT in Subsections 2.12, 2.24, 2.32, 2.33 of
the STANDARD PROVISIONS.
1.03 (SP 2.41) - The CONSULTANT shall invoice the VILLAGE OF WHEELING,
not the Liaison Engineer, as provided in Section 2.41 of the said
STANDARD PROVISIONS in a format mutually agreed to by the VILLAGE
and the CONSULTANT:

4.2 In the event of CONSULTANT, upon written order from the VILLAGE,
Is required to perform Additional Work or Extra Work, he shall, in
addition to the Prime Compensation, receive payment on the
following basis: The CONSULTANT'S Actual Costs will be reimbursed
in the same manner as set forth in Section 4, plus a negotiated
Fixed Amount based on the estimated cost of work subject to a
preagreed Upper Limit of compensation for each item of work.
5.0 Termination and /or abandonment of this AGREEMENT shall be in
accordance with Section 2.37 of the STANDARD PROVISIONS.
5.1 Exhibits A through E are incorporated herein by reference.
5.2 Engineer shall indemnify and hold harmless the Village of
Wheeling, the Village of Buffalo Grove, the Wheeling Park District
and the Buffalo Grove Park District from loss or expense,
Including reasonable attorney's fees for claims for personal
injury (including death) or property damage arising out of the
sole negligent act, error or omission of Engineer.
Village of Wheeling, Village of Buffalo Grove, Wheeling Park
District, and Buffalo Grove Park District shall indemnify and hold
harmless Architect /Engineer, up to the same amount that
Architect /Engineer undertakes to indemnify the Village of
Wheeling, Village of Buffalo Grove, Wheeling Park District and
Buffalo Grove Park District under this Agreement, from loss or
expense, including reasonable attorney's fees, for claims for
personal injuries (including death) or property damage arising out
of the sole negligent act, error or omission of Village of
Wheeling, Village of Buffalo Grove, Wheeling Park District and
Buffalo Grove Park District.
In the event of joint or concurrent negligence of the
Architect /Engineer, the Village of Wheeling, Village of Buffalo
Grove, Wheeling Park District and Buffalo Grove Park District each
shall bear that portion of the loss or expense that its share of
the joint or concurrent negligence bears to the total negligence
(including that of third parties) which *caused the personal injury
or property damage.
5.3 The following insurance requirements will be met by the
Architect /Engineer prior to beginning the services.
General Liability= Limits of coverage evidenced should be
t1,000.WO per claim and aggregate. Coverage should Include—
- premises, completed operations, explosion, collapse, and -
underground (XCUI, contractual liability, personal injury, bodily
injury and property damage.
Professional Liability - The Architect /Engineer will provide
evidence of 61,000,000 per claim and aggregate limit of
Professional Liability coverage.

2.1 The CONSULTANT will furnish the original and a reasonable number
of prints of all necessary plans and documents as determined by
the VILLAGE including the following:

6 Copies of the Final Project Development Report
2.2 The VILLAGE shall furnish the following items to the CONSULTANT
for his use in performing the work under this AGREEMENT:
All available utility, average daily traffic volumes
(ADT), accident data; and available information
Including standard details and standard specifications
adopted by the VILLAGE , As -Built Plans, Easement
and /or Access Covenants, Rights of Access for
surveying and other required field work, as well as
other available data useful to the work being done by
the CONSULTANT.
3.0 Project Schedule
The CONSULTANT shall commence work on Phase I within five calendar
days after date of authority to proceed. The Phase I work will be
completed and delivered to the DEPARTMENT within 180 calendar days
after notice to proceed. Upon approval of the Project Report
(Phase I Engineering) the schedule for Phase II will be
established.
4.0 Prime Compensation - The CONSULTANT shall receive, as payment for
completing the work required of him under this AGREEMENT (except
for Additional-Work -or Extra Work), reimbursement of his eligible
Actual Costs in accordance with Section 2.45 of the STANDARD
PROVISIONS, plus a fixed fee of $3,330.00 subject to an upper
limit of $43,500.00.
The attached Exhibit D is to be used as set forth in Section 2.42
of the STANDARD PROVISIONS.
4.1 The maximum retairiage shall be $1,305.00 in accordance with
Section 2.42(b) of the STANDARD PROVISIONS.

The Architect /Engineer's General Liability policy shall be
endorsed with the following language: "The Village of Wheeling,
the Village of Buffalo Grove, the Wheeling Park District and
Buffalo Grove Park District their employees and agents are named
as additional insurers as their interests may appear with respect
to the project'.
Certificates of Insurance shall be provided to the Village on
standard certificate forms, signed by an authorized agent of the
brokerage firm or carrier providing the certificate. Carriers
providing coverage should be reputable, and only those insurance
companies having an A.M. Best rating of A; Class VI or better
should be used unless prior written approval is obtained from the
Village. Carriers shall also be required to furnish a 30 -day
notice of cancellation or material alteration to the Village at

Dear Mr. Vane:
We have completed our review of your "Statement of Experience and
Financial Condition" (SEFC) which you submitted for your fiscal
year ending December 31, 1992. Based on your reported
transportation related staff and experience, you have been
prequalified in the transportation specialization categories
indicated on the attached summary. Also, your firm's total annual
transportation fee capacity is $400,000.
Your firm's burden and overhead rates totaling 128.0% are approved
on a provisional basis and will be used in evaluating your
Statements of Interest in our selection process. The actual
burden and overhead rates which will be used in agreement
negotiations will be those approved by our Bureau of Accounting
and Auditing in its pre -award audit.
Your firm is required to report to this office any additions or
deletions of your licensed professional staff or any other key
personnel which would affect your firm's prequalification in a
particular prequal i fi cation category. This report must be
submitted within 15 calendar days after the change occurs.
Your firm is prequalified until December 31, 1993. You will be
given an additional six months from this date to submit the
corporate and fiscal information portion of the "Statement of
Experience and Financial Condition" (SEFC pages 21 -31) to remain
prequalified.

5. Public Involvement and Design Approval
a. Present Preferred Improvement plan and Section 4(f)
Evaluation at the FHWA /IDOT coordination meeting to
obtain concurrence of Group 2 Categorical Exclusion
and authorization to advertise a Notice of Public
Improvement.
b. Submit Notice of Public Improvement in local newspaper
to allow for a minimum of ten (10) days for public
comment on the improvement plans.
C. After receipt of comments on Prefinal Project
Development Report and public and agency comments,
obtain design approval from FHWA and IDOT.
6. Draft Project Report
a. A Draft Project Report meeting IDOT /FHWA requirements
will be submitted which will summarize the preliminary
engineering efforts including data collection,
coordination documentation, alternative analysis,
programmatic Section 4(f) Evaluation, recommendations,
and Preferred Improvement Plan.
b. A preliminary estimate of cost based on the preferred
improvement plan will be prepared.
C. Draft Report will be submitted for Villages, Park
Districts and IDOT review and approval.
7. Final Project Report
a. The Report will be.updated based on agency and public
review comments.
