A RESOLUTION APPROVING AN AGREEMENT FOR PHASE II ENGINEERING SERVICES FOR THE
BUSCH PARKWAY (WEILAND ROAD TO CORPORATE GROVE DRIVE) STREET IMPROVEMENT
WHEREAS, the Village Board desires to implement the Busch Parkway
(Weiland Road to Corporate Grove Drive) Street Improvement; and,
WHEREAS, the approval of a Phase II engineering service agreement
is required in order to proceed with the implementation of the improvement;
NOW, THEREFORE, BE IT RESOLVED by the Village President and Board
of Trustees of the Village of Buffalo Grove, Lake and Cook Counties, Illinois
as follows:
1. The agreement with Midwest Consulting Engineers, Inc. Dames & Moore,
Inc. for the Phase II engineering of the Busch Parkway (Weiland Road to
Corporate Grove Drive) Street Improvement is hereby approved.
2. The Village Manager and Village Clerk are hereby authorized and directed
to execute said agreement. A copy of said agreement is attached hereto
and made a part hereof.

THIS is an AGREEMENT, between the Village of Buffalo Grove, Lake County,
acting through its President and Board of Trustees, hereinafter referred to as the
VILLAGE, and MIDWEST CONSULTING ENGINEERS, INC., DAMES & MOORE,
INC., a firm of consulting engineers whose address is One Continental Towers, 1701 Golf
Road - Suite 404, Rolling Meadows, Illinois 60008, hereinafter referred to as the
CONSULTANT.
WHEREAS, the VILLAGE proposes to engage the CONSULTANT to render
professional services, described in Section 2 and including the preparation of contract plans,
special provisions, and cost estimates, in connection with the proposed improvement of
Busch Road from Weiland Road through and including the Corporate Grove Drive
Intersection, including improvements on Busch Parkway and Corporate Grove Drive in the
Village of Buffalo Grove, Lake County, Illinois, hereinafter referred to as the PROJECT.
This AGREEMENT contains all the terms and conditions of the agreement between
the VILLAGE and the CONSULTANT and any changes in this AGREEMENT shall have
no effect unless they are made in writing, signed by both parties, and incorporated as an
amendment to this AGREEMENT. No other written or oral understandings,
representations or agreements, other than those herein, have been made by and between
the parties hereto.
1. Incorporation by Reference
The Illinois Department of Transportation's "Standard Agreement Provisions for
Consultant Services ", dated 1990 hereinafter referred to as the "STANDARD
PROVISIONS ", are incorporated and made a part of the AGREEMENT except as
deleted or amended hereinafter. (STANDARD PROVISIONS' section references
are shown in parenthesis):
1.1 (SP 1) Definitions, as they pertain to the PROJECT, shall be set forth in
Section 1 of the STANDARD PROVISIONS, amended to add the following:
1.1.1 IDOT - Department of Transportation, State of Illinois

1.1.2 Categorical Exclusion - A category of actions which do not individually
or cumulatively have a significant effect on the human environment.
These actions, therefore, are excluded from the requirement for
development and processing of an Environmental Assessment or an
Environmental Impact Statement (for Federal action) or a State
Improvement Report (SIR) (for State -only or State and local funded
actions).
1.1.3 Project Development Report - A document containing appropriate
engineering information and environmental documentation, which is
prepared for Federal or State -only funded actions meeting the
requirements for a Categorical Exclusion. Adequate environmental
analyses must be conducted to substantiate a Categorical Exclusion.
Applicable information required for a Combined Design Report would
also be included in a Project Report.
1.2 (SP 1.17) Wherever the word DEPARTMENT is used, it shall be construed
to mean VILLAGE OF BUFFALO GROVE, the VILLAGE, except the word
DEPARTMENT shall also include IDOT in Subsections 2.12, 2.24(b), 2.27,
2.28, 2.29, and Section 6, in its entirety, of the STANDARD PROVISIONS.
1.3 (SP 2.41) The CONSULTANT shall invoice the VILLAGE not the Liaison
Engineer as provided in Section 2.41 of the STANDARD PROVISIONS, in
a format mutually agreed to by the VILLAGE and the CONSULTANT.
1.4 (SP 3, 4, 5 and 7 ) Sections 3, 4, 5 and 7 of the STANDARD PROVISIONS
are deleted since Phase I engineering has been completed for the project.
2. Scope of Work
The PROJECT is defined in the approved Project Development Report (Phase I
Engineering) for the Busch Road Improvement. This AGREEMENT provides for
completion of Phase II engineering (Final Contract Plans & Documents) for:
Busch Road: Weiland Road (Station 89 +00) through the Corporate Grove
Drive Intersection (Station 109 +70)
Final contract plans and documents will be prepared for one (1) construction section.
The plan format will meet the requirements for an IDOT contract letting using
federal construction funds.

Phase II work under this AGREEMENT will be performed as set forth in Section 6
of the STANDARD PROVISIONS, Scope of Services for Design and Preparation
of Contract Plans, amended as follows (References to sections in the STANDARD
PROVISIONS are shown in parentheses):
2.1 (SP 6.21 and 6.22) Preliminary field survey of Busch Road was completed in
1989 under the Phase I engineering agreement. This AGREEMENT provides
for supplemental field survey to update and verify field conditions on Busch
Road and to obtain topo and cross sections for the new Corporate Grove
Drive intersection.
2.2 (SP 6.23) The PROJECT does not require work under 6.23a, b, c, and f.
Work under 6.23d, Borings, Analysis and Soils Report (1989), and 6.23e,
Pavement Type Study, was performed under the Phase I engineering
agreement. This AGREEMENT provides for obtaining soil borings at the
Corporate Grove Drive intersection, review and updating of the soils report
and pavement design, submittal of the soils report and pavement design to
IDOT and coordination with IDOT to obtain approval.
2.3 (SP 6.24) Delete this work since a centerline survey plat is not required for
this PROJECT.
2.4 (SP 6.32) Delete 6.32 and insert the following in its place: The
CONSULTANT will contact and coordinate with the utility companies,
identify potential conflicts (based on plans provided by the utility companies)
and provide PROJECT plans that will allow the utility companies to analyze
and confirm conflicts. The design and plans for utility adjustments will be
prepared by the respective utility companies.
2.5 (SP 6.42) Delete this section since the PROJECT does not require structure
plans.
2.6 (SP 6.43) PS &E will be prepared for one Construction Section.
2.7 (SP 6.46) This section is modified to read "The CONSULTANT will enter
unit prices and accumulate costs ".
2.8 (SP 6.48a) Delete 6.48a(2) and insert the following in its place: The
CONSULTANT will obtain title insurance reports prior to the preparation of
any right -of -way acquisition plans, plats and legal descriptions. Plats and legal
descriptions will be prepared for two (2) parcels. The format will be as
required to satisfy IDOT standards for Local Agency Federal Aid projects.

2.9 (SP 6.49) Services for staking right -of -way shall be completed during the
construction phase of the PROJECT and are not included in this
AGREEMENT.
2.10 The CONSULTANT shall furnish the VILLAGE, for transmittal to IDOT,
the following documents, plans and copies thereof:
a) Preliminary Roadway Plans: 4 sets of prints
b) Final Contract Plans: Reproducibles (36" x 22 ") and 1 set of prints
c) Special Provisions: Original typed on forms furnished by the
DEPARTMENT.
d) Estimate of Time: Original typed on forms furnished by the
DEPARTMENT.
e) Unit Cost Sheets: Original typed on forms furnished by the
DEPARTMENT where applicable.
f) Estimate of Cost: Original with prices and 1 copy without prices typed
on forms (81/2' x 11 ") furnished by the DEPARTMENT.
The VILLAGE will receive two (2) copies of the above items, including
one (1) set of quality mylar reproducibles.
2.11 The CONSULTANT shall provide PROJECT Administration and
Coordination services which include:
- Attendance at four (4) client coordination meetings
- Attendance at three (3) IDOT project review meetings
- Project Budgeting and Cost Control
- Project Planning and Scheduling by CPM
- Preparation of Project Correspondence and Funding Documentation
- Permit Applications (LCDOT and SMC)
- ICC Stipulated Agreement and Coordination
- Wisconsin Central Railroad Coordination
2.9 The CONSULTANT shall provide Quality Control and Quality Assurance
services which include:
- Independent Plan and Document Review by the CONSULTANT's
construction staff, at the pre -final plan stage.
- Plan -In -Hand field check by the CONSULTANT'S Project Manager, Project
Engineer and construction representative and a VILLAGE representative,
at the pre -final plan stage.
- Final Check of Final Plans and Documents by the CONSULTANT'S
Project Manager.

3. The VILLAGE agrees to furnish the following items:
a. All available survey data, utility information, and other data useful to the
work being done by the CONSULTANT.
4. Project Schedule
The CONSULTANT shall commence work on Phase II within five (5) calendar days
after date of Authority to Proceed. The work will be completed and delivered to the
VILLAGE as follows:
Phase II - Authority to proceed is anticipated to be received by January 19, 1993.
IDOT and the Lake County Council of Mayors have not programmed federal funds
for the PROJECT. However, the VILLAGE anticipates that funding may become
available in 1994. The CONSULTANT will complete the services provided in this
AGREEMENT to allow a February, 1994 IDOT bid letting for the PROJECT. The
PROJECT is included herein as Exhibit F. Accomplishing the February, 1994 bid
letting is contingent upon receiving IDOT approvals within the allotted time shown
on the PROJECT Schedule.
For purposes of Section 2.21 of the STANDARD PROVISIONS, the AGREEMENT
completion date is April 1, 1994.
5. Prime Compensation
5.1 Phase II - Design and Preparation of Contract Plans.
The CONSULTANT shall receive as full payment for completing the Phase
II work required of him under this AGREEMENT, reimbursement of his
eligible actual costs as defined in Section 2.45 of the STANDARD
PROVISIONS, plus a Fixed Fee of $14,370.00. The Upper Limit of
Compensation to the CONSULTANT shall be $119,690.00, and is a result of
the attached Exhibit D, Cost Estimate of Consultant's Services. Services will
be invoiced on the basis of 2.795 times direct labor plus reimbursement for
direct expenses and subconsultant expenses. The retainage provisions
contained in Section 2.42 of the STANDARD PROVISIONS shall not apply.
5.2 The Upper Limit of Compensation may be increased or decreased by
subsequent agreement between the contractual and approving parties if there
is a major change in the scope, character or complexity of the work. The
Upper Limit of Compensation and Specific Rates for Extra Work may be
adjusted in accordance with Section 2.21 of the STANDARD PROVISIONS,

if the duration of the work in any phase extends more than six (6) months
beyond the date of completion stated in Section 4 of this AGREEMENT due
to no fault of the CONSULTANT.
5.3 In all instances where the VILLAGE shall request specific services of the
CONSULTANT, THE CONSULTANT shall indicate to the VILLAGE
whether or not the work shall be considered Extra Work. When requested
by the VILLAGE, the CONSULTANT shall prepare and submit a cost
estimate for such Extra Work. In the event the CONSULTANT, upon written
order from the VILLAGE, is required to perform Extra Work, he shall, in
addition to the Prime Compensation, receive payment for such Extra Work
on the following basis:
Subject to a pre- agreed Upper Limit of Compensation for each item of Extra
Work, the CONSULTANT shall be paid in accordance with the basis defined
in Section 5.1 of this AGREEMENT.
In consideration of these premises, the parties hereto agree as set forth in the
following pages numbered 1 thru 22 inclusive.

DRUG FREE WORKPLACE CERTIFICATION
This certification is required by the Drug Free Workplace Act (Ill. Rev. Stat., ch. 127, par.
152.311). The Drug Free Workplace Act, effective January 1, 1992, requires that no grantee
or contractor shall receive a grant or be considered for the purposes of being awarded a
contract for the procurement of any property or services from the State unless that grantee
or contractor has certified to the State that the grantee or contractor will provide a drug
free workplace. False certification or violation of the certification may result in sanctions
including, but not limited to, suspension of contract or grant payments, termination of the
contract or grant and debarment of contracting or grant opportunities with the State for at
least one (1) year, but not to be more than five (5) years.
For the purpose of this certification, "grantee" or "contractor" means a corporation,
partnership, or other entity with twenty -five (25) or more employees at the time of issuing
the grant, or a department, division, or other entity with twenty -five (25) or more employees
at the time of issuing the responsible for the specific performance under a contract or grant

The contractor /grantee certifies and agrees that it will provide a drug free workplace by:
A. Publishing a statement:
1. notifying employees that the unlawful manufacture, distribution, dispensing,
possession or use of a controlled substance, including cannabis, is prohibited
in the grantee's or contractor's workplace;
2. specifying the actions that will be taken against employees for violations of
such prohibition;
3. notifying the employee that, as a condition of employment on such contract
or grant, the employee will:
a. abide by the terms of the statement; and
b. notify the employer of any criminal drug statute conviction for a
violation occurring in the workplace no later than five (5) days after
such conviction;
B. Establishing a drug free awareness program to inform employees about:
1. the dangers of drug abuse in the workplace;
2. the grantee's or contractor's policy of maintaining a drug free workplace;

programs; and

D. Notifying the contracting or granting agency within ten (10) days after receiving
notice under part (b) of paragraph (3) of subsection (a) above from an employee or
otherwise receiving actual notice of such conviction.
E. Imposing a sanction on, or requiring the satisfactory participation in a drug abuse
assistance or rehabilitation program by, an employee who is so convicted, as required
by section 5 of the Drug Free Workplace Act.
F. Assisting employees in selecting a course of action in the event drug counseling,
treatment, and rehabilitation is required and indicating that a trained referral team
is in place.
G. Making a good faith effort to continue to maintain a drug free workplace through
implementation of the Drug Free Workplace Act.

Gentlemen:
As requested, we have prepared this cost estimate for additional (Phase II) work on the
above referenced project.
As you know we have conducted a Phase I Soil Survey for the project. At that time the
limits of the project were from Mundelien Road (Route 83) on the west to Milwaukee
Avenue (Route 21) on the east. Results of the Phase I work were presented in our
report dated May 9, 1990, SEA File No. 40211.
The section of the alignment considered for this cost estimate begins at Weiland Road
on the west and extends through the Deerfield Parkway /Busch Road /Corporate Grove
Drive intersection. Included in this section is a portion of the alignment (Sta 100.00 to
106 +50) where no soils information was obtained in the Phan I study. At the time of
that study, right -of- access was not secured onto the private property.
After review of the project files, we estimate that a fee of $15M.00 would be required
to conduct additional borings in the previously omitted portion of the alignment and
update the Phase I recommendations in fight of changes in procedure and 1DOT
advisories since the original report was completed. We will not exceed that cost without
your prior approval.
This work will require that mylar sepia copies of the plan and profile showing existing
and proposed grade will be provided by the the Design Engineer for our re- plotting of
the soil profile. Right -of- access to the section of the alignment referenced above
should be provided by the client or lead agency.
