1993-13RESOLUTION NO. 93 - 13 A RESOLUTION RENEWING THE CHANNEL 6 COMMUNITY NETWORK BLOCK PURCHASE AGREEMENT WHEREAS, the Channel 6 Community Network offers a Block Purchase Agreement through which the five members of the Continental Northwest Regional Cable Group may purchase production resources; and, WHEREAS, the agreement has proved to be an economical way for the Village to pursue greater involvement in local cable TV programming and production; and, WHEREAS, the Village is desirous of maintaining an open line of communication to residents on matters of local governance and community affairs. NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES, ILLINOIS, that: 1. The Village hereby accepts the Channel 6 Community Network Block Purchase agreement attached hereto as Exhibit A. 2. The Village hereby authorizes the Village Manager to sign and execute this contract on behalf of the Village. BE IT FURTHER RESOLVED that a copy of this resolution be forwarded to the Elk Grove Park District. Purpose of contract A. An agreement between Channel 6 Community Network and the Village Of Buffalo Grove, Illinois (hereafter referred to as Participant) for an account of 546 production man-hours to be provided by Channel 6 Community Network in exchange for a fee of $20,202.00. Channel 6 Community Network is the municipal access cable channel for Elk Grove Village, Illinois, owned and operated by Elk Grove Park District. B. To stipulate the various clauses that govern the above - stated contractual agreement. 1. Participants must use all 546 production man -hours in one calendar year from the date the Block Purchase Account is opened. Any production man-hours not used will not be refunded or forwarded to the next contract period. a. Man-hours above the 546 hour account may be purchased at the per -hour rate of $37.00 depending on the availability of man-hours at Channel 6 Community Network. 2 . Productions will be scheduled on a 'first -come, first - served' basis. Channel 6 Community Network will attempt to afford all block purchase participants efficient and timely service. It is in the best interest of the participant to schedule production services well ahead of date needed. 3. The total number of participants in the Block Purchase Program will be sharing forty -five percent of Channel 6 Community Network's available man- hours. Participants will be granted an equal share of all production facilities as described and attached to this contract in Exhibit A. Should a given participant's particular production mix require the use of some particular facility in excess of their equal share, that participant will have access to the particular facility on an 'availability' basis. Example: Block Purchase participants share the Channel 6 Multi- Camera Remote Production Van. Each share is 156 hours. If a given participant schedules the Remote Production Van for hours in excess of its share, the participant will be granted those hours only if the van is not being used by another participant within the rights of its equal share. Channel 6 will implement, when possible, provisional strategies to meet the production needs of a participant that is in excess of its 'fair- share' hours for a given facility. Channel 6 will, as an alternative to the remote production van, be able to provide two cameras, a video switcher, and an audio mixer in order to accomplish this task. 4 . The 546 hour block purchase may be shared by a group if a participant so desires. However, Channel 6 will make the contract with a single participant and will expect payment from that single participant. Channel 6 will keep an accounting of hours fora given participant only. It will be up to the participant to keep track of all group activities. b. Channel 6 will not be responsible for any group negotiations. c. Channel 6 will not be responsible for collecting payment from a negligent member of a group- d. Channel 6 will accept requests for productions from only those agents specified by the participant as having the authority to make such requests. 5. A participant may want to open their Block Purchase Account at the beginning of the 1993 calendar year, but may not have funds allocated for such a project till the beginning of the participant's fiscal year. Channel 6 Community Network will allow such an arrangement under the following terms: a. The Block Purchase contract will be signed prior to the commencement of any production services. b. Payment in full will be due on the first day of the participant's fiscal year. 6. Should Channel 6 fail to record the sounds and/or pictures for a requested production due to failure of Channel 6 equipment or Channel 6 operator error, the participant will not be charged the production hours associated with that production. This will be the limit of Channel 6 liability. 7 . Finished Productions a . Participants within the Channel 6 Community Network have the option of scheduled playback on our computer - controlled program origination system. Playback will be allocated utilizing the equal share principle outlined above. Consistent programming slots can be arranged by mutual agreement between Participant and Channel 6. Participants will retain the right within their community to switch from the network feed to their local feed. i . Productions that contain sounds or pictures for which copyright permission has not been obtained will not be cablecast. Participants, as producers, are governed by all applicable laws of copyright and transmission. i i . Productions that violate any local, state, or federal laws will not be cablecast. i i i . Following playback, finished productions will be delivered by regular US Mail to the participant. Finished productions are the property of the participant. b . Participants not wanting any playback option (or those participants outside the Channel 6 Community Network) will have their finished production delivered by regular US Mail at the completion of the project. As an alternative to mailing, participants will be able to go to the Channel 6 facility to pick -up programs, as well. i . Each finished production will be delivered as one Umatic master and one VHS copy. i i . Any additional copies will need to be arranged by the participant at additional expense. 8. Channel 6 Community Network is owned and operated by the Elk Grove Park District. Any disputes arising from the contractual agreement between Participant and Elk Grove Park District will be arbitrated to the mutual satisfaction of Participant and Elk Grove Park District. Participants wanting to renew their Block Purchase Contract should make their intentions known to Channel 6 Community Network no later than sixty days prior to the end of the current contract period. VILLAGE OF BUFFALO GROVE and Channel 6 Community Network agree to all the terms and conditions of this contract. The Block Purchase Contract Account will be opened on the 1 S t day of Marsh , 1993 and, from this date, will be in force for a period of three hundred sixty five days . Full payment will be made to Channel 6 Community Network by the 1 s t day of JUNE 1993.
