1991-690 0 RESOLUTION NO. 91 --!iL A RESOLUTION APPROVING AN AGREEMENT FOR ENGINEERING SERVICES FOR THE RESERVOIR NUMBER TWO NEW PUMPHOUSE CONSTRUCTION AND WELL HOUSE RENOVATION WHEREAS, the Village President and Board of Trustees desire to implement the Reservoir Number Two New Pumphouse and Well House renovation project; and, WHEREAS, the approval of an engineering service agreement is required in order to proceed with the project; NOW, THEREFORE, BE IT RESOLVED by the Village President and Board of Trustees of the Village of Buffalo Grove, Cook and Lake Counties, Illinois as follows: 1. The Letter Agreement dated August 14, 1991 with Strand Associates, Inc. is hereby approved. 2. The Village President and Village Clerk are authorized and directed to execute the agreement. RE: Engineering Agreement Reservoir No. 2 Pump House Construction and Well House Renovation. Buffalo Grove, Illinois This is an Agreement for engineering services between Strand Associates, Inc., hereinafter referred to as the ENGINEER, and the Village of Buffalo Grove, hereinafter referred to as the OWNER, in connection with Reservoir No. 2 Pump House Construction and Well House Renovation, hereinafter referred to as the PROJECT. This Agreement describes services to be provided by the ENGINEER and the fee to be paid to the ENGINEER by the OWNER for completion of the services described. SCOPE The engineering services to be provided shall consist of Reservoir No. 2 Pump, House Construction and Well House Renovation drawings, specifications, bidding assistance, general observation of construction, construction administration and resident project representative services. DETAILED PLANS SPECIFICATIONS COST ESTIMATES CONTRACT AND BIDDING DOCUMENTS, DESIGN DOCUMENTATION Services included are for a new booster station pump house; piping and valves to connect the new pump house to the existing reservoir; design of four new vertical turbine booster pumps with associated piping, valves, and flow metering equipment; electrical and motor control equipment; a diesel generator for emergency power supply housed within the new pump house; modification of the existing reservoir divider walls; renovation of the existing well house; and a parking lot for use by the park district. Services include surveys for final design (not including property or land line surveys); preliminary plans or preliminary prints of final plans and meeting with the OWNER to review these plans; preparation of construction plans and specifications, bidding and contract documents; furnishing fifty sets of plans and specifications; and obtaining approval of Governmental agencies. Al documents, including original drawings, estimates, specifications, field notes and data, are and remain the property of the OWNER, but may be maintained by the ENGINEER until requested by the OWNER. The OWNER will receive a set of reproducible record prints of drawings and copies of other documents, in consideration of which the OWNER will use them solely in connection with the PROJECT. Except for the design and construction engineering services described in this contract, the OWNER agrees to indemnify, defend and hold Strand Associates harmless from any claims and against any claims for damages, cost of defense, or other expenses levied against Strand Associates, including its employees, agents, directors, officers, contractors and subcontractors arising out of any use of these documents outside the scope of this Agreement not directly authorized in writing by the President of Strand Associates. The estimated fee for the DETAILED PLANS, SPECIFICATIONS, COST ESTIMATES, CONTRACT AND BIDDING DOCUMENTS, DESIGN DOCUMENTATION IS $104,000. S& STRAN D ASSOCIATES, INC. Village of Buffalo Grove August 28, 1991 Page 3 ASSISTANCE AND GENERAL ADMINISTRATION OF THE BIDDING PROCESS WITH A TYPED BID TABULATION AND FORMAL RECOMMENDATION FOR THE AWARD OF THE CONSTRUCTION CONTRACT For the services as described above, the estimated fee is $3,000. CONSTRUCTION ENGINEERING SERVICES Services shall include consultation and advice during construction, reviewing contractor's shop drawings, reviewing contractor's periodic estimates and final estimates for payment, furnishing reproducible record plans from information furnished by the CONTRACTOR, making periodic observation visits to the job site during construction to maintain overall review of the PROJECT, and prepare final punch lists. In addition, ENGINEER shall provide resident project representative services. At this time it is anticipated that construction will take 15 months. This contract assumes that the ENGINEER will provide 1,360 hours of resident project representative services during the construction period. The estimated CONSTRUCTION ENGINEERING SERVICES fee is $112,500. In furnishing resident project representative services, the ENGINEER'S efforts shall be directed toward ascertaining for the OWNER that the completed PROJECT will conform to the Contract Documents, but the ENGINEER shall not be responsible for the Contractor's construction means, methods, techniques, sequences or procedures, or for the safety precautions or programs, or for the Contractor(s)' failure to perform the construction work in accordance with the Contract Documents. Delay in completion of the work on the part of any contractor will be considered justification for adjustment of the fee. HOURLY RATES The hourly rates which shall apply for all services described herein are based on a maximum of 2.83 times salary cost and are generally revised on July 1 of each year. Estimated fees for scope items are based upon OWNER giving ENGINEER notice to proceed no later than September 1, 1991 and upon the use of standard Strand Associates billing practices. Land and Easement Surveys and Procurements, Property Surveys: Any services involved in land or easement surveys shall be provided for by an amendment to this Agreement, or through a separate agreement with the OWNER. 2. Federal and State Aid and Loan Applications: Any services of this type required to be provided by the ENGINEER shall be provided by an amendment to this Agreement or through a separate agreement with the OWNER. 3. Revising, Designs, Plans, Specifications and Documents: Those which have been previously approved or where such revisions are necessary to comply with state and federal requirements which are put in force after work has been partially completed, shall be provided for by an amendment to this Agreement or through a separate agreement with the OWNER. 4. Permit and Plan Review Fees: All permit and plan review fees payable to regulatory agencies shall be paid for by the OWNER. Should the ENGINEER pay such fees to expedite approvals, the ENGINEER shall be reimbursed by the OWNER. 5. Preparation for and Appearance in Litigation in Behalf of the OWNER: Any services of this type required to be provided by the ENGINEER shall be provided by an amendment to this Agreement or through a separate agreement with the OWNER. 6. Services Furnished During Readvertisement for Bids, if Ordered by the Owner: Any services of this type required to be provided by the ENGINEER shall be provided by an amendment to this Agreement or through a separate agreement with the OWNER. 7. Additional or Extended Services: during construction made necessary by: a. Work damaged by fire or other cause during construction. b. A significant amount of defective or neglected work of any contractor. C. Prolongation of the construction contract time after the scheduled completion date of any prime construction contract, and d. Default by the contractor under any prime construction contract. Any services of this type required shall be provided by an Amendment separate agreement with the OWNER. to be provided by the Engineer to this Agreement or through a !M STRAN O ASSOCIATES, INC. 0 0 Village of Buffalo Grove August 28, 1991 Page 6 8. Providing more than Fifty Sets of Plans and Specifications. 9. Soil Borings: The PROJECT fees do not include the cost of soil borings in excess of $3,000.00. The ENGINEER shall assist the OWNER in engaging the services of a soils consultant, if required, to perform the necessary soils investigations and to make recommendations on design criteria. 10. Special Work Performed by Others, such as Mill and Shop Inspection and Construction Materials Testing: The PROJECT fees do not include these costs. The ENGINEER shall assist the OWNER in engaging the services of a special consultant, if required, to perform these services. 11. Any Other Services: Any not otherwise covered in this Agreement which are authorized by the OWNER and which are furnished by the ENGINEER. Any changes in the ENGINEER'S scope of work shall be ordered in writing and signed by the Village Manager. If any costs are associated with the scope change, the Village shall be promptly notified in writing and no work shall begin or charges be incurred until the Village Manager approves the cost of any change in writing. PAYMENT The ENGINEER shall bill the OWNER on a monthly basis for the work completed in the preceding month pursuant to the Illinois Prompt Payment Act. Billings shall be on an hourly basis at rates in effect at the time. Labor rates are generally adjusted on July 1 of each year. TERMINATION OF AGREEMENT Should the OWNER terminate the AGREEMENT, payment shall be paid for in full for work completed to date of termination. TAXES Only sales taxes or other taxes on services which are in effect at the time this contract is executed are included in the fee schedule. If the tax laws are subsequently amended by legislation during the life of the contract, the contract shall be adjusted to reflect the net change caused by such amendment. STATEMENT OF ETHICS The ENGINEER'S warrant that they have not employed or retained any comp person, other than a bona fide employee working solely for the ENGINEE solicit or secure this contract, and that they have not paid or agreed t STRAN D ASSOCIATES. Village of Buffalo Grove August 28, 1991 Page 7 any company or person, other than a bona fide employee working solely for the ENGINEERS, any fee, commission, percentage, brokerage fee, gifts, or any other consideration, contingent upon or resulting from the award of making of this contract. For breach or violation of this warranty, the Village shall have the right to annul this contract without liability. The ENGINEERS certify that they have not been barred from signing this Agreement as a result of a violation of Sections 33E -3 and 33E -4 of the Criminal Code of 1961 (Chapter 38 of the Illinois Revised Statutes).
