1991-68o O RESOLUTION NO. 91- 68 A RESOLUTION APPROVING AN AGREEMENT FOR ARCHITECTURAL DESIGN SERVICES FOR REROOFING AND REPLACEMENT OF H.V.A.C. EQUIPMENT AT FIRE STATION #25 WHEREAS, the Village President and Board of Trustees desire to implement the reroofing and replacement of H.V.A.C. equipment at Fire Station #25; and, WHEREAS, the approval of an architectural design service agreement is required in order to proceed with the project; NOW, THEREFORE, BE IT RESOLVED by the Village President and Board of Trustees of the Village of Buffalo Grove, Cook and Lake Counties, Illinois as follows: 1. The Agreement, with selected Approach 1, dated May 17, 1991 with Harris & Kwasek Architects, Inc. is hereby approved. 2. The Village President and Village Clerk are authorized and directed to execute the agreement. A copy of said Agreement is attached hereto and made a part hereof. AYES: 5 - Marienthal, Reid, Kahn, Rubin, Braiman NAYES : 0 - None ABSENT: 0 - None PASSED: August 19 , 1991 APPROVED: August 20 AP illa4d- Tresiden ATTEST: 1 1' VilI44e Clerk CPF25 \DESIGN.RES *4 AGREEMENT BETWEEN OWNER AND ARCHITECT This Agreement is entered into this Twentieth day of August 1991, between the Village of Buffalo Grove (hereinafter referred to as the "Owner "), whose principal office is located at Fifty Raupp Boulevard, Buffalo Grove, Illinois 60089, and Harris & Kwasek Architects, Inc. an Illinois Corporation (hereinafter referred to as the "Architect "), whose principal office is located at 4811 Emerson Avenue, Palatine, Illinois 60067 -7416. It is the intention of the Owner to install a new roofing system and rooftop HVAC equipment (hereinafter referred to as the "Project") for Buffalo Grove Fire Station #25 located at 505 West Dundee Road, Buffalo Grove, Illinois. The scope of the Project includes: Reroof the entire roof area with a single ply torched membrane system with a twenty -year guarantee (assuming one is available from the manufacturer). Add roof hatch and ladder. Rework existing roof drains. Remove cut stone cap, and install metal coping on treated wood blocking wherever cut stone cap exists. Remove and replace shingles and underlayment on all parapets. Reroof backside of mansard parapets. Install new rooftop unit of same size (capacity) as existing (10 ton AC, 300,000 BTU heating) including a five -year extended warranty (assuming one is available from the manufacturer). Acceptable manufacturers are Lennox and Rheem. Trane and Carrier are not acceptable. If necessary, replace existing ductwork on roof. Replace all existing flashing. An alternate price will be obtained for installation of a tapered insulation system. Unit prices would be obtained for replacing damaged and unsuitable existing blocking and rigid roof insulation. The Architect, in consultation with his Mechanical Engineer and Roof Consultant shall provide the design for the Project. The Owner and the Architect agree as set forth below: The Architect's responsibilities include: 1. Site examination. 2. Preparation of Project plans and specifications. 3. Assistance with invitation and advertisement to bid. 1 r e • 4. Pre -bid meeting. 5. Pre - construction site meeting. 6. Four site visits during construction by Architect and Roof Consultant. 7. Bulletin /change order initiation. 8. Final report on Project, including summary of construction, evaluation of workmanship and performance, relevant memoranda and correspondence, observation log for each site visit, and photographic evidence. 9. Site visit by Mechanical Engineer at mechanical unit start up. 10. Certification of Contractor's request for payment. 11. Preparation and final review of Project punch list. The Architect's fee for the above services, including all expenses except those noted below as reimbursable, shall be: Lump sum fee $ 6,500.00 Reimbursable expenses not included in the above lump sum fee shall be invoiced at cost and include: a. Printing costs of Project manual and final report. b. Film and processing costs. C. Sampling of roofing materials for asbestos content (invoiced at cost plus thirty percent). The Architect shall provide additional site visits and Project representation at the following hourly rates: Architect Principal $80.00 /hr Architect $60.00 /hr Roof Consultant $60.00 /hr Roof Quality Control Inspector $45.00 /hr MISCELLANEOUS PROVISIONS The Architect shall not have control over or charge of, and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for safety precautions and programs in connection with the Project, since these are solely the Contractor's responsibility under the Contract for Construction. The Architect shall not be responsible for the Contractor's schedules or failure to complete the Project in accordance with the Contract Documents. The Architect shall not have control over or charge of acts or omissions of the Contractor, Subcontractors, or their agents or employees, or of any other persons performing portions of the Project. All documents, including original drawings, estimates, calculations, specifications, field notes, and data are and remain the property of the Owner, but may be maintained by the Architect until requested by the Owner. The Owner shall receive a set of reproducible mylar record drawings and copies of all other documents upon completion of the Project. The Architect shall provide a certificate of insurance for professional liability acceptable to the Owner's attorney prior to the signing of this Agreement. The work to be performed by the Architect under items 1 and 2 of this Agreement shall be completed by September 3, 1991. The Architect shall design the Project so as to comply with all applicable state and local codes and ordinances. The Architect warrants that'he has not employed or retained any company or person, other than a bona fide employee working solely for the Architect, to solicit or secure this contract, and that they have not paid or agreed to pay any company or person, other than a bona fide employee working solely for the Architect, any fee, commission, percentage, brokerage fee, gifts, or any other consideration, contingent upon or resulting from the award or making of this contract. For breach or violation of this warranty, the Owner shall have the right to annul this contract without liability. The Architect certifies that he has not been barred from signing this Agreement as a result of a violation of Sections 33E -3 and 33E -4 of the Criminal Code of 1961 (Chapter 38 of the Illinois Revised Statutes). This Agreement may be terminated by the Owner upon written notice to the Architect in the event that the Project is delayed for a period of six months or more. In the event of termination, the Architect shall be compensated for all services performed to the termination date. 3 • This Agreement entered into as of the day and year first written above.
