1991-66RESOLUTION NO. 91 - hh A RESOLUTION ADOPTING AN AGREEMENT CONCERNING THE INSTALLATION, OPERATION AND MAINTENANCE OF FOLDING STOP SIGNS ON TRAFFIC SIGNAL POLES AT INTERSECTIONS UNDER THE JURISDICTION OF THE COUNTY OF LAKE WHEREAS, the Village of Buffalo Grove desires to install folding stop signs at various signalized intersections located within the corporate limits of the Village; and WHEREAS, the County of Lake has jurisdiction over certain signalized intersections within the corporate limits of the Village; and WHEREAS, an agreement between the Village of Buffalo Grove and the County of Lake is necessary in order to proceed with installation of said folding stop signs; NOW, THEREFORE BE IT RESOLVED BY THE VILLAGE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF BUFFALO GROVE COOK AND LAKE COUNTIES, ILLINOIS AS FOLLOWS: 1. The attached agreement concerning the installation, operation and maintenance of folding stop signs, is hereby approved. A copy of said agreement is attached hereto and made a part hereof. 2. The Village President and Village Clerk are hereby authorized and directed to execute the agreement. AYES: 5 - Marienthal, Reid, Kahn, Rubin, Braiman NAYES: 0 - None ABSENT: 0 - None PASSED: August 19 1991 APPROVED: August 20 , 1991 APPROVED V' age President ATTEST: OvIa�JJhE+i+n V LVAL11age Clerk 0 0 AGREEMENT BETWEEN THE COUNTY OF LAKE AND THE VILLAGE OF BUFFALO GROVE FOR THE INSTALLATION, OPERATION AND MAINTENANCE OF FOLDING STOP SIGNS ON TRAFFIC SIGNAL POLES AT INTERSECTIONS UNDER THE JURISDICTION OF THE COUNTY OF LAKE THIS AGREEMENT entered into this day of A.D. 1901,1, by and between the COUNTY OF LAKE, Illinois, acting by an through its COUNTY BOARD, hereinafter referred to as the COUNTY, and the VILLAGE OF BUFFALO GROVE, an Illinois Municipal Corporation, acting by and through its Village President and Board of Trustees, hereinafter referred to as the VILLAGE. WITNESSETH WHEREAS, the COUNTY has jurisdiction over certain signalized intersections located in the VILLAGE; and, WHEREAS, the VILLAGE is desirous to install folding stop signs for the intersections listed in EXHIBIT A, as amended from time to time, as provided for hereinafter; and, WHEREAS, the installation of said folding stop signs requires the COUNTY and the VILLAGE to enter into an inter - governmental agreement; NOW, THEREFORE, in consideration of the mutual covenants contained herein, the COUNTY and the VILLAGE hereto mutually agree as follows: 1. It is mutually agreed by and between the parties hereto that the foregoing preambles are hereby incorporated herein as though fully set forth. 2. The VILLAGE agrees that the folding stop signs shall only be used during emergencies such as a power outage. The folding stop signs shall not be used when the traffic signals are operating normally. 3. The VILLAGE agrees that the "police flash" mode shall be activated by the VILLAGE prior to using the folding stop signs. 4. The VILLAGE agrees that concurrent with using the folding stop signs, the VILLAGE shall notify the COUNTY's Division of Transportation and the t , 0 0 Division's traffic signal maintenance contractor that a problem exists with the traffic signals. 5. The VILLAGE agrees that folding stop signs shall be closed by the VILLAGE within one (1) hour after power is restored and before the traffic signals are returned to normal operation. 6. The VILLAGE agrees to install and maintain the folding stop signs at no cost to the COUNTY. 7. The VILLAGE agrees to notify the COUNTY's Division of Transportation of the time and date of the installation of the folding stop signs so that a representative of the Division can be present during the installation. Such notification shall be received no less than five (5) working days prior to the date of the installation. 8. The VILLAGE agrees that the installation must be acceptable to the COUNTY's Division of Transportation and the Division's traffic signal maintenance contractor prior to using the folding stop sign. 9. The VILLAGE agrees to periodically inspect the folding stop signs and the locks to ensure proper function and that the folding stop signs are not inoperable due to rusting or damage. 10. The VILLAGE agrees to provide to the COUNTY's Division of Transportation three (3) sets of keys to the locks on the folding stop signs. The VILLAGE shall promptly notify the Division of Transportation in writing if the locks for the folding stop signs are changed. Three (3) sets of keys shall be provided for the new locks. 11. The VILLAGE agrees to promptly remove, or cause to be removed, at no expense to the COUNTY's Division of Transportation, the folding stop signs upon receipt of written notification from the COUNTY's Superintendent of Highways, if in the opinion of the COUNTY's Superintendent of Highways, operational problems occur or the use of the folding stop signs is contrary to the conditions and stipulations established by the COUNTY's Division of Transportation. 12. The VILLAGE agrees to indemnify, defend, and save harmless the COUNTY, its elected and duly appointed officials, employees, agents, and representatives, and the COUNTY's Division of Transportation, its duly appointed officials, employees, agents, and representatives from and against any and all claims, suits, actions, losses, expenses, damages, injuries, judgements, and demands arising from and relating to the installation, use, and operation of the folding stop signs. The VILLAGE agrees to pay all damages, judgements, costs, and expenses, including attorney and legal fees and court costs, in connection therewith or resulting therefrom, regardless of any limitations of insurance coverage. 13. The VILLAGE agrees that the folding stop signs, all mounting hardware, locks and all appurtenances thereto shall be the sole and exclusive property of the COUNTY's Division of Transportation. i . o • 14. It is mutually agreed by and between the parties hereto that the provisions of THIS AGREEMENT shall apply to the intersection locations as contained in EXHIBIT A attached hereto and hereby made a part hereof. It is further mutually agreed by and between the parties hereto that additional signalized intersections under the jurisdiction of the COUNTY within the corporate limits of the VILLAGE may be added to EXHIBIT A upon receipt of a written request from the VILLAGE to the COUNTY's Superintendent of Highways and upon the written approval of said request by the COUNTY's Superintendent of Highways. 15. It is mutually agreed by and between the parties hereto that THIS AGREEMENT shall not be construed, in any manner or form, to limit the power or authority of the COUNTY or the COUNTY's Superintendent of Highways to maintain, operate, improve, construct, reconstruct, repair, widen or expand any COUNTY Highway as best determined as provided by law. 16. It is mutually agreed by and between the parties hereto that nothing contained in THIS AGREEMENT is intended or shall be construed as in any manner or form creating or establishing a relationship of co- partners between the partners hereto, or as constituting the VILLAGE (including its elected officials, duly appointed officials, officers, employees and agents) the agent, representative or employee of the COUNTY for any purpose, or in any manner, whatsoever. The VILLAGE is to be and shall remain independent of the COUNTY with respect to all services performed under THIS AGREEMENT. 17. It is mutually agreed by and between the parties hereto that the Provisions of THIS AGREEMENT are severable. If any provision, paragraph, section, subdivision, clause, phrase or word of THIS AGREEMENT is for any reason held to be contrary to law, or contrary to any rule or regulation having the force and effect of law, such decision shall not affect the remaining portions of THIS AGREEMENT. 18. It is mutually agreed by and between the parties hereto that the agreement of the parties hereto is contained herein and that THIS AGREEMENT supersedes all oral agreements and negotiations between the parties hereto relating to the subject matter hereof as well as any previous agreements presently in effect between the parties hereto relating to the subject matter hereof. - 3 - 19. It is mutually agreed by and between the parties hereto that any alterations, amendments, deletions, or waivers of any provisions of THIS AGREEMENT shall be valid only when expressed in writing and duly executed by the parties hereto. 20. THIS AGREEMENT shall be binding upon and inure to the benefit of the parties hereto, their successors and assigns. 21. THIS AGREEMENT shall remain in full force and effect for such a period of time as the folding stop signs remain in place, in use, and in operation.
