A RESOLUTION APPROVING AN AGREEMENT
FOR TRAFFIC SIGNAL IMPROVEMENTS
ILLINOIS ROUTE 22 AND PRAIRIE ROAD
(EAST AND WEST)
WHEREAS, an Agreement with the State of Illinois is required to
implement the design, construction and maintenance of traffic signals at
Illinois Route 22 and Prairie Road (east and west); and,
WHEREAS, the Village is required to approve the agreement;
NOW, THEREFORE, BE IT RESOLVED by the President and Board of
Trustees of the Village of Buffalo Grove, Cook and Lake Counties, Illinois,
that the agreement for traffic signal improvements at the intersections of
Route 22 and Prairie Road (east and west) be approved; and the Village
President and Village Clerk are hereby authorized and directed to execute
said agreement which is attached hereto and made a part hereof.

AGREEMENT
7
This agreement entered into this 10th day of September A.D.,
19 90 , by and between the STATE OF ILLINOIS, acting by and through
its Department of Transportation, hereinafter called the STATE, and
the Village of Buffalo Grove, of Cook and Lake Counties, of the
State of Illinois, hereinafter called the VILLAGE.
WITNESSETH:
WHEREAS, the STATE, in order to facilitate the free flow of
traffic and insure safety to the motoring public, is desirous of
improving the intersections of IL 22 @ Prairie Rd. /Main St. (West
Junction) and IL 22 @ Prairie Rd. (East Junction), by installing
traffic control signals (to be known as STATE Section 20TS -1(90) and
as VILLAGE Section 90- 00052- 00 -TL), installing "OPTICOM" emergency
vehicle pre - emption equipment at both locations, and by performing
all other work necessary to complete the improvement in accordance
with the plans and specifications; and,
WHEREAS, the VILLAGE is desirous of said improvement in that
same will be of immediate benefit to the VILLAGE'S residents, and
permanent in nature; and,
WHEREAS, the intersection of IL 22 and Prairie Rd. /Main St.
(W. Jct) lies within the corporate limits of the VILLAGE.
NOW THEREFORE, in consideration of the mutual covenants
contained herein, the parties hereto agree as follows:
1. The STATE agrees to prepare plans and specifications, receive
bids, award the contract, furnish engineering inspection
during construction, and cause the improvement to be built in
accordance with the plans, specifications, and contract. The
STATE also agrees to pay all construction and engineering
costs subject to reimbursement by the VILLAGE as hereinafter
stipulated.
2. The VILLAGE agrees to approve the plans and specifications by
letter or resolution prior to the STATE advertising for the
work to be performed hereunder.
3. It is mutually agreed that the proportional participation for
the construction costs and engineering costs of this
improvement shall be as follows:

5. It is mutually agreed that
the VILLAGE will
reimburse
the
STATE in an amount equal to
the VILLAGE'S
share of the
actual
cost as determined in accordance
with Item
3 above. It
is
mutually agreed that upon award
of the contract
for this
improvement, the VILLAGE will
pay to the
Department of
Transportation of the State
of Illinois,
in a lump sum
from
any funds allotted to the VILLAGE,
an amount
equal to
95% of
its obligation incurred under
this Agreement,
and will
pay to
the said Department the remainder
of its
obligation in
a lump
sum, upon completion of the
project based
upon final costs.

6. The VILLAGE has passed a resolution appropriating
sufficient funds to pay its share of the cost of this
improvement, a copy of which is attached hereto as
Exhibit "A" and made a part hereof.
7. Upon acceptance by the STATE of the new traffic signal
installations, the financial responsibility for
maintenance and electrical energy for the operation of
each respective installation shall be proportioned as
follows:

The STATE shall maintain each signal installation shown
above thru its electrical maintenance contract. The
signals will be maintained at the Level of Maintenance
shown above.
It is further agreed that upon acceptance by the STATE of
the new traffic signal installation at IL 22 @ Prairie
Rd. /Main St. (West Jct) the responsibility for maintenance
and energy outlined above shall become a part of the
Master Agreement executed by the STATE and the VILLAGE on
February 9, 1982.
8. The STATE retains the right to control the sequence and
timing of each traffic signal installation.

9. It is mutually agreed that the financial responsibility
for the maintenance of the "OPTICOM" equipment installed
at each respective intersection included herein, shall be
borne entirely by the VILLAGE. Maintenance of the
"OPTICOM" equipment shall be performed in accordance with
the "OPTICOM" maintenance provisions contained in the
February 9, 1982 Master Agreement.
10. The VILLAGE has adopted and will put into effect, prior to
advertising for the work to be performed hereunder, an
ordinance requiring that parking be prohibited adjacent to
this improvement on the approaches lying within the
corporate limits of the VILLAGE, a copy of which is
attached hereto as Exhibit "B" or immediately adjacent to
this improvement as may be determined to be necessary by
the STATE from traffic capacity studies.
11. The VILLAGE agrees to exercise its franchise right to
cause private utilities to be relocated at no expense to
the STATE.
12. The STATE agrees to make arrangements with the local power
company to furnish electrical energy for the operation of
the traffic signals at both intersections included herein
and to bill the VILLAGE 100% of the cost of the energy
charges for the intersection of IL 22 @ Prairie Rd. /Main
St. (W. Jct). The VILLAGE agrees to pay this cost as
billed by the local power company.
13. The STATE agrees to comply with all applicable Executive
Orders and Federal Highway Acts pursuant to the Equal
Employment Opportunity and Nondiscrimination Regulations
required by the U.S. Department of Transportation.
14. This agreement and the covenants contained herein shall
become null and void in the event the contract covering
the construction work contemplated herein is not awarded
by October 1 1993.
15. This agreement shall be binding upon and inure to the
benefit of the parties hereto, their successors and
assigns.

EXHIBIT A
WHEREAS, the VILLAGE has entered into an Agreement with the
State of Illinois for the installation of traffic control signals at
the intersections of IL 22 @ Prairie Rd. /Main St. (W. Jct) and IL 22
@ Prairie Rd. (E. Jct), known as STATE Section 20TS -1(90) and as
VILLAGE Section 90- 00052 -00 -TL and,
WHEREAS, in compliance with the aforementioned Agreement, it
is necessary for the VILLAGE to appropriate sufficient Motor Fuel
Tax Funds to pay for the cost of the "OPTICOM" installations at each
intersection.
NOW, THEREFORE, BE IT RESOLVED, that there is hereby
appropriated the sum of $11,500 (ELEVEN THOUSAND FIVE HUNDRED AND
NO /100 DOLLARS) or so much thereof as may be necessary, from any
money now or hereinafter allotted to the VILLAGE under provisions of
the Motor Fuel Tax Law, to pay for its share of the cost of this
improvement as provided in this Agreement; and,
BE IT FURTHER RESOLVED, that upon award of the contract for
this improvement, the VILLAGE will pay to the Department of
Transportation of the State of Illinois, in a lump sum from any
funds allotted to the VILLAGE, under the Motor Fuel Tax Law, an
amount equal to 95% of its obligation incurred under this Agreement,
and will pay to the said Department the remainder of its obligation
in a lump sum, upon completion of the project based upon final
costs; and,
BE IT FURTHER RESOLVED, that the VILLAGE agrees to pass a
supplemental resolution to provide necessary funds for its share of
the cost of this improvement if the amount appropriated herein
proves to be insufficient to cover said cost.
