A RESOLUTION INDEMNIFYING AND HOLDING HARMLESS BUFFALO GROVE
TOWN CENTER PARTNERSHIP DURING THE DEDICATION OF THE ROTARY VILLAGE GREEN
WHEREAS, Buffalo Grove Town Center Partnership, an Illinois Limited
Partnership, by Buffalo Grove Associates, an Illinois Limited Partnership, by
B.G.I., Inc., an Indiana Corporation, (hereinafter referred to as
"Indemnitee ") is the owner of record of the following legally described real
property:
Lot 4 and Lot 5 in Buffalo Grove Town Center Unit 39 being a subdivision
of Part of the Southwest Quarter of Section 33, Township 43 North, Range
11 East of the Third Principal Meridian, in Lake County, Illinois,
hereinafter referred to as " Indemnitee's Premises "; and
WHEREAS, the Village of Buffalo Grove, an Illinois Municipal Corporation
(hereinafter referred to as "Village "), will sponsor and hold "The Dedication
of the Rotary Village Green at Town Center" on the 17th day of June, 1990;
and
WHEREAS, the Indemnitee has consented and given permission for the
Village to hold said Dedication on the Indemnitee's Premises;
NOW, THEREFORE, in consideration of the foregoing and the covenants and
agreements hereinafter set forth, the Village of Buffalo Grove, through its
Corporate Authorities, does hereby agree as follows:
1. The Village of Buffalo Grove will indemnify and keep indemnified
the Indemnitee, and hold and save harmless from and against any and all
actions or causes of action, claims, demands, liabilities, loss, damage or
expense of whatsoever kind and nature including attorneys' fees which
Indemnitee shall or may at any time sustain or incur by reason or in
consequence of the Village holding said Dedication on the 17th day of June,
1990, on the Indemnitee's Premises as hereinbefore legally described, or
which Indemnitee may sustain or incur in connection with any litigation,

investigation or other expenditures incident to said Dedication, including
any suit instituted to enforce the obligations of this Agreement of
Indemnity, and the Village will pay to Indemnitee, or their heirs,
representatives, successors and assigns, all sums of money which Indemnitee
shall pay or cause to be paid, or become liable to pay, on account of or in
connection with said Dedication.
