A RESOLUTION AUTHORIZING AN INTERGOVERNMENTAL AGREEMENT BETWEEN THE
VILLAGE OF BUFFALO GROVE AND THE VILLAGE OF WHEELING RELATED TO THE
INSTALLATION AND ONGOING OPERATION AND MAINTENANCE OF THE DUNDEE ROAD
SHARED USE BIKE PATH AND RELATED BIKE /PEDESTRIAN IMPROVEMENTS
WHEREAS, THE Village of Buffalo Grove, Cook and Lake Counties, Illinois is a home rule unit of local
government pursuant to Article 7, Section 6 of the Constitution of the State of Illinois, and;
WHEREAS, the 1970 Illinois Constitution (Art. VII, Sec. 10) and the Illinois Compiled Statutes, 51LCS
220/1-220/8, provide authority for intergovernmental cooperation, and;
WHEREAS, the Northwest Municipal Conference has identified the Dundee Road Corridor as a Tier Two
Bicycle Corridor, and;
WHEREAS, Buffalo Grove and Wheeling desire to improve safety for bicyclists and pedestrians utilizing
the Dundee Road Corridor, and;
WHEREAS, Buffalo Grove has commissioned a study entitled Dundee Road Right of Way Improvement
Report that details the design and construction of a pedestrian and bikeway related project along Dundee Road in
areas of Buffalo Grove (the "Project'), and;
WHEREAS, a widened shared use path along property located within Wheeling of the north side of
Dundee Road (extending approximately 220 feet west of Huntington Lane and 550 feet east of Huntington Lane)
(hereinafter referred to as the "Wheeling Frontage ") would improve safety for bicyclists and pedestrians, and;
WHEREAS, Buffalo Grove has been allocated a Federal Congestion Mitigation and Air Quality
Improvement ( "CMAQ ") grant for a project in this area and the incorporation of the project along the Wheeling
Frontage will result in a complete system through the area, and;
WHEREAS, Wheeling desires to accomplish this work with the assistance of the allocated CMAQ grant
and will reimburse Buffalo Grove for the Wheeling Frontage, and;
WHEREAS, the Village President and the Board of Trustees have determined that the Intergovernmental
Agreement is in the best interests of the Village.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE
VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES, ILLINOIS as follows:
1. Each Whereas paragraph above is incorporated by reference into this Section 1 and made a part hereof
as material and operative provisions of this Resolution.
2. The Board of Trustees of the Village of Buffalo Grove approves, authorizes and directs the President
and Clerk of the Village of Buffalo Grove to execute an Intergovernmental Agreement between the
Village of Wheeling and the Village of Buffalo Grove related to the Installation and Maintenance of
the Dundee Road Shared Use Bike Path, in Substantial conformity with the Agreement attached hereto
as Exhibit A and upon final approval by the Village Manager
3. That this Resolution shall take effect from and after its adoption and approval.

AND RELATED BIKEIPEDESTRIAN IMPROVEMENTS
This Agreement, made and entered into, this 4th day of November 12013,
by and between the Village of Wheeling (Wheeling) and the Village of Buffalo Grove (Buffalo
Grove).
WITNESSETH THAT:
WHEREAS, the 1970 Illinois Constitution (Art. VII, Sec. 10) and the Illinois Compiled
Statutes, 51LCS 220/1- 220/8, provide authority for intergovernmental cooperation; and,
WHEREAS, the Northwest Municipal Conference has identified the Dundee Road
Corridor as a Tier Two Bicycle Corridor, and,
WHEREAS, Wheeling and Buffalo Grove desire to improve safety for bicyclists and
pedestrians utilizing the Dundee Road Corridor; and,
WHEREAS, Buffalo Grove has commissioned a study entitled "Dundee Road Right of
Way Improvement Report" that details the design and construction of a pedestrian and bikeway
related project along Dundee Road in areas of Buffalo Grove (the "Project "); and,
WHEREAS, a widened shared use path along property located within Wheeling on the
north side of Dundee Road (extending approximately 220 feet west of Huntington Lane and 550
feet east of Huntington Lane) (hereinafter referred to as the "Wheeling Frontage ") would
improve safety for bicyclists and pedestrians; and,
WHEREAS, the Project and Wheeling Frontage work are displayed in the Preliminary
Plans attached hereto as EXHIBIT B.
WHEREAS, Buffalo Grove has been allocated a Federal CMAQ grant for a project in
this area and the incorporation of the project along the Wheeling Frontage will result in a
complete system through the area; and,

WHEREAS, Wheeling desires to accomplish this work with the assistance of the
allocated CMAQ grant:
NOW, THEREFORE, it is agreed as follows:
1. The Village of Buffalo Grove will perform or cause to occur or has caused to occur the
preparation of plans, specifications and bidding documents for the Project and for the
construction of the work along the Wheeling Frontage. The bid specifications will
require the bidders to bid the costs of the work along the Wheeling Frontage separately
from the work to be completed within the corporate limits of Buffalo Grove.
2. Upon receipt of bids, Buffalo Grove will supply the bid results to Wheeling and will
obtain Wheeling's approval before accepting a bid for the work along the Wheeling
Frontage. The parties agree that the cost estimate for the Wheeling Frontage work is
$95,450.00 ( "Wheeling Cost Estimate ") as set forth in EXHIBIT C attached hereto. The
parties further agree that the CMAQ grant will cover 80% of the cost of the work along
the Wheeling Frontage and that Wheeling will be responsible for 20% of the Wheeling
Cost Estimate in an amount not to exceed $19,090.00 (the "Wheeling Share "). In the
event that is it determined by Wheeling, after receipt of the bids, that the Wheeling Share
will exceed $19,090.00, Wheeling reserves the right to terminate its participation in this
Agreement without any additional cost to Wheeling.
3. The Wheeling Share, covering a portion of the costs for the preliminary design studies,
the preparation of plans, specifications and bidding documents, the construction and
construction engineering for the work adjacent to the Wheeling Frontage, shall be paid to
Buffalo Grove by Wheeling in accordance with the pay schedule below. The Village of
Buffalo Grove will invoice Wheeling for 75% of the Wheeling Share 30 days after the
work along the Wheeling Frontage has commenced. Upon final payment to the
contractor for the completed Project and for the work along the Wheeling Frontage, the
Village of Buffalo Grove will invoice Wheeling for the remaining 25% of the Wheeling
Share. The CMAQ grant for the project shall reduce the Wheeling Cost Estimate by 80%
as reflected in EXHIBIT C hereto.

4. Each Village shall be responsible for performing, or contracting for the performance of,
all ongoing maintenance, repair and/or replacement of items within its jurisdiction.
5. Contemporaneous with the execution hereof, each party shall famish to the other parties
two certified copies of the Orders, Resolutions or Ordinances of the duly constituted
corporate authority of that party authorizing and directing the execution of this
Agreement.
