A RESOLUTION APPROVING AN AGREEMENT
WITH THE COUNTY OF COOK AND THE VILLAGE OF ARLINGTON HEIGHTS
CONCERNING THE IMPROVEMENT OF ARLINGTON HEIGHTS ROAD
BETWEEN UNIVERSITY DRIVE AND LAKE -COOK ROAD
WHEREAS, the Village of Buffalo Grove is a Home Rule Unit pursuant to the
Illinois Constitution of 1970; and,
WHEREAS, the intergovernmental agreement between the County of Cook and
the Village of Buffalo Grove is necessary in order to cost effectively implement the
construction of a water main which is needed to improve the Village of Buffalo Grove's
water system and to accomplish certain other municipal utility modifications;
NOW, THEREFORE, BE IT RESOLVED by the Village President and Board of
Trustees of the Village of Buffalo Grove, Cook and Lake Counties, Illinois as follows:
1. The agreement between the Village of Buffalo Grove, the Village of Arlington
Heights and the County of Cook concerning the improvement of Arlington
Heights Road between University Drive and Lake -Cook Road entitled
"Intergovernmental Agreement" is hereby approved.
2. The Village President and the Village Clerk are authorized and directed to
execute the agreement. A copy of said agreement is attached hereto and made
a part hereof.

This INTERGOVERNMENTAL AGREEMENT, made and entered into by and between the
COUNTY OF COOK, a body politic and corporate of the State of Illinois, hereinafter called
"COUNTY", the VILLAGE OF ARLINGTON HEIGHTS, a municipal corporation in the State of
Illinois, hereinafter called "ARLINGTON HEIGHTS" and the VILLAGE OF BUFFALO GROVE, a
municipal corporation in the State of Illinois, hereinafter called "BUFFALO GROVE" and
hereinafter collectively referred to as "VILLAGES ".
WITNESSETH
WHEREAS, the COUNTY is desirous of improving Arlington Heights Road from University Drive
to Lake Cook Road by reconstructing the existing pavement, including median removal and
replacement, identified as County Section: 09- V6946 -03 -RP (hereinafter PROJECT);
WHEREAS, the VILLAGES have requested that the completed PROJECT be characteristic and
complimentary with the adjacent land uses and include additional tree plantings and
landscaping of certain medians, and in consideration of the inclusion of these elements, the
VILLAGES would share the construction cost and assume certain liability and maintenance
responsibilities;
WHEREAS, ARLINGTON HEIGHTS has requested relocation and reinstallation of the existing
EVPD system on the traffic signal along Arlington Heights Road at University Drive, including
installation of a new confirmation beacon on a new traffic signal post at said intersection as part
of the PROJECT;
WHEREAS, BUFFALO GROVE owns facilities within COUNTY right -of -way, said facilities
installed by permit and subject to the terms and conditions of COUNTY permit for occupation
within said right -of -way;
WHEREAS, BUFFALO GROVE has requested the COUNTY to include the replacement of
certain segments of its existing public water main and the filling of certain segments of
abandoned sanitary sewer as part of the PROJECT, the cost of said work to be reimbursed by
BUFFALO GROVE to the COUNTY;
WHEREAS, BUFFALO GROVE has requested the replacement of subsurface elements (unit
duct, conduit, electric cables, etc.) for an existing street lighting system across Arlington Heights
Road at Dundee Road as part of the PROJECT, the cost of said work to be reimbursed by
BUFFALO GROVE to the COUNTY;
WHEREAS, the COUNTY is willing to add said landscaping, EVPD relocation, confirmation
beacon installation, water main, sanitary sewer and street lighting work to its PROJECT;

WHEREAS, the VILLAGES and COUNTY desire to revise the cost sharing responsibilities for
EVPD maintenance on the existing traffic signals at the intersections of Arlington Heights Road
at University Drive and at Nichols Road (Bernard Drive) as previously established in
Agreements dated January 11, 1983 and March 4, 1985, respectively; and,
WHEREAS, the COUNTY and VILLAGES, by this instrument, desire to establish their
respective obligations and responsibilities toward engineering, construction and funding of the
PROJECT as well as future maintenance responsibilities of the completed PROJECT.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the above
recitals and other good and valuable considerations, the parties hereto agree as follows:
1. ARLINGTON HEIGHTS shall:
a. supply the COUNTY with landscaped median design plans for inclusion in the
PROJECT, including tree species and planting specifications for up to a
maximum of fifteen (15) trees, and, said design plan is attached as EXHIBIT C
and incorporated herein at ARLINGTON HEIGHTS expense;
b. own and operate the existing /upgraded EVPD system installed on the traffic
signal along Arlington Heights Road at University Drive as part of the PROJECT;
c. pay to COUNTY one hundred (100 %) percent of the construction costs for
relocation and reinstallation of the existing EVPD system and installation of the
new confirmation beacon as described in 1.b. preceding, estimated
ARLINGTON HEIGHTS cost $6,000.00; and, said work shall include but is not
limited to the items and quantities listed in the attached EXHIBIT A;
d. pay to COUNTY fifty (50 %) percent of the construction costs for the landscaped
medians and tree plantings described in 1.a, preceding, estimated ARLINGTON
HEIGHTS share $11,518.38; and, said work shall include but is not limited to the
items and quantities listed in the attached EXHIBIT A;
e. pay it's obligations to the COUNTY (estimated $17,518.38) for the landscaped
medians, tree plantings, EVPD system relocation and confirmation beacon
installation as specified in 1.c., and 1.d. preceding, following Final Inspection
when invoiced by the COUNTY and based upon the actual quantities used and
the contract unit prices as awarded. Payment to the COUNTY shall be made by
check, payable to the Treasurer of Cook County for deposit in COUNTY's Motor
Fuel Tax Fund Account 600 -600 and identified as Section: 09- V6946- 03 -RP,
mailed directly to the Superintendent of Highways, Cook County Highway
Department, 69 West Washington Street, 23rd Floor, Chicago, Illinois 60602;
and,
coordinate and control public notification of the PROJECT scope, timing and
duration through its municipal newsletter, website, etc.

2. BUFFALO GROVE shall:
a. supply the COUNTY with design plans, requirements and specifications for the
construction of new segments of public water main and associated
appurtenances along Arlington Heights Road and along Dundee Road for
inclusion in the PROJECT, including the locations for filling of certain segments
of abandoned sanitary sewer where identified in the PROJECT plans; and, said
work shall include but is not limited to the items and quantities listed in the
attached EXHIBIT B and incorporated herein at BUFFALO GROVE expense;
b. supply the COUNTY with the locations, requirements and specifications for the
replacement of subsurface elements (unit duct, conduit, electric cables, etc.) for
existing street lighting across Arlington Heights Road at Dundee Road for
inclusion in the PROJECT; and, said work shall include but is not limited to the
items and quantities listed in the attached EXHIBIT B and incorporated herein at
BUFFALO GROVE expense;
c. allow the COUNTY access to BUFFALO GROVE owned right -of -way or utility
easements for the purposes of constructing the water main included in the
PROJECT;
d. be responsible for securing all regulatory permits and /or approvals and their
associated fees for the BUFFALO GROVE water main and sanitary sewer work,
including from IDOT and the IEPA;
e. be responsible for any additional right -of -way or utility easements necessary for
construction of the water main, as shown on the BUFFALO GROVE plans and
included as part of the PROJECT, and be responsible for all costs associated
with said right -of -way or utility easement acquisition;
assign a representative to coordinate and monitor the water main work under
construction and bring to the attention of COUNTY's Resident Engineer any
matters of concern with respect to same; and, said representative shall
participate in the existing valve shutdown, new valve opening, water main
pressure testing, chlorination certification and Final Inspection of said water
main work;
g. pay to COUNTY one hundred (100 %) percent of the construction costs for the
water main and sanitary sewer improvements as described in 2.a. preceding,
estimated BUFFALO GROVE cost $432,550.00;
h. pay to COUNTY one hundred (100 %) percent of the construction costs for the
replacement of subsurface elements for existing street lighting as described in
2.b. preceding, estimated BUFFALO GROVE cost $29,933.00;

pay its obligations to the COUNTY (estimated total $462,483.00) for the water
main, sanitary sewer and street lighting costs as specified in 2.g. and 2.h.
preceding, in two installments: the first, $231,000.00 following award of the
PROJECT and notification from the COUNTY; and the second, the remaining
balance of BUFFALO GROVE obligations following Final Inspection and based
upon actual quantities used and contract unit prices as awarded. Payments to
the COUNTY shall be made by check, payable to the Treasurer of Cook County
for deposit in COUNTY's Motor Fuel Tax Fund Account 600 -600 and identified
as Section: 09- V6946- 03 -RP, mailed directly to the Superintendent of Highways,
Cook County Highway Department, 69 West Washington Street, 23rd Floor,
Chicago, Illinois 60602;
j. hold the COUNTY harmless and be responsible for any damages, claims or
judgments which may result solely from the water main, filling abandoned
sanitary sewers and street lighting work, after acceptance of the improvements;
k. own, operate and accept full responsibility for the future maintenance,
replacement, relocation and liability for the water main, sanitary sewer and
electrical conduit installed or improved as part of the PROJECT; and, this
Agreement stands in lieu of a separate COUNTY Highway Permit for said
facilities and BUFFALO GROVE shall be bound to the general terms of
COUNTY Highway Permits as they exist on the date of execution of this
Agreement by the COUNTY; and,
coordinate and control public notification of the PROJECT scope, timing and
duration through its municipal newsletter, website, etc.
3. The COUNTY shall:
a. include ARLINGTON HEIGHTS landscaped median design plans as part of the
PROJECT, including tree species and planting specifications for up to a
maximum of fifteen (15) 2'/2 to 3 in. diameter shade trees, at the locations
described in the plans, estimated total cost $23,036.75;
b. relocate and reinstall the existing EVPD system on its traffic signals along
Arlington Heights Road at University Drive, including installation of one (1) new
confirmation beacon on a new traffic signal post;
c. design, advertise, let, award, construct the PROJECT in accordance with the
approved plans, supervise construction and fund construction and construction
engineering (estimated construction cost $6,200,000.00);
d. replace existing trees that are removed or critically damaged during construction
north of Dundee Road, at COUNTY expense. Exact placement of the trees will
not be shown on the plans but shall be determined during construction;

e. include BUFFALO GROVE design plans as part of the PROJECT and construct
new segments of public water main and associated appurtenances along
Arlington Heights Road and along Dundee Road, including the filling of certain
segments of abandoned sanitary sewer where identified in the PROJECT plans,
said items listed in the attached EXHIBIT B; and, said water main shall be
installed entirely within the COUNTY, IDOT and /or BUFFALO GROVE right -of-
way or utility easements;
replace subsurface elements for an existing street lighting system as described
in 2.b. hereinbefore and as listed in the attached EXHIBIT B;
g. bill BUFFALO GROVE for its share of costs for the new water main, sanitary
sewer work and street lighting subsurface elements as specified in 2.g., 2.h. and
2.i. hereinbefore;
h. bill ARLINGTON HEIGHTS for its share of costs for the landscaped medians
and EVPD costs as specified in 1.c., 1.d. and 1.e. hereinbefore; and,
i. hold BUFFALO GROVE harmless and be responsible for any damage, claims or
judgments which may result from any part of the PROJECT not related to its
water main, sanitary sewer and street lighting work.
4. By execution of this agreement, ARLINGTON HEIGHTS and BUFFALO GROVE agree
to operate and maintain the landscaped medians installed as part of the PROJECT as
follows:
a. ARLINGTON HEIGHTS and BUFFALO GROVE shall assume mowing
operations for the landscaped medians within their respective limits as described
herein during the interim period between physical construction of the medians
and Final Acceptance of the PROJECT.
b. Immediately upon Final Inspection, said inspection jointly with the COUNTY and
subject to the terms of the PROJECT warranty period for new plant material,
ARLINGTON HEIGHTS shall operate and maintain the landscaped medians
behind the curb and gutters along Arlington Heights Road, from University Drive
to Dundee Road and BUFFALO GROVE shall operate and maintain the
landscaped medians behind the curb and gutters along Arlington Heights Road,
from Dundee Road to Lake Cook Road, said maintenance to include mowing,
watering, replacement of dead or diseased plants, removal or pruning of plants
including trees and upkeep of the medians in a sightly and litter -free condition.
(The VILLAGES acknowledge that if, at some later date, they desire to enhance
the medians with additional trees, plantings, irrigation system, etc., a separate
COUNTY Highway Department permit will be required for said enhancement.).

c. ARLINGTON HEIGHTS and BUFFALO GROVE shall protect, defend, indemnify
and hold harmless the COUNTY, its officers, agents, agencies, departments and
employees against any and all liabilities, claims, damages, penalties, cause of
action, costs and expenses (including reasonable attorney's fees) for injury to
persons or damage to property to the extent such arises out of, or in connection
with the maintenance of the landscaped medians, excluding however, any
claims, actions, losses, damages or expenses caused wholly or in part by the
negligence on the part of the COUNTY in its operation of Arlington Heights Road
as a COUNTY Highway V69.
5. By execution of this agreement, the parties hereto agree to the changes in the EVPD
system maintenance costs described as follows:
a. ARLINGTON HEIGHTS shall assume one hundred (100 %) percent of the
maintenance, repair and /or replacement costs for the EVPD system on the traffic
signals at the intersection of Arlington Heights Road at University Drive and
designates the ARLINGTON HEIGHTS Public Works Department as the
responsible agency for coordination of activities with the COUNTY.
b. BUFFALO GROVE shall assume one hundred (100 %) percent of the
maintenance, repair and replacement costs for the EVPD system on the traffic
signals at the intersection of Arlington Heights Road at Nichols Road (Bernard
Drive) and designates the BUFFALO GROVE Public Works Department as the
responsible agency for coordination of activities with the COUNTY.
c. ARLINGTON HEIGHTS, BUFFALO GROVE and their respective Public Works
Departments acknowledge that they shall not have access to or on COUNTY's
traffic signals. The COUNTY will monitor the operational status of the EVPD's at
no charge to the VILLAGES and will inform the respective Public Works
Department should it detect fault with said EVPD operations. As such, the
VILLAGES agree to either: enter into a separate agreement with COUNTY's
Electrical Maintenance Contractor to pay for repairs to their respective EVPD's;
or, pick up, repair and return repaired EVPD equipment to COUNTY's Electrical
Maintenance Contractor for reinstallation as it occurs and pay directly to
COUNTY's Electrical Maintenance Contractor for removal and reinstallation of
the respective EVPD equipment on or in COUNTY's traffic signals.
6. The parties hereto agree that the traffic signal provisions of this Agreement shall remain
in effect so long as the traffic signals covered by the terms of this Agreement or any
Amendment hereto are owned, operated and /or maintained by the COUNTY and
remain in place either in their current or some modified configuration.
7. During the course of construction BUFFALO GROVE will be named as an additional
insured on a primary and non - contributor basis by the Contractor under the Contract.

This Agreement shall be binding upon and inure to the benefit of the parties hereto, their
successors and assigns.
IN WITNESS WHEREOF, the COUNTY, ARLINGTON HEIGHTS and BUFFALO GROVE have

RESOLVED by the members of The Board of Commissioners of Cook County, Illinois,
on behalf of the County of Cook, to authorize and direct its President to execute, by

said agreement attached, wherein the County will include tree plantings /landscaping,

project cost $6,200,000.00); and, in consideration of said tree plantings /landscaping, the
Villages will operate and maintain the landscaped medians and parkways along
Arlington Heights Road within their respective corporate limits; and, the Village of
Arlington Heights shall reimburse the County of Cook for its share of tree
plantings /landscaping and infrastructure improvement construction costs, estimated
Village of Arlington Heights share $17,518.38; and, the Village of Buffalo Grove shall
reimburse the County of Cook for its share of infrastructure improvement construction
costs, estimated Village of Buffalo Grove share $462,483.00; and, the Department of
Highways is authorized and directed to return an executed copy of this Resolution with
Agreement to the Villages of Arlington Heights and Buffalo Grove and implement the
terms of the Agreement.

A RESOLUTION APPROVING AN
INTERGOVERNMENTAL AGREEMENT
BETWEEN THE VILLAGE OF ARLINGTON HEIGHTS
COOK. COUNTY HIGHWAY DEPARTMENT
AND THE VILLAGE OF BUFFALO GROVE
BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE
VILLAGE OF ARLINGTON HEIGHTS:
SECTION ONE: A certain intergovernmental agreement by and between the Village of
Arlington Heights, Cook County Highway Department 'and the Village of Buffalo Grove, dated
March 7, 2011, related to landscaped medians on Arlington Heights Road between University Drive
and Lake Cook Road and a traffic signal operation at the Arlington Heights Road/University Drive
intersection, a true and correct copy of which is attached hereto, be and the same is hereby approved.
SECTION TWO: The Village President and Village Clerk are hereby authorized and
directed to execute said intergovernmental agreement on behalf of the Village of Arlington Heights.
SECTION THREE: This Resolution shall be in full force and effect from and after its
passage and approval in the manner provided by law.
