2000-09F RESOLUTION NO. 2000- 9 A RESOLUTION APPROVING AN AGREEMENT BETWEEN THE VILLAGE OF BUFFALO GROVE, THE BUFFALO GROVE PARK DISTRICT, THE APTAKISIC -TRIPP COMMUNITY CONSOLIDATED SCHOOL DISTRICT 102 AND THE BUFFALO GROVE ROTARY CLUB CONCERNING THE PROPOSED BUFFALO GROVE PEDESTRIAN SAFETY ENHANCEMENT PROJECT WHEREAS, the Buffalo Grove Pedestrian Safety Enhancement Project is to include various components including the Illinois Route 83 Bikeway Overpass Improvement and improvements along Weiland Road, including a pedestrian traffic signal proposed for construction on Weiland Road adjacent to the Aptakisic Junior High School property, the provision of an adult crossing guard at the site of the proposed Weiland Road pedestrian traffic signal and a fence to be constructed along sections of Weiland Road near the Aptakisic Junior High School; and, WHEREAS, the Village desires to implement the proposed Buffalo Grove Pedestrian Safety Enhancement Project; and, WHEREAS, an Illinois First grant agreement with the Illinois Department of Transportation is required to provide a significant portion of the estimated project costs; and, WHEREAS, an agreement involving the Village of Buffalo Grove, the Buffalo Grove Park District and the Aptakisic -Tripp Community Consolidated School District 10-1 has been determined to be necessary in order to obtain Illinois First funding for the project; and, WHEREAS, a previous grant agreement with the Illinois Department of Natural Resources was approved by Resolution No. 99 -34 which was adopted by the Village President and Board of Trustees on 6/7/99, which agreement established IDNR's commitment for a grant for the Illinois Route 83 Bikeway Overpass portion of the project; and, WHEREAS, the Village desires to modify a previous agreement with the Buffalo Grove Park District and the Buffalo Grove Rotary Club related to the bikeway overpass portion of the project and receive additional cost funding contributions for the Illinois Route 83 Bikeway Overpass portion of the project; and, WHEREAS, the Village desires to establish certain provisions related to the long term operation and maintenance and involved maintenance cost sharing for the proposed improvements; NOW, THEREFORE, be it resolved by the Village President and Board of Trustees of the Village of Buffalo Grove, Lake and Cook Counties, Illinois as follows: 1. The agreement entitled "Agreement Concerning the Buffalo Grove Pedestrian Safety Enhancement Project Between the Village of Buffalo Grove, the Buffalo Grove Park District, the Aptakisic -Tripp Community Consolidated School District 102 and the Buffalo Grove Rotary Club" is hereby approved. 2. The Village President and the Village Clerk are authorized and directed to execute the agreement approved herein. A copy of said agreement is attached hereto and made a part hereof. NAYES: 2 - Braiman, Berman ABSENT: 0 - None PASSED: February 7 , 2000 APPROVED: February 7 , 2000 ATTEST: Village Clerk G:\P WDIRGRP\LHC\B IKE W AYS\RESOOX.DOC 2 Approved: Village President AGREEMENT CONCERNING THE BUFFALO GROVE PEDESTRIAN SAFTEY ENHANCEMENT PROJECT BETWEEN THE VILLAGE OF BUFFALO GROVE, THE BUFFALO GROVE PARK DISTRICT, THE APTAKISIC -TRIPP COMMUNITY CONSOLIDATED SCHOOL DISTRICT NO. 102 AND THE BUFFALO GROVE ROTARY CLUB This Agreement is made and entered into this b day of M A(zc" , 2000, for good and valuable consideration, by and between the Village of Buffalo Grove, Illinois, a municipal corporation, (hereinafter the "Village "), the Buffalo Grove Park District, a municipal corporation, (hereinafter the "Park District "), the Aptakisic -Tripp Community Consolidated School District No. 102, (hereinafter the "School District ") and the Buffalo Grove Rotary Club (hereinafter the "Rotary Club "). WITNESSETH WHEREAS, the Village, the Park District, the School District and the Rotary Club have determined that it is in the best interests of the community to make certain improvements on Illinois Route 83 and Weiland Road so as to increase pedestrian safety; and WHEREAS, the Village, the Park District, the School District and the Rotary Club have developed the Buffalo Grove Pedestrian Safety Enhancement Project (hereinafter the "Project "), which shall construct a pedestrian traffic signal on Weiland Road adjacent to Aptakisic Junior High School as well as construct a bikeway overpass on Illinois Route 83; and WHEREAS, the Village of Buffalo Grove has been awarded a $450,000 grant by the Illinois Department of Natural Resources (Exhibit E) for the construction of the bikeway overpass; and WHEREAS, the Illinois General Assembly has appropriated the sum of $632,000 as an Illinois First Fund Grant to the Village of Buffalo Grove on behalf of the School District for the construction of pedestrian crossing in the Village of Buffalo Grove; and WHEREAS, additional funding is required to fully construct the Project and the Village, the Park District, the School District and the Rotary Club have determined that it in the best interest of the community to request the Illinois General Assembly to reallocate the Illinois First Fund Grant for use on the Project; and NOW, THEREFORE, the Village, the Park District, the School District and Rotary Club hereby agree to the following: 1. Redesignation of Grant Money. The Village, School District, Park District and Rotary Club shall request the Illinois General Assembly and such other applicable state agencies as required to redesignate the $632;000 Illinois First Grant in such a manner as to allow funds to be allocated to the following portions of the Project as follows: $166,200 to be used for the Illinois Route 83 Bikeway Overpass (hereinafter "Overpass ") as more fully described in Exhibits A and B; $465,800 to be used first for the Weiland Road Pedestrian Traffic Light and Fence (hereinafter "Traffic Light ") as more fully described in Exhibit F, with any remainder to be used for school safety and security enhancement purposes by the School District. Sections 2 through 5 of this Agreement are contingent upon the redesignation of the grant as described in this Section. 2. Financing A. Illinois Route 83 Bikeway Overpass. The cost of construction of the Overpass is estimated at $962,390.01 as more fully set forth on Exhibit C attached hereto and incorporated herein. In addition to funding for the Overpass described in Section 1, the parties agree to pay the remaining cost of the Overpass as follows: Village $75,000 Park District $75,000 Rotary Club $25,000 plus an additional $15,000 for supplementary landscaping in funds or kind. The Park District and the Village shall split any and all additional costs of the Overpass on a sixty percent — forty - percent basis, respectively. B. Weiland Road Pedestrian Traffic Light and Fence. The cost of construction of the Traffic Light is based upon an estimate of $465,800 as more fully set forth on Exhibit G attached hereto and incorporated herein. In addition to funding described for the Traffic light in Section 1, the Park District and the Village agree to split additional costs (but not exceeding $632,000) for the Traffic Light on a sixty percent — forty percent basis, respectively. The parties acknowledge that the Fence which shall be installed as part of the Traffic Light project shall cross the existing Commonwealth Edison power line corridor, therefore, said improvement shall comply with any design requirements established by Commonwealth Edison. Upon final acceptance of the construction, the Village shall authorize the release of the remaining funds, if any, to the School District for the School Safety and.-Security enhancement purposes described in Section 1. 3. Village's Obligations The Village shall receive all grant monies and contributions required under this Agreement. The Village agrees that it will only expend monies received for expenses related to the Project. Moreover, for those funds that are Illinois grant dollars, the Village shall spend such funds in accordance with the terms and conditions of the grant. Moreover, the Village agrees to defend, indemnify and hold harmless all grantees from any, misappropriation, misapplication, misuse or any other failure to abide by the terms of grants provided for hereunder. Finally, the Village shall maintain proper expense K records relating to the Project for at least five years after completion of the Project and shall provide any and all documents upon request to any parry hereunder, or the State of Illinois. The Village shall award the contracts for the Project and shall ensure that the contracts are awarded in accordance with all public bidding and contracting requirements required by law. Additionally, it shall be the obligation of the Village to ensure that the contractors complete the Project in accordance with the terms and conditions contained in the contract documents. With respect to the Traffic Light project, the Village shall provide and fund, at its sole cost and expense, the permanent posting of an adult crossing guard at this location on school days during the school year. If requested by the School District, and if warranted by standard IDOT criteria, the Village, at its cost and expense, shall post a crossing guard at the Traffic Light twice a day during summer school sessions at a time mutually agreeable to both parties. Upon completion of the Project, the improvements shall become the property of the Village except for improvements built on Park District Property beyond the overpass abutment which improvements shall be owned by the Park District. Furthermore, upon completion of the Overpass, the Village and the Park District shall accept responsibility for maintenance of the Overpass as set forth on Exhibit D attached hereto and incorporated herein. Upon completion of the Traffic Light, the Village shall be responsible for all maintenance and repairs of the Traffic Light. 4. Payment of Funds The Village shall issue an invoice to the Rotary Club for payment of ninety percent of the funds estimated to be required under this Agreement immediately following the Village's award of the contract for the Overpass. The Village shall issue an invoice to the Park District for payment of ninety percent of the funds estimated to be required under this Agreement following the award of the contract for the construction of the Overpass, however, said invoice shall not be billed earlier than May 1, 2000. The remaining ten - percent of the funds shall be billed to the Rotary Club and the Park District at each time the Village has obtained final expense reports of the costs of the Overpass and the Traffic Light. All payment made hereunder shall be made in accordance with the Local Governmental Prompt Payment Act. 5. Miscellaneous A. Counterparts. This Agreement may be executed in counterparts and by facsimile signature, each of which shall be deemed an original, but all which, when taken together, shall constitute one and the same agreement. B. Binding Effect. Each of the covenants, agreements, and provisions contained in this Agreement shall be binding upon and shall inure to the benefit of the parties records relating to the Project for at least five years after completion of the Project and shall provide any and all documents upon request to any party hereunder, or the State of Illinois. C. Entire Agreement. This Agreement contains the entire agreement between the parties hereto relative to the subject matter contained herein. D. Assignment. This Agreement may not be assigned without the prior written consent of all parties hereto, and any purported assignment made without such consent shall be null and void. F. Severability. If any provision of this Agreement or the application thereof to any person or circumstances shall be held by a court of competent jurisdiction to be invalid or unenforceable to any extent, the remaining provisions of this Agreement and the validity, enforceability, and application of such provisions to other persons or circumstances shall not be impaired thereby, but such remaining provisions of this Agreement shall be interpreted, applied and enforced so as to achieve, as nearly as possible, the purposes and intent of this Agreement to the greatest extent permitted by applicable law. G. Governing Law. This Agreement and the rights of the parties hereunder shall be interpreted and enforced in accordance with the laws of the State of Illinois. H. Amendment. All amendments to this Agreement shall be in writing and shall be approved by the parties hereto. I. Incorporation. The preambles set forth above are hereby incorporated herein as though fully set forth. J. Viability of Bids. This Agreement is contingent upon the ability of the Village to enter into a contract based on the bid submitted for construction of the Overpass as described in Exhibit C. In the event that the low bid is no longer available, the Agreement may be voided by the Village or the Park District. K. Master Plan. The Village and Park District agree that the proposed improvement is a desirable minor change to the Park Master Plan dated as last revised November 10, 1997 approved as Exhibit D to Village Ordinance 97 -108 for Busch Grove Community Park. L. Prior Agreements. The Village, Park District and Rotary Club agree that this agreement replaces and supercedes the agreement entitled "Agreement Concerning the Illinois Route 83 Bikeway Overpass at Farrington Drive Between Village of Buffalo Grove, Buffalo ,Grove Park District and Buffalo Grove Rotary Club" dated January 25, 1999.
