Thts is an AGRXEMENT betvreen the Viilage of Buffalo crove, Cook County, acting through its President and Board of Trustees, hereinafter referred to as the "VILLAGErr, and Midyrest Consulting Bngineers, Inc. 5151 North Harlem Avenue, Chicago, Illinois 60556, a firm of Consultants, hereinafter referred to as the "CONSULTANT". The VILLAGE does hereby engage the CONSULTANT, antl the CONSUTTANT hereby agrees to furnish certain professional Phase I engineering services, described in Section 2 and including the preparation of a Combined Location/Design Report, in connectj.on with the proposed improvement of Busch Road/Busch Parkrray/Deer- field Parkway from I1I. Route 83 (Mundelein Road) to I11. Route 2l (Milwaukee Avenue), a distance of 3.0 miles, in Lake County, Il1inois, hereinafter referred to as the nPROJECfn, based upon the following terms and conditions: MCE044 -1- 1. INCORPORATION BY REFERENCE The "Standard Agreement Provisions for Consultant Servj,cesrr dated 1977, of the Department of Transportation of the State of Illinois, hereinafter referred to as the " STANDARD PROVISIONS", are incorporated and made part of this AGREE- MENT except as deleted or amended hereafter. (STANDARD PROVISfONS section references sholrn in parenthe- ses ) 1 1 (SPl) Definitions, shalL be set 'forth ' VISIONS, amended to as they pertain to in bection 1of the add the following: 1.1.1.IDOT Departnent of Transportation, State of L.L.2 Chief of Environmental Sci.ence The Chief of Environmental Science of IDOT. 1.1.3 Environmental Statement A $rritten statement of the anticipated and detrimental may have upon the containing an assessment significant, beneficial effects which the PRoJECT human environment. 1.1.4 Categorical Exclusion - A erritten document in support of a determination that, should the proposed highway section improvement be constructed, the action will not induce significant, foreseeable alterations in land use, planned growth, development patterns, traffic volumes, travel patterns, or natural or cultural resources. MCEO44 -2- the PROJECT, STANDARD PRO- Illinois 1 .1.5 Section 4 (f ) Land - Any land from a public park, recreation area, wildl,ife and vrater fowl refuge or historic site which a trans- portation plan or project proposes to use (from the Department of Transportation Act, 1966). 1.1.6 Envi,ronmental Assessment - Any action that is not classified as a Categorical Exclusion and for which the Environmental Studies and early coordination indicate that the proposed action'wil1 not have a significant impact on the quality of human environment. 1 .1.6 Combined Report Report that contains both 1.2 (SP 1.18) Vlherever the word DEPARTUENT is used, it shal1 be construed. to mean the VILLAGE, except the word DEPARTITTENT shal1 also include IDOT in Subsections 2.12, 2.24, 2.3L, 2.32 and Section 6, in its entirety, of the SIANDARD PROVISIONS. 1.3 (SP 2.41) The CONSULTANT shal1 i-nvoice the VILLAGE, not the Liaison Engineer, as provided in Section 2.4L of said STANDARD PROVISIONS in a format mutually agreed to by the VILLAGE and the CONSULTANT. MCE044 the Corridor Location Studies and the Design . Location Studies. A combined report is prepargd for projects in which only the existing corridor is feasible. -3- 2. Scope of Work Since this PROJECT requires a Combined Corridor and Design Location Report and a Combined Hearing, and since the Corridor aspects of the Report are Iimited, the Design Location Study will cover detailed variations over the entire length of the PROJECT. It is anticj.pated that one design will be studied in detail, and that variations to this design in several locations will also be studied for the entire length of the PROJECT. Upon receipt of written authorization of notice to'proceed, the CONSULTANT shall provide the services for environmental studies and reports. The studies. . and reports for the PROJECT sha1l be completed 'as set forth in applicable provisions of 3, 4,5,6 an<i 7 (revised) of the STANDARD PROVISIONS and applicable provisions amended.as follows: 1 (SP 3.2) Information sha1l be assembled in accordance with Section 3.2. Sections 3.1,3.3r 3.5, and 3.6 are not applicable provisions of this AGREEIUENT. 2 (SP 4.1) Section 4.1 of the STANDARD PROVISIONS is de 1e ted . 3 (SP 4.2) Aerial mosaics at a scale of 1" = 50' will be used for this PROJECT. In addition, a conventional ground survey will be performed to obtain topographic information suitable for the design of the PROJECT. The ground survey work wiII be performed in accordance with Section 6.21 of the STANDARD PROVISIONS. 2.4 (SP 4.3) The first sentence of Section 4.3 of the STANDARD PROVISIONS is changed to read, "Using the existing corridor, study all feasible alternate designs to eliminate aII those which are not acceptable'r. 2 2 2 MCE0 4 4 -4- 2 5 (SP 4.35) The following is added to Section 4.35: "A11 watershed areas affecting the proposed improvement shall- be identified and shown on a Drainage Map. This map will include the drainage area flood plains, if EDy, preliminary storm sewer design, and reguired openings for all streams crossing the proposed improve- ment, including Aptakisic Creek. Preliminary applica- tions to the IDOT Division of Water Resources and Army Corps of Engineers will be made. Fina1 permits will be obtained during the final design of the PROJECT." 6 (SP 4.37) Right-of-r^ray reguirements will be defiried on the ln = 50' scale mosaic showing the preferred plan of improvement 2 2 2 7 (SP 4.5) Public involvement will include (1) public meeting; either a public meeting or a formal public hearing.: holding one informational 2 I (SP 4.51 & 4.62) The CONSULTANT shaI1 furnish ten (10) copies of the Draft Report for review by the VILLAGE, the Lake County Highway Department, IDOT and FEDERAL HIGIIWAY ADMINI STRATION. After approval, he shall furnish fifteen (15) copies of the final Report. 9 (SP 5.3) This section is modified to read, "Study all feasible alternate designs in sufficient detait to eliminate those which are not acceptable. For the remaining alternates, follow the same procedure as outlined in Sections 4.3, 4.4, 4.5 and 4.6 as modified and expanded in the AGREEIIIENT". 2.L0 (SP 6.48a (2) ) Delete 6.48a (2) and insert the following in its place: The CONSULTANT will obtain title insur- ance reports prior to the preparation of any right- of-way acquisition p1ans, plats and 1ega1 descriptions. MCE0 44 -5- ), 2.11 The CONSULTANT will provide the following in addition to items enunerated elsewhere in this AGREEITIENT: a)Intersection Design Studies; Reproducible and four prints of the recomrnended intersection improvements. c) Public Meeting Handouts 100 copies . d) e)Exhibits depicting socio-economic and other factors - one original- and four prints. The CONSULTANT sha11 exclusively furnish to the VIL- LAGE, all reports, data or other information prepared, obtained or assembled by him under this AGREEMENT, unless otherwise directed by the VILLAGE. 3. The VILLAGE agrees to furnish the following items: 3.1 All presently available survey data and information including standard details and standard specifications adopted by the VILLAGE, and other available data, including accident data and traffic counts, useful to the work being done by the CONSULTANT. PRII\,IE COMPENSATION 5. La Phase i - Part 1 - Preliminary Geometrics Study. Subject to an Upper Limit of Compensation of $112,137.00, the CONSULTANT shall receive as full payment fo! conpleting the Phase I Part 1 work required of him under this AGRIEMENT, reiribursement of his eligible actual costs in accordance with Section 2.45 of the STANDARD PROVISIONS, plus a Fixed Amount of $11r028. The Upper Limit of Compensation and Fixed Amount are a result of the attached Exhibit D-1, Cost Estimate of Consultant's Services for Phase I Part 1. The retainage provisions contained in Section 2.42 of the STANDARD PROVISIONS shall not apply to Direct Non- Salary Costs. The attached Exhibits A, B, and. C are to be used as set forth in Section 2.42 of the STANDARD PROVISIONS. Invoices shall be prepared in accordance with Section 2.4L. 5.Lb Pending VILLAGE approval of Phase I Part l, the CONSULTANT sha11 prepare a SUPPLEMENTAL AGREEMENT for services required to perform required work tasks for Phase I Part 2 of this project. This work will include MCE0 4 4 -7- preparation of an Environmental Assessment and other documentation required to obtain Design Approval for the project from IDOT/I'HWA. tr,)The Prime Compensation may be increased or decreased by subsequent agreement bet}reen the contractual and approving parties if there is a major change in the scope, character or complexity of the Work. Prime Compensation and Specific Rates for Extra Work may be adjusted i.n accordance with Section 2.2L of the SIAN- DARD PROVISIONS, if the duration of the work in any phase extends more than six months beyond the date of completion stated in Section 4 of this AGREEMENT, due to no fault of the coNsuLTANt. 3 In all instances where the VIILAGE shalI request specific services of the CONSULTANT, the CONSULTANT shall indicate to the VILLAGE whether the work shall be considered "extra workn. When requested by the VIL- LAGE, the CONSULTANT shall prepare and submit a cost estimate for such extra work. In the event the CONSUL- TANT, upon written order from the VILLAGE, is requj.red to perform Extra Work, he sha1J., in addition to the Prime Compensation, receive payment for such Extra Work on the following basis: Subject to a pre-agreed Upper Limit of Compensation for each item of Extra work, the CoNSULTANT shall be paid at the specified hourly rate of pay for each class of employee as listed in Exhibit "A" for the actual time the CONSULTANT directly utilizes each such employee on the Extra Work, plus the CONSULTANT I s payroll burden and overhead costs as listed in Exhibits B and C, plus actual expenses for trandportation, subsistence, and electronic computer service incidental to the Extra Work.
