NOw THEREFoRE. the -Village and the Engineer, in consideration of the tnutual covenanEs hereinafter set torth, agree to as follows: BASIC AGREEUEI{TS OF THE ENGINEER 2. The Engineer will serve as the Village'sprotessional engi.neerinq representatj,ve in those phases of the Project to which this Agreernent applies. and will give consul,tatj-on and advice to the Village during the performance of his services. 3. The engineering services to be performed under the contract are listed in the SCOPE OF SERVICES TO BE PROVTDED contained in Exhibit shaI1 commence within five (5) days of receiving written authorization to proceed from the Vi11age. Under this Agreement. all the engineering services are to be completed according to the schedule contained in Exhibit "B". 4. The Engineer vrarrants that he has in effect such insurance as will protect him fron claims under the worker's Compensation Act and from claims for bodily injury, death, orproperty damage which nay arise from the perforrnance of his services under this Agreement. 5. The Village and the Engineer each binds hinself and his partners. successors. executors, administrators and assigns to the other party of this Agreement and to thepartners. successors. executors, administrators and assigns of such other party, in respect to all covenants of this Agreenent; neither the Village nor the Engineer sha11 assign, sublet or transfer his interest in thj,s Agreenent without the written consent of the other. Nothing herein sha1l be construed as creating any personal J.iability on the part of any officer or agent of any public body which nay be a party hereto, nor sha1l it be construed as giving any rights or benetits hereunder to anyone other than the village and the Engineer. -1- AGREEUENT FOR ENGINEERING SERVTCES 1. The Engineer agrees to perform professional services in connectj.on vrith the project hereinafter stated. 6. The Engineer agrees that the basic survey notes and sketches, conputations and other data prepared or obtained by the Engineer pursuant to this agreenent rdiLl be nade available, upon request. to the village without cost and without restriction or limitations as to their use and will becorne the village's property. 7. The Engineer rrarrants that he has complied with aLl federal, state and loca1 laws and knolrs ot no violations thereof, and such warranty shal1 survive until the time of conpletion of the Project. the do 8. The Engineer will attend conferences and will visit site of the work at any reasonable tine ivhen requested to so by the Vil1age. 9. The Engineer shal1 not be held responsible for any damages to property of persons arising out of an error, omission and/or negligent act resulting from any data, information and/or engj-neering work that has been partially completed or completed in its entirety as turnished by the Vi.11age and/or their representatives as described below: Existing Roadway Plans Right-of -way Inf ormation Utility Atlases The Engineer shall be responsible for any and all danages to property or persons arising out of an error, ornission and/or negligent act in the prosecution of his work as described in the ScoPE oF SERVICES To BE PRoVIDED, as stated in Exhibit "A", and shal,l indemnify and save hartnless the vi11age, its officers. agents and employees from all suits, clairns, actions or darnages of any nature whatsoever resulting therefrom, except ldherein above stated. The Engineer shall assume aI1 restitution and repair costs arisinq out of an error, omission and/or negligence, except wherein above stated. BASIC AGREEUEMTS OF THE VTLLAGE 1. Ri chard The Vj.J.1age representative for this project is Mr. Kuenkler or his authorized designee. a The Village agrees to provide the Engineer with all design information stated in this Agreement in a prompt and timely nanner so as not to delay the Engi.neer's progress in meeting his schedule. The Viltage agrees to review each and every phase of the Project in a timely manner so as not to delay the Engineer's progress in rneeting his schedule as specified in Exhibit "8". b a. b. 2. The Village vrill- pay the Engineer for the perfornance of the contract as follows: a Uonthly payments based on actual work completed. The fee will be computed on the basis of 2.5378 times direct labor costs which includes a net fee for profit. Direct expenses will be reimbursed for their actual cost. Invoices shal1 be substantiated by copies of payrolls and bi11s for direct expenses. The upper limit of compensation sha1l not exceed S9.095 and j-s a result of the Cost Est.imate of consultant's Services attached as Table 4. The upper linit of conpensation tnay be increased or decreased by subsequent agreement between the contractual and approving parties if there is a major change in the scope, character or complexity of the work. GENERAT CONDITIONS 1. This contract shal1 constitute the entire agreement and understanding by and betlreen the parties hereto, and it shalL not be considered modified, altered, changed or arnended in any respect unless done so in writing with signatures by both the village and the Engineer. 2. This Agreement may be terminated by either party upon 30 days written notice in the event of substantialfailure by the other party to perform in accordance with the terms hereof through no fault of the terninating party. In case the Engineer shall fail to perform his agreement to the satisfaction of the Vi1lage, the Vi.llage may, at itselection, declare such contract terminated and at an end, reserving the right to maintain an action to recover damagesarisinq out of said breach. This Agreenent may be terrninatedby the Village upon 30 days written notice whenever theVi.llage shal1 determine that terrnination is in its bestinterests. 3. The VilLage agrees that, should the project be abandoned at any time after the Engineer has performed anypart of the services provided for in this Agreement, andprior to the completion of such services, the Village shallreimburse the Engineer for his costs, incurred up to the timehe is noti.tied in writing of such abandonment, in accordancewith paragraph 2a under "BASIC AGREEMENTS OF THE VILLAGE.. 4. Exhibit B COMPENSATION AND SCHEDULE -8- C OMPENSAT ION lle propose to perform the work on the basis of cost plus a fixed fee. with a Dot-to-exceed maximum. The fee will include reimbursement of direct labor costs (Table 1) , overhead, fringe benefit and salary burden costs (Tables 2 and 3), plus a net fee for profit. Direct expenses will be reirnbursed at their actual cost. The maximun upper linit of compensation is $9,095 and is a result of the cost Estinate of Consultant's Services (Tab1e 4).
