This is an agreement for engineering services to be provided by Strand
Associates, Inc., hereinafter referred to as the ENGINEER, for the Village
of Buffalo Grove, hereinafter referred to as the 0!.INER, 'in connection with
a water system Preliminary 0verview Evaluation, a Reservoir No. 7 Evaluation
and Design Study, drawings, specifications, inspection, general observation
of construction, hereinafter referred to as the PR0JECT.
SCOPE
PRELII4INARY OVERVIE}I EVALUATION
The engineering services to be provided shall consist of furnishing a water
system Preliminary 0verview Evaluation, a Reservoir No. 7 Evaluation and
Design Study, drawings, specificat'ions, inspection, general observation of
construction and any other related services required by the 0flNER.

l. Review the -input data for the Village University of Kentucky Water
System Hodel . The data will be on a PC-D0S floppy disk that the 0UNERwill obtain from their current consultant and provide to the ENGINEER.

3. Run fire flows in the field with the 0WNER,s aid, at selected locationswithin the Village. One day of flow tests are included.

i Submit a design report summarizing the results of the evaluation of the
existing facilities, denote recommended improvements to existingfacilities and present the preliminary design of the proposed expansion
facil ity including recreat'ional facilities.
The estimated fee for the EXISTING SYSTEM EVALUATI0N AND DESIGN REPORT is
$28,400.
DETAILED PLANS. SPECIFICATIONS. COST ESTIMATES. CONTRACT AND BIDDING
DOCUMENTS. DESIGN DOCUt.lENTATION
Services included are for a new 2.0 million ga11on rectangular reinforced
concrete reservoir and design of two new vertical turbine booster pumps with
associated discharge piping, air release valve and motor starter, using theexisting equipment and facilities, assuming the existing facilities and
equipment can receive proposed new additions with normally anticipated minor
mod i fi cati ons .
Services include obtaining soil borings and interpretive report by a separate
subconsultant, surveys for final design (not including property or Iand ljne
surveys), preliminary plans or prelirninary prints of final plans and
meetings with the 0WNER to review those p1ans, preparation of construction
plans and specifications, bidding and contract documents, furnishing twentysets of plans and specifications, obtaining approval of Governmentalagencies. All documents, including original drawings, estimates,specifications, field notes and data, are and remajn the property of the
0|{NER, but may be maintained by the ENGINEER until requested by the 0WNER.
The 0tiNER will receive a set of reproducible record prjnts of drawings and
copies of other documents, in consideration of which the Ol,lNER will use them
so1e1y in connection with the PROJECT.
Except...for the design and construction project described in this contract,the 0tlNER agrees to indemnify, defend and hold Strand Associates harmlessfrom any claims_ and against any c1 aims for damages, costs of defense, orother expenses Ievied against strand Associates,- including its employees,agents, directors, officers, contractors and subcontractori arisini olt ofany future use of these documents not directly authorized in writin! by thePresident of Strand As soc i ate s.

CONSTRUCTION ENGINEERING SERVICES
Services shall include consultation and advjce durjng construction, checking
contractor's shop drawings, checking contractor's periodic estimates andfinal estimates for payment, reviewing waivers of I jen, furnishing
reproducible record plans from information furnished by the C0NTRACTOR,
making periodic observation visits to the job site during construction to
maintain overall review of the project, prepare final punch 1ists.
In addition, ENGINEER shall provide inspection on an intermittent, as needed
basis to supplement the 0llNER's efforts.
These costs are based on the estimated number of inspection trips to the site
made by the ENGINEER. Approximately 65 fulI day trips from the Joliet office
and one preconstruction conference, one final inspection, and nine monthly
construction progress meetings are included from the Madison office.
The estimated CONSTRUCTION ENGINEERING SERVICES fee is t72,300.
In furnishing engineering inspection services, the ENGINEER,s efforts shall
be directed toward ascertaining for the 0lrtNER that the completed PR0JECT will
conform to the Contract Documents, but the ENGINEER shall not be responsiblefor the Contractor's construction means, nethods, techniques, sequences orprocedures, or for the safety precautions or programs, or for theContractor(s)' failure to perform the construction work in accordance withthe Contract Documents.
Delay. in completion of the work on the part of any contractor wilI be
considered justification for adjustment of the total dpset fee.
The hour'ly rates which shalI apply for services described are based on a
maximum of ?.82 times salary cost and are generally revised on July I of eachyeaf. Estimated fees for scope items are based upon 0liNER 9ivin9 ENGINEERnotice to-progggq no later than I'lay 15, 1989 and Lompletion-of aIl work by
November 15, 1990. Hourly rates for the l2-month p6riod starting July l,

The following services shall, if necessary, be provided on an hourly basis.
The need for and the extent of these services have not been established andare not included in the fees described above, The hourly rates andmultipliers shall apply for additional services except where services are to

l. Land and Easement Surveys and Procurement.
2. Federal and State Aid and Loan Appl ications.
3. Revising, Designs, Plans, Specifications and Docurnents which have beenpreviously approved or where such revisions are necessary to comply with
State and Federal requirements which are put in force after work has
been parti al ly completed.
4. Permit and Plan Review Fees. Al1 permit and plan review fees payableto regulatory agencies shall be paid for by the 0UNER. Should the
ENGINEER pay such fees to expedite approvals, the ENGINEER shall be
reimbursed by the 0tlNER.
5. Preparation For and Appearance in Litigation in Behalf of the 0UNER.
6. Services Furnished During Readvertisement for Bids, if 0rdered by the
OIINER.
7. Additional or Extended Services - during construction made necessary by:
a. l{ork damaged by fire or other cause during construction.
b, A significant amount of defective or neglected work of any
Contractor.
c. Prolongation of the construction contract time after the scheduledcompletion date of any prime construction contract, and
d. Default by the contractor under any prime construction contract.
8. Providing more than twenty sets of plans and specifications.
9. Soil borings in excess of $3,000.
10. Any_ other services not otherwise covered in this Agreement which areauthorized by the 0ltNER and which are furnished Uy t-ng iNtfNffn'.-

Services to be furnished at actual cost plus five percent, outside the fees
descri bed above shall include:
l. Special Uork Performed by 0thers, such as mill and shop inspection,
construction material testing, property surveys, etc.
PAYMENT
The OllNER shall make monthly payments to the ENGINEER for services performed
in the preceding month pursuant to the Illinois Prompt Payment Act.
TERI,'IINATION OF AGREE|IIENT
Should the 0llNER terminate the AGREEIIENT, payment shall be paid for in full
for work completed to date of termination.
TAXES
0n1y sales taxes of other taxes on services which are in effect at the timethis contract is executed are included in the fee schedule.
If the tax laws are subsequently amended by legislation during the life ofthis Contract, the Contract shal l be adjusted to reflect the net change
caused by such amendment.
STATEMENT OF ETHICS
The ENGINEERS warrant that-they have not employed or retained any company orpelio!r other than a bona fide employee working so1e1y for the ENGINEERS; tosolicit or secure this contract, and that they have not paid or agreed to pay
