ls requlred ln order to proceed rrlth the necessary englneerlng of the

Trustees of the Vlllage of Buffalo Grove, Lake and Cook Countles, Illlnois,
that the Presldent and Clerk be, and they are hereby authorlzed and

AGREEMENT FOR ENGIIIEERIT{G SERVICES
THIS AGREEMENT, made this 6 th d2y 6f February, 1989, by andbetween the VILLAGE OF BUFFALO GROVE (hereinafter referred toas the "Vi I I age" ) , and CMLTECH EI{GINEERING, INC. ,(hereiaafter referred to as the "Engineer"), with regard tocertain professional engineering services in connection withthe BUFFATO GROVE ROAD/BUSCH ROAD TRAFFIC SIGNAL INSTALLATIoN(hereinafter referred to as the "project").
NoW THEREFORE, the village and the Engineer, inconsideration of the mutual covenants hereinafter set forth,agree to as follows:
BASIC AGREEI.{ENTS OF THE ENGINEER
I. The Engineer agrees to perform professional servicesin connection with the project hereinafter stated.

3. The engineering services to be performed under thecontract are listed in the SCOPE OF SERVICES TO BE PROVIDED
contained in Exhibit "A" and shall cornrnence within five (5)
days of receiving written authorization to proceed from theVillage. Under this Agreement, aIl the engineering servicesare to be eompleted according to the schedule contained inExhibit "B".
4. The Engineer warrants that he has in effect such
insurance as will protect him from claims under the Worker's
Compensation Act and from claims for bodily injury, death, or
property damage }Ihich may arise from the performance of his
services under this Agreement.
5. The Village and the Engineer each binds himsel f and
his partners, successors, executors, administrators and
assigns to the other party of this Agreement and to the
partners, successors, executors, administrators and assigns
of such other party. in resPect to alI covenants of this
Agreement; neiiher the Village nor the Engineer sha11. assign,
"iUl"t or transfer his interist in this Agreement without the
written consent of the other. Nothing herein shall be
construed as creating any personal liability on the part of
any officer or agent of any public body which may be a party
tr"i.to, nor shal1 it be conltrued as giving any- rights .ori.".iii" hereunder to anyone other than the Vlllage and the
Engineer.

6. The Engineer agrees that the basic survey notes and
sketches, computations and other data prepared or obtained by
the Engj,neer pursuant to this agreement !ri1l- be made
available, upon request, to the Village without cost andwithout restri,ction or limitations as to their use and will
become the Village's property.
7. The Engineer warrants that he has complied r{ith all
federal , state and locaI laws and knows of no violations
thereof. arrd such warranty shal1 survive until the time of
completion of the Project.

8. The Engineer will attend conferences and will visit
site of the work at any reasonable time when requested to

9. The Engineer sha1l not be held responsible for any
damages to property of persons arising out of an error.

damages to property or persons arising out of an error,
omission and,/or negliqent act in the prosecution of his work
as described in the SCOPE OF SERVICES TO BE PROVIDED, as
stated in Exhibit "A". and shaI1 indennify and save harmless
the viLlage, its officers, agents and employees from all
suits. claims, actions or daloages of any nature whatsoever
resulting therefrom, except wherein above stated, The
Engineer sha1l assutne all restitution and repair costs
arising out of an error, omj.ssion and/or negligence, except
wherein above stated.
2. The Vil lage wil l pay the Engioeer for the
performance of the contract as follows:
a Monthly payments based on actual work completed'
The fee will be eomputed on the basis of 2.5378
times direct labor costs which includes a net
fee for profit. Direct expenses will be
reimbursed for their actual cost. Invoi.ces
shall be substantiated by copies of payrolls and
bi 11s for direct expenses.
The upper limit of compensation shall not exceed
$9,095 and is a result of the Cost Estimate of
consultant's Services attached as Table 4,
GENERAL COND IT IONS
1. This contract shall constitute the entire agreement
and understanding by and between the parties hereto, and it
shall not be considered modified, altered, changed or amended
in any respect unless done so in writing with signatures by
both the Village and the Engineer.
2. This Agreement nay be terminated by either party
upon 30 days written notice in the event of substantial
failure by the other party to perform in accordance with the
terms hereof through no fault of the terminating party. In
case the Engineer shall fail to Perform his agreement to the
satisfaction of the Village, the Village maY, at its
election, declare such contract terminated and at an end,
reserving the right to maintain an action to recover damages
arising out of said breach. This Agreement may be terminated
by the Village upon 30 days written notice whenever the
Village shall determine that termination i.s in its best
interests.
3. The Village agrees that, should the Project be
abandoned at any time after the Engineer has performed any
part of the services provided for in this Agreement, and
prior to the completion of such services, the viilage shall
reimburse the Engineer for his costs, incurred up to the time
he is notified in writing of such abandonment, in accordance
with paragraph 2a under "BASrc AGREEMENTS oF THE vrILAGE".
4. That all field notes, reports and reproducible mylar
plans shalI be turned over to and become the property of the
