Thls Agreement ls made and entered Lnto by and betrreen the Vlllage of Buffalo Grove, herelnafter aometlnes referred to as t,Vlllage,, a Muni.cipal Corporatlon located at 50 Raupp Boulevard, Buffalo Grove, IL, 600g9 and cornprehenslve Psychologlcal centera, p.c., herernafter sometlmes referred to as ''CPC", a corporatlon quallfled to tranaact buslness in the State of Illlnols, wlth corporate offtces located at 30 N. Mlchlgan Avenue, Sulte 1429, Chtcago, IL, 50602. WHEREAS, CPC has represented to the Vl1lage that it is an experienced and quallfled provlder of counsellng and referral aervlces to lndlvlduals who rnay be experlenclng peraonal problems includlng, but rrlthout llmltatlon, alcohol and/or drug abuse, emotronal' Earltal or fanlIy problens and that it ls wllllng to provlde such enployee aaslatance servlces for Vlllage employees and thelr apouses and dependents; and WHEREAS, ln rellance upon CpC representatlons of qualiflcatlon and experlence, the Vl11age deslres to nake the progran avallabLe to ltg employees, thelr spouses and dependents on the terns and condltlons hereln contalned. Now' THEREP.RE ' rN .0NSTDERATTON oF THE lruruAl covENANTS COMATNED ITEREIN the partles agree as follows: I. Buffalo Grove enployees and/or thelr spouses and their dependent chlldren partlcrpatlng at any tlne rn the progran are herelnafter referred to as the [partlcipants.r 2, CpC shal1 provlde the followlng services to InpleEent and effectuate the enployee asslstance program: 1 A I{hen deened necessary provlde the Vlllage wlth llterature, brochures and posters announclng and explalnlng the progran to Buffalo Grove ernployees I Encourage Partlclpants to aeek and accept help; lleet wlth each of the Participants for a maxlmun of three (3) seselons per calendar year wlthout cost to the partlclpant and based on such assessment recolmend a pJ,an of actlon. If and when a PartlcLpant haB need to pursue longer tern counsellng, the Partlclpant shall bear the cost of such treatment. As of thls date, the maxlmum parciclpantra coat of such treatnent rrlth CPC ls $90.00 per sesslon for the term of thls Agreement; Asslst the ParticLpants to obtaln the servlces they neeal! Beglnnlng January 1, 1989, CpC nill provlde a progran Counselor who w111 be avallable by telephone and/or appointnent to counsel partlclpants as the altuatlon requlres; Use reasonable best efforts to coordinate the operatLon of the enployee asalatance program wlth Village personnel, othen lse known as the rrContact person" deslgnated by the VlIIage; Report to the Vlllage on a quarterly basls per calendar year on the actlvlty of the program usrng statl'tlcal lnformation vtthout dlsclosure of the ldentlty of any partlclpants utlllzing the progranre servlces. The Vlllage shall take the follovlng actl.ona to publlclze the exLatence and avellablltty to Buffalo Grove emproyees, thelr spouaes and dependent chlldren of the progran and to asslst ln its lmplenentatlon3 A. Designate a Village enployee to act as the Contact person who 1111 coordinate the progran wlth CpC; B. Ulth CPCrs asslstance, organlze orlentatloD aud tralnlng aeselons to be conducted by CpC for such Vlllage personnel determlned by Buffalo Grove aad CpC to be necessary for the successful operation of the progran, tralnlng tlne and length to be deterElned; C. Publlclze the exlstence of the progran and itg avallability to Buffalo Grove enployees, theLr spouses and d.ependent chLltlren and use lts reaaonable best efforts to encourage use of the program by Buffalo Grove enployees who may benefLt fron ltg servlces. 4. CPC represents and warrants to the Village anal particlpants that: A. CpC ls experlenced 1n provlding prograDs 1n assistance to employees in seeklng and acceptlng help for a personal problem lncludlng alcohol and/or drug abuae, enotlonal, uarltal or fan1ly problens, asseaaing euch problems and recomendlug a plan of actlon; B. A1t CpC program Couneelors are fu1ly qualified peychologlate, soclal uorkers, narltal and fanily counselors or Psycho_theraPlsts; 3 5 C. The program wll1 be operated and the aervlces of CpC progran Counselore w111 be provlded on a confldenti.al basls and ell federal and atate laws and reguletlons regardlng confidentlallty and prlvacy shal1 be strLctly adhered to. A11 flles pertalnlng to particlpants shall be kept in a lockeil flle cablnet. Durlng the tern of thls Agreenent and at alI tLues thereafter, CpC shall keep confldentlal and except ulth the express rritten conaent of the parclclpant, ahall not dlsclose to any peraon or entlty for any purpose whatsoever, or otherwlse use, any lnfornatlon concernlng any partlclpant whlch CPC has learned durlng the course of or lncldental to CPCrs perfornance of 1ta obligationg under this AgreeneDt, except when the dlsclosure ls requlred by Law; D. CPC hae obtalned llcenslng as a psychologlcal servlce corporatlon ln the State of Illlnots; E. The executlon and dellvery to CpC of thls AgreeEent has been duly authorlzed by the Vlllage; B. The Vlllage, as represe[ted by the Contact person, sha1l reapect the confldentlal nature of all comunlcatlons whether wrltten or oral betlreen partlcipaots and progran Counselors. 4 5. Partlclpanta nay Deet wlth a program Counselor for up to three (3) aeaalons per Agreenent year and no fee or other charge w111 be aaseased to the Partlclpant. A segslon sha11 conglet of a face-to-face contact of no less than tlyenty (20) Elnutes and Iro greater than flfty (50) mlnutes ln duratlon. Partlclpants are requlred to provide a Einimun of forty_elght (4g) hours advance notlce for cancellatr.on of sessr.ons or else such nlesed ae'alon shall constltute a aeaalon for purpoaes of the three (3) sesslon naxlmun. If the Partlclpant ia recomended for further counaellng and/or treatment, the Particlpant ehal1 be responslble for any costs lncurred. 7. To cover all aervlces descrlbed 1n thls Agreenent, a fee of 915.00 per euployee shall be charged to the Vl11age for the term of thls Agreenent. The vlllage warrants that tt has r59 furl-tlne ernployees. rt is understood and agreed that thls fee Ls payable upon coDoencernent of thls Agreenent. Any costs lncurred after approprlate referral wllr be the responsrbrllty of the Partlclpant. 8. Thle Agreemenr sha11 be for the perlod January l, l9g9 through Decenber 31, 1989. 9. CPC hereby lndennlfles, holds and saves harnless the Village and lts agents and enployees agaloet any and all claLns, costs, cauoea, actions and expenses, lncludlng but not llnlted to, attorneyar fees lncurred, grorlng out of, lncldent to or resultlng dlrectly or lndirectly fron the Vlllage enterlng lnto thls Agreenent. 10.
