A RESOLUTION APPROVING A MOSQUITO CONTROL SERVICE CONTRACT
FOR THE 1988 and 1989 SEASON
WI{EREAS, the exlstlng contract wlth Clarke Outdoor Spraylng
now ls ln force for the 1988 season; and
WHEREAS, by the extenslon of this contract for a perlod of
one (l) year, cost savings would be reallzed by the Vlllage ln the
unlt prlces over the trro-year perlod;

Board of Trustees of the Vlllage of Buffalo Grove, IllLnols as follows:
The contract with the Clarke outdoor Spraylng Cornpany,

Agreementrt ls approved. A copy of thls agreement ls
attached hereto and made a part hereof.

and the Vtllage of Buffalo Grove, wlth offlces located at 50 Raupp
Boulevard, Buffalo Grove, Il11nols, Cook County, Illlnols herelnafter
referred to as the "Muntclpallty."

contracts wlth the sald rrMunlc lpalltyrr entered lnto and to be entered
into fron tlme to tlme, vhlch work wl11 be perforrned on and/or off the
premlses of the 'rMunlctpa1lty" and sald rrContractorrt rnay have sub-
contractora or one or nore employees engaged ln the performanee of
sald work:

referred to ln thls paragraph but 1n no way to operate as a
llnltatlon, are all forms of trafflc reguJ,atlons, publlc
utillty and Intrastate and Interstate Comerce Comlsslon
regulations, Workrnen I s Compensatlon Laws, Prevalllng Wage
Larrs, the Social Security Act of the Federal Governnent and
any of lts tltles, FEPC or FEoc statutory provislons and

To furnish any affldavlt or certlfLcate, ln connectlon wlth
the work covered by thts agreement as provlded by Iaw.
To lndennlfy "Munlc1pallty" for any loss lt nnay sustaln by
theft or other cause fron the acts or negllgence of the
enployees of the Contractorr or of the subcontractors.
Whenever ln thls Agreenent the tern [Munlclpalityt' ls used
rrlth regard to the obllgation of the rtcontractor" to lnden-
nlfy, hold harnless or defend, the word rrMunic lpal ltyrr sha1l
include the offieers, enpJ.oyees and lndependent contractors
of the rrMunlc lpalltyr.
IT IS MUl't ALLY IJNDERSToOD AND AGREED that the I'Contractort sha1l have
ful1 control of the ways and means of performlng the work referred to
above and that the 'rContractor" or his/lts employees, representatlve
or subcontractors are ln no sense enployees of the ttMunLc lpallty, 'r it
being speclflcally agreed that ln respect to the rrMunlc lpallty, rr theI'Contractor" and any party employed by the "Contractorr bears the
relatlonship of an Lndependent contractor.

above, Broad Form, Pub1lc Llablllty Insurance lncludlng con-
tractual llab11lty and Automoblle Llabllity Insurance wlth
Bodily Inlury each wlth llnlts of not less than $1,000,00.00,
Broad Form Property Damage Insurance lrlth llnits of not
less than $1,000,000.00 and norkers conpensatlon and related
lnsurance coverage at amounts requlred by statute. TherrContractor[ agrees that at any tlxne upon the demand of
the I'Munlc lpal1ty, t' proof of such lnsurance coverage wJ.ll

It ls also nutually agreed that the rrcontractorrr shall per-
form servLces as proposed In thelr March 10, 1988 submlttal to the
village which is attached hereto as Exhibit A ln 1988 and shall also
provlde these services ln 1989 at a rate rshlch will be a three percent
(32) increase. The work and respons ib l11t les shall conform to the
Village of Buffalo Grove speclflcatlons for 1988 Mosquito Control
Servlces which are attached hereto as Exhlblt B' except that when
adultlcldlng 1s per- formed at te[peratures below seventy-three
degrees (73') and at other tl8es agreed to by the Vll1age represent-
atlve, then the alternate adultlcldlng agent shal1 be used at the
quoted prlce. It ls mutually agreed that half the adultlcldlng
appllcatlons are projected to occur uslng the Appendlx E alternate.
Thls Agreernent shall be ln effect fron the 2lst day of
March, 1988,unttL the lst day of Decernber, 1989 lncluslve.
