A RESOLUTION APPROVING PARTICIPATION AGREEMENT
AND PARTIAL CONSENT DECREE
hIIIEREAS, the Vil}age of Buffalo Grove is a Eome RuIe Unit
pursuant to the Illinois Constitution of 1.970, and
WHEREAS, the Illinois Environmental Protection Agency filed
a complaint in Du Page County, Illinois, *85 CH 0466, for an
abatement and clean-up of an alleged hazardous vraste disposal
site which i{as operated by Lenz Oil and located in the Village of
Lemont, Illinois; and
WHEREAS, the Vil.Iage of Buffalo Grove sold to Lenz OiI
Company certain of its waste oil; and
WIIEREAS, a proposed settlement has been made which would
rel,ease the Village of Buffalo Grove from any liability in
regards Eo all costs assessed with clean-up activities at the
Lenz OiI site except for ground erater costs, if any;
NOVI, THEREEORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF
TRUSTEES OE' THE VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES,
ILLINOIS:
t. The preceding lIhereas clauses are hereby made a part of
this resolution;
2. The Partial Consent Decree between plaintiffs and
certain defendants which is attached hereto as ,Exhibit Arr and
the Participation Agreement which is atEached hereto as ,,Exhibit
B" are hereby approved;
3. The Vi11a9e President and Village Clerk are hereby
authorized and directed to sign the attached partial Consent
Decree and Participation Agreement i
4. This resolution shall be in effect from and after its

tive fund. These conplnles represent about 52 Percent of the
waste volume of the gioup. Additional contributlons are recejiwed
every day and I renain optinistic tbat the fevel of participat:ion
could reach 70 percent.

discovery is that the saste volures for Dany conpanies ln.our
group have increased. I knon that for sone of you these lncreased

uorth, the Iltinois EPA rras taken to task rather severely for lts

Code, Subtitle c, Ch. f, $750.430, deternined that

WHEREAS, the State filed a First Amended Complaint and
Motion for Prelininary Injunction which sought exclusive access
and control of the site pursuant to S4(d) of the Act to al1ow the
Agency to take iuunediate removal action at the Lenz OiI Site, and
WHEREAS, the Agency has engaged and continues to engage
in lmrnediate renovar acti.on to abate the reLease and threat of
release of hazardous substances at the Lenz oi1 site and has in-
curred and continues to incur certain costs in eonnection with
such actions including investigative and creanup activities and
adrninistrative and enforcenent expenditures related to the Lenz
Oil Site, and
WHEREAS, the State filed a Second Anended Complaint
adding as additional defendants the alleged potentially respon_
sible parties Listed in Attachnent I hereto, and others, and add_
lng clains under the Act and the connon 1ar4ri and
$THEREAS, the relief sought against Consenting
Defendants in the second Anended Conplaint would require thero to
relnburse the governmental entities for the costs incurred in
connection wlth its iurmediate removar. action including investlga-
tive and cleanup activities and administrative and enforcement
expenditures related to the Lenz OiI Site; and

WHEREAS, Consenting Defendants have been given certain
information by the State detailing alleged shipnrents of materials
sent to the l,enz Oil Site and certain pretininary test results
al.legedly indicating the presence of hazardous materials at the

deny that Consenting Defendants are among the potentially respon-
sible parties pursuant to the Act and are jointly and severally

tive, J.nvestigative, enforcement, renedial and removal costs in-
curred by the State pursuant to Section 22.2 of the Act, includ-
ing oversight costs. rrResponse Costsrt shall include, but not be
linited to, costs associated with start-up, renoval of under-
ground storage tar'ks, residential water connections, water and
sewer connections, foam retardants, and air anbient nonitoring
programs .
I{. rrsource Renovalr rneans the cleanup, rernoval and
destruction of waste naterials, drums and contaninated soil frorn
the Lenz Oil Site. This definition should be interpreted to in-
clude all costs associated with cleanup activities at the Lenz
Oil Site except rrcroundwater Costs,rr
I. rrcroundlrater Costsr means costs associated with a
progran of groundrrater rernediation resulting fron the Lenz Oi1
Site including costs incurred in developing a groundwater
nonitoring plan, inplementation of such p1an, or any renedial
action for groundwater contamination.

RELEASE AND CONTRI BUT ION
A. The rrcovered Mattersrr referred to hereafter include
liabillty for all Response Costs incurred by the State relating
to Source RemovaL at the Lenz oi1 Site including the costs of
incineration of waste materials, drums, and contaminated soil
excavated at the site. rn the event that additional source Reno-
va1 at the Site ls deternined at any tine to be reguired, uhether
by the Agency or by the United States Environmental protection
Agency, or by any other local , state or federal regulatory body,
It is expressly agreed that the costs of such further source

D. It is the express intention of the parties that the
Consenting Defendants shall not be required to pay any additional
amounts in contribution for Covered Matters. The parties rep-
resent that this Partial Consent Decree was negotiated in good
faith and represents a fair settlenent of the Consenting Defen-
dantsi liability for Covered }Iatters, if any, without the need
for protracted, complex and costly Iitigation. Accordingly, the
parties allree, and the Court finds, that Consenting Defendants
are not Iiable to any Non-participants for any ctaims for con-
trlbution arising out of Covered Matters, and such suits there-
fore sha11 be barred.
E. The Consenting Defendants agree to pay the Response
costs relating to covered }tatters in the r'anner provided for in
Paragraph V. In consideration thereof, the State and Consenting
Defendants agree as follows:

anount in the manner prescribed by paragraph V of this partiat
consent Decree, the state shal1 rerease the consenting Defendants
fron any liability for Covered Diatters. The State does not
release Non-participants, and expressly reserves its right of
action to recover any and a1l Response Costs, including costs
relating to Covered Uatters, fron Non-participants. The State
and Consenting Defendants intend that such release shaII apply

and shaIl not be a release of any other claim !,rhich the state may
have, including any claims for croundwater costs at the site.

A. Consenting Defendants shaIl pay 92.15 nillion to
the State of l1linois, J.n the nanner hereafter descrlbed, to dis-
charge thelr liability for, and in partial reirnbursement of, the
Response Costs incurred by the State for covered Matters at the
Lenz Oil Site. Consenting Defendants shalI not be liable for
future sums for Response Costs incurred by the State relating to
Source Renoval or soil contamination at the Lenz OiL Site, pro-
vided, however, that nothing in this partial Consent Decree sha1I

of $500,000.00 on January Ll, 1988 and January 25, 1988, and a
9650,000.00 palznent on February 25, 1988. Interest earned on
amounts paid into the escrow account sha11 be the property of the
State of Ill,inois provided, holrever, that consentlng Defendants
sha1l be allowed a credit against its final g650,OOO.OO pa)arent
for all interest earned on such account and retained by the
State .

C. In the event that Consenting Defendants fai.l to
make any paynent on or before the date prescribed in the preceed-
ing paragraph for such payraent, it will be dee:ned a fundamental
breach of this Partial Consent Decree and all obligations of the
parties prescribed by this partial consent Decree shaLl terminate
without prejudice to any party. fn the event of such breach,
Consenting Defendants shall be entitled to recover any funds

The Consenting Defendants do not adrnit any llability
nor any past or present violation of any 1aw by virtue of execut-
ing this Partial Consent Decree or carrylng out lts tenns but
lnstead seek only to resolve a pending dispute with the State.

STIPUIJATION OF USE
The parties stipulate that this consent Decree j.s
entered for the purpose of settlenent only and that neither the
fact that a party has entered into this partial consent Decree
nor any of the facts stipulated herein sha1l be used for any pur-
pose in this or any other proceeding except to enforce the terms
