WHEREAS, this contract to be dated July 21, 1986, replaces that contract
due to changes ln the terms and condltlons of that orlglnal contract.

by and between Buffalo Grove Dlsposal Coopany, a divlslon of Waste Management
of Ill1nols, Inc., herelnafter referred to as the "CoNTRACToR, " and the
Vll1age of Buffalo Grove, an Illlnols Munlclpal Corporatlon, herelnafter
referred to as the I'VILLAGE!|.
Now, therefore, in conslderation of the promlses and covenents hereln
contalned:
ARTICLE I
CONTRACTOR I S DUTIES
1.0 Dutles. The CONTRACTOR agrees to furnlsh all labor, materlala, and
equipment for the removal of waste and garbage frorn all slngle-fami1y,
attached slngle-fanlly, duplex, and tonnhouse dwelllng unlts in the VILLAGE.
1.I llaterials Collected. The uaterlals to be collected in re gular
scheduled plckups sha11 lnclude the follorrlng:
A. All kltchen f,rastes lncluding cans, bottles, household food,
accumulatLons of anlnal food and vegetable matter attendant on the prepara-
tlon, use, cooklng, and servlng of foods.
B. General household trash and refuse, lncludlng cold ashes,
broken down exnp ty cartons, boxes, rrrapplng materials, newapapers and maga-
zlnes, when securely and neatly bound ln convenient size bundles, cloth
materlals, eEpty cans, dlscarded toys, dlscarded clothlng, and sfuni.lar
materlals.
C. Dlscarded furnlture, flxtures, household appllances, swlng
sets, and other large and bulky items as herelnafter deflned 1n Sectlon 1.2,
Paragraph B.
D. Yard naterlals, includlng grass cllpplngs' weeds' Chrlstmas
trees, bushes and bush cllpplngs' branches and branch clipplngs' when secure-
ly bound In bundles not exceeding four (4) feet ln length; and not exceedLng
seventy (70) pounds ln welght each.

Method of Collection The nethod of collection and dLsposal of items
thLs Contract shall be as follows:
A. The Regular Seml-Weekly Service. The CONTRACTOR w111 furnlsh
a regular scheduled senl-weekly collectlon servlce for each sLngle-fanlly,
attached slngle-famlly, duplex, and townhouse dwe11lng unlt In the VILLAGE in
accordance tlth a schedule to be submltted and approved by the Vll1age
Manager, uslng equlpnent as ls prescrlbed ln this Sectloo (Sectlon 1.2,
Paragraph D,). AlI materials to be collected ln the regular serul-weekly
servLce shall be placed ln acceptable contalners except for such l-tems as are
too bulky to flt ln sald containers. An acceptable contalner for purposes ofthls Contract shall be as prescrlbed by Ordinance No. 75-57 and any amend-
ments thereof to the Village of Buffalo Grove Munlclpal Code.
Iteus such as bundLes of brush and brush cllpplngs, branches and
branch cllpplngs, toys, broken down empty carEons, crates, newspapers and
nagazlnes, smaller itens of furnlture, and other itens sultable for co1-
lection by packer type equlpnent shall be bound as requlred and stacked
neatly alongside the contalners.
1. There shall be no more than ten (10) bags or contaLners
per regular semi-weekly plckup whlch the resldent can use to dlspose of the
items to be collected, and the CONTRACTOR shall collect from all ten (10)
bags or contalners which are placed for collectlon. Bags or contalners shall
not exceed seventy (70) pounds tn welght each.
2. Plckup shall be at the front curb of the residence or
resldentlal unl.t to be served. The startlng tlme for collectlon servLces
hereln descrlbed sha11 not comence before 7:00 a.m. and shall be coEpleted
by 4:00 p.n.
B. Bulk Plckup Servlce. The C0NTRACT0R w111 furnlsh a bulk
plckup service as a part of its regular pickup servlce to collect and dlspose
of all dlscarded rnaterlals and trash whlch are too large and bulky to be
handled by packer type equipnlent. Thls bulk plekup servlce w111 lnclude
bulky ltens such as refrlgerators, stoves, vashlng nachlnes, dryers,
freezers, hot \rater heaters, ptanos, beds, box sprlngs and mattresses, sofas,
overstuffed furulture, sr lng sets, large carpets, and other dlscarded house-
hold furnlture or appllances, furnlshlngs, and fixtures. Sald itens shall be
placed at the curb by the resldent on his second regular plckup day of the
\reek for collectlon, provlded a call has been made to the COMRACTOR by the
resident notlfylng the CoNTRACToR of the bulk plckup, sald collection shall
be made lrlthout addltional charge for bulk lterns uP to one cublc yard. An
addltlonat charge to residents w111 be nade on the basls of $5.00 per cubic
yard on bulk ttens tn excess of one cubic yard and $7.50 per apPllance as to
be collected from or billed dlrectly to the resldent by the CoNTRACT0R. one
appllance or one cublc yard of exEras Per week ls free of any addltional
charges.

C. Prlvate Dlsposal Servlce. The CONTRACTOR wlll provide con-
tractual servlce to the resldents for all types of refuse materlal Lrlthout
1lnltatlon, lncludlng earth, sod, rocks, concrete, rubble and refuse from
renodellng, constructlon and denolltlon of bulldlngs, excavations and other
materlals, except for polsonous or toxLc materLals and large quantLtles of
llquld requlrlng tank truck dlsposal equlpment.
In thls class of servlce, CONTRACTOR agreea to keep avallab1e for
thls servlce tractor loaders, trailers and other equlpment as any be neces-
sary for the provlding of thls servlce to residents of the VILLAGE. 0n
request, the CoNTRACToR w111 furnlsh estlmates for the cost of renoval of any
materlaLa for this private removal servLce.
Anythlng to the contrary notrrlthstandlng, CoMRACTOR shal1 not be
requlred to enter prlvate homes for the purpose of removing heavy ltems.
D. Equlpment to be Used b y Contractor. The C0NTRACTOR a grees to
collect all materlals collected durlng all regular servlce 1n fulJ,y encloged
leak-proof nodern packer type trucks.
Equlpnent used for speclal plckup service may be open body trucks,
dump trucks, and slmllar type equlpnent. When open body trucks are used, the
CONTRACT0R w111 use care to see that no litter or scatterlng of refusenaterlal occurs.
E. Dlsposal of Garba ge and Refuse. The CoNTRACTOR lrl1l trans port
all naterlals collected for dlsposal hereunder outslde of the corporate
llnlts of the VILLAGE and agrees to dlspose of and deposlt sane in a sanltary
landflll or an inclnerator and to do so ln accordance wlth the laws of the
State of llllnols, any Unlted States governnental agencies, and as dlrected
by the corporate authorltles of the VILLAGE.
The VILLAGE reserves the rlght now and ln the future to claln tltle
to the garbage and waste Btreao that is generated Lrithln the VILLAGE for the
purpoae of posslble dlrectlon of such garbage and waste to any and all
reglonal or sub-reglonal dlsposal sltes as dlrected by the corporate author-
ltles of the VILLAGE.
I.3 No Duty on CoNTRACToR to Collect Comerclal or Industrlal Refuse
Under This Contract. The CONTRACTOR shall not be re qulred under the terms of
this Contract to collect any refuse frorn any comercial and lndustrial estab-
llshnent, nor any structure whlch does not contaln realdentlal slngle-fanlly,
attached slngle-fanlly, duplex, and townhouse dwelIlng unlts. The CoNTRACToR
nay, at hls option, contract rrlth flrns, lndlvlduals, or agencles for refuse
collection service outside the scope of thls Contract' sublect to any regu-
latlons governlng pfivate scavengers generally' and provldlng such operatlon
sha1l not lnterfere with the Eatlsfactory carrylng out of the work undet
thls Contract.
1.4 Insurance and Indemnlf ica t lon.Ihe CoNTRACTOR agrees to carry

B. Automoblle Liabillty. Tte CONTRACTOR sha1l carr y ln his own
name a policy under a comprehensive forD to lnsure the entlre notor vehlcle
liabllity for hls operatlons wlth llDlts of not less than $500,000 per
indlvldual and $1,000,000 per accldent bodlly lnjury 11ab111ty, Also, a
mlniEum $150,000 for each accldent for property danage llabillty.
C. General Llabillty. The CoMRACToR shall carr y in his own naEe
a comprehenslve llablllty coverage program for hls operatlons other than
motor vehlcle, wlth llnlts of at least $500,000 each person and $500,000 each
accldent bodlly lnJury llabillty. Also, a nlnLmum $150,000 each accldent for
property damage 1lab11lty,
A11 of the above levels of coverage are consldered as mlulmum and
prudent business practlces should dlctate what l-evels are approprlate, For
both Automoblle Ltabillty and General coverage, the policies shal1 nane the
VILLAGE as an addltlonal lnsured. Certlflcates of insurance must be flled
lrlth the Vlllage Clerk on an annual basls as evidence of coverage. Sald
Lnsurance pollcies Bhall not be cancellable wlthout thlrty (30) days prior
wrltten notice to the VILLAGE.
D. I{old l{arnless and Inderonif lcat lon.The CONTRACTOR does hereby
hold harmless and lndennlfy, and shall defend the VILLAGE and lts employees,offlclals, and agents agalnst any and all clains, losses, inJury, daEages,
sults, demands, actlons and causes of actlons, expenses, fees and costs that
may be the result frorn the executlon of thls Contract. Included would be any
operatlons by aub-contractors and actions or oElsslons of employees or agentg
of C0NTRACTOR or hls sub-contrac tors.
1.5 Petfornance Bond Requlred. The CONTRACTOR shall furnish a perfor-
mance bond for the falthful performance of thls Contract, said bond to be
executed by a responsLble surety corDpany and to be ln the penal sum equal to
one-slxth (1/6) the estlnated amount of the estlmated Contract fees for the
flrst year of a Contract, and for each year thereafter to be in the penal sum
of one-slxth (1/6) the revenue earned by the CONTRACTOR for the precedlng
aervlce year under a Contract granted. Said perfornance bond shall be
furnished annually by the C0NIRACTOR for each year of a servlce Contract, and
shall lndemnlfy the VILLAGE agalnst any loss resulting fron any fallure of
performance by the CONTRACTOR. The revlsed bond muat be posted by May lst of
each servlce year.
I.5 Provlslon for Telephone Calls. The CONTRACT0R shal1 maLntatn an
offlce and telephone, for the recelpt of servlce, btlllng, and complalnt
calls,and shall be avallable for such calls on aI1 working days fron 9:00
A.M.to 4:30 P,M. Any complalnts oust be glven Prompt and courteous atten-
tlon, and ln case of missed scheduled collectlons, the CONTRACTOR shall
lnvestlgate; and lf verlfled, shall arrange for pickup of sald refuse wlthin
trrenty-four (24) hours after the conplalnt 1s received.
1.7 Care and Performance. The CONTRACToR shall undertake to perforrn
all dlsposal servl-ces rendered hereunder in a neat' or derly' and efflclent
Dranner, to use care and dlli8ence ln the performance of all speclfied ser-
vlces, and to provlde neat, orderly and courteous employees and personnel on
1ts crelrs.

1.8 Enployees Not to Drlnk. The CoMRACTOR does hereb y agree toprohlblt any drinklng of alcohollc beverages and/or consunptlon of illegal
drugs by lta drivers alrd crew members whlle on duty or ln the course of
perfonnlng thelr dutles under thls Contract.
ARTICLE II
COUPENSAT]ON
2.0 Compensatlon. Th e CONTRACTOR shall charge for any and all servlceg
and labor herelnabove stated for the regular seml-weekly collectlon and
dleposal of household refuse and rraste, the sun of $9.92 per rlonth, less 9.17per slngle-famlly and duplex resldentlal dwelling unlt and the sun of $9.50per nonth, less $,17 per attached single-fanlly and tol'nhouse dwel1lng unlt.
The rate shall be effectlve on May 1, 1986, and wltl be effective throughAprll 30, 1987. CONTRACTOR shall adJust his rares effecrlve ar rhe beglnningof each Contract year, that year beglnnlng each May lst durlng the term ofthls Contract.
2.1 Adjustnent to Conpensatlon Resultln g from Changes ln CONTRACT0R I S
CoSTS. The CoNTRACToR shal1 be permltted to adjust the nonthly servLce rates
E??EiTlve each service year subJect to the provlslons of Sectlon 2.0
herelnabove based on changes ln certain cost conponents of CoNTRACToRT S
buslness fron the beginnlng of the calendar year that precedea a Contract
year (Yl) to the beglnniug of the calendar year that lncludes the beginnlng
of the calendar year that lncludes the beginnlng of the Contract year (Y2).
The corponents w111 lnclude the CONTRACT0RT S wage, heatth, cost of llving,
welfare, and pension beneflts pald to 1ts unlon enployees dlrectly euployed
1n the perfornance of a Contract, and the co8t for the dlsposal of refuee and
lraste at the CoNTRACToR I S landf1ll slte(s). The lncrease factor wltl be
based on a comblned rrelghted percefltaSe change ln these trro coat components
during the approprlate ealendar year, beglnnlnS to endlng, and shal1 have a
welght value of.50 and .50 respectlvely, of any change, be Lt an lncrease or
decrease.
The fornula for calculatlng such a percentage for each servlce Cofltract
year can be stated as follows:

The Rate Change Factor wlll be applled to the base rate then ln effect.
The CONTRACTOR shall notlfy the VILLAGE at least slxty (50) days Prior to the
effectlve date of any rate Lncreaae as to the lncrease along lrlth the nethod-
ology and supporting contracts and expense detall to suPPort any change. In
no case, will the percentage lncrease developed under the Rate Change Factor
equatlon above exceed the percentage lncreaae ln the Chlcago Consumer Prlce
Index developed by the Unlted States Department of Comerce for the calendar
year ueed to develop such Rate Change Pactor. The CoNTRACToB nust submlt to
the VILLAGE cost data relatlve to these rate coxnPonents on a quarterly baslE
Ln detall form dlscloslng costs and rates pald and to lrhoE for such conpo-
nents, The vILLAGE reserves the rlght to have lncorporated the lorrest unlt
costs lnto the Rate Change Factor equatlon.

2.2 Billlng of Accounts. The C0NTRACTOR w111 perform the blllln g and
collection of fees owed lt from servlced dwell1ng units. The VILLAGE agrees
to cooperate and assist the CoNTRACToR ln any means per:mlssible to insure
that the collectlon of all funds owed for service performed, either on a
current or dellnquent basls can be undertaken and receipt assured. If deened
necessary, the VILLAGE w111 modlfy any of lts regulatory ordlnances regardlng
health, welfare, and safety to lnsure that the VILLAGE resldents adhere to
thls Contract and the services provlded hereunder. The VILLAGE further
agrees to cooperate to provlde CONTRACToR wlth asslstance regardlng uove-ln,
Bove-outs, or any other notlfication that rr111 assist ln the executlon of
this Contract.
2.3 Houses of Worshlp. CONTRACTOR shall plckup all houses of worship
within the Vtllage free of charge.
2.4 lunlclpal Servlce. COMRACTOR agrees to plcku p the Villa8e 8a11,
Vlllage Flre Departnent, Vll1age Golf Courses, and Vlllage Publlc Works
Departx0ent, and Park Dlstrlct bulldlngs free of charge, wlthln reasonable
quantitl.es, unless there ls the need to provide for specLal haullng servi-ces,
which will be on a quoted fee basis. Thls servlce w111 lnclude not only
materlals noted in Sectlon 1 l but from ttme to tioe materlals noted ln
Section 1.2, Paragraphs B & C. Proper notlce shall be glven to CoNIRACT0R tn
thls regard by the VILLACE.
2.5 Collectlon Alternatlves. CONTRACToR a grees to work wlth the Vlllage
Manager ln experlmentLng 1n controlled areas to deteroine the deslrablllty of
recycllng or uslng a rrsackrr system. Before adoption of any systeno or sys-
tems, both the CONTRACTOR and Vlllage Uanager, by nutual consent, wlll agree
on the coata involved 1n these projects.
2.6 Alternative Schedules. The VILLAGE nay at lt s optlon request of the
CONTRACTOR servlce nodlflcatlons not speciflcally stated ln thls Contract
ln Section 1,2, Paragraph A. Servlce Eodlflcatlons could lnclude, but not be
1ln1ted to, once a week plckup on a seasonal basis. The CONTRACTOR w111
cooperate fully \rith the VILLAGE to properly detennlne the cost of these
servlces and recelve agreenent from the VILLAGE prlor to any formal change ln
aervice provlded under a final, revised servl.ce Contract,
ARTICLE III
FAILURE TO PERFORM
PROVISIONS RELATING TO NON-ASSIGNABILITY
3.0 Fallure to Perform. It ls further nutually agreed that ln the
event the CONTRACToR shal1 wholly fa11 to co Ilect and dlspose of the waste
and garbage and all other materlals required hereln for any one week, the
VILLAGE may then proceed Ltlth such work and recover any and all reasonable
costs from the perfornance bond herelnabove speclfied as to be furnlshed by
the COMRACTOR,
3.1 Non-Assignment of Contract.The CoNTRACT0R shall not have

asslgnnent will be nade by the Presldent and Board of Trustees of the
VILLAGE. Not i.rlEhstanding the foregolng to the contrary, the merger of
CoNTRACToR with and lnto a direct or lndirect wholly owned subsidlary of
Waste Management, Inc. shall not constitute an asslgnnent of thls Contract.
ARTICLE IV
TERM OF CONTRACT
The lnltlal terE of thls Contract shall eomence on May i, 1985, wlth
amendments as of July 21, L986, and end on April 30, 1989, unless sald
Contract 1s teminated at an earlLer date by the VILLAGE for reasons of
non-performance or vLoLatlon of the terms of a this Contract by the
CoNTRACTOR. The VILLAGE shall have the optlon to extend or renew thls
Contract for a perlod two (2) additlonal one-year (l) exten- slons upon terms
Dutually acceptable to both partles, not exceeding flve (5) years in total
(through Aprll 30, 1991) upon notlfylng the C0NTRACT0R tn rrrltlng of lts
lntentlon to do so no later than nl.nety (90) days prlor to Apr1l 30, 1989.
CONTRACTOR shall not btll for refuse services beyond the termlnatlon date of
thls Contract or any extenslon hereof.
Any and a1I reasonable cooperatLon w111 exist between the VILLAGE and
CONTRACTOR to permit a stable transltlon of any servlce changes under thLs
Contract.
ARTICLE V
OBEDIENCE TO LAWS
The CoNTRACTOR hereby coveoants and agrees to coEply at all tines vlth
appllcable federal, state, and VILLAGE laws ' ordlnances, and regulatlons at
any tlne appllcable to the CONTRACToRT S operations under thls Contract.
Contractor shall obtaln, at hls orrn expense' all permits and llcenses
requlred by larl or ordlnance and oalntain the aane ln fu1l force and effect,

the Prestdent and Board of Trustees dlrectlng the executlon of thls Contract,
has caused these presents to be signed by the President and attested by the
