WHEREAS, the President and Board of Trustees of the
Villaqe of Buffalo Grove desire to cause the implementation of the
Illinois Rt. 83 (Lake-Cook Road to Buffalo Grove Road) Street
Improvement and;
I,IHEREAS, the approval of an agreement with a consulting
engineer is required in order to proceed with the necessary engineering
of the proj ect;
NOl,l, THEREF0RE, BE IT RES0LVED by the President and Board
of Trustees of the Village of Buffalo Grove, Cook and Lake Counties,
Ill inois that the Village Manager is hereby authorized and directed
to execute the "Agreement for Consultant Services Between the
Village of Buffalo Grove and Midwest Consulting Engineers, Inc."
A copy of said agreement is attached hereto and made a part hereof.

This is an AGREEMENT between the VILLAGE OF BUFFAIO GROVE,
50 Raupp Blvd., Buffalo crove, Illinois, 60090, hereinafter
referred to as the "VILLAGE", and MIDWEST CONSULTING ENGINEERS,
INC., 5151 North Harlem Avenue, Chicago, Il1inois, a firm of
Consultants, hereinafter referred to as the nCONSULTANT'..
The VILLAGE has retained. the CONSULTANT to furnish certain
professional services including the preparation of contract
p1ans, special provisions and cost estimates in connection with
the proposed improvement of Mundelein Road (I11. 83), hereinafter
referred to as the rrPROJECTrt.
This AGREEMENT contains aII the terms and conditions of the
agreement bets/een the VILLAGE and the CONSULTANT and any changes
in this AGREEMENT shall have no effect unless they are made in
trriting, signed by both parties and incorporated as an amend.ment
to this AGREEMENT. No other written or oral understandings,
representations or agTreements, other than those herein, have been
made by and between the partj-es hereto.

1. Incorporation b y Reference
The "Standard Agreement Provisions for Consultant
Services", dated L977, of the Department of Transportation
of the State of IlIinois, hereinafter referred to as the
" STANDARD PROVISIONSTT, are incorporated and made part of
this AGREEI\,IENT except as deleted or amended hereafter.
(References to section in the STANDARD PROVISIONS are shorrn
in parenthesis. ) :
1.1 (SP 1) Definitions as they pertain to

the STANDARD PROVfSIONS,
1.2 (SP 2.41) The CONSULTANT shall invoice rhe VIILAGE,
not the Liasion Engineer, as provided in Section 2.41
of said STANDARD PROVISIONS. Invoicing shall be in a
format mutually agreed to by the VILLAGE and the
CONSULTANT.
2. Scope of Work - Phase 2 Engineering
Phase 2 of the work to be done by the CONSULTANT on the
project shal1 be as set forth in Section 6 of the STANDARD
PROVISIONS, Scope of Services for Design and Preparation of

Contract P1ans, amend.ed as follows (References to sections
in the STANDARD PROVISIONS are shown in parentheses) :
2.1 (SP 2.31b) Delete the words "or wrongful".
2 (SP 6.20) The $rork in this section will include
preparing an addendum to the approved Environmental
Assessment and Combined Report to reflect the change in
the proposed roadway cross-section for the PRO,fECT.
3 (SP 6.21) The CONSULTANT shal1 use conventional ground
survey methods to obtain topographic information for
design of the PROJECT.
2.4 (SP 6.221 The work outlined in Sections 6.22a, b, and
c will not be required for this PROJECT.
2 5 (SP 6.23) The work outlined in Sections 6.22a, b, and
f wilL not be required for the PROJECT.
2.6 (SP 6.24) Delete this work since a centerline survey
plat is not required for this PROJECT.
2.7 (SP 6.31) The work outlined in Section 6.31 is not
required for this PROJECT.
(SP 6.32) Delete 6,32 and insert the following in its
place: The CONSULTANT will contact the utility com-
panies and coordinate the required utility adjustments.
The design and plans for utility adjustments will be
prepared by the respective utility companies.
2.9 (SP 5.42) Delete 5.42 since structure plans are not
required for this PROJECT.

2.10 (SP 6.45) The last sentence of this section is mod-
ified to read 'rThe CONSULTAN? will enter unit prices
and accumulate costs".
2.11 (SP 6.47) The work outlined in Section 6.47 will not
be performed by the CONSULTANT.
2,12 (SP 6.48) The work outlined in Section 6.48 will not
be performed by the CONSULTANT.
2.13 (SP 6.49) This work is deleted. Staking of right-of-
way Iimits r,ri11 be performed by others during the
construction phase of the PROJECT.
2.14 The CONSULTANT sha1l furnish the VILLAGE, for transmit-
ta1 to IDOT, the following documents, plans and copies
thereof:
a) Preliminary Roadway Plans: 4 sets of prints
b)Final Contract Plans: Mylar Reproducibles (36" x
22"1 and 1 set each of prints and sepias
c)Special Provj-sions: Original typed on forms
furnished by the DEPARTMENT
d)Estimate of Time: original typed on forms fur-
nished by the DEPARTMENT
e)
The VILLAGE will be furnished two (21 copies of the
above items for their records.
Estimate of Cost: Original with prices
without prj-ces typed on forms (8t" x

3. The VILLAGE agrees to furnish the following items:
A11 presently available survey data and information, includ-
j-ng standard details and standard specifications adopted by
the VILLAGE, and other available data useful to the r,/ork
being done by the CONSULTANT.
4. Project Schedule
The CONSULTANT shal1 commence work on Phase II within five
(5) calendar days after date of authority to proceed. The
work will be completed and delj-vered to the VILLAGE and the
DEPARTMENT within 90 calendar days after notice to proceed.
The PROJECT is to be ready for a tlal. ch 27, 1986 contract
letting scheduled by the DEPARTI,IENT.
5. Prime Compensation
5 I Phase 2 - Design and Preparation of Contract plans:
Subject to an Upper Limit of Compensation of
$74,871.00, the CONSULTANT sha11 receive as fu11
payment for completing the Phase II work required of
him under this AGREEMENT reimbursement of his eligj-ble
actual costs in accordance hrith Secti.on 2.45 of the
STANDARD PROVISIONS, plus a Fixed Amount of $7,860.00.
The Upper Limit of Compensation is a result of the Cost
Estimate of Consultant's Services, attached as Exhibit
D. The retainage provisions contained in Section 2.42
of the STANDARD PROVfSIONS shall not apply to Direct
Non-Salary Costs. The attached Exhibits A, B, and C
are to be used as set forth in Section 2.42 of the
STANDARD PROVISIONS. Invoices shalI be prepared in
accordance with Section 2.4L.
2 The Prime Compensation may be increased or decreased by
subsequent agreement between the contractual and

approving parties if there is a major change in the
scope, character or complexity of the work. Prime
ComDensation and Specific Rates for Extra Work may be
adjusted in accordance erith Section 2.2L of the STAN-
DARD PROVISIONS, if the duration of the work j-n any
phase extends more than six months beyond the date of
compJ.etion stated in Section 4 of this AGREEMENT, due
to no fault of the CONSULTANT.
3 In all instances where the VILLAGE shalI request
specific services of the CONSULTANT, the CONSULTANT
prior to commitment shall indicate to the VILLAGE
whether the work shalL be considered ,extra workn.
When requested by the VILLAGE, the CONSULTANT sha11
prepare and submit a cost estimate for such extra work.
In the event the CONSULTANT, upon written order from
the VILLAGE, is required to perform Extra Work, he
sha1l, in addition to the Prime Compensation, receive
payment for such Extra Work on the following basis:
Subject to a pre-agreed Upper Lirnit of
Compensation for each item of Extra
Work, the CONSULTANT shall be paid at
the specified hourly rates of pay for
each class of employee as listed in
Exhibit for the actual time the
CONSULTANT directly utilized each such
employee on the Extra Work, plus the
CONSULTANT'S payroll burden, overhead
costs as Iisted in Exhj-bits B and C,
plus actual expenses for transportation,
subsistence r and electronic computer
service incidental to the Extra Work.
Any other expenses incurred j-ncidental
to the Extra Work shall be consi-dered to
be overhead costs.
