WHEBEAS, the Village of Buffalo crove is a member of the
Northwest Central Dispatch System (hereinafter "NWCDS") with
three other Villages in northwestern Cook County; and
WHEREAS, MVCDS effectiveness would be greatly enhanced with
the addition of a Computer Aided Dispatch component (hereinafter
"CAD"); and
WIIBREAS, the enhancement would be in the best interests of
the health, safety and welfare of the residents of the Village
of Buffalo Grove; and
WIIEREAS, NI{CDS is considering entering into an agreement with
IUotorola for the purchase of a CAD system; and
IVIIEREAS, N-IVCDS currently has funds available to pay for the
first year of a lease pursuant to a Lease/Purchase Agreement,
but will need additional funding by its constituent members for
additional lease or buy out payments for the CAD System; and
MEREAS, it is the desire of the Village of Buffalo crove
that ii',VCDS enter into an agreement for the Lease/Purchase of a
CAD System; and
WHEREAS, a proposal has been submitted by lulotorola to M'ICDS
which has been reviewed and approved by the appropriate members
of the staff of the Village of Buffalo Grove; and
WHEBEAS, this Resolution supercedes Resolution 83-35 passed
September 19, 1983:
NOW, TIIEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES,

1. That the Village of Buffalo Grove sha11 appropriate the funds
necessary according to its proportionate share as set forth in
the M{CDS By-Laws to effect the Lease or Lease/Purchase of the
CAD System as set forth in the proposal submitted by tr'lotorola
dated August 2, 1983, and as amended September 30, 1983.
2. This cornmitment is conditioned upon NWCDS reaching an
executed agreement wi.th Motorola by April 30, 1984.
BE IT I'URTHER RESOLYED that because of the highly technical
nature of making the CAD System compatible with the existing
NWCDS equipment, the Board of Directors of NMDS may lease or
subsequently exercise its option to purchase the equipment
without competitive bidding on the vote of three of the four
members of the Board of Directors,

THIS AGREEMENT, made and entered into this 19 th day of December , l9E),
by and between MOTOROLA Communications and Electronics, Inc., hereinafter relerred
to as TTMOTOROLATT, incorporated as an Illinois corporation and located in Schaumburg,
Illinois, and the Village of Buffalo Grove, Illinois, hereinafter referred to as
'IPURCHASER'"
WITNESSETH:
WHEREAS, the PURCHASER desires to purchase a Communications System; and
WHEREAS, the parties hereto wish to enter into an agreement pursuant to which
MOTOROLA shall perform the work and furnish the equipment and services as more

THEREFORE, in consideration of the premises and mutual covenants herein
contained, the parties hereto agree as follows:

provisions of Motorola Standard Commercial warranty.
In the event that any inconsistency shall exist among and between the
Contract Documents, the inconsistency shall be resolved by giving precedence
to the Contract Documents in the order listed above.
PRICE AND PAYMENT SCHEDULE.
MOTOROLA atrees to sell all of the equipment, perlorm the services as
outlined in Attachment.._L, Statement of Vork and PURCHASER agrees to
buy the aforementioned equipment and services lor the sum of ninety-six
thousand nine hundred forty-six dollars (S96,946.00).
Payment Schedule and Terms shall be in accordance with Payment Schedule
and Terms Agreement attached hereto.
SHIPPING.
All sales and deliveries are shipped to Destination at the expense of
MOTOROLA. MOTOROLA reserves the ritht to make deliveries in
installments and the contract shall be severable as to such installments. After
delivery to the Destination, risk of loss and damage to articles shall be borne
by PURCHASER.
All packaging and packing shall be in accordance with good commercial
Practice.
TAXE5.
The prices set forth herein are exclusive of any amount for Federalr State, or
local excise, sales, lease, gross income service, rentalr use, ProPertyt
occupation, or similar taxes. if any taxes are determined to be applicable to
this transaction or MOTOROL,| is reeuired to pay or bear the burden thereof,
the PURCHASER shall pay to MOTOROLA the amount of such taxes and any
interest or penalty thereon no later than thirty (30) days after receipt of an
invoice therefor.

5. CHANCES.
PURCHASER may, by written order, make changes within the teneral scope of
this contract, in one or more the following:
(A) Specifications, where supplies are to be specifically made for
PURCHASER in accordance therewith.
(B) Method of shipment of packing.
(C) Place of delivery.
If any change causes an increase or decrease in the cost of or time required
for the performance of any part of the work under this contract, an equitable
adjustment shall be made in the contract price or delivery schedule or both,
and the contract shall be modified in writing accordingly. Neither
PURCHASER nor MOTOROLA is obligated to comply with any order
hereunder unless and until the parties reach agreement as to the
aforementioned equitable adjustment and same is reflected in an addendum to
the contract.
HOLD HARMLESS.
MOTOROLA covenants and agrees to indemnify and hold the PURCHASER
harmless lrom all liabilities, judgments, cost, damages and expenses which
may accrue against, be charged to, or recovered from the PURCHASER by
reason of or on account of damage to the property of the PURCHASER or the
property of, injury to, or death oI any person, when such damage or injury is
caused by MOTOROLA's negligence or that o{ its employees, subcontractors or
agents while on the premises of the PURCHASER during the delivery and

parties. Such acts shall include but not be limited to acts of God, strikes,
material shortages, compliance with laws' loss of goods in transit, default of
suppliers, fires, riots, acts of war, or any other conditions beyond control of
the party or parties.
Delays as identified herein may cause an imPact to schedule/cost which will
therefore be subject to contract modification as described in Article 5
"CHANGESU.
LICENSES/AUTHORIZATIONS.
The PURCHASER is solely responsible for obtaining any licenses, permits or
other authorizations required by the Federal Communications Commission and
for complying with FCC rules. Neither MOTOROLA nor any of its employees
is an agent or representative of the PURCHASER in FCC matters or
otherwise. MOTOROLA, however, may assist in the preparation of the FCC
license application at no charge to the PURCHASER, PURCHASER
acknowledges that system implementation is predicated on proper F.C.C.
licensing.
SOFTWARE WARRANTY.
MOTOROLA software provided in connection with this order is warranteed to
be free from reproducible defects for a period of one (l) year from accePtance
in accordance with the ATP. All material and labor to repair any such deiects
will be provided free of charge for the lull warranty period' subiect to the
following disclaimer:
(A) The program is used in other than its normal and customary manner.
(B) A program has been subjected to misuse.
(C) A program has been r$1..r,o modification initiated by the customer
or merged with other Programs without the exPress prior consent and
written approval oI MOTOROLA.

IO. USE BEFORE ACCEPTANCE.
Should the PURCHASER commence use of the system or any sub-system
thereol for their intended purposes, other than for the express purposes of
training or testing, prior to system acceptance, linal payment for said system
or sub-system shall be due net thirty (30) days. The warranty or maintenance
periods for such equipments put into use, unless warranty or maintenance has
already begun, shall be deemed to have commenced concurrently with the use
of the equipment for its intended purpose. The use of the equipment for its
intended purpose shall be deemed to have occurred when the PURCHASER
commences to use and rely primarily on the equipment for its communications.
I I. CONFIDENTIAL INFORMATION.
All MOTOROLA proprietary computer programs and other material and
information of confidential nature marked MOTOROLA pROpRIETARy and
CONFIDENTIAL are released under the following conditions:
(A) PURCHASER shall exercise reasonable and prudent measures to keep
these items in confidence.
(B) PURCHASER shall not disclose these items to third parties without
written permission, unless MOTOROLA makes them public or
PURCHASER learns them rightlully from sources independent of
MOTOROLA.
(C) MOTOROLA, where necessary, retains the right to prescribe specific
security measures for the PURCHASER to follow to maintain the
confidentiality. :
12. COMPUTER FIRMWARE SOF WARE AND SOURCE LISTINGS.
It is recognized that in the course of this transaction between PURCHASER
and MOTOROLA, computer programs may be delivered to PURCHASER on a
licensed basis in printed form or in any of several possible machine-readable

forms including, but not limited to, magnetic tape or disk, paPer taPe' or read
only memory (ROM) device. PURCHASER shall then become a Licensee with
respect to such computer programs. Delivery of such programs by
MOTOROLA and acceptance oI same by PURCHASER shall be made only
under the conditions set forth below unless otherwise agreed in writing by
MOTOROLA. IMPORTANT, IF PURCHASER TAKES EXCEPTION TO ANY
PORTION(S) OF THIS ARTICLE, CONTACT SELLER'S PRODUCT SERVICES
DEPARTMENT IN SCHAUMBURG, ILLINOIS OR MOTOROLA PATENT
DEPARTMENT IMMEDIATELY OR RETURN ANY PROGRAM DELIVERED
HEREUNDER TO SELLER IMMEDIATELY FOR A REFUND OF THE LICENSE
FEE PAID BY BUYER THEREFORE.
(A) Computer Programs Remain MOTOROLA's Property. The original of
any computer program delivered hereunder in machine-readable form'
and any copies made by PURCHASER, in whole or in part, shall remain
MOTOROLA's property.
(B) License for Computer Program. MOTOROLA Srants to PURCHASER a
nontransferable and nonexclusive license to use each comPuter Program
delivered to PURCHASER hereunder (Licensed program hereinafter)'
Each such license granted authorizes PURCHASER to use the Licensed
Program in machine-readable form only in a single computer system
and PURCHASER agrees that it will use any such Licensed Program
only in a single computer system. Such license may not be assigned'
sublicensed or otherwise transferred by PURCHASER without prior
written consent of M?TOROLA, except as provided in (C) below.
Additionat copies of a Licensed Program may be Purchased from
MOTOROLA. No right to copy a Licensed Program, in whole or in Part'
is granted except as hereinafter expressly provided.

(c)Right to Copy or Modify; Protection and Security.
L Any Licensed Program provided in machine-readable form may be
copied in whole or in part, in printed or machine-readable form lor
PURCHASER's use only, provided however, that no more than five
(5) printed copies and five (5) machine-readable copies will be in
existence under a license at any one time without prior written
consent of MoToRoLA, other than copies resident in
PURCHASER's computer system.
2. PURCHASER may modify or merge with other pro8rams any
machine-readable form of a Licensed Program to form an updated
work. Any portion of such Licensed Program included in an
updated work is subject to all terms herein. Upon termination of
the license Ior such Licensed Program, PURCHASER agrees to
completely remove the Licensed Program or any portion thereof
from the updated work.
7. Vith reference to any copyright notice of MOTOROLA associated
with a Licensed Program delivered hereunder, PURCHASER agrees
to include the same on all copies it makes in whole or in part and
to include the same on any updated work. MOTOROLATs copyright
notice may appear in any of several forms' including machine-
readable form within the Licensed Program.
4. PURCHASER agrees not to provide or otherwise make available in
any Iorm any Licensed Program delivered to PURCHASER in
machine-readable form, or any portion thereof to any Person other

the Terms and Conditions hereol and termination is effective il
PURCHASER fails to correct such delault within ten (10) days after
written notice thereof by MOTOROLA.
(E) Termination. Vithin one (l) month after termination of any license,
PURCHASER will furnish to MoTOROLA a certificate certifying, with
respect to each Licensed Program delivered to PURCHASER in
machine-readable form, that, through its best effort and to the best of
its knowledge, the original and all copies, in whole or in part, in any
form, including any copy in an updated work, have been destroyed
except that, with prior written consent from MOTOROLA,
PURCHASER may retain an archive copy.
PURCHASER agrees that it will take appropriate action with its employees,
by agreement or otherwise, to satisly its obligations with respect to use,
copying, modifications and protection and security of licensed programs,
source listings, and optional materials.

at no charge to the Contractor,
(F) Day-to-day normal system operation, after installation comPletiont
which include all tasks covered by the System Manager's and System
Operator's manuals, The following are examples oI system operations
tasks as more lully set out in said manuals and not in limitation of the
responsibilities of the PURCHASER: crash dumps; system restarts;
installing paper and ribbons in printer; initiation and stopping of
optional mag. tape logging; loading new or rebuilding current system.
(G) All customer consumables including, but not limited to, magnetic tape,
disk packs, paper and ribbons, adequate storate containers.
(H) Such other obligations as defined in these Contract Documents.
LEGAL INTERPRETATION.
This Agreement and the rights and duties of the parties shall be governed and
interpreted according to the laws of the State of Illinois.
I'. FULL AGREEMENT.
The Contract Documents as set lorth in Paragraph I of this Agreement
constitute the final expression of the Agreement of the Parties; are intended
as a complete and exclusive statement of the terms oI their agreement; and
supersede all prior and concurrent Promises' rePresentations' neS,otiations'
discussions and a8reements that may have been made in connection with the
subiect matter hereof.

that unit. Acceptance sha1l be defined as completion of unit

absence of neeessary purchaser supplied ltems, such as AC power or
