A RESOLUTION AUTHORIZING EXECUTION OF A CONTRACT
(Buffalo Grove Fire Department,
Inc.)
WHEREAS , the Corporate authorities of the Village of Buffalo Grove
deem it in the best interests of said Village and the residents there-
of that certain territory of the Long Grove Rural Fire Protection Dis-
trict, the Vernon Fire Protection District and the Wheeling Township
Rural Fire Protection District, lying within said Village, be discon-
nected from said fire protection districts ; and
WHEREAS , the Village has filed a disconnection case in Lake County,
Illinois, under case number 80 MC 2 to effectuate said disconnection;
and
WHEREAS, the Village, pursuant to its Home Rule Powers , the Illinois
Intergovernmental Cooperation Act and Illinois State statutes , desires
to provide fire and ambulance protection to the disconnected area by
contractual services.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT and BOARD OF TRUSTEES
OF THE VILLAGE OF BUFFALO GROVE, COOK and LAKE COUNTIES, ILLINOIS, as
follows :
SECTION 1. The Village President and Village Clerk are hereby authori-
zed and directed to execute the contract attached hereto as Exhibit "A",
with BUFFALO GROVE FIRE DEPARTMENT, INC.

AGREEMENT
THIS AGREEMENT, entered into this /91J- day of
1980, by and between the Village of Buffalo Grove, Cook and Lake Counties,
unties,
Illinois, hereinafter described as the "VILLAGE", and the BUFFALO GROVE FIRE
DEPARTMENT, INC., an Illinois non-profit corporation, hereinafter described
as the "DEPARTMENT".
WITNESSETH :
WHEREAS, the Village is now in three Fire Protection Districts, to wit,
Wheeling Township Rural Fire Protection District, Long Grove Rural Fire Pro-
tection District and Vernon Fire Protection District; and
WHEREAS, there is a substantial difference between the facilities, services,
tax structures and extent of territory within each District; and
WHEREAS, the Department has incorporated for the purpose of operating a
fire department and training personnel to be firemen basically in and for the
Village; and
WHEREAS, the Village permits the Department to use its facilities at no
charge; and otherwise aids and cooperates with the Department; and
WHEREAS, in cooperation with the Department, the Village is initiating a
Court proceeding to disconnect certain property from the three aforementioned
districts, pursuant to Chapter 127-1/2, Section 35, of the Illinois Revised
Statutes; and
WHEREAS, the Village, has by ordinance, created a municipal fire department,
and has passed a referendum in order to tax for fire protection and ambulance
service; and
WHEREAS, the parties hereto agree that a municipal department servicing all
property now within and hereafter annexed to the Village will either eliminate
and/or simplify the tax, servicing, personnel, etc., problems, and
WHEREAS, the Village, through its municipal department because of monetary
constraints will not be able to provide fir( protection and ambulance protection
to the disconnected property from the date of the disconnection to an implementa-
tion date hereinafter described.
NOW, THEREFORE, in consideration of the stipulations and conditions herein
set forth, it is covenanted and agreed by and between the parties hereto as
follows:
1. The Village will prepare, circulate, file and prosecute a Petition to
disconnect certain Village properties lying within the Long Grove Rural Fire

Protection District, Vernon Fire Protection District and the Wheeling Township
Rural Fire Protection District.
2. The real property to be disconnected (hereinafter referred to as
"SUBJECT PROPERTY") from the Long Grove and Vernon Fire Protection Districts
is as legally described in "Exhibit "A" attached hereto and made a part hereof.
3. Because of monetary constraints, the tax extension practices of Lake
and Cook Counties and time necessary to form a Municipal Department, the Village
will be unable to provide fire protection and ambulance service to the Subject
Property from the date of the final order disconnecting the subject property to
the implementation date. The implementation date is that date upon which the
Village is fully capable of providing fire protection and ambulance service to the
subject property. The implementation date shall be July 1, 1981, unless the
Village so notifies the Department otherwise in writing.
4. The Department shall provide both fire protection services and ambulance
services to Buffalo Grove as follows:
a. From the disconnection date (5-30-80) to the implementation date
(7-1-81) the Department shall provide service to the following
areas:
(i) that portion of the Vernon Township Rural Fire Proection
District presently within the corporate limits of Buffalo
Grove (Exhibit "A")
(ii) any property annexed by the Village of Buffalo Grove
not otherwise provided in this paragraph.
b. From January 1, 1981 to the implementation date (7-1-81) as noted
below, the Department shall provide service as follows:
(i) that portion of the Village presently covered by the Wheeling
Rural Fire Protection District, from 5-1-81 to the implementa-
tion date. (Exhibit "B").
(ii) that portion of the Wheeling Rural Fire Protection District
contiguous to Buffalo Grove but not presently incorporated
in Buffalo Grove, from 5-1-81 to the implementation date.

(iii)that portion of the Village of Buffalo Grove formerly in the
Long Grove Rural Fire Protection District, from 1-1-81 to the
implementation date. (Exhibit "D")
5. For the services described in paragraph 4, the Village of Buffalo Grove
will compensate the Department as follows:
a. From January 1, 1981 to the implementation date, the Village will
pay volunteers for service calls in Lake County, Buffalo Grove.
A stipend of $6,000 has been established for fire call service
points. The points earned by volunteers for calls provided shall

accrue to 11-1-81 when all points will be totalled and payment
made to volunteers pursuant to Department policy. The Department
will maintain a record of calls and provide same to Village on the
implementation date.
b. From 5-1-81 to 6-30-81 the Village shall purchase fire service for
the entire Village and that unincorporated territory described
in Exhibit "C" for the sum not to exceed $ 51,800 subject
to the interim budget identified in Exhibit "E".
c. The Village agrees to provide up to $5,000 for Northwest Central
Dispatch Service telecommunication services provided after 1-1-81.
d. The Village agrees to provide $5,000 in FY80-81 for the purchase of
radio telemetry equipment required to provide Village wide paramedic
service.
6. The Department will not, after January 1, 1981, lease, purchase or contract
to purchase any personal property, land and/or building within the Subject Prop-
; erty or the Village for fire protection purposes without the approval of the
Village.
To facilitate proper transfer of financial records, the Village will inte-
grate the financial reporting of Buffalo Grove Fire Department, Inc. into the
Village financial reporting system from January 1, 1981 to implementation date.
From May 1, 1981 to implementation date the Village shall carry the burden of all
financial transactions on behalf of the Department. The Department agrees to
cooperate with the Village in providing all information required to assume a smooth
transition of financial transactions.
7. During the term of this agreement, the Village will continue to permit
the Department to use the 1970 Howe Aerial Truck at no charge. The Department
will, at all times during such period, repair and maintain said vehicle at no
cost to the Village. During such period the Village will continue to allow the
Department the use of the housing now provided by the Village. Provided, the
Village may at its option, provide equivalent additional housing in the northern
area of the Village.
8. Upon the implementation date, the Department will dissolve Buffalo Grove
Fire Department, Inc., an Illinois Corporation. At least 30 days prior to said
dissolution, the Department will apply any funds in its possession, after payment
of all legitimate expenses, towards the retirement of any debts outstanding against
the Department. That the Village will assume the remaining debts of the Depart-

ment. The Department in its FY80-81 budget will reduce the outstanding debt
on 1978 GMC squad truck, 1974 Howe Fire truck, and an ambulance to an aggreg-
ate outstanding debt balance of $ 137,000 by April 30, 1981.
9. The Department hereby indemnifies and holds the Village harmless from
any cause of action that has accrued or will accrue prior to its dissolution.
10. This Agreement shall be binding upon and enure to the benefit of the
parties hereto, their successors and assigns for a period of five (5) years
from the date hereof.

11. This Agreement shall be enforceable in any court of law or equity.
12. The parties hereto shall each pass and approve appropriate resolutions
authoirzing execution hereof.
13. This Agreement supersedes all terms and conditions of the Agreement
dated August 4, 1974, entered into by and between the Wheeling District, the
Department and the Village. •
