WHEREAS the Village of Buffalo Grove is a home rule unit pursuant to the
Illinois Constitution of 1970; and
WHEREAS Business IT Source (BITS) entered into an "Economic Incentive
Agreement" dated November 6, 2017 (the "Original Agreement"), which Original
Agreement set forth the terms of the rebate of the sales tax revenues; and
WHEREAS BITS finalized an updated lease for 850 Asbury Drive, Lake County,
Buffalo Grove, Illinois (the "Premises") for an expansion of the leasable area and for a
term to run through June 30, 2028 or four (4) years and two (2) months longer than
BITS had originally projected in the Original Agreement; and
WHEREAS, on or about September 19, 2022, BITS and the Village entered into
an amendment to the Original Agreement (the "Amended Agreement") for an
additional four (4) years and two (2) months of revenue sharing; and
WHEREAS it is intended that BITS will be merged into Computacenter United
States Inc. ("CCUS") on or about October 1, 2024; and
WHEREAS, provided BITS has merged into CCUS, on or about October l, 2024,
BITS agrees to and shall assign its right, title and interest in the Amended
Agreement to CCUS, in accordance to the terms of the attached Assignment of
Amended Agreement attached as Exhibit "q„
NOW THEREFORE BE IT ORDAINED by the President and Board of Trustees of the
Village of Buffalo Grove, Cook and Lake Counties, Illinois, as follows:
SECTION 1. The foregoing recitals are hereby adopted and incorporated and made a
part of this Ordinance as if fully set forth herein.
SECTION 2. The Village President is hereby authorized to execute the Assignment of
the Amended Agreement between the Village of Buffalo Grove and Business IT
Source, Inc. and Computacenter United States Inc., a copy of which is attached
hereto as Exhibit "A", subject to the final approval of the Village Attorney.
SECTION 3. If any section, paragraph, clause or provision of this Ordinance shall be
held invalid, the invalidity thereof shall not affect any other provision of this
Ordinance.

ASSIGNMENT OF AMENDED AGREEMENT
This Assignment of Amended Agreement ("Assignment") dated theZ6th day of June, 2024, by
and between and BUSINESS IT SOURCE, INC., an Illinois corporation (hereinafter referred to as
"ASSIGNOR") and COMPUTACENTER UNITED STATES INC., a Delaware corporation
(hereinafter referred to as "ASSIGNEE"), as consented to by the VILLAGE OF BUFFALO GROVE,
ILLINOIS,an Illinois municipal corporation("Village").
WITNESSETH:
WHEREAS, and Assignor entered into an "Economic Incentive Agreement by and between
the Village of Buffalo Grove and Business IT Source Inc." dated November 6, 2017 (the "Original
Agreement"),which Original Agreement set forth the terms of the rebate of the sales tax revenues; and
WHEREAS, the Original Agreement set forth a term that is set to expire on May l,2024; and
WHEREAS, ASSIGNOR finalized an updated lease for 850 Asbury Drive, Lake County,
Buffalo Grove, Illinois (the "Premises") for an expansion of the leasable area and for a term to run
through June 30, 2028 or four (4) years and two (2) months longer than ASSIGNOR had originally
projected in the Original Agreement; and
WHEREAS, on or about July 2022, Computacenter Holdings Inc. acquired ASSIGNOR; and
WHEREAS, on or about September 19, 2022, ASSIGNOR and the Village entered into an
amendment to the Original Agreement (the "Amended Agreement") for an additional four (4) years
and two (2)months of revenue sharing; and
WHEREAS, it is intended that ASSIGNOR will be merged into Computacenter United States ,
Ina ("CCUS") on or about October 1, 2024; and i,
WHEREAS, provided ASSIGNOR has merged into CCUS, on or about October 1, 2024, j
Assignor agrees to and shall assign Assignor's right, title and interest in the Amended Agreement to �i
CCUS, all as hereinafter set forth. I
NOW THEREFORE, in consideration of the promises and mutual covenants contained
herein,Assignor desires to assign to Assignee, all of Assignor's right, title and interest in the Amended
Agreement and Assignee desires to accept an assignment of all of Assignor's right, title and interest in
the Amended Agreement and assume and obtain all of Assignor's right, title and interest in and to the
Amended Agreement as follows:
AS5IGNMENT:
EFFECTIVE OCTOSER 1, 2024, FOR VALUE RECEIVED, BUSINESS IT SOURCE,
INC., AN ILLINOIS CORPORATION (hereinafter referred to as "ASSIGNOR") hereby assigns,
transfers and sets over unto COMPUTACENTER UNITED STATES INC., a Delaware corporation
(hereinafter referred to as "ASSIGNEE"), all of the right, title and interest of Assignor in, to and under
the Amended Agreement, a copy of the Amended Agreement being attached hereto and incorporated
herein as Exhibit"A".
This Assigmment shall be binding upon and shall inure to the beneft of the Assignor and its
respective successors and assigns. Notwithstanding anything herein, this Assignment shall not release
Assignor from any obligations under the Amended Agreement.
ACCEPTANCE OF ASSIGNMENT AND ASSUMPTION:
The undersigned, as Assignee, does hereby accept the above Assignment of Amended Agreement
and does hereby assuxne and agree to perform all of Assignor's agreements and obligations with respect
to the Amended Agreement regarding the referenced property from and after the date hereof.
This Acceptance of Assignment shall be binding upon and shall inure to the benefit of the
Assignee and its respective successors and assigns.
This Assignment,Acceptance and Assumption may be executed in any number of counterparts,
each of which shall be deemed an original, but all of which together shall be one in the same
instrument. For purposes of executing this Assignment, Acceptance and Assumption, any signed copy
may be transmitted by facsimile machine or electronically and the signature of any party hereon shall,
for purposes of execution hereof, be considered an original signature. Any facsimile or electronic
mailing of this Assignment, Acceptance and Assumption shall, at the request of either party, be re-
executed by the other party in an original form, and neither pariy shall raise the use of a facsimile
machine or electronic mail or the fact that any signature was transmitted thereby, as a defense to the
effectiveness of this Assignment Acceptance and Assumption.
The recitals set forth hereinabove are fully incorporated into and made a part of this
Assignment.

FIRST AMENDMENT TO THE ECONOMIC INCENTIVE AGREEMENT
BY AND BETWEEN
THE VILLAGE OF BUFFALO GROVE
AND
BUSINESS IT SOURCE,INC.
�,� This First Amendment to the Economic Incentive Agreement is made and entered into as of the
�� day of ���eY`^ ��r` , 2022, by and between the Village of Buffalo Grove,an lllinois home
rule municipal corporation("Village")and gusiness IT Source Inc.and Illinois corporation("BITS").
WHEREAS,the Village and BITS entered into an"Economic Incentive Agreement By and Between
the Village of Buffalo Grove and Business IT Source Inc." dated November 6, 2017 (the "Original
Agreement"),which Original Agreement set forth the terms of the rebate of the sales tax revenues;and
WHEREAS,the Original Agreement setforth a term that is set to expire on May 1,2024;and
WHEREAS, BITS has finalized an updated lease on the Premises for an expansion of the leasable
area and for a term to run through June 3Q, 2028 or four(4)years and two {2) months longer than they
had originally projected in the Agreement;and
WNEREAS, BITS has requested an amendment to the Original Agreement (the "Amended
Agreement")for an additional four�4)years and two(2)months of revenue sharing;and
WHEREAS, the Village and BITS now desire to amend the Original Agreement in order to align
their respective responsibilities with the modified terms;and
WHEREAS,the Village has determined it is in the pubtic interest to amend the Originaf Agreement.
NOW THEREFORE,in consideration of the promises and mutual covenants contained herein, and
pursuant to the Village's home rule powers under Section 6, Article Vfl of the 1970 Constitution of the
State of Illinois, the Village and BITS hereby agree to amend the Original Agreement by replacing the
appropriate sections as set forth below:
SECfION 1.INCORP�RA?tON OF RECITALS
The above recitals and the de�ned terms contained therein are an integral part of the Originai Agreement
and this Amended Agreement and are incorporated by reference into this Amended Agreement. This
Amended Agreement shall be interpreted in light of such recitals.
SECTION 2. AMENDMENTS TO THE ORiGINAL AGREEMENT
The Village and BITS hereby agree to amend the Original Agreement by replacing the appropriate sections
as set forth below:
I. Section 7,Term,of the Original Agreement is hereby amended in its entirety to read as follows:
The Original Agreement and this Amended Agreement shall be in full force and effect
from and after the date of execution this Amended Agreement and through June 30,
2028.The Village and BITS mutually agree that the terms of the Original Agreement and
this Amended Agreement may be extended for up to five (5) additional years from June
30, 2028, upon the sole and exclusion review and approvai of the Village Manager of
Buffalo Grove provided that BITS has a current and valid lease that runs conterminflus
with the Amended Agreement.
SECTION 3.RESTATED AGREEMENT
In all other respects, other than modified herein,the terms of the Original Agreement shall remain the
same and in full force and effect.
IN WITNESS WHEREOF, the parties have caused this Agreement to be executed by their duly
authorized representatives as of the date first above written.
