AN ORDINANCE AUTHORIZING AN AGREEMENT WITH ELK GROVE VILLAGE AND
THE CITY OF HIGHLAND PARK RELATING TO A SHARED RISK MANAGER
WHEREAS the Village of Buffalo Grove is a home rule unit pursuant to the
Illinois Constitution of1970; and
WHEREAS the Village seeks to enter into an Agreement with Elk Grove
Village and the City of Highland Park for shared risk manager services as set forth in
the Agreement.
NOW,THEREFORE, BE IT ORDAINED by the President and Board of Trustees of the
Village of Buffalo Grove, Cook and Lake Counties, Illinois, as follows:
SECTION 1. The foregoing recitals are hereby adopted and incorporated and made a
part of this Ordinance as if fully set forth herein.
SECTION 2. The Village President is authorized to enter into an Agreement with Elk
Grove Village and the City of Highland Park for a shared risk manager, as set forth on
Exhibit A, attached hereto, pending attorney review.
SECTION 3. If any section, paragraph, clause,or provision of this Ordinance shall be
held invalid,the invalidity thereof shall not affect any other provision of this
Ordinance.
SECTION 4. This Ordinance shall be in full force and effect from and after its passage
and approval and shall not be codified.

IN C4NSIDERATION QF,and in reliance upon, the recitals and the mutual covenants
set forth in this Agreement, and for other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, and in the exercise of their powers and authority
under the Intergovemmental Cooperation Act, � ILCS 22a/3 et seq., and the intergovemmental
cooperation provisions of Article VII, Section 10 of the Illinois Constitution of 1974, the Parties
mutually agree as follows:
WHEREAS; Buffala Grove, Elk Grove Village, and Highland Park have each identified
the need for a professional employee��•ho performs risk management duties;and
WHEREAS,in order to attract the highest levei of talent and in the interest of consercing
municipal funds and resources,the Parties have determined that it is in their mutual best interests
to share one risk manager between the three municipatities;and
WHEREAS, the Parties desire to enter into this aQreement to set forth the rights and
responsibilities of each Party with respect to the risk manager;
NOW, THEREFQRE, in consideration of the mutual covenants and undertakings
hereinafter set forth,it is agreed between the Parties hereta,as follo�vs:
1. EmpIovment of Risk lVianaaer:
a. Emulorment bv Hiahland Park.Highland Park�vill emplo�an individual
w-ith fhe job title of '�Risk Manaaer;' whose job description.
responsibilities and role wil]substantially be as outlined in E.rliibi�A to this
Agreement. The Risk ilrlanager��-i1� �or be an�mpla��ee�ofeither Buffalo
Grove or Elk Grqve �filiage. and �viIl. be classified as. a "consultanr' ot
"indzpendent contraetor�or a similar title c�ith.respect to those Parties.
b. SeIection of Risk 14I�na�er. Hisliland Pazk agrees that each of Buffalo
Grave and Elk Gro�re Villa`e �vill', have the apportunit}% to interview and
participate in the selection grocess oEthe Risk Manaaer,and Hi�hl"and Park
w�ill not employ a Risk Manager except upon appro��aI of Buffalo Gro�Tz
and Elk Grove Village. If the Parties cannot agtee on the seiection.of an
individual for the Risk Manager position within si�c months after the
Effective Date of this ��'eement, or if the posi�ion of Risk Mana�er
becomes vacant for any continuous six-month period,this Agrezment will
automatically terminate.

policies, code ot conduct, information technology policy and all other
poiicies of Highland Park.to be reviewed by the Parties in advance of being
hired.
d. Discipiine and Termination. In the e��ent that the Risk Manager is
disciplined b�� Hightand Park�vith discipline at least as severe as a«°ritten
�i�aming,each of the Parties will ha��e the rieht to indi��idually terminate the
senices of the Risk Manager pending an�� investi;ation or cause of action.

forth in Section 3 of this Agreement.
2. AIIocatian of Time: The Risk iVlanager will divide their time evenly bet�;�een the
Parties, spending appro�cimatel}� one-third of their total ���eek]}= hours in each�municipalit�•. "rhe
Parties ���ill meet �.vith the Risk �1ana�er twice annuall}� to determine an acceptable specific
schedule for the following sih months. �
;. Saiarv:Senefits of Risk il�Iana�er:The Parties will share e��enly in all costs of the
empioyment of the Risk Manager b}� I-Iighland Park,wiilt each Part}�bearine ane-third of the total
costs. The costs of employment include. �vithout limitation, salary, all state and federal ta�es.
insurance. retirement contributions, if amr_ laptop computer costs:mobile telephone costs, and all
other benetits pro��ided to an emplo}�ee of Highland Park.Hiahland Park«�ill pay the Risk ylana�er
salary and cover all additional benefits affered to the Risk A4anager as an employee of Hi�hland
Park.Hi?hland Park will send a monthl}°im�oice ta Buffalo Grove and Elk Grove Village for their
share of the costs of employment. Invoices must be paid��ithin 30 days after receipt. The Parties
are each responsible for their ow�n expenditures for tistures and oftice products used by the Risk
Manager. Annually before Jul�• 1 of each year, Highland Park shall provid� an estimated annual
budget for the costs associated �vith emplo}rment of the Risk Mana�er (including, ti4�ithaut
limitation, estimated costs that may be due in accordance ���ith Section 7 of this Agreementj for
reviev��and approva4 by all Panies. Follu���in�appro�-a1 of each annual budget by the Parties,or of
an amendment thereof, neither Buffalo Grove nor Elk Grove V illage �vill be responsible for
payment of any aggregate amount in excess of 1Q�% of their one-third share of the approved
budgeted amount.

Manager annaally:subject.to a process and forrnat For the evaluation aQreeable to the Pariies and
the ltisk Manager.The evaIuation pr.ocess�viIl inciude the opportunin�for a representative of each
Pam�to prepare a wTitten evaluation,meet and discuss the evaluation��ith the Risk Manager,and
present a wtittec�summary of the evaluation results for the Ris�: UlanaQer.The evaluation process
���ill also include the oppartunit}2 for the Risk Manager to pro.vide a ti�ritten se1F evaluation to be
delivered to the Parties. The Parties and the Risk Mana�er a`ree to establish annua[ly a schzdule
of Qoals and indicators for the Risk Manager. whrch schedule ��ll be used as a Eiasis af
+ measurement of the Risk Mana�er's performance at the annual evatuation.

documents or information that «:ould othenvise constitute Confidential Information but that has
become public. By acknowledging,this Agreement, the Risk Manager acknowtedges, covenants
and warrants that,bath during and after the Risk Ivtanager's term of emp[oyment,the Risk Manager
will not directly or indirectl}•use,di��uIge,furnish,or make accessible the Confidential Inforn�ation
of any Pariy to any person,firm,or corporation other than personso firms,or corporations employed
and/or retained by the subject Pam= in a fiduciary eapacih� without the prior express written
authorization of that Party, but instead the Risk Manaaer will keep all Confidential Inforniation
strietl�� and absolutely confidential etcept as otherwise pro��ided in this Agreement or as required
bv the Illinois Freedom of Infomiation Act, � ILCS 140/l et seq, or otherwise by law or court
order.The Parties a�ree that any Confidential Information provided to the Risk ManaQer by a Part�'
ma}� not be divulged or made accessible to another Part�� to this Agreement w�ithout the prior
express�n-itten authorization of the di��ulQin� Pam�.NothinQ in this Agreement creates any right
of am� Party to another Party's Confidential Information, e��en if the Gontidential Information is

7. LiabilitF of Each Partv: The Parties, individually, r�viil be liable tar an}' action.
inaction,neQligence,.'inju,ry or any otlier clairn n�ade by or against the Risk Mana�er when the Risk
Manager is doing�vor�for tfiat Partc or�vithin tIZat Party's jurisdictron.To the eatent a claim arises
�4hen the Ri's�i1r1'anager i�not onthe premises o.f a Pam•but is performing work reIated duties,the
Parties will provide coverabe for an}� and all such claims throuQh their applicable insurance
policies.

9. Term and Terminatiaa: �nless autamatically terminated pursuant to Section 1 of
this Agreement,this Agreement��•ill be effecti�re for a term of one year,beginning on the Effecti�•e
Date. Following the original term,this Agreement wilI be rene�ved automatically and�r��ithout any

10. �a Additional Ri�hts or Interest: 1'he Risk Manager's employment with
Highiand Park is subject to and controlled t�y the employment agreement or terms established b}°
Hi`hland Park and the Risk Manager. Nothing in this flgreement creates an}r additional riahts,
interests, property riaht in, or any other right to the continuation of, the Risk Mana�er's
employment with Hi�hland Park.
11. Amendments: �lo amendment to this Agreement�r•ill be effective unless and until
the amendment is in ��ritina. properly appro�.•ed in accordance �i�ith applicable procedures, and
executed. �
I2. rlssi�nment: No Party ma}�assign their rights or obligations under this A�reement
without the prior«�ritten consent ot the other Parties.
I 3. Aefions,Consents.and�ppro�als:Unless otherwise provided in this A,reement,
whenever the consent, permission, authorization, approval, ackno�vledQement, or similar
indication of assent af any Par[y to this Agreement. or of any duly authorized ofticer, employee,
agenr=or representative of any Parcv to this Agreemerit,is required in this Agreem�nt,the consent.

17. Non-t�Vaiver: No��aiver of any prot�ision of this Agreement w�ill be deemed to or
canstitute a waiver of an�-other provision o.f this Agreement(whether or not similar)nor wilt any
waiver be deemed to or constitute a continuin�wai��er unless othenvise espressiy provided in this
Agreement.
18. Interpreta�ion: This�'reement�.vill be construed�,vithout regard to the identit}r of
the Party which drafted the various provisions of this Agreement. Every provision of this
Agreement ��ill be construed as though all Parties to this Agreement participated equall�- in the
drafting of this Agreement.Any rule or construction that a document is to be construed against the
drafting Party will not be applicable to this Agreement.
19. Calendar Da�s: CaIculativn of Time Periods: Unless otherwise specific in this
Agreement,any reference to days in this Agreement will°be construed to be calendar days. Unless
otherwise specified, in computing any period of time described in this A�reement.the day of the
act or event on which the designated period of time begins to run is not to be included and the last
day of the period so computed is to be included,untess the Iast day is a Saturday, Sunday or IeUal
holidav under the laws of the State in which the Property is located,in which event the period shall
run until the end of the next day which is neither a Saturday. Sunday or legat holiday. The #inal
day of any period will be deemed to end at�:00 p.m..Central time.
