A. 0-2017-13 An Ordinance Authorizing the Disposal of Surplus Village Personal Property (Trustee Johnson) (Staff Contact: Scott Anderson) SUMMARY: The attached list of Village owned property was disposed of during FY 2016. The assets were either used for trade-in or outright disposed of. All capital assets will be removed from the Village's balance sheet. B. 0-2017-14 An Ordinance Amending Chapter 5.20, Liquor Controls, to Rescind the Class H Liquor License for Connoisseur Encounters Company, Inc. D/B/A the Wine Cellar Group at 1341 Barclay Boulevard (President Sussman) (Staff Contact: Julie Kamka) SUMMARY: Connoisseurs Encounters Co. Inc. d/b/a The Wine Cellar Group at 1341 Barclay Boulevard has submitted written notice that they no longer wish to renew their Buffalo Grove Liquor License #1662. Therefore, the license for Connoisseurs Encounters Co. Inc. d/b/a The Wine Cellar Group at 1341 Barclay Boulevard is hereby rescinded. C. 0-2017-15 An Ordinance Amending Chapter 5.20, Liquor Controls (President Sussman) (Staff Contact: Julie Kamka) SUMMARY: A Class E liquor license is reserved for Pizza Amore, Inc. at 808 Milwaukee Avenue. This reservation is subject to the applicant completing Village requirements for said license on or before July 24, 2017. The Village Manager shall have the authority to extend the July 24, 2017 date for good cause shown. If not so extended, this reservation shall cease. D. R-2017-13 A Resolution to Support the Welcoming and Inclusive Community Pledge (President Sussman) (Staff Contact: Dane Bragg) SUMMARY: A resolution supporting the Welcoming and Inclusive Community Pledge which inspires a positive perception of all people and engages individuals to help build a greater capacity for understanding others. E. Award of Bid Bike Path & Parking Lot Project (Trustee Stein) (Staff Contact: Brett Robinson) SUMMARY: Staff recommends an award of bid to the lowest responsive and responsible bidder, TAT Enterprises Inc., at an amount not to exceed $140,000.00, as further detailed in the attached memo. Award of Bid 2017 Sidewalk Project (Trustee Stein) (Staff Contact: Brett Robinson) SUMMARY: Staff recommends the Village Board award the bid for 2017 Sidewalk Project to the lowest responsive and responsible bidder, Globe Construction. In an amount not to exceed $211,110.00. G. GHA Construction Management (Trustee Stein) (Staff Contact: Darren Monico) SUMMARY: Staff seeks authorization to execute an agreement with Gewalt Hamilton Associates, Inc. for resident engineering and construction staking services in an amount not to exceed $98,500. H. Certificate of Initial Acceptance and Approval: Easthaven Development (Trustee Trilling) (Staff Contact: Darren Monico) SUMMARY: Attached is the Certificate of Initial Acceptance for the Pulte Homes Easthaven development south of Olive Hill Drive. Staff recommends approval and to begin the one year maintenance period. Local Agency Agreement with IDOT (Trustee Trilling) (Staff Contact: Darren Monico) SUMMARY: The Illinois Department of Transportation requires this agreement for the Village to receive reimbursement for expenses relating to the Raupp Blvd Bridge Project. J. Authorization to Purchase a Replacement Vehicle through the Suburban Purchasing Cooperative (Trustee Ottenheimer) (Staff Contact: Brett Robinson) SUMMARY: Staff recommends that the replacement vehicle be acquired through the Suburban Purchasing Cooperative program in accordance with the Illinois Governmental Joint Purchasing Act (30 ILCS 525/0.01 et seq.) in a total not to exceed amount of $23,465.00. This vehicle will be funded through the vehicle reserve. K. Proclaiming May 7-13 as Municipal Clerks Week (Clerk Sirabian) (Staff Contact: Brett Robinson) SUMMARY: Communities throughout the world are celebrating May 7-13, 2017 as Municipal Clerks Week. We recognize the accomplishments of our Village of Buffalo Grove Clerk, Janet M. Sirabian. L. Proclaiming May 2017 as Building Safety Month (Trustee Trilling) (Staff Contact: Julie Kamka) SUMMARY: Building Safety Month (BSM), founded by the ICC, is celebrated by jurisdictions worldwide during the month of May. Building Safety Month is a public awareness campaign to help individuals, families and businesses understand what it takes to create safe and sustainable structures. M. Proclamation Recognizing April 28, 2017 as Arbor Day (Trustee Stein) (Staff Contact: Michael Reynolds) SUMMARY: Attached is a Proclamation designating Friday, April 28, 2017 Arbor Day in Buffalo Grove. Traditionally the last Friday in April has been designated as Arbor Day in Illinois. The Proclamation is one of four criteria to qualify for the Tree City U.S.A. Award. N. VILLAGE PRESIDENT'S REPORT Packet Pg. 5 2.A President Sussman read a Proclamation recognizing Girl Scout Week 2017 and the achievements and leadership of our local Girl Scouts and volunteers, thank them for their valuable community service and encourage the future success of this organization. President Sussman appointed Roger Sosa to the Buffalo Grove Days Committee. Moved by Berman, seconded by Trilling to concur with President Sussman's appointment. VILLAGE MANAGER'S REPORT Dane Bragg, President of the Buffalo Grove Rotary Club, summarized the mission of the Rotary Club and noted that they are tonight recognizing Officer James Harris as the Buffalo Grove Police Department Police Officer of the Year. Mr. Bragg reviewed the accomplishments of Officer Harris and presented the 0 award to him as he was congratulated by the audience and the Board. Officer Harris asked Sergeant j Goldstein to read a statement for him thanking his family, the Police Department, the residents and the a Board for the support and wonderful experience that they have given to him over the years. a Q TRUSTEE REPORTS The Village Clerk reported that there is a Municipal Election taking place on Tuesday, April 4, 2017 and urged all residents to take advantage of this opportunity to have a voice in our local leaders. CONSENT AGENDA President Sussman explained the Consent Agenda, stating that any member of the audience or the Board could request that an item be removed for full discussion. The Village Cleric read a brief synopsis of each of the items on the Consent Agenda. Resolution No. 2017-9 — Joint Purchasing Program Motion to pass Resolution No. 2017-9, a resolution to continue participation in the State of Illinois Joint Purchasing Program. Resolution No. 2017-10 — 2017 Zoning Mau Motion to pass Resolution No. 2017-10, a resolution adopting the Village's 2017 Zoning Map. Ordinance No. 2017-5 — Municipal Code Motion to pass Ordinance No. 2017-5, an ordinance amending Section 2.08.040, Duties of the Buffalo Grove Municipal Code. This item amends the section in regard to litigation or potential litigation involving the Village of Buffalo Grove, including, but not limited to, workers compensation claims. This ordinance gives the Village Manager settlement authority that was previously done through IRMA. Ordinance No. 2017-6 — 2016 Budget Motion to pass Ordinance No. 2017-6, an ordinance amending Fiscal 2016 Budget of the Village of Buffalo Grove. This ordinance formally adopts the Village's FY 2016 Budget Amendments. The Budget Amendments proposed modify the budget document to provide a more transparent document by amending the original revenue and expenditure amounts budgeted at the fund level. Packet Pg. 6 2.A Ordinance No. 2017-7 — Liquor Licenses Motion to pass Ordinance No. 2017-7, an ordinance amending Chapter 5.20, Liquor Controls, Hours of Operation for the Class "A" Liquor Licenses. This ordinance will amend Section 5.20.120 — Hours of Operation, for the Class A liquor licenses, to allow service of alcohol to begin on Sundays at 6:00 AM to address beverage service at the golf courses. Ordinance No. 2017-8 — Liquor Controls Motion to pass Ordinance No. 2017-8, an ordinance amending Chapter 5.20, Liquor Controls, reserving a Class A and a Class D Liquor License for BRI Incorporated DB/A the Wild Buffalo, 48 Raupp Boulevard. Ordinance No. 2017-9 — No Escape d Motion to pass Ordinance No. 2017-9, amendment to Special Use Ordinance No. 2016-13 for No Escape, located at 1501 W. Dundee Road. This business has outgrown their existing space and is looking to expand into an additional 1,340 square feet, resulting in an amendment to their Special Use being required. 0 Resolution No. 2017-11— Waterline Easement > 0 L Motion to pass Resolution No 2017-11, a resolution approving agreements granting Waterline Easement a and Temporary Construction Easement to Northwest Water Commission. These easements are necessary Q to facilitate the installation of a 16" transmission water main by the Northwest Water Commission. 2 Resolution No. 2017-12 — Greenest Region Motion to pass Resolution No. 2017-12, a resolution in support of the Greenest Region Compact 2. The Greenest Region Compact 2 (GRC2) presents consensus goals for environmental sustainability to be addressed by local municipalities, yet it will have coordinated, positive impacts on a much larger scale. Approval gives the Village access to additional grant opportunities. Motion to approve joint purchase of cellular service from Verizon. Cellular Service PW Vehicle Purchase Motion to approve staff request to waive bids and to authorize negotiation for PW Vehicle Purchase. Staff recommends that the Village Board waive bids and authorize negotiation of pricing and purchase for a replacement aerial lift truck for Public Works at a price not to exceed $70,000. Multiple Vendors Motion to authorize execution of contract extensions with multiple vendors. Staff recommends that the Village Board authorize staff to execute the following contract extensions: a third and final option with Aldridge Electric for street light maintenance services; a third and final contract option with Hillside Auto Body for towing services; a fourth year contract option with Fire Safety Consultants, Inc. for third party plan review services. LandscapinE Motion to award bid for landscaping. Staff recommends that the Village Board award a contract for Landscaping Services to the lowest responsive and responsible bidder, Reliable Property Services, in an amount not to exceed $149,377.00, pending final review and approval of the contract documents by the Village Attorney. Staff recommends approval of the Development Improvement Agreement for the Metro Self -Storage building proposed at 847 Deerfield Parkway. Earth Hour 2017 Motion to approve Proclamation recognizing Earth Hour 2017. With almost 5,000,000 supporters and a global network in over 100 countries/territories, Earth Hour is now one of the world's largest and most respected movements. ORDINANCE NO. 2017-11— VILLAGE MANAGER Q Moved by Weidenfeld, seconded by Trilling, to pass Ordinance No. 2017-11, providing for an Amended Employment Agreement and Salary for the Village Manager. Mr. Bragg clarified that the title of the proposed ordinance is "An Ordinance Providing for the 2017 Employment Agreement and Salary for the Village Manager" so the Agreement supersedes the 2014 Agreement. Trustees Weidenfeld and Trilling amended the motion as noted by Mr. Bragg. President Sussman noted how fortunate Buffalo Grove is to have Mr. Bragg as our Village Manager and reviewed many of the accomplishments during his tenure with the Village. Trustee Berman noted that there is a typo in the draft ordinance, after which he elaborated on the accomplishments of Mr. Bragg. The proposed contract achieves the policy objectives of the Village Board and protects the interests of the community by retaining a high -performing executive at the helm. Mr. Bragg has done an excellent job as Village Manager and his dedication to the Village of Buffalo Grove has been and continues to be first and foremost. Trustee Weidenfeld agreed with Trustee Berman and he believes that Buffalo Grove is very fortunate to have Mr. Bragg. Mr. Bragg appreciates all of the positive comments and expressed his sincere gratitude to the Board, but noted that this is a team effort and everyone works together to provide the best value to give to our taxpayers and our community. Former Village President Jeffrey Braiman also expressed his appreciation for the outstanding performance attained by Mr. Bragg and thanked the Village Board for recognizing his value. ORDINANCE NO.2017-12 RE -ZONING Moved by Weidenfeld, seconded by Berman, to pass Ordinance No. 2017-12, approving a re -zoning to the R-9 Multiple -Family Dwelling District with a Special Use for a Residential Planned Unit Development and approval of a Preliminary Plan with Variations, in accordance with materials contained in Board packets. Mr. Stilling reviewed the proposed ordinance, details of which are contained in his memo to the Board of March 16, 2017, after which he answered questions from the Board. Upon roll call, Trustees voted as follows: AYES: 4 — Berman, Trilling, Weidenfeld, President Sussman NAYS: 1 - Stein ABSENT: 2 — Ottenheimer, Johnson Motion declared carried. ORDINANCE NO. 2017-10 — MASSAGE ESTABLISHMENTS Moved by Berman, seconded by Weidenfeld, to pass Ordinance No. 2017-10, amending chapter 5.44, Massage Establishments, of the Buffalo Grove Municipal Code, in accordance with the new draft ordinance contained in Board packets and dated 2/7/2017. Ms. Maltas reviewed the proposed ordinance, details of which are contained in the Village Board Meeting Agenda Item Overview that she prepared; she did clarify that Item 3. in that document should read: Conviction of the licensee of any felony or misdemeanor when such conviction indicates an inability to operate a safe, honest or legitimate business operation. Mr. Raysa reviewed the reasons that he believes Item 9. should be inserted; he also reviewed the procedure for a revocation. There was further discussion by the Board with regard to Item 9. Trustees Berman and Weidenfeld amended the motion to eliminate Item 9. Mr. Bragg and Mr. Raysa clarified that the amended motion strikes Section 9. of 1.12.030.A.1. from the Village Code. Upon roll call, Trustees voted as follows on the amended motion: AYES: 4 — Berman, Trilling, Stein, Weidenfeld NAYS: 0 — None ABSENT: 2 — Ottenheimer, Johnson Motion declared carried. SEWER LINING Moved by Stein, seconded by Berman, to award bid to MPI Sewer Lining to Hoerr Construction, Inc. for up to 5,308 linear feet of sanitary sewer lining for a cost not to exceed $474,308.00 as the proposed lowest responsive and responsible bidder and in accordance with materials contained in Board packets. Mr. Monico reviewed the proposed project, details of which are contained in Mr. Robinson's memo to Mr. Bragg of March 14, 2017. BRAGG, VILLAGE MANAGER FROM: DARREN MONICO, VILLAGE ENGINEER SUBJECT: THOMPSON AND BRANDYWYN RESIDENT SURVEY DATE: MARCH 24, 2017 CC: MIKE REYNOLDS, DIRECTOR OF PUBLIC WORKS Based on discussion and direction from the Village Board from previous Committee of the Whole Meetings, staff sent the residents of Thompson Boulevard and Brandywyn Lane a short survey assessing their preference between two options for the future construction of these streets. A public meeting was held on Thursday, March 161h, were approximately 25 residents came to ask questions and deliver their votes. Of the 373 letters that were sent, 186 were returned with 168 (90%) of those votes favoring to restrict parking on one side of the street versus widening the street and the associated tree removal. Staff also received several emails from residents who did not live on these two streets, which all encouraged the Village not to widen the streets or remove the trees. Staff recommends concurrence with the majority of residents to move forward with restricting parking on one side of the street and continue with the Phase 1 design process. PLANNING & ZONING COMMISSION (PZC) RECOMMENDATION The PZC unanimously recommended approval of the rezoning. Staff concurs with this recommendation. PLANNING & ZONING ANALYSIS Zoning • The subject property is requesting to be rezoned R-2 from the Village's default R-E zoning classification (All properties retain the R-E zoning upon annexation in the Village unless otherwise specified.) The R-2 zoning classification is appropriate for the subject property given its use, size, building height, setbacks and other bulk standards. • In retaining the R-2 zoning classification, the property will not need to seek any variances. • The petitioners will be seeking a building permit for an addition to the home. As noted, the proposed addition would meet all bulk requirements of the R2 district. Utilities/Site Engineering • The petitioners would like to connect to the existing Village water and sewer lines located along the frontage of Prairie Road. Prairie Road Dedication • Currently, the property lines for the site go to the centerline of Prairie Road. • As part of the future improvements to Prairie Road, the future ROW requirements are 120' (60' from the centerline). The subject property is located south of the proposed Prairie Road connector. • As with other annexation request along Prairie Road, staff has requested that the property owner dedicate the required 60' ROW. It should be noted that the attached site plan notes a 40' ROW dedication. Annexation Agreement Terms The terms associated with the agreement are consistent with other agreements approved by the Village. Some of the key terms include: • Rezoning to R2 • Annexation to the Buffalo Grove Park District • Connection to the existing Village utilities • The petitioners are required to dedicate additional ROW along Prairie Road to accommodate future improvements. • The petitioners will be allowed to keep their existing well on the property for outdoor irrigation purposes only. ACTION REQUESTED The Village Board should open the public hearing and take testimony concerning the annexation agreement. Once all testimony has been received and the Village Board has discussed the terms of the annexation agreement, the public hearing can be closed. Prairie Road This agreement (hereinafter referred to as the "Agreement") is made and entered into this day of , 2017, by and between the VILLAGE OF BUFFALO GROVE (hereinafter referred to as "Village") by and through the President and Board of Trustees of the Village (hereinafter collectively referred to as the "Corporate Authorities") and William M Hoffmann and Mary Sue Hoffmann (hereinafter referred to as "Owner") WITNESSETH: WHEREAS, the Village of Buffalo Grove is a Home Rule Unit by virtue of the provisions of the Constitution of the State of Illinois of 1970; and, WHEREAS, Owner is the owner of a certain tract of property (hereinafter referred to as the "Property") comprising 0.882 acres, legally described and identified in the Legal Description, attached hereto as EXHIBIT A and made a part hereof, and which real estate is contiguous to the corporate limits of the Village; and, WHEREAS, a Plat of Annexation of the territory to be annexed is attached hereto as EXHIBIT B; and, WHEREAS, Owner desires to annex the Property pursuant to the provisions and regulations applicable to the R2 One -family Dwelling District of the Village Zoning Ordinance, including the use of the single-family residence on the Property; and, WHEREAS, pursuant to the provisions of Section 5/11-15.1-1 et seq., of the Illinois Municipal Code (65 ILCS 5/11-15.1-1 et seq.) and as the same may have been modified by the Village's Home Rule powers, a proposed Annexation Agreement was submitted to the Corporate Authorities and a public hearing was held thereon pursuant to notice as provided by Statute; and, WHEREAS, pursuant to due notice and advertisement, the President and Board of Trustees of the Village held a public hearing with respect to the annexation agreement; and, Packet Pg. 24 6.A.c 2 WHEREAS, the President and Board of Trustees after due and careful consideration have concluded that the annexation of the Property to the Village and its zoning and development on the terms and conditions herein set forth would further enable the Village to control the development of the area and would serve the best interests of the Village. NOW, THEREFORE, in consideration of the premises, mutual covenants and agreements herein set forth, the parties hereto agree as follows: 1. Applicable Law. This Agreement is made pursuant to and in accordance with the provisions of Section 5/11-15.1-1 et seq., of the Illinois Municipal Code (65 ILCS 5/11-15.1-1 et seq.) and as the same may have been modified by the Village's Home Rule powers. The preceding whereas clauses are hereby made a part of this Agreement. 2. Agreement: Compliance and Validity. The Owner has filed with the Village Clerk of the Village a proper petition pursuant to and in accordance with the provisions of Section 5/7- 1-8 of the Illinois Municipal Code (65 ILCS 5/7-1-8) and as the same may have been modified by the Village's Home Rule powers, conditioned on the execution of this Agreement and the compliance with the terms and provisions contained herein, to annex the Property to the Village. It is understood and agreed that this Agreement in its entirety, together with the aforesaid petition for annexation, shall be null, void and of no force and effect unless the Property is validly annexed to the Village and is validly zoned and classified in the R2 One -family Dwelling District, all as contemplated in this Agreement. No portion of the Property shall be disconnected from the Village without the prior written consent of its Corporate Authorities. 3. Enactment of Annexation Ordinance. The Corporate Authorities, within twenty-one (21) days of the execution of this Agreement by the Village, will enact an ordinance (hereinafter referred to as the "Annexation Ordinance") annexing the Property to the Village. Said Annexation Ordinance shall be recorded at the Lake County Recorder's Office along with the Plat of Annexation (attached hereto as EXHIBIT B). 4. Enactment of Zoning Ordinance. Within twenty-one (21) days after the passage of the Annexation Ordinance, the Corporate Authorities shall enact an ordinance zoning the Property in the R2 One -family Dwelling District subject to the restrictions further contained Packet Pg. 25 6.A.c 3 herein and all applicable ordinances of the Village of Buffalo Grove as amended from time to time. 5. Approval of Plans. It is understood and agreed that the Owner is proposing the construction of an addition to the existing detached single-family house on the Property. The addition shall be in accordance with the Buffalo Grove Development Ordinance and Zoning Ordinance. 6. Compliance with Applicable Ordinances. The Owner agrees to comply with all ordinances of the Village of Buffalo Grove as amended from time to time, provided that all new ordinances, amendments, rules and regulations relating to zoning, building and subdivision of land adopted after the date of this Agreement shall not be arbitrarily or discriminatorily applied to the Property but shall be equally applicable to all property similarly zoned and situated to the extent possible. Owner shall comply with the standards set forth in the Village of Buffalo Grove Development Ordinance as amended from time to time. Notwithstanding the foregoing, the Village shall not apply new ordinances or regulations to the Property to the extent that the ordinances or regulations would prevent construction of a single-family house. The existing home and future expansion shall be subject to Section 17.24 of the Buffalo Grove Zoning Ordinance. 7. Building Permit Fees. The building permit fees may be increased from time to time so long as said permit fees are applied consistently to all other developments in the Village to the extent possible. In the event a conflict arises between the Owner and the Village on any engineering and technical matters subject to this Agreement, the Village reserves the right to pass along any and all additional expenses incurred by the use of consultants in the review and inspection of the development from time to time. Owner shall pay any non-discriminatory new or additional fees hereinafter charged by the Village to owners and developers of properties within the Village. All building permit fees shall be in accordance to Chapter 1.16 of the Buffalo Grove Municipal Code. 8. Water Provision. The Owner shall be permitted and agrees to tap on to the Village water system at points recommended by the Village Engineer pursuant to a final engineering Packet Pg. 26 6.A.c E plan, which is subject to approval by the Village. Said connection shall occur within twelve (12) months from the date of this Agreement. The Owner further agrees to pay to the Village such fees in accordance with the applicable Village Ordinances at the time of the issuance of the water and sewer permits. The Owner agrees to accept any increase in water rates and tap on fees provided such rates and fees apply consistently to all other similar users in the Village to the extent possible. Following such tap on, the Village agrees to provide to the best of its ability and in a non-discriminatory manner water service to the Property for the existing single-family residence on the Property. 9. Storm and Sanitary Sewer Provisions. A. Owner shall connect the existing single-family house to the Village's sanitary sewer system at the location designated by the Village Engineer, pursuant to the final engineering plan approved by the Village. Said connection shall occur within twelve (12) months from the date of this Agreement. The Owner further agrees to pay to the Village such fees in accordance with the applicable Village Ordinances at the time of the issuance of the permit. B. The Owner agrees to accept any increase in sewer rates and tap on fees, provided that such fees and rates are applied consistently to all similar users in the Village to the extent possible and in accordnance with applicable Village Ordinances. C. For any future development, the Property shall connect to the Village's storm sewer system to serve the Property at such time that the Village determines storm sewer service is available to serve the Property. Said improvements shall be made pursuant to an engineering plan approved by the Village. 10. Drainage Provisions. The Owner shall comply with applicable stormwater regulations as determined by the Village Engineer to preserve drainage standards. 11. Security for Public and Private Site Improvements. A. In order to install the domestic water service connection and sanitary sewer connection, Owner shall provide a $2,000.00 right-of-way security to ensure proper restoration of the right-of-way. Said fee may be refunded upon successful completion of the work and final Packet Pg. 27 6.A.c 5 inspection by the Village. B. For any future development on the Property, security for public and private site improvements shall be provided in accordance with the Development Ordinance of the Village, and the Development Improvement Agreement as amended from time to time. Any letter of credit issued for such improvements shall be drawn on a financial institution of net worth reasonably satisfactory to the Village Attorney. The issuer may have an equitable or lending interest in the Property provided that the letter of credit, either by its own terms or by separate written assurances of the issuer, shall be honored irrespective of that interest. The Village shall have the right to draw up to the full amount of the letter of credit in order to complete, and have formal acceptance of, all improvements secured by the letter of credit. 12. Right of Way Dedication. The Owner shall dedicate a total of sixty feet (60') of additional right-of-way, from the existing centerline of Prairie Road and extending the full frontage of the Property along Prairie Road. Said dedication shall occur within twelve (12) months from the date of this Agreement in a manner and form acceptable to the Village Attorney. 13. Exhibits. The following EXHIBITS, some of which were presented in testimony given by the Owner or the witnesses during the hearing held before the Corporate Authorities prior to the execution of this Agreement, are hereby incorporated by reference herein, made a part hereof and designated as shown below. For any new residential development on the Property, as defined in Title 16 of the Buffalo Grove Municipal Code, excluding the proposed addition to the existing home, Owner agrees to pay an annexation fee of $700.00 per dwelling unit, which fee shall be payable at issuance of building permits. 15. Park District Donations. For any new residential development on the Property as defined in Title 16 of the Buffalo Grove Municipal Code, excluding the proposed addition to Packet Pg. 28 6.A.c G the existing home, Owner agrees to comply with the provisions of Title 19 of the Buffalo Grove Municipal code as amended from time to time regarding park donations. Owner agrees to make cash contributions to the Village for conveyance to the Buffalo Grove Park District to fulfill the obligation of the Property concerning park donations. 16. School District Donations. For any new residential development on the Property as defined in Title 16 of the Buffalo Grove Municipal Code, excluding the proposed addition to the existing home, Owner agrees to comply with the provisions of Title 19 of the Buffalo Grove Municipal Code as amended from time to time regarding school donations. 17. Library District Donations. For any new residential development on the Property as defined in Title 16 of the Buffalo Grove Municipal Code, excluding the proposed addition to the existing home, Owner agrees to comply with the provisions of Title 19 of the Buffalo Grove Municipal Code as amended from time to time regarding library donations. 18. This section has been intentionally omitted. 19. Annexation to the Buffalo Grove Park District. The Owner agrees, at the request of the Buffalo Grove Park District, to annex the Property to said Park District. Said annexation shall be completed within sixty calendar days (60) days of the request of the Park District. 20. Enforceability of the Agreement. This Agreement shall be enforceable in any court of competent jurisdiction by any of the parties or by an appropriate action at law or in equity to secure the performance of the covenants herein described. If any provision of this Agreement is held invalid, such provision shall be deemed to be excised herefrom and the invalidity thereof shall not affect any of the other provisions contained herein. 21. Term of Agreement. This Agreement is binding upon the Property, the parties hereto and their respective grantees, successors and assigns for a term of twenty (20) years from the date of this Agreement. This Agreement shall not be assigned without prior written consent of the Village. This Agreement may be amended by the Village and the owner of record of a portion of the Property as to the provisions applying thereto, without the consent of the owners of other portions of the Property. 22. Corporate Capacities. The parties acknowledge and agree that the individuals Packet Pg. 29 6.A.c 7 that are members of the group constituting the Corporate Authorities are entering into this Agreement in their official capacities as members of such group and shall have no personal liability in their individual capacities. 23. Notices. Any notice required pursuant to the provisions of this Agreement shall be in writing and be sent by certified mail to the following addresses until notice of change of address is given and shall be deemed received on the fifth business day following deposit in the U.S. Mail. In the event Owner defaults in performance of their obligations set forth in this Agreement, then the Village may, upon notice to Owner, allow Owner sixty (60) calendar days to cure the default or provide evidence to the Village that such default will be cured in a timely manner if it cannot be cured during said period. If Owner fails to cure such default or provide such evidence as provided above, then, with notice to Owner, the Village may begin proceedings to disconnect from the Village any portion of the Property upon which obligations or development have not been completed or at the option of the Village, to rezone such Property to the Residential Estate District. In such event, this Agreement shall be considered to be the petition of the Owner to disconnect such portion of the Property, or at the option of the Village, to rezone such Property to the Residential Estate District. Packet Pg. 30 6.A.c 25. Litigation. A. The Owner, at their cost, shall be responsible for any litigation which may arise relating to the annexation, zoning and development of the Property. Owner shall cooperate with the Village in said litigation but Owner's counsel will have principal responsibility for such litigation. B. The Owner shall reimburse the Village for reasonable attorneys' fees, expenses and costs incurred by the Village resulting from litigation relating to the annexation, zoning and development of the Property or in the enforcement of any of the terms of this Annexation Agreement upon a default by the Owner. C. Owner hereby indemnifies and holds the Village harmless from any actions or causes of action which may arise as a result of development activities for which the Owner is responsible. 26. Special Conditions. A. It is understood and agreed that the Property is a single zoning lot. Any development of the Property shall be in accordance with the Buffalo Grove Development Ordinance and Zoning Ordinance. B. The Owner agrees that the Village shall have the right and authority to inspect installation of water and sanitary service on the Property to ensure compliance with applicable Village codes. C. The existing septic sewer facilities shall be properly sealed or pumped and filled as required by the Illinois Department of Public Health and as approved by the Village Health Officer within twelve (12) months from the date of this Agreement. D. Owner shall pay the Village the amount necessary to reimburse the Village for any real estate tax payments made by the Village to the Long Grove Fire Protection District concerning the Property pursuant to Public Act 91-307 (70 ILCS 705/20). Said payment shall be made by the Owner within sixty (60) calendar days of the date of this Agreement. E. The existing well and tank on the Property may be maintained for landscape sprinkling and agricultural uses on the Property only. The Owner may be allowed to keep the Packet Pg. 31 6.A.c 9 existing exterior hose spigots connected to the existing well and tank. Any underground irrigation system is subject to review and approval by the Village. In the event that the well becomes inoperable it shall be properly abandoned and sealed in conformance with the State of Illinois requirements and as approved by the Village. On March 29, 2017, the bids were opened and reviewed for the 2017 Bike Path and Parking Lot Project. The low bid was slightly less than the engineer's estimated cost for this project. As the Village has not before engaged the services of TAT Enterprises, staff performed reference checks and interviewed the owners of TAT Enterprises. As the low bid came in well below the Engineers estimate, the Engineering Division is requesting that the Village Board authorize staff to award this contract at the not to exceed amount of $140,000. This will allow staff to complete more asphalt work during this construction season. Furthermore, GHA is acting as resident engineer on other projects currently taking place for the Village; therefore, they are aware of our current policies and procedures. (GHA), 625 Forest Edge Drive, Vernon Hills, IL 60061, agree and contract as follows: Project Understanding The Village of Buffalo Grove is planning to award the 2017 Street Improvement Project that will require full- time resident engineering and construction staking. Construction is anticipated to begin on or about May 1, 2017 and end on or about July 8, 2017. Construction of the project will utilize Village funds. Although full IDOT documentation will not be required, documentation of daily activities and quantities will be provided. II. Scope of Services The scope of services is based upon our knowledge of the Village, our familiarity with the project, and our experience in performing resident engineering services on comparable improvement projects for area communities. A. Construction Staking Services Pavement and Curbs — GHA will set stakes on a 3-foot offset with a cut/fill to final grade. Curb points will be set at a maximum of 50-foot intervals on straight lines and at grade breaks, and at a maximum of 25-foot intervals on curved lines. If a curved radius is less than 5', we will set the radius point only. For curves with a radius between 6' and 25', we will set the radius point with a minimum of two (2) points on the curve. For curves with a radius greater than 25', we will set the beginning and end of curve and grade breaks on curve at maximum interval of 25'. No radius point will be set on curves with a radius greater than 50'. A minimal amount of curb staking is anticipated. Underground Utilities — GHA will set stakes for all manholes, catch basins, inlets, valve vaults, and valve boxes. Centerline of structure and two (2) reference stakes (15- and 25-foot offsets) will be set at the points, one of which will contain a cut/fill, and the elevation. Structures located in the curb line will be staked at the back of curb. Turf Grading — If any major change in the side slopes of the roadway green space is necessary, GHA will provide necessary stakes to grade these areas. B. NPDES Compliance Monitoring GHA will perform Designated Erosion Control Inspection (DECI) services on a weekly basis and following a qualifying rain event of 0.5" or greater within a 24-hour period. The inspections will meet Lake County Stormwater Management Commission (SMC) requirements. The RE will serve as the DECI and will conduct weekly inspections as part of the Construction Phase Services. The RE will inspect the relevant construction activity, document, report, and photograph the findings, and make recommendations for improvement of any best management practices. The Contractor shall be responsible for implementing the necessary erosion control practices and making modifications to the plan to reduce erosion to acceptable standards. Inspections will continue until the site is permanently stabilized and 90% vegetation established, per Lake County requirements. GHA will make every effort to time the weekly inspection with a qualifying rain event that may be occurring during the period. A per -visit fee of $300.00 will be applied only to site visits conducted following a rain event which does not coincide with the ongoing construction observation. C. Resident Engineering and Management Pre -Construction Meeting — GHA will attend a pre -construction meeting with the Village and the Contractor for the project. GHA will prepare meeting minutes for distribution to the Village and Contractor. Shop Drawing Review — Prior to construction commencement, GHA will review the shop drawings per the contract, plans and specifications. We will also work with the Village to ensure the Contractor submitted drawings are in conformance with Village standards. Utility Coordination — GHA will make observations of the utility marks provided by the JULIE system, and address potential conflicts with the Contractor. 4. Construction Observation a. Full-time construction observation is estimated to be 50 hours per week and is anticipated for the duration of the project. b. GHA will provide full-time construction observation of the construction operations and processes in order to ensure that all materials and procedures are in conformance with the contract, plans, and specifications. c. We will adhere to general IDOT requirements regarding inspection rates, including, but not limited to, depth checks, suitable sub -base, yield requirements, and quality procedures. d. If a field change is required, whether force account or change order, GHA will notify and advise the Village prior to making any decisions that would affect the budget. e. The GHA team will schedule necessary field meetings for the project. f. The GHA team will attend and coordinate weekly meetings with the Village and Contractor, as necessary. g. Our field personnel will maintain a photo log of the construction process. 5. Documentation a. We will measure, record, and provide source documentation on a daily basis for all quantities of work for which payment will be made. GHA will keep a project box on site, including all the necessary up-to-date documentation. Our field staff will conduct daily field verification of quantities with the Contractor to ensure a timely project closeout. b. GHA will process all pay estimates and provide recommendations for payment to the Village. III. Additional Services and Services not Included We would be pleased to provide additional assistance beyond the scope described. GHA will monitor our estimated work hours versus Contractor progress. If we see that there is a potential issue with the April 6, 2017 GHA Proposal No. 2017.CS041 P Packet Pg. 66 8.G.b estimated manhours due to lack of Contractor progress, extended work weeks, etc., we will notify the Village and discuss the situation. No additional work will be performed without prior Village authorization. The following services may be provided at the request of the Village of Buffalo Grove as an additional service in accordance with Section V. Compensation for Services: Meetings with public officials, Village staff, agencies, homeowners, or consultants beyond those identified in the scope; attendance at public hearings. Additional surveying services beyond that noted in the scope of work, such as investigation of underground utilities and/or physical location of them. 3. Construction staking of improvements other than those noted. 4. As -Built drawings. 5. QC/QA testing. 6. Permit fees, review fees, or utility locate fees. 7. Other services not specifically identified in Section II. Scope of Services. IV. Proposed Engineering Staff Mr. Leo X. Morand, P.E. will function as the Project Manager. Ms. Sarah A. Ronan, PEI will function as the Resident Engineer. Additional professional and technical staff will provide support as needed. V. Compensation for Services In accordance with the contract documents and anticipated schedule, we have assumed 10 weeks of full- time construction at an average of 50 hours per week for the RE. An additional 75 hours are included for project start-up and close-out documentation, for a total of 575 hours for the RE. A total of 130 hours of project management and coordination by the Project Manager and Construction Supervisor are also included. Additional staff will assist as needed and are included in our budget. Based on the scope of services outlined above, we propose billing on a time -and -materials (T&M) basis a not -to -exceed (NTE) fee, as follows. Service Construction Staking Resident Engineering NTE Fee $5,000.00 $92,500.00 Estimated Reimbursable Expenses $1,000.00 NTE Fee + Reimbursables $98,500.00 Reimbursable expenses, including items such as printing, messenger service, mileage etc., will be billed to the Client without markup. All services, including any additional services beyond those outlined in Section II: Scope of Services, will be billed in accordance with the attached GHA Hourly Rates. Invoices will be submitted on a monthly and will detail services performed. This permits the client to review the status of the work in progress and the charges made. General Conditions The delineated services provided by Gewalt Hamilton Associates, Inc., (GHA) under this Agreement will be performed as reasonably required in accordance with the generally accepted standards for civil engineering and surveying services as reflected in the contract for this project at the time when and the place where the services are performed. Nothing contained in this Agreement shall create a contractual relationship with or a cause of action in favor of a third party against either the Client or GHA. GHA's services under this Agreement are being performed solely for the Client's benefit, and no other party or entity shall have any claim against GHA because of this Agreement or the performance or nonperformance of services hereunder. In no event shall GHA be liable for any loss of profit or any consequential damages. GHA shall not have control of and shall not be responsible for construction means, methods, techniques, sequences or procedures, or for job site safety measures. Such control is the sole responsibility of the Client's contractor. The Client, and not GHA, is responsible for ensuring that the contractor implements the Storm Water Pollution Prevention Plan (SWPPP), including maintenance and/or repair of soil erosion and sediment control measures for compliance with the General NPDES Permit for Storm Water Discharges from Construction Site Activities. GHA assumes no liability for any actions by the Illinois Environmental Protection Agency (IEPA) resulting from the contractor's failure to comply with SWPPP or the requirements of the General Permit. The Client and GHA agree that all disputes between them arising out of or relating to this Agreement or the Project shall be submitted to nonbinding mediation in Chicago, Illinois unless the parties mutually agree otherwise. This Agreement, including all subparts and Attachment A, which is attached hereto and incorporated herein as the General Provisions of this Agreement, constitute the entire integrated agreement between the parties which may not be modified without all parties consenting thereto in writing. PROFESSIONAL SERVICES AGREEMENT 1. Standard of Care. The services provided by Gewalt Hamilton Associates, Inc., (GHA) under this Agreement will be reasonal performed consistent with the generally accepted standard of care for the Scope of Basic Services called for herein at the time when and 1 place where the services are provided. 2. Duration of Proposal. The terms of this Agreement are subject to renegotiation if not accepted within 60 calendar days of the d; indicated on this Agreement. Requests for extension beyond 60 calendar days shall be made in writing prior to the expiration date. The ft and terms of this Agreement shall remain in full force and effect for one year from the date of acceptance of this Agreement, and shall subject to revision at that time, or any time thereafter if GHA gives written notice to the other party at least 60 calendar days prior to I requested date of revision. In the event that the parties fail to agree on the new rates or other revisions, either party may terminate this Agreemf as provided for herein. 3. Client Information. Client shall provide GHA will all project criteria and full information for its Scope of Basic Services. Gf may rely, without liability, on the accuracy and completeness of the information Client provides, including that of its other consultan contractors and subcontractors, without independently verifying that information. d 4. Any deficiencies, errc o or omissions the Client discovers during this period will be reported to GHA and will be corrected as part of GHA's Basic Services. In the event of a conflict between the signed / sealed printed instruments of service prepared by GHA and the electro> >, files, the signed / sealed instruments of service shall control. Client agrees that GHA shall not be responsible for add d project costs, delay damages, or schedule changes arising from unreasonable or unexpected interpretations of the laws, codes, or regulatic > applied to the project, nor for changes required by the permitting authorities due to changes in the law that became effective after completi of GHA's instruments of service. Client shall compensate GHA for additional fees required to revise the instruments of service to comply w o such interpretations. Client shall also compensate GHA for additional fees required to revise the instruments of service if Client changes t ,(0 project scope after GHA's completes its instruments of service. 3 8. Utilities and Soils. When the instruments of service include information pertaining to the location of underground utility facilit m or soils, such information represents only the opinion of the engineer as to the possible locations. This information may be obtained frt c visible surface evidence, utility company records or soil borings performed by others, and is not represented to be the exact location or nati of these utilities or soils in the field. Client agrees that GHA may reasonably rely on the accuracy and completeness of information furnish n by third parties respecting utilities, underground conditions and soils without performing any independent verification. Contractor is soli c responsible for utility locations, their markings in the field and their placement on the plans based on information they provided. Client agrt N GHA is not liable for damages resulting from utility conflicts, mistaken utility locates, unfavorable soils, and concealed or unforesc r- conditions, including but not limited to added construction costs and/or project delays. If the Client wishes to obtain the services of a contrac E to provide test holes and exact utility locations, GHA may incorporate that information into the design and reasonably rely upon it. If t included in the Scope of Basic Services, such work will be compensated as additional services. 9. Opinion of Probable Construction Costs. GHA's Scope of Basic Services may include the preparation of an opinion of probal Q construction costs. Client acknowledges that GHA has no control over the costs of labor, materials, or equipment, or over the contracto methods of determining prices, or over competitive bidding or market conditions. Opinions of probable costs, shall be made on the basis experience and qualifications applied to the project scope contemplated by this Agreement as well as information provided by Client (1 accuracy and completeness of which GHA may rely upon), and represent GHA's reasonable judgment. Client accepts that GHA does 1 guarantee or warrant that proposals, bids, or the actual construction costs will not vary from opinions of probable cost prepared for the Clie GHA shall not be liable for cost differentials between the bid and/or actual costs and GHA's opinion of probable construction costs. Cliff agrees it shall employ an independent cost estimator if, based on its sole determination, it wants more certainty respecting construction cost 10. Contractor's Work. GHA has no authority or right to stop the work. GHA may not dire' or instruct the construction work in any regard. In no event shall GHA be liable for the acts or omissions of Client's construction contracto subcontractors, materialmen, fabricators, erectors, operators or suppliers, or any persons or entities performing any of the work, or for fait of any of them to carry out their work as called for by the Construction Documents. The Client agrees that the Contractor is solely responsil for jobsite and worker safety, and warrants that this intent shall be included in the Client's agreement with all prime contractors. The Clip agrees that GHA and GHA's personnel and consultants (if any) shall be defended/indemnified by the Contractor for all claims asserted agai GHA which arise out of the Contractor's or its subcontractors' negligence, errors or omissions in the performance of their work, and shall a] be named as an additional insured on the Contractor's and subcontractors' general liability insurance policy. Client warrants that this into shall be included in the Client's agreement with all prime contractors. If the responsible prime contractor's agreement fails to comply with I Client's intent, then the Client agrees to assume the duty to defend and indemnify GHA for claims arising out of the Contractor's subcontractors' negligence, errors or omissions in the performance of their work. 11. Contractor Submittals. Shop drawing and submittal reviews by GHA shall apply only to the items in the submissions that conc( d GHA's scope of Basic Services and only for the purpose of assessing if, upon successful incorporation in the project, they are genera d consistent with the GHA's Instruments of Service. Client agrees that the Contractor is solely responsible for the submissions and for compliar with the Instruments of Service. Owner agrees that GHA's review and action in relation to the submissions does not constitute the provision means, methods, techniques, sequencing or procedures of construction or extend to jobsite or worker safety. GHA's consideration o- a component does not constitute acceptance of an assembled item. o 12. Hazardous Materials. Client agrees that GHA has no responsibility or liability for any hazardous or toxic materials, contaminai 0 or pollutants. L 13. Record Drawings. Disputes. All disputes arising out of or relating to this Agreement shall first be negotiated between the parties. The fees and costs of the mediator shall be apportioned equally between the parties. DISTRACTED DRIVING PREVENTION MONTH - APRIL, 2017 WHEREAS, distracted driving is a serious issue on our roadways, claiming thousands of lives and injuring thousands more each year in the United States; and WHEREAS, The National Highway Traffic Safety Administration (NHTSA) estimates that at any given daylight moment approximately 660,000 people across America are using cell phones or manipulating electronic devices while driving; and WHEREAS, According to the U.S. Department of Transportation, 3,179 people were killed in distracted driving crashes in 2014; and co WHEREAS, engaging in activities such as talking on a phone, texting, checking social media or email, selecting music, or other uses of portable devices while driving increase the risk of getting into a crash by three times; and WHEREAS, the improved health and well-being of Buffalo Grove's citizens are a direct result of increased awareness about the dangers of distracted driving; and WHEREAS, in order to reduce the number of crashes as well as improve driver safety, Buffalo Grove motorists should commit to adopting and maintaining safe behavior while behind the wheel; and WHEREAS, April has been selected as the National Distracted Driving Awareness Month by The National Safety Council NOW, THEREFORE, I, BEVERLY SUSSMAN, PRESIDENT OF THE VILLAGE OF BUFFALO GROVE, do hereby proclaim and pronounce April National Distracted Driving Awareness month in Buffalo Grove and urge all citizens to promote awareness of the distracted driving problem, and to support programs and policies to reduce the incidence of distracted driving. Approval of Plans. It is understood and agreed that the Owner is proposing the construction of an addition to the existing detached single-family house on the Property. The addition shall be in accordance with the Buffalo Grove Development Ordinance and Zoning Ordinance. 6. Compliance with Applicable Ordinances. The Owner agrees to comply with all ordinances of the Village of Buffalo Grove as amended from time to time, provided that all new ordinances, amendments, rules and regulations relating to zoning, building and subdivision of land adopted after the date of this Agreement shall not be arbitrarily or discriminatorily applied to the Property but shall be equally applicable to all property similarly zoned and situated to the extent possible. Owner shall comply with the standards set forth in the Village of Buffalo Grove Development Ordinance as amended from time to time. Notwithstanding the foregoing, the Village shall not apply new ordinances or regulations to the Property to the extent that the ordinances or regulations would prevent construction of a single-family house. The existing home and future expansion shall be subject to Section 17.24 of the Buffalo Grove Zoning Ordinance. 7. Building Permit Fees. The building permit fees may be increased from time to time so long as said permit fees are applied consistently to all other developments in the Village to the extent possible. In the event a conflict arises between the Owner and the Village on any 0 N p engineering and technical matters subject to this Agreement, the Village reserves the right to E pass along any and all additional expenses incurred by the use of consultants in the review and L inspection of the development from time to time. Owner shall pay any non-discriminatory new a� a w or additional fees hereinafter charged by the Village to owners and developers of properties o within the Village. All building permit fees shall be in accordance to Chapter 1.16 of the Buffalo Grove Municipal Code. 8. Water Provision. The Owner shall be permitted and agrees to tap on to the Village a water system at points recommended by the Village Engineer pursuant to a final engineering Packet Pg. 97 9.A.b E plan, which is subject to approval by the Village. Said connection shall occur within twelve (12) months from the date of this Agreement. The Owner further agrees to pay to the Village such 0 fees in accordance with the applicable Village Ordinances at the time of the issuance of the as •L water and sewer permits. The Owner agrees to accept any increase in water rates and tap on a fees provided such rates and fees apply consistently to all other similar users in the Village to Z 0 0 the extent possible. Storm and Sanitary Sewer Provisions. as a A. The Owner agrees to accept any increase in sewer rates and tap on fees, a� c provided that such fees and rates are applied consistently to all similar users in the Village to 0 the extent possible and in accordnance with applicable Village Ordinances. For any future development, the Property shall connect to the Village's storm 0 N sewer system to serve the Property at such time that the Village determines storm sewer 0 service is available to serve the Property. Said improvements shall be made pursuant to an E engineering plan approved by the Village. L 10. Drainage Provisions. The Owner shall comply with applicable stormwater a w regulations as determined by the Village Engineer to preserve drainage standards. o 11. Security for Public and Private Site Improvements. m A. In order to install the domestic water service connection and sanitary sewer connection, Owner shall provide a $2,000.00 right-of-way security to ensure proper restoration a of the right-of-way. Said fee may be refunded upon successful completion of the work and final Packet Pg. 98 9.A.b 5 inspection by the Village. B. For any future development on the Property, security for public and private site improvements shall be provided in accordance with the Development Ordinance of the Village, and the Development Improvement Agreement as amended from time to time. Any letter of credit issued for such improvements shall be drawn on a financial institution of net worth reasonably satisfactory to the Village Attorney. The issuer may have an equitable or lending interest in the Property provided that the letter of credit, either by its own terms or by separate written assurances of the issuer, shall be honored irrespective of that interest. The Village shall have the right to draw up to the full amount of the letter of credit in order to complete, and have formal acceptance of, all improvements secured by the letter of credit. 12. Right of Way Dedication. The Owner shall dedicate a total of sixty feet (60') of additional right-of-way, from the existing centerline of Prairie Road and extending the full frontage of the Property along Prairie Road. Said dedication shall occur within twelve (12) months from the date of this Agreement in a manner and form acceptable to the Village Attorney. 13. Exhibits. The following EXHIBITS, some of which were presented in testimony given by the Owner or the witnesses during the hearing held before the Corporate Authorities prior to the execution of this Agreement, are hereby incorporated by reference herein, made a part hereof and designated as shown below. BRAGG, VILLAGE MANAGER FROM: DARREN MONICO, VILLAGE ENGINEER SUBJECT: LAKE COOK ROAD IGA WITH COOK COUNTY DATE: MARCH 24, 2017 CC: MIKE REYNOLDS, DIRECTOR OF PUBLIC WORKS 11 Since 2008 the Village has been working with the Cook County Department of Transportation and Highways on the Lake Cook Road Improvement Project. As the Phase 2 Design stage is nearing completion, the Village of Buffalo Grove and Cook County need to enter into an Intergovernmental Agreement (IGA) to finalize the terms and costs associated with the Project. Whenever a government agency such as Cook County or Lake County improves a road within a municipality, there are always associated costs for Village owned and maintained items, such as utilities, street lights, traffic signals, emergency vehicle pre- emption, and sidewalks. Staff has worked with the Design Engineer Civiltech, Inc. and Cook County to try and limit or reduce these costs. Initially the local share was approximately $4 million with the largest costs allocated for street lights and water main. Staff successfully received a Surface Transportation Grant for 80% of the total cost ($1.6 million reduction) for street lights and has reduced the local share to approximately $2.17 million. Staff was also successful in asking Cook County to spread the cost over three years instead of two, further reducing the burden on the Village's yearly budget. The estimated cost breakdown is as follows: Water Main: $1,501,181 Storm Sewer: $44,594 Street Lights: $387,365 EVP: $52,804 Noise walls: $78,276 Median Landscaping/Electrical $111,361 Moving forward, the Village will be responsible for the ownership and maintenance of the sidewalk/bike path/shared use facilities, village utilities, street lights, traffic signals (on village streets/entrances), all emergency vehicle pre-emption, and the block retaining wall at the NW corner of Weiland Road and Lake Cook Road. The Village will be also be responsible for the initial cost of and the maintenance of the "staining" of the noise wall along the north side of Lake Cook Road but the construction cost, the ownership and structural maintenance will remain the responsibility of Cook County. Staff recommends approval of the IGA with Cook County. Packet Pg. 127 9.D.b RESOLUTION NO. 2016 - A RESOLUTION APPROVING AN INTERGOVERNMENTAL AGREEMENT WITH THE COUNTY OF COOK AND THE VILLAGE OF BUFFALO GROVE RELATED TO THE PHASE III CONSTRUCTION OF LAKE COOK ROAD BETWEEN RAUPP BOULEVARD AND HASTINGS LANE WHEREAS, the Village of Buffalo Grove is a Home Rule Unit pursuant to the Illinois Constitution of 1970; and, WHEREAS, the quality of life is enhanced by a high quality arterial street transportation system which operates efficiently and which does not experience extreme congestion so as to induce motorists to "cut through" neighborhood streets in order to reduce travel times; and, WHEREAS, the Village Board previously approved Resolution No. 2008-28 (A Resolution Approving an Intergovernmental Agreement with Cook County Related to Lake Cook Road), and Resolution 2013-26 (A Resolution Approving an Intergovernmental Agreement with Cook County Highway Department Related to Lake Cook Road) and which indicated the Village's agreement to implement the Phase I Study and the Phase II Design of Lake Cook Road; and, WHEREAS, the Village is agreeable to paying approximately $2,175,581.00 for the Phase III Construction of Lake Cook Road in the area between Raupp Boulevard and Hastings Lane. The County and the Village are sometimes individually referred to as "Party" and collectively referred to as the "Parties." RECITALS WHEREAS, the Constitution of the State of Illinois, 1970, Article VII, Section 10, authorizes units of local government to contract or otherwise associate among themselves in any manner not prohibited by law or ordinance; and WHEREAS, the provisions of the Intergovernmental Cooperation Act, 5 ILCS 220/1 et seq., authorize and encourage intergovernmental cooperation; and WHEREAS, the County by virtue of its powers as set forth in the Counties Code, 55 ILCS 511-1 et seq., and the Illinois Highway Code, 605 ILCS 511-101 et seq., is authorized to enter into this Agreement; and WHEREAS, the Village by virtue of its powers as set forth in the Illinois Municipal Code, 65 ILCS 511-1-1 et seq., is authorized to enter into this Agreement; and WHEREAS, the County and the Village are units of local government under the Illinois Constitution and have the constitutional and statutory authority to enter into this Agreement; and WHEREAS, in order to facilitate the free flow of traffic and ensure the safety of the motoring public, the County and the Village wish to make improvements to Lake Cook Road from Raupp Boulevard to Hastings Lane, and WHEREAS, the improvements shall include Portland cement concrete pavement construction including, but not limited to, pavement removal, concrete curb and gutter removal and replacement, storm sewer installation, traffic signal installation, signing, traffic protection, pavement marking, landscaping and other necessary highway appurtenances (hereinafter called "Project' and designated as Cook County Section: 14-A5015-03-RP and 14-A5015-04-RP); and WHEREAS, the Village has requested that the County include in its Project the installation of noise wall staining, street lighting installation, installation of Emergency Vehicle Pre-emptive Device (EVPD) systems, landscaping, upsizing the storm sewer system main line on Buffalo Grove Road and installation of water main (the "Village Work"); and Packet Pg. 130 9.D.c INTERGOVERNMENTAL AGREEMENT Lake Cook Road — Raupp Boulevard to Hastings Lane Sections: 14-A5015-03-RP 14-A5015-04-RP WHEREAS, the Village has secured Federal funding for the Village Work, and without said funding the Village Work could not be completed; and WHEREAS, in consideration for the inclusion of the Village Work, the Village agrees to assume certain maintenance responsibilities upon completion of the Project by the County; and WHEREAS, the County and the Village, by this instrument, desire to memorialize their respective obligations and responsibilities toward construction and funding of the Project, as well as future maintenance responsibilities upon completion of the Project; and NOW, THEREFORE, in consideration of the promises, covenants, terms and conditions set forth in this Agreement, the Parties hereto agree as follows: SECTION 1. INCORPORATION OF RECITALS The above recitals are incorporated into this Agreement as if fully set forth herein. SECTION 2. TERM AND TERMINATION This Agreement between the County and the Village shall not become effective unless authorized and executed by the Cook County Board of Commissioners and an authorized representative of the Village. This Agreement is a legal, valid and binding agreement, enforceable against the Village and the County, in accordance with its terms. This Agreement shall terminate upon completion of the Project. Notwithstanding the foregoing, the Parties hereto agree that the provisions of Sections 4.8 Post -Project Maintenance, 5.8 Post -Project Maintenance and 5.9 Payment to the County herein shall survive termination of this Agreement, unless expressly terminated by the Parties in a writing signed by both Parties. SECTION 3. PROJECT FUNDS 3.1 Federal Funds. Federal Funding in the amount of Ten Million Four Hundred Twenty Thousand Dollars ($10,420,000.00) of STP funds, and Twelve Million Two Hundred Seventy - Two Thousand Dollars ($12,272,000.00) of CMAQ funds, totaling a maximum amount of Twenty -Two Million Six Hundred Ninety -Two Thousand Dollars ($22,692,000.00), will be applied toward the construction costs of the Project. 3.2 County's Share of the Project. The County's share of the Project shall be equal to the actual cost of the Project less the Federal and Village shares of Project. The County's total cost is estimated as Twenty -Eight Million Nine Hundred Ninety -Seven Thousand Five Hundred Four Dollars ($28,997,504.00). 3.3 Village's Share of the Project. The Village's share of the Project shall be equal to the actual cost of the Village Work less the Federal and County shares of funds allocated to said items. The Village's total cost is estimated as Two Million One Hundred Seventy -Five Thousand Five Hundred Eighty -One Dollars ($2,175,581.00). 3.4 Cost Estimates. A Funding Breakdown for the Village Work is incorporated and attached hereto as Exhibit A. The Funding Breakdown is only an estimate and does not limit the financial obligations of the Parties as described in Sections 3.2 and 3.3 above. COUNTY'S RESPONSIBILITIES 4.1 Construction. The County shall advertise and receive bids, award the contract, and cause the Project to be built in accordance with the approved plans and specifications. 4.2 County as Lead Agent; Appropriation of Funds. The County shall finance the construction and construction engineering and act as Lead Agent for the Project. 4.3 Coordination with the Village. The County shall allow the Village to observe all Village Work construction, address concerns expressed by the Village regarding said construction, and allow the Village to participate in the Final Inspection of said Village Work. 4.4 EVPD Systems. 4.4.1 The County shall install a new EVPD system on the Traffic Signal along Lake Cook Road at Buffalo Grove Road, at the Village's sole expense. 4.4.2 The County shall install a new EVPD system on the Traffic Signal along Lake Cook Road at IL Route 83 (McHenry Road), at the Village's sole expense. 4.4.3 The County shall install new EVPD system on the Traffic Signal along Lake Cook Road at Weiland Road, at the Village's sole expense. 4.4.4 The County shall install new EVPD system on the Traffic Signal along Lake Cook Road at Lexington Drive, at the Village's sole expense. 4.4.5 The County shall install new EVPD system on the Traffic Signal along IL Route 83 (McHenry Road) at Buffalo Grove Town Center, at the Village's sole expense. 4.5 Lummaire. The County shall install Luminaires on combination traffic signal mast arm, at the County's sole expense. 4.6 Traffic Signals. 4.6.1 The County shall install a new Traffic Signal system and associated appurtenances along Buffalo Grove Road at Weiland Road, at the County's sole expense. 4.6.2 The County shall install a new Traffic Signal system and associated appurtenances along Lake Cook Road at Lexington Drive, at the County's sole expense. 4.6.3 The County shall install a new Traffic Signal system and associated appurtenances along IL Route 83 (McHenry Road) at Buffalo Grove Town Center, at the County's sole expense. 4.7 Notification of Final Inspection. The County shall provide the Village fourteen (14) working days' advance notice of the Final Inspection. Page 3 of 11 Packet Pg. 132 9.D.c INTERGOVERNMENTAL AGREEMENT Lake Cook Road — Raupp Boulevard to Hastings Lane Sections: 14-A5015-03-RP 14-A5015-04-RP 4.8 Post -Project Maintenance. 4.8.1 The County shall own, operate and maintain the structural elements of noise walls. 4.8.2 The County shall monitor the operational status of the EVPD systems along Lake Cook Road at Buffalo Grove Road, Lake Cook Road at IL Route 83 (McHenry Road), Lake Cook Road at Weiland Road and Lake Cook Road at Lexington Drive through its Electrical Maintenance Contractor, who will inform the Village of any equipment requiring repair. 4.8.3 The County shall maintain the Luminaires installed on combination traffic signal mast arms. 4.8.4 The County shall own, operate and maintain the traffic signals along Buffalo Grove Road at Weiland Road and Lake Cook Road at Lexington Drive, cause them to be maintained and energized, and be responsible for all settings and timings upon completion of the traffic signal systems. 4.9 Relocation of Utilities. The County shall be responsible for one hundred percent (100%) of the costs for relocation of the following utilities: 4.9.1 Sanitary sewer forcemain and watermain at Bank of America (southwest corner of Lake Cook Road and IL Route 83). 4.9.2 Sanitary sewer mainline at north side of Lake Cook Road, east of Weiland Road. SECTION 5. VILLAGE'S OBLIGATIONS 5.1 Time of the Essence. The obligations of the Village as set forth in this Section 5 shall be performed in a timely manner such that it will not result in a delay of the Project timetable as determined by the County. 5.2 Design Plans and Specifications. The Village shall supply the County with final design plans, specifications and contract documents for bidding purposes. Said information shall be provided to the County no later than sixty (60) calendar days prior to the bid date as determined by the County. 5.3 Permits and Associated Fees. The Village shall secure any necessary regulatory permits and pay their associated fees for the Village Work utilities installation and/or adjustments included in the Project and Village Work. 5.4 Public Notification of Project. The Village shall coordinate and control public notification of Project scope, timing and duration through its municipal newsletter, website, etc. Page 4 of 11 Packet Pg. 133 9.D.c INTERGOVERNMENTAL AGREEMENT Lake Cook Road — Raupp Boulevard to Hastings Lane Sections: 14-A5015-03-RP 14-A5015-04-RP 5.5 Village Owned Right -of -Way. The Village shall allow the County access to any Village owned right-of-way or utility easements for the purposes of constructing the Village Work. Additionally, the Village shall be responsible for the acquisition of any additional right-of-way or utility easements necessary for construction of the Village Work, as shown on the Village plans and included as part of the Project, and be responsible for all costs associated with said right-of-way or utility easement acquisition. 5.6 Coordination with the County. The Village shall assign a representative to coordinate and monitor the Village Work under construction and bring to the attention of the County's Resident Engineer any matters of concern with respect to same; and, said representative shall participate in the existing water main valve shutdown, new valve opening, water main pressure testing and chlorination certification of water main work. 5.7 Final Inspection. The Parties shall be present and participate in the Final Inspection, and the scheduling of such Final Inspection shall be solely at the discretion of the County. The Village shall not cause a condition that would unreasonably delay the Final Inspection. The Village shall submit final punch list items within seven (7) working days prior to the Final Inspection date as determined by the County. 5.8 Post -Project Maintenance. Following acceptance of the Village Work by the Village after a Final Inspection conducted jointly with the County, the Village shall: 5.8.1 Maintain Village aesthetics of the front and back sides of the noise walls and panels, including wall staining and graffiti removal on the north side of Lake Cook Road. 5.8.2 Own, operate and maintain Village street lights and infrastructure that were installed/improved as part of the Project, and be responsible for the cost of electrical energy supply for street lighting. This shall include the street lighting systems on Weiland Road from north of Woodstone Drive to Lake Cook Road; on Lake Cook Road from Raupp Boulevard to Weiland Road; on the north side of Lake Cook Road from 1,400 feet west of Lexington Drive to east of Lexington Drive, excluding the lighting controller; on Buffalo Grove Road from approximately 400 feet north of Lake Cook Road to Lake Cook Road; on the southwest side of Buffalo Grove Road from Lake Cook Road to approximately 500 feet south of St. Mary's Parkway; and on the northeast side of Buffalo Grove Road from Lake Cook Road to 500 feet south of Lake Cook Road. 5.8.3 Be responsible for future maintenance of the bikepath and sidewalk within the Village's jurisdiction. 5.8.4 Own, operate and maintain the sanitary sewer mainline that was relocated/improved as part of the Project. 5.8.5 Own, operate and maintain the Village storm sewer system that was installed/improved as part of the Project. 5.8.6 Own, operate and maintain the water main that was relocated/improved as part of the Project. Page 5 of 11 Packet Pg. 134 9.D.c INTERGOVERNMENTAL AGREEMENT Lake Cook Road — Raupp Boulevard to Hastings Lane Sections: 14-A5015-03-RP 14-A5015-04-RP 5.8.7 Be responsible for one hundred percent (100%) of the maintenance costs of the EVPD systems along Lake Cook Road at Buffalo Grove Road, Lake Cook Road at IL Route 83 (McHenry Road), Lake Cook Road at Weiland Road, Lake Cook Road at Lexington Drive, and IL Route 83 (McHenry Road) at Buffalo Grove Town Center. 5.8.8 Enter into an agreement with and use the County's Electrical Maintenance Contractor for repair and/or replacement of parts for the EVPD systems, and pay said contractor directly for repair/replacement costs as they occur. 5.8.9 By execution of this Agreement, the Village acknowledges that it shall not have access to or on the County's traffic signals. 5.8.10 Maintain the landscaped medians along Weiland Road north of Lake Cook Road and on Lake Cook Road west of Weiland Road within its municipal limits, including mowing, watering, replacement of dead or diseased plants, removal or pruning of plants including trees and upkeep of the medians in a sightly and litter -free condition. The Village acknowledges that if, at some later date, they desire to enhance the medians with additional trees, plantings, irrigation system, etc., a separate County Department of Transportation and Highways permit will be required for said enhancement(s). 5.8.11 Own, operate and maintain electrical outlets in the landscaped medians within its municipal limits. 5.8.12 Pay the County twenty-five percent (25%) of the maintenance charges for the traffic signals along Buffalo Grove Road at Weiland Road and Lake Cook Road at Lexington Drive, within thirty (30) days of the County's quarterly statement. 5.8.13 Pay twenty-five percent (25%) of the electrical charges directly to Commonwealth Edison Company in accordance with a service contract to be entered into with that company for the traffic signals along Buffalo Grove Road at Weiland Road and Lake Cook Road at Lexington Drive. 5.8.14 Maintain the retaining wall at the northwest corner of Lake Cook Road at Weiland Road. 5.9 Payment to the County. The costs that the Village are obligated to pay as described in Section 3 Project Funds shall be paid in three (3) installments as follows: 5.9.1 The first installment in the amount of Seven Hundred Twenty -Five Thousand Dollars ($725,000.00) shall be invoiced by the County within ninety (90) days following the contract award, but not before January 1, 2018 and the Village shall pay the County within thirty (30) days after receipt of the invoice from the County. 5.9.2 The second installment in the amount of Seven Hundred Twenty -Five Thousand Dollars ($725,000.00) shall be invoiced by the County as of January 1, 2019 and the Village shall pay the County within thirty (30) days after receipt of the invoice from the County. Page 6 of 11 Packet Pg. 135 9.D.c INTERGOVERNMENTAL AGREEMENT Lake Cook Road — Raupp Boulevard to Hastings Lane Sections: 14-A5015-03-RP 14-A5015-04-RP 5.9.3 The third installment, the remaining balance of the Village's obligations, based upon the actual quantities used and the contract unit prices as awarded, shall be invoiced upon completion of Final Inspection, but not before January 1, 2020 and the Village shall pay the County within thirty (30) days after receipt of the invoice from the County. 5.9.4 Payments to the County shall be by check payable to the Treasurer of Cook County, for deposit into the County's Motor Fuel Tax Fund (600-585 Account). The check shall be mailed to the Superintendent, Cook County Department of Transportation and Highways. 5.10 Street Lighting Systems. The Village shall pay all the costs associated with the installation of the Street Lighting systems on Weiland Road from north of Woodstone Drive to Lake Cook Road; on Lake Cook Road from Raupp Boulevard to Weiland Road; on the north side of Lake Cook Road from 1,400 feet west of Lexington Drive to east of Lexington Drive, excluding the lighting controller; on Buffalo Grove Road from approximately 400 feet north of Lake Cook Road to Lake Cook Road; on the southwest side of Buffalo Grove Road from Lake Cook Road to approximately 500 feet south of St. Mary's Parkway; and on the northeast side of Buffalo Grove Road from Lake Cook Road to 500 feet south of Lake Cook Road. 5.11 Village Infrastructure. The Village shall pay for one hundred percent (100%) of the costs for any Village infrastructure improved/installed as part of the Project, including design engineering, construction and construction engineering; said items include, but are not limited to, storm sewer, sanitary sewer, water main, etc., except where specifically noted otherwise in this agreement. The construction engineering cost associated with the Village work shall be ten percent (10%) of the bid price, and this cost is included in the estimated costs in Exhibit A. 5.12 Relocation of Utilities. The Village shall be responsible for one hundred percent (100%) of the cost for relocation of the following utilities: 5.12.1 Sanitary sewer forcemain service at Shell Gas Station (northwest corner of Lake Cook Road and IL Route 83). 5.12.2 Fire hydrant and 6" main at Northwest Community Hospital (south side of Lake Cook Road between IL Route 83 and Weiland Road). 5.12.3 Sanitary sewer forcemain service and water service at Lou Malnatis (southeast corner of Lake Cook Road and Buffalo Grove Road). 5.13 Staining of the Noisewall. The Village shall be responsible for the cost of the staining of both sides of the noisewall on the north side of Lake Cook Road. 5.14 Landscaped Median and Electrical Outlets. The Village shall be responsible for the cost of the landscaped median and electrical outlets. GENERAL PROVISIONS 6.1 Governing Law and Venue. This Agreement shall be interpreted under, and governed by, the laws of the State of Illinois, without regard to conflict -of -law principles. Any claim, suit, action, or proceeding brought in connection with this Agreement shall be in the Circuit Court of Cook County and each Party hereby irrevocably consents to the personal and subject matter jurisdiction of such court and waives any claim that such court does not constitute a convenient and appropriate venue for such claims, suits, actions, or proceedings. 6.2 Default. The Village shall be in default hereunder in the event of a material breach by the Village of any term or condition of this Agreement including, but not limited to, a representation or warranty, where the Village has failed to cure such breach within thirty (30) days after written notice of the breach is given to Village by the County, setting forth the nature of such breach. Failure of County to give written notice of breach to the Village shall not be deemed to be a waiver of the County's right to assert such breach at a later time. Upon default by the Village, the County shall be entitled to exercise all available remedies at law or in equity, including but not limited to termination of this Agreement upon thirty (30) days' written notice to the Village. The County shall be in default hereunder in the event of a material breach by the County of any tern or condition of this Agreement including, but not limited to, a representation or warranty, where the County has failed to cure such breach within thirty (30) days after written notice of the breach is given to the County by the Village, setting forth the nature of such breach. Failure of Village to give written notice of breach to the County shall not be deemed to be a waiver of the Village's right to assert such breach at a later time. Upon default by the County, the Village shall be entitled to exercise all available remedies at law or in equity, including but not limited to termination of this Agreement upon thirty (30) days' written notice to the County. 6.3 Modification. This Agreement may not be altered, modified or amended except by a written instrument signed by both Parties; provided, however, the Parties agree that provisions required to be inserted in this Agreement by laws, ordinances, rules, regulations or executive orders are deemed inserted whether or not they appear in this Agreement and that in no event will the failure to insert such provisions prevent the enforcement of this Agreement. 6.4 Binding Successors. The Parties agree that their respective successors and assigns shall be bound by the terms of this Agreement. 6.5 Compliance with Department of Transportation and Highways Permits. This Agreement shall serve in lieu of a separate County permit for the noise walls, water main, sanitary sewers, sidewalks, street lighting or any other Village infrastructure improved/installed as part of the Project; and, by execution of this Agreement, the Village shall be bound by the General Terms for Department of Transportation and Highways permits as they exist on the date of the execution of this Agreement by the County. 6.6 Force Maleure. Neither the County nor the Village shall be liable for failing to fulfill any obligation under this Agreement to the extent any such failure is caused by any event beyond such Party's control and which event is not caused by such Parry's fault or negligence. Such events shall include but are not limited to, acts of God, acts of war, fires, lightning, floods, epidemics or riots. The bids ranged from $1,273,052.50 to $1,572,625.50. The apparent low bidder was Peter Baker & Son of Lake Bluff, IL with a bid of $1,273,052.50. The Engineer's Opinion of Probable Cost for the project was $1,580,115.00. Enclosed for your use is a bid summary of the bidders along with the engineer's opinion of probable cost. We have reviewed the bid proposal from Peter Baker & Son and find it satisfactory. We therefore recommend that Peter Baker & Son be awarded the 2017 Street Improvement Project.
