ORDINANCE NO. 73 -58
AN ORDINANCE GRANTING CERTAIN RIGHTS TO BURINS
ELECTRONIC SECURITY SERVICES, INC., REGARDING
THE INSTALLATION OF AN ALARM CONTROL SYSTEM IN
THE VILLAGE POLICE STATION
BE IT ORDAINED BY THE PRESIDENT AND BOARD OF TRUSTEES
OF THE VILLAGE OF.BUFFALO GROVE
SECTION ONE: Burns Electronic Security Services, Inc.,
an Illinois corporation with its principal place of business at
9500 West Belmont, Franklin Park, Illinois, (hereinafter referred
to as "Burns "), its successors and assigns, is hereby granted an
exclusive license to install and maintain in the Village Police
Station one 50- position fire and police alarm control board,
approved by Underwriters Laboratories, and necessary related
equipment consisting of a relay rack and transmitting cable
(the "Board ") and to connect into the premises of various customers
of Burns in the Village.
SECTION TWO: Burns shall be responsible solely for the
maintenance of the Board in safe and proper working order and
shall repair any defect or malfunction to the Board promptly upon
receipt of notice from the Village of any defect or malfunction.
Village personnel shall not be responsible for any such maintenance
or repair and shall not undertake the same.
SECTION THREE: Any change in or addition to the Board
shall be made only upon securing prior written approval from
the Chief of Police'of the Village. To the extent that the
capacity of the Board is not fully utilized by Burns, the Village
may authorize other licensed alarm installation companies to
connect their alarm system installations into the Board upon
payment of a reasonable annual fee to Burns.

Should any other licensed alarm installation companies
be permitted to connect their system installations as aforesaid,
such companies shall submit to the Village a hold harmless agree-
ment and bond of the character required by Section Seven herein.
SECTION FOUR: The Village shall be responsible for
monitoring the Board and for dispatching police patrolmen in
response to alarms registered on the Board.
SECTION FIVE: So long as Burns exercises and enjoys
the privileges of this license, it will furnish to the Village,
free of charge, 10 positions upon the Board for alarm systems
extended to the Board for such buildings owned or occupied by
the Village for governmental purposes and also for alarm systems
for use in connection with the sewerage and water supply systems
of the Village, all as the Board of Trustees shall direct, pro-
vided not more than 10 such Board positions shall be furnished
to the Village without charge.
SECTION SIX: No person shall use or cause or permit to
be used, or engage in the business of providing any telephone
device or telephone attachment that automatically selects a
public trunkline of the Police or Fire Department of the Village
and then reproduces any pre- recorded message to report any
robbery, burglary, fire or other emergency.
SECTION SEVEN: Burns shall, at its own expense, defend
all claims, demands or suits on account of any injury to life or
property resulting from the use, maintenance, malfunction or
removal of the Board other than as provided herein and Burns
hereby agrees to save and hold harmless the Village from any and
all claims, demands or suits and from any and all damages,
judgements, costs and expenses of any kind which may arise from
the use, maintenance, malfunction, or removal of the Board.
Burns shall obtain an insurance policy in a form acceptable to

the Village in an amount of not less than $500,000 covering
each of the foregoing matters for which-it shall indemnify the
Village and shall file and maintain with the Village Clerk a
copy of said insurance policy. Provided, however, that the terms
of this Section Seven shall not apply to the 10 Board positions
furnished to the Village by Burns without charge.
SECTION EIGHT: Within 30 days after the passage of
this ordinance by the President and Board of Trustees, this
ordinance, if accepted, shall be accepted by Burns by filing with
the Village Clerk an unconditional acceptance hereof, duly executed
according to law, and the failure of Burns to so accept this ordinance
within said period of time shall be deemed a rejection hereof by
Burns and the rights and privileges herein granted shall thereupon
absolutely cease and determine, unless said period of time shall
be extended by the Village by an ordinance duly passed for that
purpose and before the expiration of said 30 days.
SECTION NINE: All provisions of this ordinance which
are obligatory upon, or which inure to the benefit of, Burns shall
also be obligatory upon and shall inure to the benefit of any and
all of its successors and assigns and the word "Burns" whenever
appearing in this ordinance shall include and be taken to mean
not only Burns Electronic Security Services, Inc., but also each
and all of such successors and assigns.
SECTION TEN: This ordinance shall be in full force and
effect on and after the date Burns files with the Village Clerk
its unconditional written acceptance of this ordinance in
accordance with Section Eight hereof and policy as furnished in
accordance with Section Seven hereof, and shall continue for a
period of one year from such effective date and shall thereafter
be renewed automatically for successive terms of one year unless

either party shall terminate.the same by giving the other party
written notice of its intent to so terminate 90 days prior to
the end of the same term or any renewal thereof.
