A RESOLUTION APPROVING AN AGREEMENT CONCERNING THE JOINT MAINTENANCE OF
CERTAIN BIKE PATHS
WHEREAS, the Village desires to cooperate and coordinate with the
Park District in providing their respective services to their common
taxpayers and residents in an economical manner; and,
WHEREAS, the Village desires to promote the creation and
maintenance of a high quality community wide bike path system; and,
WHEREAS, a greater degree of overall efficiency and cost
effectiveness is desired to be achieved through a bike path maintenance
system performed in cooperation with the Park District;
NOW, THEREFORE, be it resolved by the Village President and Board
of Trustees of the Village of Buffalo Grove, Lake and Cook Counties,
Illinois as follows:
1. The agreement with the Buffalo Grove Park District entitled, "An
Agreement Concerning the Joint Maintenance of Certain Bike Paths"
is hereby approved.
2. The Village President and Village Clerk are authorized and directed
to execute the agreement approved herein. A copy of said
agreement is attached hereto and made a part hereof.

AN AGREEMENT
CONCERNING THE JOINT MAINTENANCE OF CERTAIN BIKEPATHS
This agreement, made and entered into, this 24th day of
April 1989, by and between the Village of Buffalo Grove, Illinois, a
municipal corporation, hereinafter referred to as the "Village" and the
Buffalo Grove Park District, a municipal corporation, hereinafter referred
to as the "Park District".
WITNESSETH, THAT
WHEREAS, the Village and Park District desire to cooperate and
coordinate in providing their respective services to their common taxpayers
and residents in an economical manner; and,
WHEREAS, the Village and Park District desire to promote the
creation and maintenance of a high quality community wide bikepath system;
and,
WHEREAS, a greater degree of overall efficiency and cost
effectiveness is desired to be achieved through a cooperative bikepath
maintenance system;
NOW, THEREFORE, it is agreed as follows:
1. The Village Engineer of the Village of Buffalo Grove shall develop a
bikepath evaluation program for all bikepaths, both currently
existing and other bikepaths which are built in the future, which
are owned by the Village or the Park District and which are
located on property located within the boundries of both the Village
and Park District and falling into one of the following categories:
a. property owned by the Village
b. property owned by the Park District
C. Property owned by other parties, but on which the Village
possesses an easement covering the operation and maintenance
of a bikepath.
2. Following the completion of an evaluation, the development of a
preliminary recommendation and review by the Director of Parks
and Recreation, the Village shall perform the work included in
the Village Engineer's final recommendation.
3.. The costs for this work shall be shared as follows:
a. Property owned by the Village, 100% Village cost
b. Property owned by the Park District, 100% Park District Cost
C. Property owned by other parties, but on which the Village
possesses an easement covering the operation and maintenance
of the bikepath, 50% Village cost and 50% Park District cost.
4. The Village may invoice the Park District for up to 50% of the
projected final Park District's bill following the Village award of a
contract for the work. Once the work is completed the Village shall
invoice the Park District for the remaining Park District share of the
costs. The Park District shall pay invoices as described above within
30 days.
5. The following exhibits to this agreement indicate those bikepaths
which are currently covered by this agreement:
Exhibit 1: Bikepaths on property owned by the Village
Exhibit 2: Bikepaths on property owned by the Park District
Exhibit 3: Bikepaths on property owned by other parties, but on
which the Village possesses an easement covering the
operation and maintenance of a bikepath.
6. Contemporaneous with the execution hereof, each party hereto shall
furnish to the other party hereto a certified copy of the resolution
of the duly constituted corporate authority of that party authorizing
and directing the execution of the agreement.
7. The Village of Buffalo Grove agrees to indemnify and hold harmless
the Buffalo Grove Park District, from and against any and all claims
for loss, liability or damage arising out of or in connection with the
work done or to be performed in connection with the operation and
maintenance of certain bike paths for which the Village possesses an
easement, or arising out of the acts or negligent omissions of the
Village's agents, employees, licensors or contractors, from all
claims, damages or liabilities, whether for injury to person,
including death, or for property damage, losses and expenses,
including attorneys' fees, while the Village is in performance of
the operation and maintenance of the above-referred to bike paths.
The indemnification obligation hereunder shall not be limited in any
way.
