Resolution 2000- Authorizing the Opening of a New Corporate Checking
Account at the First Midwest Bank, NA - Buffalo Grove (Trustee Marienthal)
RECOMMENDATION: Approve by motion.
SUMMARY: A Corporate Banking Resolution authorizing the establishment of a
Corporate Checking Account at the First Midwest Bank of Buffalo Grove.

B. Approval of Report:
Firefighter's Pension Fund Annual Report - FY 1999-2000 (Trustee Marienthal)
RECOMMENDATION: Approve by motion.
SUMMARY: For the reporting year ended April 30, 2000, assets under
management increased by $1,039,024.40 or 12.39% to equal approximately $9.43
million under management by the Fund.
C. Approval of Report:
Police Pension Fund Annual Report-FY 1999-2000 (Trustee Marienthal)
RECOMMENDATION: Approve by motion.
SUMMARY: As required by the Illinois Compiled Statutes, this annual report
discloses all collections and disbursements for the fiscal period ended along with a
reconcilement of cash and investments of the Fund. For the fiscal period ended
April 30, 2000, cash and investments increased by $2,171,550.56 or 13.11%.

D. Approval of Plat:
Approval of Development Improvement Agreement & Plat of Easement for
Praedium Development (Retail Development Lake Cook Road & Buffalo Grove
Road) (Trustee Hendricks)
RECOMMENDATION: Approve by motion.
SUMMARY: Agreement has been reached as to what is to be provided in the way
of utility systems, street lighting, drainage, and site grading, etc. for the property
subject to conditions.
E. Other Agenda Item:
Request for an extension of the due diligence period regarding the sale of 1801
Prairie Road to Matrix Development (Trustee Berman)
RECOMMENDATION: Approve by motion.
SUMMARY: Matrix has been granted one extension to May 21 and is now
requesting another 30-day extension to June 30, 2000.

The attached resolution honors Steve Goldspiel for his long and productive tenure as a member
of the Plan Commission. The resolution also appoints Steve as "Commissioner Emeritus."
Steve served on the Plan Commission from 1974 until his resignation on April 30, 2000. Steve
has been an integral part of the Village's planning and development process. I think his work as a
Plan Commission member has contributed significantly to Buffalo Grove's development as an
attractive and livable community. I am sure that many people in the community share my respect
and admiration for Steve's excellence as a commissioner and his willingness to share so much of
his time in service to the Village.

RESOLUTION 2000—
COMMENDING STEPHEN GOLDSPIEL
FOR SERVICE TO THE VILLAGE AS A
PLAN COMMISSION MEMBER AND CHAIRMAN, 1974-2000
WHEREAS, Stephen Goldspiel began his service to the Village as a Plan Commission member
on March 25, 1974 and was appointed as Chairman in November 1994; and,
WHEREAS, Stephen performed with excellence throughout his tenure on the Commission,
providing intelligent and fair analysis in the guidance of growth and development of the Village in its
formative years and in addressing new issues as the community matured; and,
WHEREAS, Stephen made important contributions to the Village's comprehensive planning
process, including planning for commuter bus and rail service and implementation of the Village's
excellent bike path system; and,
WHEREAS, Stephen has participated in the review of numerous development projects and
planning studies and revisions of the Zoning Ordinance, Development Ordinance and Comprehensive
Plan,that have shaped the Village's development as a successful and livable suburban environment.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES,
ILLINOIS THAT:

COMMENDING RICHARD HEINRICH
FOR SERVICE TO THE VILLAGE AS A ZONING
BOARD OF APPEALS MEMBER AND CHAIRMAN, 1971-2000
WHEREAS, Richard Heinrich began his service to the Village as a Zoning
Board of Appeals member on July 6, 1971 and was appointed as Chairman on
October 18, 1976; and
WHEREAS, Richard performed with excellence throughout his tenure on
the Zoning Board of Appeals, providing excellent direction to the Zoning Board of
Appeals, making decisions which resulted in fair and equitable solutions to
complex issues; and
WHEREAS, Richard has made important contributions to the drafting and
up-dating of the Village's Zoning Ordinance, Sign Code and Fence Code; and
WHEREAS, Richard responsibly reviewed innumerable applications for
variance to these ordinances, without compromising the character of the
neighborhood or the Village of Buffalo Grove.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND
BOARD OF TRUSTEES OF THE VILLAGE OF BUFFALO GROVE,
COOK AND LAKE COUNTIES, ILLINOIS THAT:

WHEREAS,Brian was the founder of the Village of Buffalo Grove Commission for Residents with
Disabilities as a Blue Ribbon Committee in 1991,and )�
WHEREAS,Brian served as Trustee Liaison to that Commission since its official establishment in 1992 /
and throughout his tenure as a Village Trustee,and was appointed Chair of the Commission in 1999,and

Liaison, and Chair,during which time the Commission addressed concerns of local citizens as well as the

DESIGNATING THE WEEK OF MAY 22-29, 2000 AS
"BUCKLE UP BUFFALO GROVE! WEEK"
WHEREAS, since increasing seat belt use is still the single most effective
way to save lives and reduce injuries in crashes on America's roadways; and
WHEREAS, Buckle Up America and Operation ABC Mobilizations (America Buckles
Up Children) are forging broad, community-based partnerships to increase the
proper use of seat belts and child safety seats to go% by 2005, thereby saving our
community precious lives and taxpayer dollars; and
WHEREAS, inpatient hospital care costs for unbuckled crash victims are 50%
higher than for those who are buckled, and 85% of those medical costs are borne
by society which signifies the degree to which we all pay for unbelted occupants;
and
WHEREAS, by increasing the seat belt use rate from 68% to go% an
estimated 5,536 fatalities and 132,670 injuries would be prevented, child fatalities
would be reduced by 25%, and the nation would save $8.8 billion annually; and
WHEREAS, since research shows that if a driver is unbuckled, 70% of the
time children in that car are also unbuckled; and
WHEREAS, Buckle Up Buffalo Grove! Week provides us with the opportunity
to join with other communities in our area and throughout the nation to work
toward increasing the correct use of safety belts and child safety seats by focusing
public attention on the life-saving benefits of these systems, automatic belt
systems, and air bags.
NOW, THEREFORE, I, ELLIOTT HARTSTEIN, PRESIDENT OF THE VILLAGE
OF BUFFALO GROVE, ALONG WITH THE BOARD OF TRUSTEES, in recognition of
this life-saving opportunity, hereby proclaim the week of May 22-29,2000, as
"Buckle Up Buffalo Grove!' Week", and encourage the community to observe the
week with appropriate programs ceremonies and activities to increase the use of
safety belts and child safety seats in the goal of increasing state use rate; to
support the efforts of enforcement agencies to increase compliance with occupant
protection laws; and to encourage part-time users to become full-time users.

WHEREAS,public works services provided in our community are an integral part of our citizens'everyday
lives;and,
WHEREAS,the support of an informed and understanding citizenry is vital to the efficient operation of
public works systems,and programs such as water, sewer, streets,public buildings,and snow removal;and,
WHEREAS,the health, safety and comfort of this community greatly depends on these facilities and
services,and,
WHEREAS,the quality and effectiveness of these facilities,as well as their planning,design,and
construction are vitally dependent upon the efforts and skills of public works personnel;and,
WHEREAS,the efficiency of the qualified and dedicated personnel who staff public works departments is

The Certificate of Achievement for Excellence in Financial Reporting has
been awarded to the Village by the Government Finance Officers Association
of the United States and Canada (GFOA) . We received the award for our
comprehensive annual financial report (CAFR) .
The Certificate of Achievement is the highest form of recognition in the
area of governmental accounting and financial reporting, and its attainment
represents a significant accomplishment.
William H. Brimm, Assistant Village Manager, was awarded the honor after an
impartial GFOA panel judged our CAFR as meeting the high standards of the
program including demonstrating a constructive "spirit of full disclosure"
to clearly communicate its financial story and motivate potential users and
user groups to read the CAFR.

Subject: Plaza Verde West - Zoning and development issues
Bill -
I have discussed this matter with Ed Schar in terms of the proposed banquet facility in the south
portion of the shopping center. Our comments are as follows:
1 . The property is zoned B-3. The Village has historically applied the B-3 District as "Planned Unit
Development" zoning requiring a specific ordinance with exhibits and related conditions of use for a
property. The ordinance for Plaza Verde does not specifically address a banquet facility.
a. A banquet facility is a permitted use in the B-3 District. We reach this conclusion because
restaurants and similar entertainment uses are permitted in the B-1 and B-2 Districts.
b. Based on the information submitted by the developer's architect/planner, it appears that no
changes will be made to the building footprint (i.e. no expansion of floor area) and that parking
is provided in compliance with the Zoning Ordinance. If this is the case, an amendment to the
P.U.D. is not required.
2. Based on the stated floor area of 55,035 sq.ft., and applying the shopping center parking ratio
of one space per 220 sq.ft. of floor area, 250 parking spaces are required. The developer's
information states that 254 spaces are provided. The project architect/planner indicates that using
a "stringent" parking ratio of 0.35 spaces per person in the banquet facility, 175 parking spaces
would be needed to serve the maximum occupancy of 500 persons. The busiest times for the
banquet facility would presumably occur in the evening when other tenants in the shopping center
are either closed or have relatively low demand for parking.
a. The developer should address "overlap" periods such as Saturday afternoons to confirm that
there will be adequate parking for all businesses on the property at peak times.
b. We note that the largest parking field is on the north half of the site. Most of the patrons of
the banquet facility will have to walk a considerable distance through the parking lot and
access aisles to reach the facility.
3. It appears that the parking lot will need to be modified, at least in terms of the location of
handicapped accessible parking. Assuming that parking is provided (including handicapped
accessible spaces) in compliance with the Zoning Ordinance, approval of a Preliminary Plan is not
required. The location of handicapped accessible spaces would be reviewed by the Building
Commissioner. If there are any issues concerning the location of handicapped accessible parking
and travel routes to the building entrances, an appropriate resolution would need to be reached
prior to issuance of a building permit for the banquet facility.
a. The developer should verify if modifications to the parking lot would change the number of
parking spaces on the property.
b. The developer should provide a site plan or plat of survey at a legible size and scale to
document the dimensions of parking stalls and access aisles.

c. The developer should identify areas that will be designated for employee parking for the
various businesses at the shopping center.
4. If modifications are made to the building facade, landscaping or outdoor lighting, review by the
Village is required. If an ordinance is not required concerning zoning or site plan amendment, the
Zoning Board of Appeals (rather than the Plan Commission) would review the building facade
changes. If changes to the landscaping and outdoor lighting are proposed, I think it would be
advisable to include these items in the ZBA review. In any case, the Village Engineer would review
the outdoor lighting and the Village Forester would review the landscaping plan.

Pursuant to discussions with our client, Arbor Acquisitions and Development Inc., and as a follow-
up to your letter of March 13, 2000 and our meeting with you and Village President Hartstein of
Friday, March 17, 2000, we offer the following information as feedback to questions and
comments posed. As you are aware, Arbor Acquisitions has an offer pending to purchase the
Plaza Verde West development with the intent of incorporating a family owned and operated
banquet/club operation and restabilizing the leasing base for the overall center.
Toward that end, they are seeking feedback as to the viability of ultimately obtaining a Village
liquor license (2am Friday & Saturday, lam Sunday—Thursday)to permit operation of the
banquet facility. As they have indicated in the outline presented to you at the 3-17-00 meeting,
the family has been involved in this business for many years and looks very much forward to
bringing their operation and skills into the Buffalo Grove community. Their intent is to occupy
14,000 to 15,000(gross) square feet of the southeast building and to continue to lease the
remaining 3,000 to 4,000 square feet in same. The balance of the development would remain
and be operated as it is currently structured.
At this time, there appear to be no existing leases that would interfere with this planned program
and parking exists in excess of the current Village requirements. We have provided you with a
synopsis of the parking in our chart below. A review by your staff has indicated that the uses
proposed are permitted and consistent with the existing zoning.
Based upon a positive consensus by the Village Board that the liquor licensing would be
achievable pending usual review of the proposed user, Arbor Acquisitions has permitted us to
indicate their agreement to renovate the fagade of the three main multiple tenant structures to be
consistent in design with the new facades proposed for Plaza Verde East. The Burger King
fagade and the LaSalle Bank Facility fagade would be retained in their current configurations.
They have also indicated an acceptance to update the existing parking area lighting standards to
be consistent in style with those planned for Plaza Verde East. The result would be a continued
unified appearance to the overall center.
In response to your specific questions regarding parking service for a banquet/club type of
operation, our initial review indicates that more than adequate parking exists on the site. Typical
standards utilized for this type of function recommend a parking ratio of.25 spaces per person
based on maximum occupancy. The Village, in the past has recommended a .32 to .35 factor.
Also, since the peak demand for a banquet operation is Friday nights and Saturday afternoons

use concept since these times typically are low demand times for other commercial operations.
With a program to provide facilities for up to 500 individuals at the banquet operation, a parking
need of between 125 spaces (@ .25) and 175 spaces (@ .35)would be anticipated. The existing
site has 254 spaces plus stacking for 22 at the existing drive up facilities. This, coupled with the
operational time differential in commercial uses demonstrates that appropriate parking exists for
the proposed permitted use.
The overall information relative to parking for the center is as follows:
Gross building area: LaSalle Bank facility 6,910 sq. ft.
Burger King facility 3,550 sq. ft.
Multi-tenant facilities 44,575 sq. ft.
Total gross area: 55,035 sq. ft.
Parking: Required (55,035/220): 250 spaces (plus 22 stacking)
Actual: 254 spaces (plus 22+ stacking)
We have also attached a reduced copy of the Plaza Verde West site plan for your convenience.

Pursuant to our previous discussions, and as a follow-up to our meeting with you and
Village President, we offer the following information as feedback to questions and
comments posed. As you are aware, we are in a process of developing a new banquet and
restaurant facility to be located in Plaza Verde West. This project incorporates the
development of approximately 15,000 square feet of meeting and banquet space
including a restaurant which aims to appeal to an under-served market by providing food
and beverage service to social and corporate groups in an environment superior to and
more convenient than existing alternatives in the marketplace.
The proposed hours of operation for the new facility will be daily from 6:00pm. to
1:00am. and on weekends from 6:00pm. to 2:00am. Also, from time to time, we hope to
host daytime events for our corporate and social customers. In addition to examination of
economic characteristics within the Buffalo Grove area, we had studied similar facilities
in the neighboring communities, and concluded that these hours of operation will be most
beneficial to the Buffalo Grove community as a whole.
We are pleased with the progress of this wonderful project and at this time would like to
ask you and the Village Board of Trustees to review and reserve a beverage license for
this new facility.
We are convinced;that with our extensive experience of 22 years in operating food and
beverage facilities in the Chicagoland area, and wonderful new location in Buffalo
Grove, the new"Crystal Banquets" facility will be great addition to the existing
restaurants and banquet halls in Buffalo Grove area.

I am transmitting a copy of the annual report which was provided by Ron
Crawford, Public Affairs Director of Commonwealth Edison Company, earlier
today. This report is in ComEd' s current standard format which Ron
explained is in use in all communities within their service area .
In addition to providing several pages of general information, the report
also includes sheets which denote the municipal facilities that are
provided electrical service under the Village 's franchise agreements with
ComEd, a list representing all power outages which occurred in the Village
in 1999, a tabulation of various work activities which were underway in
1999 and lists of feeders which had trees trimmed in 1999 along with a
schedule denoting planned trimming through 2002.
Three sheets which are new to this year' s format denote graphical summaries
of the annual moving average of ComEd' s systemwide and Village service
interruption rates and average interruption duration data. This data
indicates very favorable trends in both ComEd' s overall and Village specific
values of these items.
Although Ron acknowledged that this report may be provided to the Village
Board, I note that "emergency" and "life threatening emergency" contact
information and limited municipal only access web page passwords are included
on two of the reports sheets .

Attached for consideration by the President and Board of Trustees is a Corporate Banking
Resolution authorizing the establishment of a Corporate Checking Account at the First Midwest
Bank of Buffalo Grove. This resolution is required to open and manage the account and we will be
transferring our current business from National City Bank over to First Midwest Bank upon
execution and receipt of new check stock.
The banking institution change is not the result of dissatisfaction in services provided by National
City Bank rather it is an attempt to create a greater efficiency in processing payroll and accounts
payable. The disbursement account and Corporate Checking Account will both be maintained at
the First Midwest Bank.

a. all of the foregoing resolutions shall continue in force until revoked or modified by written notice, actually
received by the Bank, setting forth a certified resolution to that effect stated to have been duly adopted by the
Board of Directors or members of this association/organization, and signed by one purporting to be the Secretary
or an Assistant Secretary of this association/organization; provided, however, that any such notice shall not be
effective as to any exercise of powers prior to the actual receipt thereof or as to any checks or other orders or
instruments for the payment of money or the withdrawal of funds, dated on or prior to the actual receipt of such
notice,but presented to the Bank after receipt of such notice, and the Bank is hereby authorized to rely upon the
last communication received by it, so authenticated, as to any resolution of this association/organization or as
to the persons who may be officers or signatories of this association/organization,or as to their respective specimen
signatures and/or as to any other association/organization matters, and the Bank shall be held harmless in such
reliance, even though such resolution may have been changed or rescinded;
b. the Bank need not recognize a claim of authority to order the payment or delivery of any funds or other property
standing on its books to the credit of, or held by it for the account of, this association/organization, which
conflicts with a claim of authority of which the Bank had prior notice,unless the person asserting such subsequent
claim shall procure an appropriate restraining order, injunction or other appropriate process against the Bank
from a court of competent jurisdiction in the United States requiring the Bank so to act, or in lieu thereof, with
the consent of the Bank, shall deliver to the Bank, in form and with sureties acceptable to the Bank, a bond
indemnifying said Bank for any and all liability,loss,damage costs and expenses(including reasonable attorneys'
and paralegals' fees and court costs) on account of any action by the Bank pursuant to such subsequent claim
or on account of the dishonor of any check or other order of any person asserting the claim of which the Bank
already had notice at the time the subsequent conflicting claim asserted by the person furnishing such bond;
C. to indemnify the Bank and save it free and harmless from any and all claims, demands, expenses (including
reasonable attorneys' and paralegals' fees and court costs), losses or damages it may suffer resulting from or
growing out of or in connection with any act taken by the Bank as a result of, or its failure to act under any or
all the foregoing resolutions,or its failure not to conform in all respects to the authorizations specified hereunder;
d. to indemnify the Bank and save it free and harmless from any and all claims, demands, expenses (including
reasonable attorneys' and paralegals' fees and court costs), losses or damages it may suffer resulting from or
growing out of acceptance by the Bank of a request to transfer funds from any individual(s) named or listed
herein or from the refusal by the Bank to honor any request received which does not in all respects conform to
the authorization specified hereunder with respect to the individual(s) making such request;
e. to be bound by the Bank's Business Account Agreement and Disclosure, as amended from time to time, rules
and regulations and governmental regulations which, from time to time govern checking and savings accounts;
and
f. the Bank shall not be liable in any manner whatsoever for any miscarriage, mistake, delay, misfeasance or
nonfeasance on the part of any agent or agency selected by the Bank in connection with any matter relating to

SUBJECT: Firefighter's Pension Fund Annual Report
FY 1999-2000
As a matter of disclosure, attached is the Annual Report for the Village's
Firefighter's Pension Fund for the fiscal period ended April 30, 2000. While
there is no statutory requirement to prepare this Report as with the Police
Pension Fund, such disclosure is of benefit to the Pension Fund Board, its
members and the Village Board of Trustees as to oversight responsibility.
The cash basis fund balance increased at April 30, 2000 by $1, 039, 024 .40 or
12 .39% from the balance posted on April 30, 1999. This change will be utilized
by the Village's actuary in order to determine the proper level of property tax
levy funding that will be required for 2000. Growth in the Fund is due to a
strong, managed investment program that provides the Fund with a safe portfolio
in order to provide for future benefits due members of the Fund. During the
period, the Fund continued to diversify the portfolio in order to take advantage
of the attractive nature of the recent equity market along with continuing the
ladder of principal maturities that attempts to match future anticipated needs
with assets on hand.
Upon presentation and acceptance by the Village Board of Trustees, the Report
will be submitted to the Firefighter's Pension Fund Board of Trustees for their
review and comment.

As required by the Illinois Compiled Statutes, Chapter 40, Section 5/3-141,the Police Pension Fund
Board must submit an Annual Report to the President and Board of Trustees. The Report is to
disclose all collections and disbursements for the fiscal period ended along with a reconcilement of
cash and investments of the Fund.
For the fiscal period ended April 30,2000,cash and investments increased by $2,171,550.56 or
13.11%. Total cash and investments under management now total $18.71 million. These funds will
be used to pay benefits due members in future years and the performance will be measured by
independent actuaries in order to establish future levels of employer's costs not only to provide
immediate benefits as they become due but to reduce any past actuarial liabilities.

SUBJECT: Police Pension Fund Annual Report

As required by the Illinois Compiled Statutes, Chapter 40, Section 5/3-141, staff
has prepared on behalf of the Village Treasurer the Annual Report due from the
Treasurer regarding the fiscal status of the Village of Buffalo Grove Police
Pension Fund. This Report must be submitted to both the Board of Trustees of the
Pension Fund and the President and Board of Trustees of the Village by the second
Tuesday in May of each year for the prior fiscal year ended. The Report is
intended to disclose all collections and disbursements for FY 1999-2000, along
with a complete reconcilement of the cash and investments of the Fund. These
balances are in agreement with has been be posted to the Village's accounts as
of the close of business on April 30, 2000 except for the accrual of year-end
earnings on investments. Additionally, detail is provided for both the receipt
and disbursement of funds during the fiscal period. This is intended to provide
additional information to users of this Report on all sources and uses of cash
and near-cash assets within the Fund for the fiscal period.
It should be noted that the Fund Balance, reported on a cash basis, increased by
$2, 171,550.56 for the year ended April 30, 2000, a change of 13 .11% This
increase will be considered by the Village's actuary in order to determine the
proper level of property tax funding that will be required for 2000, hopefully
continuing past trends where asset growth moderates the rate of change in the
unfunded actuarial liabilities of the Fund for benefits to be paid in future
periods.
Upon presentation of this Report to the President and Board of Trustees, and with
their acceptance, it will be submitted to the Police Pension Fund Board of
Trustees for their review and comments.

DEVELOPMENT IMPROVEMENT AGREEMENT
THIS AGREEMENT, made and entered into as of this day
of , 2000, by and between the VILLAGE OF
BUFFALO GROVE, an Illinois Municipal Corporation, and having its office at
Village Hall, 50 North Raupp Boulevard, Buffalo Grove, Illinois,
(hereinafter called AVillage=-) and Buffalo Grove Partners, LLC
(hereinafter called ADeveloper=) .
WITNESSETH:
WHEREAS, in compliance with the Village=s Development Ordinance and
pursuant to the Ordinance No. 2000-7
(Annexation Agreement or PUD Ordinance or Agreement)
dated July 24, 2000 , Developer has submitted to the Village a
Plat of Subdivision designated as Exhibit AA=, attached hereto, which
Subdivision Plat has been approved by the Plan Commission of the Village,
and, Developer desires to improve the real property described in said
Subdivision Plat; and,
WHEREAS, the Village is willing to approve said Subdivision Plat,
provided that this Agreement is executed to insure the completion of
certain site improvements, as a condition precedent to the issuance of
building permits for any buildings to be constructed on the property.
NOW, THEREFORE, it is mutually agreed as follows:
1. Developer shall furnish, or cause to be furnished, at their
own cost and expense, all the necessary material, labor, and equipment to
complete the improvements listed on Exhibit AB= attached hereto, and all
other site improvements not specifically set forth, which are required by
applicable ordinances or agreements, all in a good and workmanlike manner
and in accordance with all pertinent ordinances and regulations of the
Village and in accordance with the plans and specifications, dated
February 23, 2000 , shown on Exhibit AC- attached hereto,
including any subsequent revisions requested by the Developer and approved
in writing by the Village pursuant to the Village=s Development Ordinance,
which Exhibit has been prepared by W-T Engineering
who are registered
professional engineers and Exhibit AD-, attached hereto consisting of the
Landscaping Plan and as approved by the Village=s Appearance Control
Commission. All utility lines and services to be installed in the street
shall be installed prior to paving.
2. Attached hereto as Exhibit AE- is a complete cost estimate for
the construction of the improvements described in Exhibit AB- hereto.
Upon the execution of this Agreement and prior to the recordation of the
Plat of Subdivision, the Developer shall deposit a Letter of Credit, bond,
or other security, acceptable to and in a form and substance approved by
the Village as further described in Paragraph 9 herein. Letter of Credit,
bond, or other security shall originally be in the amount of $
$105,749.14
3. All work shall be subject to inspection by and the approval of
the Village Engineer. It is agreed that the contractors who are engaged
to construct the improvements described in Paragraph 1 hereof are to be
approved by the Village Engineer and that such approval will not be
unreasonably withheld.
4. The Developer has paid the Village a Review and Inspection

fee, as required by Ordinance. It is understood that said fee is based on
the amount of the contracts or cost estimate for those items listed in
Exhibit AB=.
5. Prior to the time the Developer or any of its contractors
begin any of the work provided for herein, the Developer, and/or its
contractors shall furnish the Village with evidence of insurance covering
their employees in such amounts and coverage as is acceptable to the
Village.
In addition, by its execution of this Agreement, the Developer
agrees to protect, indemnify, save and hold harmless, and defend the
Village of Buffalo Grove and its employees, officials, and agents, against
any and all claims, costs, causes, actions, and expenses, including but
not limited to attorney=s fees incurred by reason of a lawsuit or claim
for damages or compensation arising in favor of any person, corporation or
other entity, including the employees or officers or independent
contractors or sub-contractors of the Developer or the Village, on account
of personal injuries or death, or damages to property occurring, growing
out of, incident to, or resulting directly or indirectly, from the
performance of work by the Developer, independent contractors or sub-
contractors or their officers, agents, or employees. The Developer shall
have no liability or damages for the costs incident thereto caused by the
sole negligence of the Village. This hold harmless shall be applicable to
any actions of the Developer, independent contractor, or sub-contractor
prior to the date of this Agreement if such prior actions were approved by
the Village.
6. The Developer shall cause said improvements herein described
to be completed within twenty-four (24) months following the approval of

the Plat as shown in Exhibit AA= by the President and Board of Trustees,
except Public Parks and Detention Areas which shall be completed within
twelve (12) months, and except any improvements for which specified time
limits are noted on the approved plans, Exhibit AC= which shall be
completed within the specified time limits shown on the plans. If work is
not completed within the time prescribed herein, the Village shall have
the right to call upon the Letter of Credit, bond, or other security, in
accordance with its terms, for the purpose of completing the site
improvements. Upon completion of the improvements herein provided for, as
evidenced by the certificate or certificates of the Village President and
Board of Trustees, the Village shall be deemed to have accepted said
improvements, and thereupon, the Letter of Credit, bond, or other
security, shall automatically be reduced to serve as security for the
obligations of the Developer as set forth in Paragraph 7 hereof. The
Developer shall cause its consulting engineers to correct drawings to show
work as actually constructed and said engineers shall turn over high
quality mylar reproducible copies thereof to the Village to become the
Village=s property prior to acceptance of the improvements by the
President and Board of Trustees.
7. The Developer for a period of one year beyond formal
acceptance by the Village of any improvement described in Exhibit AB=
hereof, shall be responsible for maintenance repairs and corrections to
such improvements which may be required due to failures or on account of
faulty construction or due to the developers and/or contractors
negligence. The obligation of the Developer hereunder shall be secured by
the Letter of Credit, bond, or other security as further described in
Paragraph 9 hereof.

B. It is agreed that no building permit shall be granted by any
official for the construction of any structure until required utility
facilities (to include, but not by way of limitation, sanitary sewer,
water and storm sewer systems) have been installed and made ready to
service the individual lots concerned; and that roadways (to include
curbs) providing access to the subject lot or lots have been completely
constructed except for the designed surface course. It is understood and
agreed that building permits may be granted for buildings on specific lots
to which utility facilities have been installed and made ready for service
and to which roadways have been constructed as described above,
notwithstanding the fact that all improvements within the Development may
not be completed.
9.A. The obligations of the Developer hereunder as to the deposit
of security for the completion of improvements (Exhibit AB= hereof) and
the one year maintenance of said improvements after acceptance by the
Village (Paragraph 7) shall be satisfied upon delivery to the Village of a
Letter of Credit, bond, or other security, issued by
in favor of the Village in a form
acceptable to the Village. The Letter of Credit, bond or other form of
security shall be made subject to this Agreement.
B. In addition to the terms, conditions, and covenants of the
Letter of Credit, bond, or other security, the Village hereby agrees to
draw funds or to call said performance guarantee under such security
solely for the purpose of payment for labor and materials supplied or to
be supplied, by engineers, contractors, or subcontractors, to, or for the
benefit of Praedium Development , or the Village, as the
case may be, under the provisions of this Agreement and the said

improvements for which payment is being made shall have been completed, or
will be completed, in substantial accordance with the plans and
specifications described herein.
C. The Village further hereby agrees that to the extent that the
Developer causes the commitments of this Agreement to be completed, the
outstanding liability of the issuer of the Letter of Credit, bond, or
other security, under said security, shall, during the course of
construction of the improvements, approximate the cost of completing all
improvements and paying unpaid contract balances for the completion of the
improvements referred to in this Agreement.
Until all required tests have been submitted and approved by
the Village for each of the construction elements including, but not
limited to, earthwork, street pavements, parking area pavements, sanitary
sewers and watermains, a minimum of that portion of the surety for each
element shall be subject to complete retention. All improvements are
subject to a minimum fifteen (15%) percent retention until final
acceptance by the Village.
D. In order to guarantee and warranty the obligations of
paragraph 7 herein, an amount equal to fifteen (15%) percent of the total
amount of the Letter of Credit, bond, or other security or an amount equal
to fifteen (15%) percent of the cost estimate of the individual
improvement(s) shall be retained in the Letter of Credit, bond, or other
security for a period of one year beyond formal acceptance by the Village
of the improvement(s) .
E. As a portion of the security amount specified in Paragraph 2,
the Developer shall maintain a cash deposit with the Village Clerk in
the amount of Five Thousand Dollars ($ 5,000.00--------)

If roads are not maintained with a smooth and firm surface
reasonably adequate for access of emergency vehicles such as fire trucks
and ambulances, or if any condition develops which is deemed a danger to
public health or safety by the Village of Buffalo Grove due to the actions
of the Developer or his failure to act; and after written notice of this
condition, the Developer fails to immediately remedy the condition; then
the Village may take action to remedy the situation and charge any
expenses which results from the action to remedy the situation to the cash
deposit. Upon notification that the cash deposit has been drawn upon, the
Developer shall immediately deposit sufficient funds to maintain the
deposit in the amount of Five Thousand Dollars
($ 5,000.00------ ) . If the Developer has not made the additional
deposit required to maintain the total cash deposit in the amount of
Five Thousand Dollars ($ 5,000.00--------) within three (3)
days from the date he received notice that such additional deposit was
required, it is agreed that the Village may issue a Stop Work Order or
also may revoke all permits which the Developer had been granted. This
cash deposit shall continue to be maintained until the maintenance
guarantee period has lapsed. The deposit may be drawn upon by the Village
if the conditions of this Agreement, except in cases of danger to public
health and safety as determined by the Village in which case the deposit
may be drawn upon immediately following notice to the Developer and his
failure to immediately remedy the situation. After termination of the one
year maintenance period and upon receipt by the Village Clerk of a written
request for release of the deposit, the Village will either notify the
Developer that the improvements are not in a proper condition for final
release of the deposit, or shall release the deposit within fifteen (15)

days.
F. In addition to the terms, covenants, and conditions of the
Letter of Credit, bond, or other security, the Developer hereby agrees
that no reduction shall occur in the outstanding liability of the issuer
thereunder, except on the written approval of the Village; however, in all
events, the Village shall permit such Letter of Credit, bond, or other
security, to expire, either by its terms, or by return of such Letter of
Credit, bond, or other security to the Developer, upon the expiration of
one (1) year from the acceptance of the improvements referred to herein by
the Village. To the extent that the provisions of Paragraph 9 herein, and
of the Letter of Credit, bond, or other security, permit the Village to
draw funds under such Letter of Credit, bond, or other security, the
Village hereby agrees to reduce the outstanding liability of the issuer of
the Letter of Credit, bond, or other security to the extent that funds are
disbursed.
10. Any Letter of Credit, bond, or other security shall provide
that the issuer thereof shall not cancel or otherwise terminate said
security without a written notice being given to the Village between
thirty (30) days and forty-five (45) days in advance of termination or
cancellation.
11. Developer shall install any additional storm sewers and/or
inlets which are required in order to eliminate standing water or
conditions of excessive sogginess which may, in the opinion of the Village
Engineer, be detrimental to the growth and maintenance of lawn grasses.
12. No occupancy permit shall be issued until all exterior
lighting specified on Exhibit AC= is installed and operational.
13. The Developer acknowledges that until final acceptance, he is

responsible for providing snow and ice control along any streets within
the Development which are adjacent to occupied properties or necessary to
provide access to occupied properties. The Developer agrees to pay the
Village an annual fee for providing snow and ice control along these
streets.
The fee rate shall not exceed the Village=s average budgeted
snow and ice control cost per mile of Village streets for which this
service is provided with a minimum charge being based upon one-half (2)
mile. It is the Developers responsibility to provide a map of the
applicable areas and the fee payment within thirty (30) days of
notification of the annual fee rate. If not paid, the fee may be
withdrawn by the Village from the cash deposit described in Paragraph 9-E.
14. The Developer acknowledges that he is responsible for the
proper control of weeds, grass, refuse, and junk on all property which he
owns within the Village in accordance with Chapter 8.32 of the Buffalo
Grove Municipal Code. It is further agreed that the Developer shall
continue to be responsible for the proper maintenance of any parcels of
property for which the Developer transfers ownership to the Village until
such time as the Development=s improvements are accepted by the Village in
writing in accordance with the provisions of this agreement.
If the Developer fails to perform his maintenance
responsibilities established in either this paragraph or Chapter 8.32, the
Village may provide a written notice to the Developer of the improper
maintenance condition. If proper maintenance is not completed within ten
(10) days after the Developer is provided this notice, the Village may
perform the maintenance and deduct the costs of the maintenance from the
cash deposit described in Paragraph 9.

15. The Developer agrees that no improvements constructed in
conjunction with this project are sized or located in such a way as to
warrant any recapture payment to the Developer pursuant to any applicable
previous agreements.
16. This Agreement and the obligations contained herein are in
addition to, and not in limitation of, all other agreements between the
Parties hereto including, without limitation, the Ordinance No. 2000-7
(Annexation Agreement or PUD Ordinance)
dated January 24, 2000 and the obligations contained therein.
17. Paragraph(s) N/A are attached hereto and made a
part hereof.

A letter dated May 10, 2000 from Carey Chickerneo, representing Matrix Development, is
attached. The Village Board authorized the sale of this property to Matrix on February 2, 2000
with a 75-day due diligence period stipulated in the sale contract.
Matrix has been granted one extension to May 21 and is now requesting another 30-day
extension to June 30, 2000. Matrix wants to obtain approval by the Lake County Department of
Transportation for a driveway to Prairie Road to serve one of the three proposed lots prior to
purchase of the property. The County is reviewing Matrix' request for the driveway, and the
County's decision is expected within the next several weeks.

WHEREAS, the Buffalo Grove/Wheeling/Rotary Bike Path Project is
scheduled to go to bid in the near future; and,
WHEREAS, a Pipeline Crossing Agreement with the Northwest Water
Commission is required in order to proceed with the construction and subsequent
maintenance and operation of the proposed bike path improvement;
NOW, THEREFORE, BE IT RESOLVED BY THE VILLAGE

At the Monday,April 3, 2000 Village Board Meeting,the President and Board of Trustees authorized
staff to issue a Request for Proposal for five (5) community entrance signs. Twenty-one (21) RFPs were
mailed to prospective bidders. The Village's bid opening was conducted on Friday, May 5,2000 and two
(2)bids were received for the project:
• QT Signs, Schaumburg -Unit Cost, Design 41 - $4,846.00; Design 42 -$5,096.00
• Paldo Sign Co., River Grove -Unit Cost, $7,128.00
Attached are the designs featuring the proposed specifications of each sign.
The Village budget for five signs at an estimated cost of$8,000 per sign based upon research from
neighboring communities. Staff recommends approving the bid from QT Signs,although please note that
minor adjustments may be made in terms of brick color and color of logo. It is also recommended that we
authorize the expenditure of a maximum of$40,000,which would allow us to review other areas of the
community whereby new signs may be installed. Currently,the following locations have been identified:
I &2) Lake Cook Road east and west-replace signs.
3 &4) Dundee Road east and west-replace signs.
5) Buffalo Grove Road/Rt. 22 -new sign (exact location to be determined).
Staff requests the opportunity to survey the community and present a proposal for a possibility of a
maximum of eight signs, estimated total cost-$40,768.
Per the board's direction, staff proposes the following for the community organization signs -
1)Weidner Park, Lake Cook Road -Park District property
2)Adjacent to Fire Station 427,Half Day Road.

Zaremba Group has submitted the attached packet in response to comments by the Village Board
at the pre-application conference on May 1. A market evaluation study is provided -the study
concludes that the CVS store planned for Buffalo Grove "will be successful and does not
represent a glut of pharmacies."
The site plan has been revised to provide the required six vehicle stacking spaces for the four
drive-in teller positions at the National City Bank. This was accomplished by shifting the
driveway on Dundee Road to the west(compared to the previous plan) and by moving the
buildings farther north on the site.
The plan proposes a building of 10, 800 square feet for CVS/pharmacy. A drive-through facility
is planned on the north side of the building. As noted in the previous staff comments, the
petitioner should explain the planned location for vehicles to queue for the drive-through and
indicate how many stacking spaces will be provided. Also, the on-site traffic circulation pattern
should be reviewed in terms of how vehicles will enter and leave the site when using the
pharmacy drive-through.
