A. Ordinance No. 2015-2: Repealing Chapter 2.42, Youth Commission, of the Village of Buffalo Grove Municipal

SUMMARY: This ordinance removes the Youth Commission from the Code of Ordinances. This Commission

B. Ordinance No. 2015-3: An Ordinance Amending Chapter 5.20 Liquor Controls (President Braiman)
SUMMARY: A Class C liquor license is reserved for Hariom, Inc. d/b/a Dev Liquor&Wine, for 1170 McHenry
Road. The Class C liquor license for Jamb's One Corporation d/b/a BB's Liquor at 1170 McHenry Road is
hereby withdrawn. [GO TO]
C. Ordinance No. 2015-4: An Ordinance Amedding Chapter 5.20 Liquor Controls (President Braiman)
SUMMARY: The Class A liquor license for Mongolian BBQ Palace, Inc. at 154-158 McHenry Road is being
changed to Sushi Grove, Inc. at 154-158 McHenry Road. [GO TO]
D. Ordinance No. 2015-5: An Ordinance Amending Chapter 5.20 Liquor Controls (President Braiman)
SUMMARY: The Class E License is hereby revoked for K.S.H., Inc. d/b/a Deerfields Bakery at 201 N. Buffalo

E. Ordinance No. 2015-6: An Ordinance Amending Section 12.08.030, Construction Work- Permit Fee, of the
Village of Buffalo Grove Municipal Code (Trustee Berman)
SUMMARY: This ordinance corrects a scrivener's error in Ordinance 2014-62, which listed the permit fee at
$25.00 instead of$50.00, as previously approved under Ordinance 2013-67. [GO TO]

exceed $39,693. This project was previously presented as a part of the 2015 Budget and CIP. [GO TO]

Questions from the audience are limited to items that are not on the regular agenda. In accordance with Section
2.02.070 of the Municipal Code, discussion on questions from the audience will be limited to 10 minutes and
should be limited to concerns or comments regarding issues that are relevant to Village business. All members of
the public addressing the Village Board shall maintain proper decorum and refrain from making disrespectful
remarks or comments relating to individuals. Speakers shall use every attempt to not be repetitive of points that
have been made by others. The Village Board may refer any matter of public comment to the Village Manager,
Village staff or an appropriate agency for review.

CALL TO ORDER
President Braiman called the meeting to order at 7:33 P.M. Boy Scout 100 from Twin Groves School presented the
Colors and led the Pledge of Allegiance.
ROLL CALL
Roll call indicated the following present: President Braiman;Trustees Berman,Trilling,Sussman,Terson, Stein and
Ottenheimer.

VILLAGE PRESIDENT'S REPORT
President Braiman commented on the recent death of former Police Officer Robert Heer. President Braiman
reviewed the contributions that Officer Heer made to the Village of Buffalo Grove,and extended sympathies to the
family and friends of Officer Heer.
President Braiman congratulated the Stevenson High School football team on winning their first ever State Football
Championship. Team members and coaches were recognized and presented with commendations from the Village
as they were congratulated by the audience and the Board.
VILLAGE MANAGER'S REPORT
Mr.Reynolds presented a brief update on the current status of Snow Removal Operations,after which he answered
questions from the Board.

PUBLIC HEARING—SIDE YARD VARIATION
President Braiman called the Public Hearing for Interior Side Yard Variation Request for Lot 25 in the Easthaven
Subdivision to order at 7:50 P.M. Notice of Public Hearing was published in the Daily Herald on December 19,
2014. Roll call indicated the following present: President Braiman;Trustees Berman,Trilling, Sussman,Terson,
Stein,Ottenheimer.
President Braiman then reviewed the purpose of the Public Hearing.
President Braiman swore in Charles Hanlon,representing Pulte,to give testimony. Mr.Hanlon then reviewed the
developer's request for variation,details of which are contained in the Village Board Meeting Agenda Item
Overview prepared by Mr. Sheehan. Mr.Hanlon then answered questions from the Board.
President Braiman asked if there were any questions from members of the Board,other public agencies,or the
audience;there were none.
At 7:53 P.M.,President Braiman continued the Public Hearing until later on in this meeting.
TRUSTEE REPORTS
There were no Trustee Reports this evening.
CONSENT AGENDA
President Braiman explained the Consent Agenda,stating that any member of the audience or the Board could
request that an item be removed for full discussion. The Village Clerk read a brief synopsis of each of the items on
the Consent Agenda.
Resolution#2015-1—2015 Pav Ranges
Motion to pass Resolution#2015-1,2015 Pay Ranges.
Mr.Bragg clarified that the proper pay grade for Community Development Director is Pay Grade 70.

Overview
Location data web site Neighborhood Scout recently announced that the Village of Buffalo Grove ranked
number 23 in their 2015 America's Top 100 Safest Cities. Buffalo Grove has ranked nationally in this
competition for two consecutive years, in addition to ranking as the 2nd safest city in Illinois by real estate
website Movoto (August 2014).

2013 Popular Annual Financial Reporting Award 6-B
Overview
The Government Finance Officers Association (GFOA)recently conferred upon the Village of Buffalo
Grove its Popular Annual Financial Reporting (PAFR) award for the Fiscal Year 2013 Village of Buffalo
Grove PAFR. The Village published its first PAFR report for FY 2013 and joins eight other municipal
governments in Illinois to receive this award.
The Village also received the Distinguished Budget Presentation Award for the FY 2013 Budget
document, as well as the Certificate of Achievement for Excellence in Financial Reporting for the 2013
audit report.

Fire and Police Commission Chairman Bruce Kahn will deliver the Oath of Office to two
Firefighter/Paramedic candidates, Scott Renshaw and Joseph Solecki. These two candidates have completed
the process and have been approved by the Commission for hiring. They will be sworn in tonight and will
begin with the Fire Department on January 26, 2015.

Overview
On October 7, 2013, Ordinance 2013-67 was approved by the Board which, in part,modified Chapter
12.08.030 of the Buffalo Grove Municipal Code to read as follows: "Before any driveway or driveway apron
permit is issued,there shall be paid to the
Village Clerk a permit fee of fifty dollars.No permit fee shall be charged where
applicant has obtained a building permit for new construction."
Subsequently on October 6, 2014, Ordinance 2014-62 was approved by the Board which, in part,
modified Chapter 12.08.030 of the Buffalo Grove Municipal Code to read as follows: "Before any
driveway apron, service walk, carriage walk or other appurtenance permit is issued,there shall be paid to
the Village Clerk a permit fee of twenty-five dollars. No permit fee shall be charged where applicant has
obtained a building permit for new construction."
The attached draft Ordinance corrects Ordinance 2014-62 to reflect the correct fee of fifty dollars.

AN ORDINANCE AMENDING
THE VILLAGE OF BUFFALO GROVE MUNICIPAL CODE
WHEREAS, the Village of Buffalo Grove is a Home Rule Unit pursuant to the Illinois
Constitution of 1970; and
WHEREAS, the Corporate Authorities of the Village hereby find that a parkway with
weeds, other obnoxious and unsightly vegetation, rubbish and debris of all kind or obstructions
detracts from the beauty and cleanliness of the immediate neighborhood; and
WHEREAS, the Corporate Authorities of the Village further find that this ordinance
promotes the preservation of proper drainage over and the attractive appearance of public rights
of way in the Village, including parkways and public sidewalks; and
WHEREAS, in the case of Shachter v. City of Chicago, 962 N.E.2d 586, 2011 IL App
(1st) 103582,(2011) the First District Appellate Court of Illinois upheld, against constitutional
challenges, Section 10-32-050 of the Chicago Municipal Code which provided that". . .the
owner or person in control of property contiguous to the parkway shall be responsible for
watering and fertilizing parkway trees . . .and for routine care of the parkway lawn. Routine care
of the parkway lawn shall include periodic watering, weeding and mowing, as well as
replacement of vegetation that dies"; and
WHEREAS, the Shachter court further noted that it is within the power of local
governments "to determine that the community should be beautiful as well as healthy, spacious
as well as clean" and that "it is well settled that the state may legitimately exercise its police
powers to advance esthetic values."
NOW THEREFORE BE IT ORDAINIED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF BUFFALO GROVE, COOK AND LAKE
COUNTIES, ILLINOIS, as follows:
Section 1. Subsection A. of Section 8.32.010, Weeds and Grass—Abatement—
Required, of the Buffalo Grove Municipal Code, is hereby amended, with deletions in

A. A "driveway apron" as set forth in this Chapter, is that portion of any driveway providing
ingress and egress to private property from the sidewalk, if any, to the street. If there is no
sidewalk, the ingress and egress will be from any lot or property line to the street.
B. A "service walk" is that part of any sidewalk providing access to private property from the
sidewalk, if any, to the street.
C. A "carriage walk" is a strip of walk located immediatel behind the curb enerall between
the driveway pron and the service walk. Carriage walks may not be greater than 18" in width.
12.08.020 Construction work—Permit—Required.

No person shall alter, construct, build or establish any driveway, driveway apron, service walk,
carriage walk or other appurtenance over, across, or upon any public sidewalk or public way
without securing a permit for such purpose issued by the Village. Application for such permit
shall be made to the Village and shall be subject to the requirements set forth in Section
12.04.020 with respect to bonds and deposits. Any driveway, driveway apron, service walk,
carriage walk or other appurtenance shall meet the requirements of Title 16 of this Code.
12.08.030 Construction work—Permit fee.
Before any driveway apron, service walk, carriage walk or other appurtenance permit is issued,
there shall be paid to the Village Clerk a permit fee of twenty-five dollars. No permit fee shall be
charged where applicant has obtained a building permit for new construction.
12.08.040 Maintenance.
A. Every person maintaining any driveway apron, service walk, or carriage walk in the
Village shall keep the same in good condition and repair.
B. In the event that a concrete brick paver apron is removed by the Village in the course of
repairs or maintenance to the public street or utilities, the owner of the property shall replace said
paver apron within ten days of notification by the Village that the street or utility work is
complete. If said paver replacement is not performed by the owner of the property within said
ten-day period, the Village may exercise its right to install a concrete apron pursuant to the
standards of the Village Development Ordinance.
12.08.050 —Penalty.
Any person violating the provisions of this Chapter shall be punished according to the
provisions of Chapter 1.08.

Overview
Staff seeks to engage the professional services of information technology and aerial photography specialist
Ayers Associates for the specific task of creating LiDAR data sets for use in our GIS system. Ayers
Associates is the approved vendor of the GIS Consortium.
A bare earth digital terrain model will be extracted from an aerial LiDAR(Light Detection and Ranging)
point cloud acquired by Ayres Associates at a point density of approximately 20 points per square meter
(20ppsm). One-foot interval contours will be prepared to meet National Map Accuracy Standards for 1"
=50' map scale standards.
While there are numerous projects that LiDAR data could be used for,the following are the most
common projects that most GIS communities use the data for:
1)Drainage Analysis
a.Creation of Surface Elevation Maps
b.High Accuracy Contour Data for Terrain View in MapOffice (Ift contours).
c.Analysis and mapping of detention/retention basins.
d.Determining the low points in a roadway to determine the best location for storm structure to be added.
2)Floodplain Analysis
a.Determining whether or not a structure might qualify for Letter of Map Amendment(LOMA).
b.Additional survey used to contest existing FEMA floodplain boundaries
c.Flood modeling
3)Data Sharing
a.LiDAR data can be shared with a consultant in an effort to lower the cost of a preliminary survey. (An
estimated ten thousand dollars was saved in Oak Brook by providing both datasets to their consultant for
drainage analysis on a portion of the village).
4)3D Mapping
a.Line of Sight Analysis
b.3D Rooftops
c.Tree Canopy Mapping (canopy height and width,tree height,base heights)
This project is consistent with the previously approved budget and 2015 Capital Improvement Program.
Through the purchasing power of the GIS Consortium,the Village is able to obtain prices not otherwise
available to the Village. GIS services are considered to be professional services and will be purchased in
accordance with 2.08.040 section I. of the Buffalo Grove Municipal Code.

THIS IS AN AGREEMENT made between the Village of Buffalo Grove, Illinois (OWNER)
and Ayres Associates Inc., 5201 E. Terrace Drive, Suite 200, Madison, WI 53718
(CONSULTANT).
OWNER intends to retain the CONSULTANT to perform topographic mapping from
aerial LiDAR (Light Detection and Ranging).
OWNER and CONSULTANT agree to performance of professional services by CONSULTANT
and payment for those services by OWNER as set forth below.
ARTICLE 1 —SCOPE OF SERVICES
1.1 General
1.1.1 CONSULTANT shall provide professional services for OWNER as hereinafter
provided.
1.2 Geospatial Services
After written authorization to proceed, CONSULTANT shall:
1.2.1 Produce topographic mapping for the Village of Buffalo Grove, Illinois for the
project area shown on Exhibit A.
1.2.1.1 A bare earth digital terrain model (DTM)will be extracted from an aerial
LiDAR (Light Detection and Ranging) point cloud acquired by the
CONSULTANT at a point density of approximately 20 points per
square meter (20ppsm). The bare earth surface model will be prepared
to meet a vertical accuracy of 0.31' RMSEz when tested using the
FEMA-compliant/NSSDA quality control procedure for LiDAR
(CONSULTANT is not responsible for conducting this test under this
agreement). One-foot interval contours will be prepared to meet
National Map Accuracy Standards for 1" = 50' map scale standards.
1.2.1.2 The calibrated LiDAR point cloud will be classified to the following base
classification scheme:
Class 1: Processed, but unclassified
Class 2: Bare-earth ground
Class 5: High Vegetation
Class 6: Buildings
Class 7: Noise (low or high)
Class 9: Water

Class 10: Ignored ground (breakline proximity)
Class 11: Withheld
Classification of points in Classes 5 and 6 will be performed using
automated routines (these non-ground classifications do not include
a statement of positional accuracy or completeness of content).
Class 5 will be utilized for High Vegetation, greater than 10 feet
above the ground. Class 6 will be utilized for Buildings.
1.2.1.3 Hydro-flattened breaklines will be compiled for ponded water that is 2
acres or greater and double-lined streams with a minimum width of 20
feet. The hydro breaklines will be used in conjunction with the bare
earth classified lidar points to create a bare earth digital elevation
model (DEM) and topographic contours.
1.2.1.4 Prepare 1-foot interval contours from bare earth classified points and
hydro-flattening breaklines. Attribution of index, intermediate, index
depressions, and intermediate depressions contours will be included.
Contours will be seamlessly edge-matched and clipped to the LiDAR
project boundary in ESRI geodatabase format to GIS Consortium
standards.
1.2.1.5 Prepare a single, Village-wide LiDAR generated bare earth Digital
Elevation Model (DEM) will be developed from classified bare earth
points and breaklines.
1.2.1.6 Prepare a single, Village-wide Digital Surface Model (DSM) using
LiDAR first return data.
1.2.1.7 LiDAR bare earth and classified point cloud deliverables will be tiled by

ARTICLE 2—CHANGES IN THE SCOPE OF SERVICES

2.1 Services Requiring Authorization in Advance
If authorized in writing by OWNER, CONSULTANT shall furnish or obtain from others Additional
Services as hereinafter provided. These services are not included as part of 1.2 Geospatial
Services and will be paid for by OWNER as indicated in Article 5.
2.1.1 Services to investigate existing conditions or facilities or to verify the accuracy of
information furnished by OWNER.
2.1.2 Services resulting from significant changes in the general scope, extent or
character of the Project.
2.1.3 Furnishing services of independent professional associates and consultants for
other than Basic Services.
2.1.4 Preparing to serve or serving as a consultant or witness for OWNER in any
litigation, arbitration or other legal or administrative proceeding involving the
Project.
2.1.5 Additional services in connection with the Project, including services which are to
be furnished by OWNER, and services not otherwise provided for in this
Agreement.
ARTICLE 3—OWN ER'S RESPONSIBILITIES
OWNER shall do the following in a timely manner so as not to delay the services of
CONSULTANT:
3.1 Designate in writing a person to act as OWNER's representative.
3.2 Provide all criteria and full information as to OWNER's requirements.
3.3 Place at CONSULTANT's disposal all available pertinent information.
3.4 Other special data or consultations not covered under BASIC SERVICES and
ADDITIONAL SERVICES.
3.5 The OWNER shall use it's best efforts to, arrange for accessby
CONSULTANT to enter upon public and private property as required for CONSULTANT
to perform services under this Agreement.
3.6 Furnish approvals and permits from all governmental authorities having jurisdiction over
the Project and such approvals and consents from others as may be necessary for
completion of the Project.
3.7 Give prompt written notice to CONSULTANT whenever OWNER observes or otherwise
becomes aware of any development that affects the scope or timing of CONSULTANT's
services.

3.8 Furnish, or direct CONSULTANT to provide, Additional Services as stipulated in
paragraph 2.1 of this Agreement or other services as required.
3.9 OWNER has designated the following representative to serve as the Quality
Assurance/Quality Control for the project: Thomas Thomey; MGP, Inc.; 701 Lee Street;
Suite 1020; Des Plaines, IL 60016; Phone: (847) 656-5698. CONSULTANT will deliver
Preliminary Product to the above designee.
3.10 OWNER will provide CONSULTANT with accurate boundaries for the mapping to be
performed under Article 1 by May 1, 2015. The boundary will be provided to
CONSULTANT in ESRI shapefile or geodatabase format.
3.11 Prior to commencement of mapping, OWNER will provide CONSULTANT with the GIS
Consortium's most current ESRI Geodatabase which includes the existing Planimetric
and Digital Terrain Model (DTM). The Geodatabase shall reflect the most current
feature geometry and attribution.
ARTICLE 4 - PERIODS OF SERVICE
The provisions of this Article 4 and the compensation for CONSULTANT's services have been
agreed to in anticipation of the orderly and continuous progress of the Project.
4.1 The services called for in Article 1 - Scope of Services will be completed and submitted
as follows:
4.1.1 Preliminary Product. CONSULTANT will deliver the preliminary products to
OWNER by October 15, 2015, provided that the CONSULTANT receives the
executed contract from OWNER by May 15, 2015. Delay in contract execution
beyond this date will result in equivalent delay for delivery of mapping to
OWNER.
4.1.2 Quality Assurance/Quality Control (QA/QC) Review. OWNER, or the designee
as stated in paragraph 3.11
will review the Preliminary Mapping Product and compile suggestions for
modification and adjustment and submit review to CONSULTANT within 15
calendar days of receipt of Preliminary Mapping Product.
4.1.3 Final Deliverable. CONSULTANT will make final delivery of the Mapping
Products (all deliverables)within 15 calendar days of receipt of the QA/QC
Review from OWNER, or the designee as stated in paragraph 3.11.
4.2 CONSULTANT's services under this Agreement shall be considered complete at the
earlier of (1) the date when the submissions have been accepted by OWNER.
4.3 If OWNER has requested significant modifications or changes in the general scope,
extent or character of the Project, the time of performance of CONSULTANT's services
shall be adjusted equitably.

4.4 If CONSULTANT's services for the Project are delayed or suspended in whole or in part
by OWNER for more than three months for reasons beyond CONSULTANT's control,
CONSULTANT shall on written demand to OWNER (but without termination of this
Agreement) be paid as provided in paragraph 5.3.2.
ARTICLE 5—COMPENSATION AND PAYMENTS
5.1 Compensation for Services
5.1.1 Basic Services. OWNER shall pay CONSULTANT for Basic Services rendered
as follows:
5.1.1.1 For services outlined above, OWNER shall pay CONSULTANT a lump
sum fee of$39,693.00.
5.2 Times of Payments
5.2.1 CONSULTANT shall submit monthly invoices for Basic and Additional Services
rendered. OWNER shall make payments in accordance with the State of Illinois
Prompt Payment Act in response to CONSULTANT's invoices.
5.3 Other Provisions Concerning Payments
5.3.1 If OWNER fails to make any payment due CONSULTANT for services and
expenses in accordance with the State of Illinois Local Government Prompt
Payment Act after receipt of CONSULTANT's invoice
5.3.2 In the event of termination by OWNER, CONSULTANT will be reimbursed for all
charges and services rendered.
5.3.3 Records pertinent to CONSULTANT's compensation will be kept in accordance
with generally accepted accounting practices.
5.3.4 Factors determining compensation payable to CONSULTANT will be adjusted
upon written approval of OWNER periodically and equitably to reflect changes in
various elements that comprise such factors.
5.3.5 The amount of any excise, value-added, gross receipts, or sales taxes that may
be imposed shall be added to the compensation as determined above.

ARTICLE 6 -GENERAL CONSIDERATIONS
6.1 Reuse of Documents
Any reuse of the services and documents provided under this agreement for purposes not
intended, will be at the owners sole risk.
6.2 Controlling Law
This Agreement shall be governed under the laws of the State of Illinois.
6.3 Indemnification
The CONSULTANT hereby indemnifies and holds the OWNER harmless for any and all costs,
expenses, claims, lawsuits or liabilities incurred by OWNER that arise out of, or in connection
with, the Contractor's negligent acts, errors or omissions that causes harm or damage to any
person or property as a result of the professional geospatial services required to complete this
project.
6.4 Termination
The obligation to provide further services under this Agreement may be terminated by either
party upon seven calendar days'written notice in the event of substantial failure by either party
to perform in accordance with the terms hereof through no fault of the terminating party.
6.5 Copyright Assignment
The CONSULTANT assigns copyright to the OWNER for all deliverable products produced
under this contract. All deliverable products prepared by the CONSULTANT under this contract
are the property of the OWNER. The CONSULTANT agrees that the products shall not be
made available to nor used to prepare additional products for any individual or organization at
any time without prior written approval by the OWNER.
6.6 Force Majeure
Neither party will be responsible to the other for damage, loss, injury, or interruption of work if
the damage, loss, injury, or interruption of work is caused solely by conditions that are beyond
the reasonable control of the parties, and without the intentional misconduct or negligence, of
that party (hereinafter referred to as a "force majeure event"). To the extent not within the
control of either party, such force majeure events include: acts of God, acts of any governmental
authorities, fire, explosions or other casualties, vandalism, and riots or war. A party claiming a
force majeure event ("the claiming party") shall promptly notify the other party in writing,
describing the nature and estimated duration of the claiming party's inability to perform due to
the force majeure event. The cause of such inability to perform will be remedied by the claiming
party with all reasonable dispatch.

ARTICLE 7 - EXHIBITS AND SCHEDULES
7.1 The following Exhibits are attached to and made a part of this Agreement.
7.1.1 Exhibit A— Project Area Map, consists of 1 page.
7.2 This Agreement (consisting of pages 1 to 8, inclusive), together with the Exhibits and
Attachments identified above, constitute the entire agreement between OWNER and
CONSULTANT and supersede all prior written or oral understandings. This Agreement
and said Exhibits may only be amended, supplemented, modified or canceled by a duly
executed written instrument.

I. Project Understanding
The Village of Buffalo Grove wishes to conduct water main improvement project at the following locations
within the Village:
1. Sussex Court from Cambridge Drive to Cul-de-Sac
2. Middlesex Court from Cambridge Drive to Cul-de-Sac
3. Harvard Lane from University Drive to Cul-de-Sac
4. Palmgren Court from Harvard Lane to Cul-de-Sac
5. Anthony Road from Harvard Lane to 264 Anthony Road
6. Anthony Court from Anthony Road to Lake Blvd
11. Scope of Services
The scope of services is based upon our knowledge of the Village, our review of the information furnished
to us, and our extensive experience in preparing contract documents for water main improvement projects.
A. Final Engineering Design Phase
1. Meet with Village Staff to discuss pavement patching strategies and other infrastructure
improvements that may be necessary. We anticipate up to six meetings with Village staff
throughout the design process. We have based our level of compensation on this number of
meetings. If the Village requests additional meetings, they would be beyond our scope of
services and would be considered an additional service.
2. Assist Village with updating the Village's water main specification to current standards.
3. Preparation of final engineering plans to include a title sheet, plans, general notes and details
for construction.
4. Preparation of project notes and contract specific directions for road improvements, including
traffic control, working conditions, material specifications, coordination with public inspection
agencies, and other coordination and construction information. If available, we will use front-
end documentation provided by the Village.
5. Preparation of a submittal to the IEPA for a watermain construction permit.

6. Preparation of an engineer's opinion of probable cost based on the completed final engineering
plans and specifications.
7. Preparation of complete bid packages for distribution to contractors and Village (25 maximum).
8. Respond to any bidding questions and issue addendum as necessary.
9. Attend the bid opening, prepare a summary of the received bids, and make a recommendation
for the award of contract.
B. Construction Phase
1. Attend the pre-construction meeting.
2. Six site visits, four hours each, to assist the Village with issues that arise during construction.
3. Respond to any questions from the Village during Construction.
C. Deliverables
The following will be delivered to the Village upon completion of the project.
1. Digital and paper copies of work performed by GHA.
2. Two copies of all engineering plan sets.
3. Bid specifications.
III. Additional Services, and Services not Included
We are prepared, and would be pleased to provide additional assistance outside the scope described.
These services may be provided at the request of the Village as an additional service.
1. Meetings with public officials, Village staff, agencies, homeowners, or consultants beyond
those noted in the scope.Attendance at public hearings.
2. Performing surveying, mapping, plat and topographic work, including investigation of
underground utilities and physical location of them (being provided under separate contract).
3. Illinois Department of Natural Resources and US Army Corps of Engineers Permits.
4. NPDES—Construction Site Activities Permit. (This is not anticipated to be required as the area
of exposed soil should be less than one acre).
5. Clean Construction or Demolition Debris (CCDD)testing, analysis, and certification.
6. Preparing construction plans and specifications for extensive sewer removal and replacement
and/or sewer lining improvements.
7. Coordinating relocation of non-Village owned utilities.
8. Construction staking or any construction phase services beyond those noted.
9. Preparation of multiple bid set plans or phased plans.
10. Review fees or utility locate fees.

IV. Engineering Staff and Proposed Schedule
Mr. Leo X. Morand, P.E. will function as the Project Manager.Additional professional and technical staff will
provide support as needed.
A schedule has not been provided by the Village as of the date of this proposal. GHA will work with the
Village to establish an acceptable timeline for the project. We will make every reasonable effort to ensure
that project milestones and deadlines are met.
V. Compensation for Services
GHA proposes billing on a time-and-materials (T&M) basis for a not-to-exceed (NTE)fee as shown below.

VI. General Conditions
The delineated services provided by Gewalt Hamilton Associates, Inc., (GHA) under this Agreement will be
performed as reasonably required in accordance with the generally accepted standards for civil engineering
and surveying services as reflected in the contract for this project at the time when and the place where the
services are performed.
Nothing contained in this Agreement shall create a contractual relationship with or a cause of action in favor
of a third party against either the Client or GHA. GHA's services under this Agreement are being performed
solely for the Client's benefit, and no other party or entity shall have any claim against GHA because of this
Agreement or the performance or nonperformance of services hereunder. In no event shall GHA be liable
for any loss of profit or any consequential damages.
GHA shall not have control of and shall not be responsible for construction means, methods, techniques,
sequences or procedures, or for job site safety measures. Such control is the sole responsibility of the
Client's contractor.
The Client, and not GHA, is responsible for ensuring that the contractor implements the Storm Water
Pollution Prevention Plan (SWPPP), including maintenance and/or repair of soil erosion and sediment
control measures for compliance with the General NPDES Permit for Storm Water Discharges from
Construction Site Activities. GHA assumes no liability for any actions by the Illinois Environmental
Protection Agency(IEPA) resulting from the contractor's failure to comply with SWPPP or the requirements
of the General Permit.
The Client and GHA agree that all disputes between them arising out of or relating to this Agreement or the
Project shall be submitted to nonbinding mediation in Chicago, Illinois unless the parties mutually agree
otherwise.
This Agreement, including all subparts and Addendum to Contract, which is attached hereto and
incorporated herein as the General Provisions of this Agreement, constitute the entire integrated agreement
between the parties which may not be modified without all parties consenting thereto in writing.

ATTACHMENT A TO GEWALT HAMILTON ASSOCIATES,INC.
PROFESSIONAL SERVICES AGREEMENT
1. Standard of Care. The services provided by Gewalt Hamilton Associates,Inc., (GHA)under this Agreement will be reasonably
performed consistent with the generally accepted standard of care for the Scope of Basic Services called for herein at the time when and the
place where the services are provided.
2. Duration of Proposal. The terms of this Agreement are subject to renegotiation if not accepted within 60 calendar days of the
date indicated on this Agreement. Requests for extension beyond 60 calendar days shall be made in writing prior to the expiration date. The
fees and terms of this Agreement shall remain in full force and effect for one year from the date of acceptance of this Agreement, and shall be
subject to revision at that time, or any time thereafter if GHA gives written notice to the other party at least 60 calendar days prior to the
requested date of revision. In the event that the parties fail to agree on the new rates or other revisions, either party may terminate this
Agreement as provided for herein.
3. Client Information. Client shall provide GHA will all project criteria and full information for its Scope of Basic Services. GHA
may rely, without liability, on the accuracy and completeness of the information Client provides, including that of its other consultants,
contractors and subcontractors,without independently verifying that information.
4.Payment.Payments are due within 30 calendar days after a statement is rendered. Statements not paid within 60 calendar days of
the end of the calendar month when the statement is rendered will bear interest at the rate of one percent(1.0%)per month until paid. The
provision for the payment of interest shall not be construed as authorization to pay late. Failure of the Client to make payments when due
shall, in GHA's sole discretion,be cause for suspension of services without breach or termination of this agreement. Upon notification by
GHA of suspension of services,Client shall pay in full all outstanding invoices within 7 calendar days. Client's failure to make such payment
to GHA shall constitute a material breach of the Agreement and shall be cause for termination by GHA. GHA shall be entitled to
reimbursement of all costs actually incurred by GHA in collecting overdue accounts under this Agreement, including, without limitations,
attorney's fees and costs. GHA shall have no liability for any claims or damages arising from either suspension or termination of this
Agreement due to Client's breach The Client's obligation to pay for GHA's services is in no way dependent upon the Client's ability to
obtain financing, rezoning, payment from a third party, approval of governmental or regulatory agencies or the Client's completion of the
project.
5. Instruments of Service. The Client acknowledges GHA's plans and specifications, including field data,notes, calculations, and
all documents or electronic data, are instruments of service. GHA shall retain ownership rights over all original documents and instruments
of service. All instruments of service provided by GHA shall be reviewed by Client within 10 calendar days of receipt. Any deficiencies,
errors, or omissions the Client discovers during this period will be reported to GHA and will be corrected as part of GHA's Basic Services.
Failure to provide such notice shall constitute a waiver. The Client shall not reuse or make, or permit to be made any modifications to the
instruments of service without the prior written authorization of GHA. The Client waives all claims against GHA arising from any reuse or
modification of the instruments of service not authorized by GHA. The Client agrees, to the fullest extent permitted by law, to defend and
indemnify and hold GHA harmless from any liability, damage, or cost, including attorneys' fees, arising from the unauthorized reuse or
modification of the instruments of service by any person or entity.The parties agree that if elements of the Scope of Basic Services identified
in this Agreement are reduced and/or eliminated by Client, then Client waives, releases and holds GHA harmless from all claims and
damages arising from those reduced and/or eliminated services. If GHA's Scope of Basic Services does not include construction
administration phase services, Client assumes responsibility for interpretation of the instruments of service and construction observation, and
waives all claims against GHA for any act, omission or event connected thereto. Unless included in GHA's Scope of Basic Services, GHA
shall not be liable for coordination with of the services of Client's other design professionals.
6. Electronic Files. The Client acknowledges that differences may exist between the electronic files delivered and the printed
instruments of service. In the event of a conflict between the signed / sealed printed instruments of service prepared by GHA and the
electronic files,the signed/sealed instruments of service shall control. GHA's electronic files shall be prepared in the current software GHA
uses and will follow GHA's standard formatting unless the Scope of Basic Services requires otherwise. Client accepts that GHA makes no
warranty that its software will be compatible with other systems or software.
7.Applicable Codes. The Client acknowledges that applicable laws, codes and regulations may be subject to various, and possibly
contradictory,interpretations. Client accepts that GHA does not warrant or guarantee that the Client's project will comply with interpretations
of applicable laws,codes,and regulations as they may be interpreted to the project. Client agrees that GHA shall not be responsible for added
project costs,delay damages,or schedule changes arising from unreasonable or unexpected interpretations of the laws, codes,or regulations
applied to the project,nor for changes required by the permitting authorities due to changes in the law that became effective after completion
of GHA's instruments of service. Client shall compensate GHA for additional fees required to revise the instruments of service to comply
with such interpretations. Client shall also compensate GHA for additional fees required to revise the instruments of service if Client changes
the project scope after GHA's completes its instruments of service.
8.Utilities and Soils.When the instruments of service include information pertaining to the location of underground utility facilities
or soils, such information represents only the opinion of the engineer as to the possible locations. This information may be obtained from
visible surface evidence,utility company records or soil borings performed by others, and is not represented to be the exact location or nature
of these utilities or soils in the field. Client agrees that GHA may reasonably rely on the accuracy and completeness of information furnished
by third parties respecting utilities, underground conditions and soils without performing any independent verification. Contractor is solely
responsible for utility locations,their markings in the field and their placement on the plans based on information they provided. Client agrees
GHA is not liable for damages resulting from utility conflicts, mistaken utility locates, unfavorable soils, and concealed or unforeseen
conditions, including but not limited to added construction costs and/or project delays. If the Client wishes to obtain the services of a
contractor to provide test holes and exact utility locations,GHA may incorporate that information into the design and reasonably rely upon it.
If not included in the Scope of Basic Services,such work will be compensated as additional services.

9. Opinion of Probable Construction Costs. GHA's Scope of Basic Services may include the preparation of an opinion of
probable construction costs. Client acknowledges that GHA has no control over the costs of labor, materials, or equipment, or over the
contractor's methods of determining prices, or over competitive bidding or market conditions. Opinions of probable costs, shall be made on
the basis of experience and qualifications applied to the project scope contemplated by this Agreement as well as information provided by
Client(the accuracy and completeness of which GHA may rely upon), and represent GHA's reasonable judgment. Client accepts that GHA
does not guarantee or warrant that proposals,bids, or the actual construction costs will not vary from opinions of probable cost prepared for
the Client. GHA shall not be liable for cost differentials between the bid and/or actual costs and GHA's opinion of probable construction
costs. Client agrees it shall employ an independent cost estimator if, based on its sole determination, it wants more certainty respecting
construction costs,
10. Contractor's Work. Client agrees that GHA does not have control or charge of and is not responsible for construction means,
methods, techniques, sequences or procedures, or for site or worker safety measures and programs including enforcement of Federal, State
and local safety requirements,in connection with construction work performed by the Client or the Client's construction contractors. GHA is
not responsible for the supervision and coordination of Client's construction contractors, subcontractors, materialmen, fabricators, erectors,
operators, suppliers, or any of their employees, agents and representatives of such workers, or responsible for any machinery, construction
equipment, or tools used and employed by contractors and subcontractors. GHA has no authority or right to stop the work. GHA may not
direct or instruct the construction work in any regard. In no event shall GHA be liable for the acts or omissions of Client's construction
contractors, subcontractors,materialmen, fabricators, erectors,operators or suppliers,or any persons or entities performing any of the work,
or for failure of any of them to carry out their work as called for by the Construction Documents. The Client agrees that the Contractor is
solely responsible for jobsite and worker safety, and warrants that this intent shall be included in the Client's agreement with all prime
contractors. The Client agrees that GHA and GHA's personnel and consultants (if any) shall be defended/indemnified by the Contractor for
all claims asserted against GHA which arise out of the Contractor's or its subcontractors' negligence, errors or omissions in the performance
of their work, and shall also be named as an additional insured on the Contractor's and subcontractors' general liability insurance policy.
Client warrants that this intent shall be included in the Client's agreement with all prime contractors. If the responsible prime contractor's
agreement fails to comply with the Client's intent, then the Client agrees to assume the duty to defend and indemnify GHA for claims
arising out of the Contractor's or subcontractors'negligence,errors or omissions in the performance of their work.
11. Contractor Submittals. Shop drawing and submittal reviews by GHA shall apply only to the items in the submissions that
concern GHA's scope of Basic Services and only for the purpose of assessing if, upon successful incorporation in the project, they are
generally consistent with the GHA's Instruments of Service. Client agrees that the Contractor is solely responsible for the submissions and
for compliance with the Instruments of Service. Owner agrees that GHA's review and action in relation to the submissions does not constitute
the provision of means, methods, techniques, sequencing or procedures of construction or extend to jobsite or worker safety. GHA's
consideration of a component does not constitute acceptance of an assembled item.
12. Hazardous Materials. Client agrees that GHA has no responsibility or liability for any hazardous or toxic materials,
contaminants or pollutants.
13. Record Drawings. If required by the Scope of Basic Services,record drawings will be prepared which may include unverified
information compiled and furnished by others,the accuracy and completeness of which GHA may reasonably rely upon. Client accepts that
GHA shall not verify the information provided to it and agrees GHA will not be responsible for any errors or omissions in the record
drawings due to incorrect or incomplete information furnished by others to GHA.
14. Disputes. Client agrees to limit GHA's total aggregate liability to the Client for GHA's alleged acts, errors or omissions to
$50,000 or the amount of GHA's paid fees for its services on the project, whichever is greater. GHA makes no guarantees or warranties,
either expressed or implied, including any warranty of habitability or fitness for a particular purpose. The parties agree to waive all claims
against the other for any and all consequential damages,including attorneys' fees. The parties agree to waive against each other all rights and
claims otherwise covered by property insurance,by builder's risk insurance or by all risk insurance, including but not limited to subrogation
rights regardless of whether the claims arise during or post-construction and regardless of final payment to GHA.
All disputes arising out of or relating to this Agreement shall first be negotiated between the parties. If unresolved,the dispute shall
be submitted to mediation as a condition precedent to litigation. Mediation shall take place in Chicago, Illinois unless the Client and GHA
mutually agree otherwise. The fees and costs of the mediator shall be apportioned equally between the parties. If mediation is unsuccessful,
litigation shall be the form of dispute resolution and shall be filed in the jurisdiction where the project was pending. The controlling law shall
be the law of the jurisdiction where the project was located. Client agrees that all causes of action under this Agreement shall be deemed to
have accrued and all statutory limitations periods shall commence no later than the date of GHA's services being substantially completed.
Client agrees that any claim against GHA arising out of this Agreement shall be asserted only against the entity and not against GHA's
owners,officers,directors,shareholders,or employees,none of whom shall bear any liability and may not be subject to any claim.
15.Miscellaneous.Either Client or GHA may terminate this Agreement without penalty at any time with or without cause by giving
the other party ten(10)calendar days prior written notice. The Client shall,within thirty (30)calendar days of termination pay GHA for all
services rendered and all costs incurred up to the date of termination in accordance with compensation provisions of this Agreement. Client
shall not assign this Agreement without GHA's prior written consent. There are no third-party beneficiaries to this Agreement.
