AN ORDINANCE APPROVING AN AMENDMENT TO THE
ANNEXATION AGREEMENT
The Milbro Property_
South side of Route 22 east of the Tenerife Townhomes
WHEREAS, the Village of Buffalo Grove is a Home Rule Unit by virtue of the Illinois
Constitution of 1970; and;
WHEREAS, the Village passed Ordinance 94-32 approving an Annexation Agreement
dated June 0; 1994 for 32.908 acres (32.423 acres net of right-of-way) known as the Milbro
property on the south side of Illinois Route 22 east of the Tenerife townhomes; and,
WHEREAS, there has been submitted to the Corporate Authorities of the Village of
Buffalo Grove a petition to annex the property legally described in EXHIBIT A-1 hereto, to
disconnect the property legally described in EXHIBIT A-2 hereto and to amend said Annexation
Agreement to reflect said changes to the legal description of the property; and,
WHEREAS, the"Property" subject to the provisions of the Annexation Agreement as
amended is legally described in EXHIBIT A hereto; and,
WHEREAS, proper and due notice of the public hearing concerning said amendment
to the Annexation Agreement and requested zoning has been given and a public hearing was held;
and,
WHEREAS, it is determined to be in the best interest of the Village of Buffalo Grove
to approve said amended Annexation Agreement.
NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT AND BOARD OF
TRUSTEES OF THE VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES,
ILLINOIS:
Section 1 The amended Annexation Agreement, a copy of which is attached hereto and

made a part hereof as EXHIBIT B is approved.
Section 2. The President and Clerk of the Village are hereby authorized to execute said
amended Agreement on behalf of the Village of Buffalo Grove.
Section This Ordinance shall be in full force and effect from and after its passage and
approval. This Ordinance shall not be codified.

AMENDMENT TO THE MILBRO PROPERTY
ANNEXATION AGREEMENT
South side of Route 22 east of Tenerife Townhomes
This agreement made and entered into this 3rd day of February, 1997 by and between the
VILLAGE OF BUFFALO GROVE (hereinafter referred to as the"Village")by and through the
President and Board of Trustees of the Village(hereinafter collectively referred to as the
"Corporate Authorities")and American National Bank and Trust Company of Chicago, as
Trustee under Trust Numbers 53914 and 59576 (hereinafter referred to as"Owner').
WHEREAS, the Village passed Ordinance 94-32 approving an annexation agreement
dated June 6, 1994 for 32.908 acres(32.423 acres net of right-of-way)known as the NElbro
property on the south side of Illinois Route 22 east of the Tenerife townhomes; and,
WHEREAS, Owner proposes to modify said agreement, including annexation of the
property legally described in EXHIBIT A-1 attached hereto and disconnection of the property
legally described in EXHIBIT A-2 attached hereto; and,
WHEREAS, American National Bank and Trust Company of Chicago as Trustee under
Trust Number 59576 is the Owner of the real property comprising 33.068 acres legally described
in EXHIBIT A attached hereto; and,
WHEREAS, Milbro, Ltd., an Illinois Limited Partnership is the beneficiary of Trust
Number 53914 at American National Bank and Trust Company of Chicago and Jack Miller and
Harvey L. Miller are the beneficiaries of Trust Number 59576 at American National Bank and
Trust Company of Chicago; and,
WHEREAS, the property previously annexed to the Village by Ordinance 94-33 is zoned
in the Industrial District pursuant to the annexation agreement dated June 6, 1994;and
WHEREAS, Parcels A and B comprising 2.912 acres as described in EXHIBIT A-1

attached hereto are owned by American National Bank and Trust Company of Chicago as Trustee
under Trust Number 59576 dated November 3, 1983; and,
WHEREAS, Parcels C and D comprising 3.093 acres as described in EXHIBIT A-2
attached hereto are owned by American National Bank and Trust Company of Chicago as Trustee
under Trust Numbers 53914 dated September 4, 1981 and 59576 dated November 3,1983; and,
WHEREAS, Owner has petitioned for annexation of said Parcels A and B to the Village,
approval of a Preliminary Plan and amendment to the Annexation Agreement dated June 6, 1994
approved by Ordinance 94-32 for the property as legally described in EXHIBIT A(hereinafter
referred to as the "Property")to allow development of the Property pursuant to the following

NOW,THEREFORE, in consideration of the premises, mutual covenants and agreements
herein set forth, the parties hereto agree as follows:
l. That the preceding Whereas clauses are incorporated herein.
2. Upon passage of the ordinance annexing Parcels A and B to the Village,
the Corporate Authorities shall adopt a proper, valid and binding ordinance
zoning the property legally described in EXHIBIT A-1 hereto in the
Industrial District subject to the restrictions further contained herein and all
applicable ordinances of the Village as amended from time to time.
3. That certain"Milbro,Ltd. Property Annexation Agreement" dated June 6,
1994 approved by Ordinance 94-32 be and is hereby amended as follows:
A. The"Property"includes the real property as legally described in
EXHIBIT A hereto.
B. Paragraph 27. Special Conditions of the Annexation Agreement
dated June 6, 1994 is deleted in its entirety and the following
is substituted in lieu thereof
27. Spec Sps:rdal Conditions.
A. The following variations to the Development Ordinance are
hereby granted:
1. Section 16.30.030.F. and 16.50.080.A.1. -To
allow construction of a sidewalk in an easement located
only on the west side of the public street proposed to be
constructed on the Property south of Route 22;
2. Section 16.50.040.D. -To allow an office building
to be constructed closer to a stormwater facility

than the ordinance standard subject to the condition
that the Village may require review and public
hearing concerning approval of the site plan for said
office building and provided that adequate access for
public safety operations is provided as determined
and approved by the Village;
3. Section 16.50.070.13. -To allow a 60-foot right-
of-way and a 37-foot back-to-back of curb for the
public street proposed to be constructed on the
Property south of Route 22, notwithstanding the 35-
foot back-to-back of curb depicted on EXHIBITS F
and I;
4. Section 16.50.150.B.5, - To waive the
requirement for striping parking spaces on
pavement surfaces provided that parking spaces in
compliance with the Village's ordinance standards
are depicted on the site plan for each zoning lot, and
provided that spaces required for handicapped
accessibility and fire lanes as required by the Village
are striped on the pavement for each building and
zoning lot. All parking shall be provided as off-street
parking and shall not interfere with driveway access
or loading areas.
5. Section 16,50.040. - To allow a modified design
for the proposed stormwater ponds as approved by
the Village based on the Owner's final engineering plan, and
as may be required by the Lake County Stormwater
Management Commission and the U.S. Army Corps
of Engineers.
B. The following variations to the Zoning Ordinance
are hereby granted:
1. Section 17.48.020.E. - To allow lots to be platted
with lot widths of 50 feet instead of 100 feet, and
lot areas of less than 40,000 square feet with the
requirement that the zoning lot for each building site
shall have a minimum lot width of 100 feet and
a minimum area of 50,000 square feet. An access
easement instead of frontage shall be permitted

for the five lots at the south end of the Property as
depicted on EXHIBIT F.
C. Owner shall convey right-of-way along Route 22 as
depicted on EXHIBIT F prior to issuance of any building
permits for the Property or at a later time directed by the
Village. Owner shall make improvements to Route 22 as
depicted on EXHIBIT F within sixteen(16) months of the
approval of the final plat of subdivision for any portion of
the Property. Said improvements shall include streetlights,
parkway trees and a sidewalk pursuant to the Village
Development Ordinance. Paragraph 14 of the annexation
agreement dated June 6, 1994 is deleted.
D. Owner shall pay or provide for the local share of any
warranted traffic signal on Illinois Route 22 on the street (extension
of Holtz Road ) extension to be constructed on the Property as
depicted on EXHIBITS F and G.
E. Access to Illinois Route 22 is restricted to the street (extension of
Holtz Road)to be built as depicted on EXHIBITS F and G. No
driveways serving individual lots shall have direct access to Route
22. The Corporate Authorities agree to cooperate with the Owner
and to use their best efforts to aid Owner in obtaining such
permits from the Illinois Department of Transportation as
may be necessary to authorize access to Route 22 from the
Property.
F. Owner shall provide a 40-foot perpetual public access
easement from the Property to Schelter Road prior to
issuance of any building permit for the Property.
G. Construction of streets, including a connection to Schelter
Road, and construction of utilities and stormwater
management areas as depicted on EXHIBITS G, H and I
shall be completed prior to the issuance of any certificate of
occupancy for the Property. The street constructed on the
perpetual easement to Schelter Road shall be constructed
and maintained by Owner in conformance with the Village's
standards for streets. Provisions for performance of
maintenance, including snow removal, shall be included in
the declaration of covenants, conditions and restrictions
pursuant to Paragraph 17 of the Annexation Agreement

dated June 6, 1994.
H. The landscaped island on the street constructed south of
Route 22 on the Property as depicted on EXHIBIT J shall
be platted as an outlot to be owned and maintained by the
Owner or the property owners' association. The declaration of
covenants, conditions and restrictions as required by Paragraph 17
of the Annexation Agreement dated June 6, 1994 for the
Property shall provide for the Owner or the property owners'
association to maintain said outlot, fencing, masonry piers and the
walking path on the Property as depicted on EXHIBIT J. The
walking path shall be set forth as a private easement on the plat of
subdivision, and subsequent re-plats if necessary.
1. Provisions for maintenance of stormwater management
areas, including basin B-2 as depicted on EXHIBIT G,
shall be included in the declaration of covenants, conditions
and restrictions.
J. A landscaped buffer shall be provided on the west side of
the Property as conceptually depicted on EXHIBIT J. The
final design of said landscaped buffer is subject to review by
the Village Appearance Commission and approval by the
Village. The six-foot high wood fence along the west side of
the Property as depicted on EXHIBIT J shall be constructed
in the first phase of development of the Property.
The removal or relocation of any trees or plant material on
the Property is subject to approval by the Village. Prior to
any site grading or site preparation work on the Property,
Owner shall obtain approval of a tree preservation plan by
the Village.
K. No loading docks shall be constructed open to and facing
the property to the west, and no loading dock shall be
closer than 100 feet to the property line adjoining the street
to be constructed on the Property. Adequate area for
maneuvering of trucks and other vehicles shall be provided
on each zoning lot , and no loading or unloading shall occur
on the street.
L. All portions of the Property shall be annexed to the Buffalo
Grove Park District at the request of the Park District.

M. Owner shall construct an eight-foot wide sidewalk along
the south side of Route 22 adjoining the Property in the first
phase of development. Said sidewalk shall be constructed to
connect to the sidewalk along Route 22 adjoining the
Tenerife property provided that an easement or right-of-way
is available for said connection to the Tenerife sidewalk.
Said sidewalk connection shall be constructed when the
sidewalk easement is obtained.
N. Owner agrees to pay to the party completing construction of a
traffic signal and related improvements at the intersection of
Schelter Road and Route 22 at the time that said construction of
improvements is completed, a sum equal to ten(10)percent of
said construction costs.
O. Owner shall pay a fire protection equipment impact fee
of$0.75 per gross square foot of all buildings constructed
on the Property. Said fee shall be paid at issuance of building
permits.
P. The Village may require review and public hearing
concerning site plan approval for the office building at the
north end of the Property as depicted on EXHIBIT F. Plan
Commission review and public hearing will not be required
for other buildings on the Property unless variations or
--------- special use zoning is requested. Said buildings are subject to
review and approval by the Village Appearance
Commission.
Q. Three driveways for property in Lincolnshire shall be
allowed to the public street to be constructed on the
Property. The driveway depicted on EXHIBIT F for the
office building along the south side of Route 22 shall be
permitted, but the locations of the other two driveways are
subject to review and approval by Buffalo Grove to ensure
safe and efficient design for said driveways. If more than
three driveway connections are requested, the Village shall
review said requests to ensure safe and efficient traffic
movements.
R. All water wells and septic sewer facilities on the Property
shall be properly sealed or pumped and filled as required by
the Illinois Department of Public Health and as approved by

the Village Health Officer. All existing underground tanks shall be
removed as permitted and approved by the Illinois State Fire
Marshal.
S. All buildings, structures, vehicles,junk and debris on the
Property shall be removed prior to any development on the
Property. If, in the period prior to development of the
Property, the Village determines that buildings or other
objects need to be removed from the Property to prevent
health or nuisance problems, Owner shall comply pursuant
to a schedule and direction from the Village.
If the Village so directs, Owner shall allow the Village to
use such buildings or structures on the Property for fire
training purposes. Owner shall be responsible for removing
the remains of said buildings and structures from the
Property. The Village shall provide an appropriate hold
harmless and indemnity agreement to the Owner.
T. The Village acknowledges that the Property is being used
for agricultural purposes and that such use may continue
until development of the Property.
4, The Annexation Agreement dated June 6, 1994 as hereby amended is
binding on all parties and the Property until June 6, 2014,

6, 1994 is amended to remove the name of Edward Yalowitz, Esq. and

6. The original Annexation Agreement is hereby reacknowledged and
reaffirmed as being in force and effect except as amended herein.
