AN ORDINANCE AMENDING 2017 VILLAGE MANAGER EMPLOYMENT
AGREEMENT AND ESTABLISHING COMPENSATION
WHEREAS, the Village of Buffalo Grove is a Home Rule Unit pursuant to the Illinois
Constitution of 1970; and
WHEREAS, the Corporate Authorities of the Village of Buffalo Grove by Ordinance
No. 2017-011 approved an Employment Agreement dated March 20, 2017 between the Village
of Buffalo Grove and Dane C. Bragg; and
WHEREAS, said 2017 Employment Agreement establishes the annual salary of Village
Manager Dane C. Bragg in years 2017, 2018 and 2019; and
WHEREAS, said 2017 Employment Agreement further establishes the terms of
additional compensation. The Village Board wishes to provide compensation or benefits in
addition to those enumerated in Section 4.D of the Agreement; and
WHEREAS, the Village Board wishes to approve an Amendment to the 2017
Employment Agreement.
NOW, THEREFORE, BE IT ORDAINED BY THE PRESIDENT and BOARD OF
TRUSTEES OF THE VILLAGE OF BUFFALO GROVE, LAKE and COOK COUNTIES,
ILLINOIS, as follows:
Section 1. The foregoing recitals are hereby adopted and incorporated into and made a
part of this Ordinance as if fully set forth herein.
Section 2. Pursuant to the 2017 Employment Agreement, the Village Board shall
contribute an amount not to exceed $4,718 to the ICMA/RC Section 457 Plan deferred
compensation account of Dane C. Bragg, Village Manager of the Village of Buffalo Grove, for
achievements in the year 2018, payable upon passage of this Ordinance.
Section 3. Dane C. Bragg, as Village Manager of the Village of Buffalo Grove, shall be
awarded ten (10) personal days in calendar year 2019 in accordance with Section 12.01.0 of the
Personnel Manual.
Section 4. The Village President is authorized to execute the Amendment to the 2017
Employment Agreement attached hereto as Exhibit A.
Section 5. This ordinance shall be effective upon its passage and approval. This
ordinance shall not be codified.

AMENDMENT TO 2017 VILLAGE MANAGER EMPLOYMENT AGREEMENT
This Amendment to the 2017 Village Manager Employment Agreement ("Amendment")
is made and entered into as of the 16th day of April, 2019, by and between the Village of Buffalo
Grove, an Illinois home rule municipal corporation ("Village") and Dane C. Bragg ("Manager").
WHEREAS, it is the purpose and intent of the Board and Manager, through this
Amendment, to extend the Manager's employment for an additional period of two years beyond
the term reflected in the 2017 Village Manager Employment Agreement ("Agreement"), subject
to the original terms of the Agreement, except as specifically modified below; and
NOW, THEREFORE, in consideration of the foregoing and the mutual covenants and
conditions set forth below, and other good and valuable considerations, the receipt and
sufficiency of which are mutually acknowledged by the parties hereto, the Village and the
Manager hereby agree as follows:
1. The Agreement is amended as follows:
A. Section 4.E is deleted and replaced with the following:
For each of the years 2020, 2021 and 2022, the Manager's annual
salary will be increased by a fixed rate of three percent (3%) over
the prior year's annual salary.
B. Section 5.A is deleted and replaced with the following:
Unless sooner terminated in accordance with the terms set forth
herein, the Term of this Agreement will be for an initial period of
sixty-six (66) months from its date of adoption by the Board.
C. Section TA is modified to delete "60%" and replace it with "75%".
D. Section 13.A is deleted and replaced with the following:
Manager acknowledges that the Village is a member of, and its
employees are participants in, the ICMA Retirement Corporation
(ICMA/RC) and as such, can participate in the deferred
compensation programs offered by ICMA/RC. The Village shall
pay the employer share and the Manager shall pay the employee
share of any tax or pension liability associated with the Manager's
elective contributions.
E. Section 14.13 is deleted and replaced with the following:
The Manager may convert and receive compensation in whole or
in part for accrued but unused vacation leave. Unless specifically
approved in advance by the Board, the conversion shall not exceed
10 total days accrued over the prior 12-month period.

F. Section 23 is modified to replace former Village Attorney William Raysa

2. Except as set forth in this Amendment, the Agreement is unaffected and shall
continue in full force and effect in accordance with its terms. If there is conflict between
this Amendment and the Agreement, the terms of this Amendment will prevail.
IN WITNESS WHEREOF, Dane C. Bragg has signed and executed this Amendment as
of the day and year first above written, and the Village of Buffalo Grove has caused this
Amendment to be signed and executed on its behalf by its Village President as of the day and
year first above written.
