1984-060ORDINANCE #84- 60 AN ORDINANCE AMENDING ORDINANCE #81 -41 CABLE TELEVISION FRANCHISE ORDINANCE WHEREAS, The Village of Buffalo Grove is a Home Rule Unit by virtue of the provisions of the constitution of the State of Illinois of 1970; and, WHEREAS, Warner Amex Cable Communications, Inc. has indicated its intention to sell the assets of the CATV system serving the Village of Buffalo Grove to American Cablesystems of Illinois, A Massachusetts Limited Partnership, ( "American ") and assign its rights under the franchise granted by Ordinance No. 81 -41 to American; and, WHEREAS, American has made various presentations to the Village concerning its plans to upgrade and improve the CATV system serving the Village; and, WHEREAS, the Village and American are both desirous of making certain amendments to Ordinance No. 81 -41. NOW, THEREFORE, BE IT ORDAINED BY THE VILLAGE BOARD OF THE VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES, ILLINOIS AS FOLLOWS: Section 1. Ordinance #81 -41, being an ordinance approving the Cable Television Franchise Agreement, is hereby amended as follows: o r I. Section 6 of the Franchise shall be amended to add a new paragraph, as follows: (b) If the Municipality approves a plat of subdivision, planned development or other zoning for the construction of additional dwelling units within the Primary Service Area, the Franchisee shall complete construction of the cable television system along with public and private utilities within 24 months of the date of approval of the plat of subdivision. The penalty assessed upon the Franchisee will be $500 per day for each day of non - compliance with the 24 -month time schedule. The time schedule may be extended by the Franchisee for a period of time occasioned by delays due to war, riot, insurrection, rebellion, strike, lock -out, unavoidable casualty or damage to personnel, materials, or equipment, fire, flood, storm, earthquake, tornado, orders of a.court of competent jurisdiction, any act of God, utilities delays, failure to obtain easements, or any cause beyond the control of the Franchisee. -Z- II. Section 11 of the Franchise, entitled "Channel Line -Up" shall be deleted in its entirety and replaced with the following: SECTION 11: PROGRAMS AND SERVICES A. Minor Changes Subject to applicable federal statute and to the rules of any federal or state regulatory agencies having jurisdiction, and subject to the provisions hereof, the Franchisee shall make available to its subscribers, as a minimum, such VHF and UHF television signals as may be required to be carried by the FCC, and other programs and services as are available and described in Exhibit E attached hereto and made a part hereof, including without limitation a non - converter service. Except as provided in paragraph B below, the Franchisee reserves the right, in consultation with the Municipalities as described below, to add to and change its program and service offerings if in its judgment such changes are warranted by reason of changes in availability, content, quality, cost of, and subscriber interest in such offerings. Such consultation shall include the proposed timing, nature, and reasons for such changes, and the Franchisee's plans for the provision of alternative program and service offerings. The Municipalities shall have the opportunity for review and comment upon the information provided prior to any changes being implemented, except when circumstances beyond the Franchisee's control do not allow. -2- e B. Substantial Changes The Franchisee shall use its best efforts to ensure that program and service offerings shall be equivalent in quality and quantity to those described in Exhibit E, but in no event shall make a substantial change in the composition of the program and service offerings described in Exhibit E without prior review and approval of the Municipality to the extent permitted by applicable federal laws or regulations in effect from time to time, the Cable Communications Ordinance, and the provisions hereof. The determination of "substantial change" shall be made by the reasonable opinion of the Municipality. A substantial change shall include but not be limited to the movement of a basic service to an upper tier unless approved by the Municipality. Municipal approval shall be deemed to have been granted 30 days after the filing of notice by the Franchisee of intention to change program and service offerings absent Municipal action to the contrary. C. Surveys The Franchisee agrees to conduct surveys at least annually, at its sole expense, to ascertain subscriber attitudes and preferences towards its programs and services, both existing and proposed. The results of such survey(s) will be made available to the Municipalities. -3- e • III. Section 16 (d) of the Franchise shall be deleted in its entirety and replaced with the following: (d) Render efficient service; locate and repair malfunctions promptly. Service staff shall be available to respond to service calls on weekdays during regular business hours, and to service calls received after business hours and on Saturdays and Sundays. All service calls received on weekdays during business hours will be responded to, if possible, the same day, but in any event within 24 hours except where extraordinary circumstances exist (as defined in the Cable Communication's ordinance). Service calls received during non - business hours on weekdays and on weekends and holidays shall be responded to within 24 hours of receipt of the call except where extraordinary circumstances exist. In the event the Franchisee is unable to respond within 24 hours, credit shall be given to the subscriber for time period spent without service. All major system malfunctions shall be responded to immediately by service technicians, available on -call 24 hours each day. -4- IV. Section 20 of the Franchise shall be deleted in its entirety and replaced with the following: SECTION 20: Community Programming Production Assistance and Staffing (a) Franchisee shall provide free of charge consulting and training services on production and program format and the use of public access, governmental and educational channels. (b) Franchisee shall offer and conduct a free workshop, not less than four times a year to provide training in the technical and conceptual skills required for community television production. Announcements of the date, time and place of said workshops shall be made over the public access and community affairs channels no less than six times daily for a two -week period prior to the workshop. Notice of the workshop shall also be published-in the subscriber's program guide and a newspaper of general circulation in the Municipality. Attendance at and completion of such a workshop or evidence satisfactory to the Franchisee of equivalent training or experience may be a prerequisite to using production facilities and equipment. (c) A full -time, professional staff shall be employed by the Franchisee to conduct training programs, to promote the public use of the public channels, community affairs, and other cablecasting channels, to advise such users on the programming and production matters and to otherwise fulfill the Franchisee's community programming obligations hereunder. (d) Franchisee, in conjunction with access users, community organizations and volunteers, shall produce and cablecast on the area system serving Buffalo Grove, Elk 'Grove Village, Hoffman Estates, Palatine and Rolling Meadows an average minimum of ten original hours of community programming per week, effective July 1, 1985. Beginning on July 1, 1986, community programming will increase to a minimum of 15 hours per week. If the average number of community programming hours produced and cablecast falls below the numbers stipulated, the Municipalities shall have the right to require Franchisee to increase its community programming production staff to the levels stipulated in Exhibit J, within 90 days of written notice of non - compliance. For the purposes hereof, the measurement of average number of hours produced and cablecast shall be calculated twice yearly in February and July, and shall include the periods between the previous July 1 and December 31 and January 1 and June 30 respectively. -5- F V. Section 21 of the Franchise shall be deleted in its entirety and replaced with the following: SECTION 21: Community Programming Production Facilities (a) Franchisee shall provide studio, mobile and portable equipment commensurate with the quality and quantities indicated in Exhibit I for the shared use of the communities served by system. The studio will have the capacity for live transmission and video taping of programs, and the capacity to play back, edit and. transmit recorded programs. In addition to the studio equipment, a mobile van and portable equipment will be available for video taping and origination outside the studio. At least one portable unit will be,reserved for the sole use of the residents of this Municipality. All equipment shall be owned and maintained in good working order by the Franchisee throughout the term of the Franchise and any renewal thereof. (b) In addition to the equipment listed in Exhibit I, Franchisee will provide videotape - playback facilities and other equipment necessary to permit editing and cablecasting of 1/2 inch format video tape. -6- VI. Exhibit C of the Franchise shall be amended to delete paragraphs 3, 4, and 5, and add new paragraphs 3 (a -e) and 4 (a and b), to read as follows: Exhibit C 1. Channel Capacity A. Number of cables at 1 Institutional Trunk, 54 Channel system activation: Capacity; 1 Subscriber Trunk, 54 Channel Capacity, Single Feeder B. Minimum Bandwidth: Upper Bandwidth of 400 MHz C. Feeder Cables/ 400 MHz, Line Extender Amplifiers Amplifiers: will be at a maximum of two in Cascade. D. Two -Way Capability 2. The cable system will be initially activated with the inherent capacility to support the transmission of data for municipal service. 3(a) The system is designed and constructed to have the capacity to carry signals both "upstream" (from subscriber locations to the system headend) and "downstream ",(from the system headend to subscriber locations). The system will be activated to provide for status monitoring for system evaluation and maintenance. Capacity for other services which require upstream signals will be activated at such time as the projected return on the investment required to provide any such services(s) meets the minimum payback requirements outlined herein. For the purposes hereof, the minimum payback requirements will be deemed to be met if the projected capital expenditures and start -up operating losses relating to the proposed new service will be recovered out of projected operating income from the new service (operating revenues less operating expenses, excluding depreciation and financing costs) over a period not exceeding three years from the initial activation of such service. Nothing contained herein shall be construed as to relieve Franchisee from any obligation(s) contained elsewhere in this Franchise or in the Cable Communications Ordinance which require the Franchisee to provide services to the Municipalities either free of charge or at cost. (b) The determination of interactive services to be offered to subscribers shall be made by the Franchisee, provided however, that the Franchisee shall continually monitor and provide to the Municipalities periodic reports on interactive services; said reports will be presented in January, 1986, and every January thereafter unless otherwise agreed upon by the Municipalities and the Franchisee. -7- (e) If equipment is in place in the system to support the provision of interactive services as detailed above, Franchisee agrees to use its best efforts to utilize such equipment to enhance locally originated programming. 4(a) Beginning in January 1985, Franchisee will offer service to subscribers utilizing one -way addressable technology. Subscriber terminals utilized will have the capacity to be upgraded to two -way interactive functioning, and will offer consumer features such as optional wireless remote control, volume control, audio muting, channel scanning, favorite channel scanning, and programmable "parental locking". (b) The phasing out of QUBE technology will commence January 1, 1985 and will be completed by no later than October 31, 1986. Beginning in January 1985, QUBE service will not be available to non -QUBE subscribers or to new subscribers to the system. Franchisee will continue to make QUBE service available to cUrrent (as of January 1985) QUBE subscribers until at least July 1, 1986. QUBE subscribers will be offered the option of purchasing services offered via the new addressable converter instead of QUBE service, at no additional installation charge. Beginning on or about July 1, 1986, remaining QUBE subscribers will be disconnected from QUBE service and given the option of purchasing any other level of service available on the system, at no additional installation charges. -8- Said reports shall include information on technological development, cost and availability in the market, and subscriber demand within the franchise area for interactive services. Any service which is shown to be technologically proven, for which equipment is being commercially manufactured and distributed as part of standard product lines, and for which there is any measurable subscriber demand within the franchise area or projectable to the franchise area, will then be analyzed in detail to determine if it meets the payback requirements outlined in paragraph 3(a) hereof. If the payback requirements are shown to be met, then such report shall also include an implementation schedule.. (c) Following submission of any report required by the paragraph 3(b) hereof, upon the determination of the majority of the municipal governments of Buffalo Grove, Elk Grove village, Hoffman Estates, Palatine, and Rolling Meadows (collectively, "the Municipalities ") that additional verification is-required the Municipalities may engage an independent consultant to review the findings of said report. The consultant will be selected by the Municipalities from a list of qualified telecommunications consultants to be provided by the American Arbitration Association, 140 West 51st Street, New York, New York 10020. The Municipalities will obtain proposals which shall include cost estimates from any three (3) consultants on the list. The Franchisee will agree to reimburse the Municipalites for the cost of consultant's review, up to a maximum of the cost of the least expensive of the three proposals; the Municipalities may, if they so choose, select one of the other consultants from whom proposals were obtained in which case the Municipalities shall pay for any differential in cost. (d) If either the analysis conducted pursuant. to paragraph 3(b) or the analysis conducted by the consultant pursuant to 3(c) hereof shows that any interactive service is technologically proven, for which equipment is being commercially manufactured and distributed as part of standard product lines, and for which there is measurable subscriber demand within the franchise area or projectable to the franchise area and the minimum payback requirements outlined in paragraph 3(a) can be projected to be met for any interactive services(s), then within 120 days of such finding the Franchisee shall present a specific implementation proposal for such services(s) to the Municipalities. The implementation proposal shall include detailed operating plans and schedules for the introduction of the service on the system, which schedule shall call for introduction as promptly as is reasonably practical, and in no event later than one year from issuance of the report, unless delay is necessitated due to circumstances beyond the Franchisee's control. Wiring hidden in or fished through the walls will be considered custom installation work. All custom installation work will be charged at time and materials. Subscribers requesting custom installation work will be given an estimate of the charges and be asked to agree to them in advance of any installation work proceeding. Standard installation charges will be waived for any subscriber who requests service during the first 60 days that cable service is made available to the neighborhood, development, or area in which his /her residence is located. The Access Service installation rate (3 channels minimum) will be 35.00 with no free 60 -day period. There is no monthly charge for this service. Disconnection Subscribers may discontinue a service(s) at any time upon notice to the Franchisee. The subscriber will be billed for the the service(s) until the date the disconnection is actually made, but in no case shall the subscriber be charged for more than seven days of service after the Franchisee's .receipt of notice of subscriber's desire to disconnect. NOW, THEREFORE, BE IT ORDAINED BY THE VILLAGE BOARD OF THE VILLAGE OF BUFFALO GROVE, COOK AND LAKE COUNTIES, ILLINOIS AS FOLLOWS: Section 1. Ordinance 481 -41, being an ordinance approving the Cable Television Franchise Agreement, is hereby amended as follows: I. Section 6 of the Franchise shall be amended to add a new paragraph, as follows: (b) If the Municipality approves a plat of subdivision, planned development or other zoning for the construction of additional dwelling units within the Primary Service Area, the Franchisee shall complete construction of the cable television system along with public and private utilities within 24 months of the date of approval of the plat of subdivision. The penalty assessed upon the Franchisee will be $500 per day for each day of non - compliance with the 24 -month time schedule. The time schedule may be extended by the Franchisee for a period of time occasioned by delays due to war, riot, insurrection, rebellion, strike, lock -out, unavoidable casualty or damage to personnel, materials, or equipment, fire, flood, storm, earthquake, tornado, orders of a court of competent jurisdiction, any act of God, utilities delays, failure to obtain easements, or any cause beyond the control of the Franchisee. II. Section 11 of the Franchise, entitled "Channel Line -Up" shall be deleted in its entirety and replaced with the following: SECTION 11: PROGRAMS AND SERVICES A. Minor Changes Subject to applicable federal statute and to the rules of any federal or state regulatory agencies having jurisdiction, and subject to the provisions hereof, the Franchisee shall make available to its subscribers, as a minimum, such VHF and UHF television signals as may be required to be carried by the FCC, and other programs and services as are available and described in Exhibit E attached hereto and made a part hereof, including without limitation a non - converter service. Except as provided in paragraph B below, the Franchisee reserves the right, in consultation with the Municipalities as described below, to add to and change its program and service offerings if in its judgment such changes are warranted by reason of changes in availability, content, quality, cost of, and subscriber interest in such offerings. Such consultation shall include the proposed timing, nature, and reasons for such changes, and the Franchisee's plans for the provision of alternative program and service offerings. The Municipalities shall have the opportunity for review and comment upon the information provided prior to any changes being implemented, except when circumstances beyond the Franchisee's control do not allow. -2- B. Substantial Changes The Franchisee shall use its best efforts to ensure that program and service offerings shall be equivalent in quality and quantity to those described in Exhibit E, but in no event shall make a substantial change in the.composition of the program and service offerings described in Exhibit E without prior review and approval of the Municipality to the extent permitted by applicable federal laws or regulations in effect from time to time, the Cable Communications Ordinance, and the provisions hereof. The determination of "substantial change" shall be made by the reasonable opinion of the Municipality. A substantial change shall include but not be limited to the movement of a basic service to an upper tier unless approved by the Municipality. Municipal approval shall be deemed to have been granted 30 days after the filing of notice by the Franchisee of intention to change program and service offerings absent Municipal action to the contrary. C. Surveys The Franchisee agrees to conduct surveys at least annually, at its sole expense, to ascertain subscriber attitudes and preferences towards its programs and services, both existing and proposed. The results of such survey(s) will be made available to the Municipalities. -3- 1 L i III. Section 16 (d) of the Franchise shall be deleted in its entirety and replaced with the following: (d) Render efficient service; locate and repair malfunctions promptly. Service staff shall be available to respond to service calls on weekdays during regular business hours, and to service calls received after business hours and on Saturdays and Sundays. All service calls received on weekdays during business hours will be responded to, if possible, the same day, but in any event within 24 hours except where extraordinary circumstances exist (as defined in the Cable Communication's Ordinance). Service calls received during non - business hours on weekdays and on weekends and holidays shall be responded to within 24 hours of receipt of the call except where extraordinary circumstances exist. In the event the Franchisee is unable to respond within 24 hours, credit shall be given to the subscriber for time period spent without service. All major system malfunctions shall be responded to immediately by service technicians, available on -call 24 hours each day. -4- IV. Section 20 of the Franchise shall be deleted in its entirety and replaced with the following: SECTION 20: Community Programming Production Assistance and Staffing (a) Franchisee shall provide free of charge consulting and training services on production and program format and the use of public access, governmental and educational channels. (b) Franchisee shall offer and conduct a free workshop, not less than four times a year to provide training in the technical and conceptual skills required for community television production. Announcements of the date, time and place of said workshops shall be made over the public access and community affairs channels no less than six times daily for a two -week period prior to the workshop. Notice of the workshop shall also be published-in the subscriber's program guide and a newspaper of general circulation in the Municipality. Attendance at and completion of such a workshop or evidence satisfactory to the Franchisee of equivalent training or experience may be a prerequisite to using production facilities and equipment. (c) A full -time, professional staff shall be employed by the Franchisee to conduct training programs, to promote the public use of the public channels, community affairs, and other cablecasting channels, to advise such users on the programming and production matters and to otherwise fulfill the Franchisee's community programming obligations hereunder. (d) Franchisee, in conjunction with access users, community organizations and volunteers, shall produce and cablecast on the area system serving Buffalo Grove, Elk Grove Village,, Hoffman Estates, Palatine and Rolling Meadows an average minimum of ten original hours of community programming per week, effective July 1, 1985. Beginning on July 1, 1986, community programming will increase to a minimum of 15 hours per week. If the average number of community programming hours produced and cablecast falls below the numbers stipulated, the Municipalities shall have the right to require Franchisee to increase its community programming production staff to the levels stipulated in Exhibit J, within 90 days of written notice of non - compliance. For the purposes hereof, the measurement of average number of hours produced and cablecast shall be calculated twice yearly in February and July, and shall include the periods between the previous July 1 and December 31 and January 1 and June 30 respectively. -5- V. Section 21 of the Franchise shall be deleted in its entirety and replaced with the following: SECTION 21: Community Programming Production Facilities (a) Franchisee shall provide studio, mobile and portable equipment commensurate with the quality and quantities indicated in Exhibit I for the shared use of the communities served by system. The studio will have the capacity for live transmission and video taping of programs, and the capacity to play back, edit and transmit recorded programs. In addition to the studio equipment, a mobile van and portable equipment will be available for video taping and origination outside the studio. At least one portable unit will be reserved for the sole use of the residents of this Municipality. All equipment shall be owned and maintained in good working order by the Franchisee throughout the term of the Franchise and any renewal thereof. (b) In addition to the equipment listed in Exhibit I, Franchisee will provide videotape- playback facilities and other equipment necessary to permit editing and cablecasting of 1/2 inch format video tape. -6- r VI. Exhibit C of the Franchise shall be amended to delete paragraphs 3, 4, and 5, and add new paragraphs 3 (a -e) and 4 (a and b), to read as follows: Exhibit C 1. Channel Capacity A. Number of cables at 1 Institutional Trunk, 54 Channel system activation: Capacity; 1 Subscriber Trunk, 54 Channel Capacity, Single Feeder B. Minimum Bandwidth: Upper Bandwidth of 400 MHz C. Feeder Cables/ 400 MHz, Line Extender Amplifiers Amplifiers: will be at a maximum of two in Cascade. D. Two -Way Capability 2. The cable system will be initially activated with the inherent capacility to support the transmission of data for municipal service. 3(a) The system is designed and constructed to have the capacity to carry signals both "upstream" (from subscriber locations to the system headend) and "downstream" (from the system headend to subscriber locations). The system will be activated to provide for status monitoring for system evaluation and maintenance. Capacity for other services which require upstream signals will be activated at such time as the projected return on the investment required to provide any such services(s) meets the minimum payback requirements outlined herein. For the purposes hereof, the minimum payback requirements will be deemed to be met if the projected capital expenditures and start -up operating losses relating to the proposed new service will be recovered out of projected operating income from the new service (operating revenues less operating expenses, excluding depreciation and financing costs) over a period not exceeding three years from the initial activation of such service. Nothing contained herein shall be construed as to relieve Franchisee from any obligation(s) contained elsewhere in this Franchise or in the Cable Communications Ordinance which require the Franchisee to provide services to the Municipalities either free of charge or at cost. (b) The determination of interactive services to be offered to subscribers shall be made by the Franchisee, provided however, that the Franchisee shall continually monitor and provide to the Municipalities periodic reports on interactive services; said reports will be presented in January, 1986, and every January thereafter unless otherwise agreed upon by the Municipalities and the Franchisee. -7- } 3 7 c - (e) If equipment is in place in the system to support the provision of interactive services as detailed above, Franchisee agrees to use its best efforts to utilize such equipment to enhance locally originated programming. 4(a) Beginning in January 1985, Franchisee will offer service to subscribers utilizing one -way addressable technology. Subscriber terminals utilized will have the capacity to be upgraded to two -way interactive functioning, and will offer consumer features such as optional wireless remote control, volume control, audio muting, channel scanning, favorite channel scanning, and programmable "parental locking ". (b) The phasing out of QUBE technology will commence January 1, 1985 and will be completed by no later than October 31, 1986. Beginning in January 1985, QUBE service will not be available to non -QUBE subscribers or to new subscribers to the system. Franchisee will continue to make QUBE service available to cUrrent (as of January 1985) QUBE subscribers until at least July 1, 1986. QUBE subscribers will be offered the option of purchasing services offered via the new addressable converter instead of QUBE service, at no additional installation charge. Beginning on or about July 1, 1986, remaining QUBE subscribers will be disconnected from QUBE service and given the option of purchasing any other level of service available on the system, at no additional installation charges. i Said reports shall include information on technological development, cost and availability in the market, and subscriber demand within the franchise area for interactive services. Any service which is shown to be technologically proven, for which equipment is being commercially manufactured and distributed as part of standard product lines, and for which there is any measurable subscriber demand within the franchise area or projectable to the franchise area, will then be analyzed in detail to determine if it meets the payback requirements outlined in paragraph 3(a) hereof. If the payback requirements are shown to be met, then such report shall also include an implementation schedule. (c) Following submission of any report required by the paragraph 3(b) hereof, upon the determination of the majority of the municipal governments of Buffalo Grove, Elk Grove village, Hoffman Estates, Palatine, and Rolling Meadows (collectively, "the Municipalities ") that additional verification is- required the Municipalities may engage an independent consultant to review the findings of said report. The consultant will be selected by the Municipalities from a list of qualified telecommunications consultants to be provided by the American Arbitration Association, 140 West 51st Street, New York, New York 10020. The Municipalities will obtain proposals which shall include cost estimates from any three (3) consultants on the list. The Franchisee will agree to reimburse the Municipalites for the cost of consultant's review, up to a maximum of the cost of the least expensive of the three proposals; the Municipalities may, if they so choose, select one of the other consultants from whom proposals were obtained in which case the Municipalities shall pay for any differential in cost. (d) If either the analysis conducted pursuant, to paragraph 3(b) or the analysis conducted by the consultant pursuant to 3(c) hereof shows that any interactive service is technologically proven, for which equipment is being commercially manufactured and distributed as part of standard product lines, and for which there is measurable subscriber demand within the franchise area or projectable to the franchise area and the minimum payback requirements outlined in paragraph 3(a) can be projected to be met for any interactive services(s), then within 120 days of such finding the Franchisee shall present a specific implementation proposal for such services(s) to the Municipalities. The implementation proposal shall include detailed operating plans and schedules for the introduction of the service on the system, which schedule shall call for introduction as promptly as is reasonably practical, and in no event later than one year from issuance of the report, unless delay is necessitated due to circumstances beyond the Franchisee's control.
